                1.ソフトウェアの使用許諾<br>（1）
                 
                Software
                本ソフトウェアプログラム・本ソフトウェアプログラムのアップデートプログラム及びアップデートプログラムによりアップデートされた本ソフトウェアプログラム（以下併せて「本製品」といいます）の著作権及び関連する知的財産権は、すべて株式会社コーエーテクモゲームス（以下「当社」といいます）または当社のライセンサーに帰属します。<br>（2）
                 
                License
                本製品は、当社からお客様に使用許諾（ライセンス）されるものであり、販売されるものではありません。本契約書によりお客様に許諾されない全ての権利は、当社または当社のライセンサーに留保されます。
                <br>
                (1)
                （3）当社は、お客様が本契約書にご同意いただいたことを条件として、お客様に対して、お客様がお持ちのコンピュータ1台のみに本製品をインストール（複製）の上、個人使用目的のみに使用する、譲渡不能・非独占的かつ再許諾不能の権利を許諾します。<br>（4）前（3）に従い、お客様がコンピュータにインストールした本製品につき、お客様は、お客様がお持ちの別のコンピュータにインストールすることができます。<br>但し、この場合には、従前のコンピュータにインストールした本製品を完全に消去しなければならないものとします。<br>（5）
                 
                All copyright and related intellectual property rights in and to this software program, its update programs and this software program updated by the update programs (collectively the “Product”) are owned by Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) or its licensors.<br>(2) The Product is licensed, not sold, for your use. All rights not specifically granted are reserved by Koei Tecmo or its licensors. <br>(3) Subject to your consent to this Agreement, Koei Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install the Product on only one (1) computer and use the Product solely for your personal use.<br>(4) With respect to the Product you have installed on the computer pursuant to section (3) above, you may install the same Product on another computer as long as you completely delete the Product from the first computer.<br>(5) Except when you install the Product on the computer under section (3) and (4) above, you may not copy the Product.
                お客様は、前（3）及び（4）に基づきインストールすることを除き、本製品を複製してはならないものとします。

                2. Prohibited Actions
                2.禁止事項
                <br>
                When using the Product hereunder, you may not:
                お客様は本製品を使用いただくにあたり、以下に明示された行為を行ってはならないものとします。<br>・本契約書に明示された場合を除いて、本製品を複製・改造並びに改変、譲渡すること。
                <br>・	
                except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;
                本製品を他のソフトウェアと組み合わせること。
                <br>・	
                combine the Product with any other software;
                本製品を賃貸したり、その他の商用目的に利用すること。
                <br>・	
                rent, lease or otherwise exploit the Product commercially;
                本製品及び／又は本製品の一部を、当社の明示的な許可なしにインターネットその他の手段を通じて送信または送信可能な状態におくこと。
                <br>・	
                transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval; 
                本製品について、リバースエンジニアリング等の手法による解析行為を行うこと。
                <br>・	
                reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;
                本契約書に違反する行為
                <br>・	
                breach any terms and conditions hereof;
                本製品の使用及び第4項に定めるユーザーサポートの利用に当たって、当社の業務の円滑な遂行を妨げる行為
                <br>・	
                interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 4 below;
                他の本製品の購入者その他の第三者に対して不快感又は不利益を与える行為
                <br>・	
                cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;
                公序良俗に反する行為
                <br>・	
                act against public order and good morals;
                犯罪行為・不法行為、その他の法令に違反する行為
                <br>・	
                commit a crime or an illegal act or otherwise violate any laws or regulations;
                当社の信用を毀損する行為、その他当社の知的財産権その他の権利又は利益を侵害する行為
                <br>・	
                infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;
                本製品に関する問い合わせ窓口に対して、繰り返し同一ないし類似の質問その他の内容の連絡を行う行為
                <br>・	
                repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;
                前各号に定めるほか、当社が不適切と判断する行為
                <br>・	
                conduct
                前各号に定める行為を助長する行為<br>・前各号に該当し、又はそのおそれがあると当社が合理的に判断する行為<br><br>3.保証及び責任の範囲<br>（1）当社は、本製品が以下に該当する場合には、日本向けに販売された本製品については本製品の購入手続きが完了した日から６０日間、日本以外の国・地域向けに販売された本製品については本製品の購入手続きが完了した日から９０日間に限り、当社の判断に基づき、再ダウンロード、修補（アップデートプログラムの配布を含む）または代金返還の何れかにより対応するものとします。<br>・当社の責に帰すべき事由により本製品が所定のマニュアル通りに動作せず、本製品の使用に実質的な支障が生じる場合<br>（2）

                前（1）に規定される当社の対応は、お客様が本製品をお買い上げになられた際の購入記録が当社において確認された場合のみ提供されるものとします。また、お客様は当社が代金返還を行った場合にはインストールした本製品を完全に消去するものとします。<br>（3）
                 
                other acts that Koei Tecmo deems to be inappropriate;
                前（1）に規定される当社の対応は、以下の何れかに起因する故障の場合には適用されません。
                <br>・	
                directly or indirectly, evoke or facilitate any of acts listed in the preceding items;
                本契約書の条項に違反する本製品の使用。
                <br>・	
                conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;<br><br>3. Scope of Warranty and Liability<br>(1) If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.<br>(2) Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the computer on which the Product is installed.  <br>(3) Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
                お客様による本製品の改造や、他の製品との組み合わせに起因する物理的瑕疵または動作不良。
                <br>・	
                Use of the Product breaching any terms and conditions hereof;
                お客様の故意または過失による誤用もしくはその他異常な条件の下で本製品を使用したことに起因する物理的瑕疵または動作不良。<br>・本製品をインストールしたコンピュータや、それに接続された他のハードウェアの不具合に起因する物理的瑕疵または動作不良、あるいは本製品の動作環境、通信環境への不適合。<br>（4）当社は以下の事項につき、本契約上及び法律上のいずれにおいても完全性・正確性・有用性・合目的性等の一切につき、何ら保証するものではありません。

                本製品の内容がお客様の特定の目的・希望に合致するものであること。<br>
                 
                modification
                ・本製品の内容に如何なるバグや欠陥その他の不具合も存在しないこと。<br>（5）当社は本製品について、お客様に事前の通知なしに内容の一部を変更する場合（アップデートプログラムの配信を含む）があります。当社は本製品内容の変更に伴い、お客様に生じた不利益・損害について、一切の責任を負わないものとします。<br>（6）
                 
                or alteration of the Product or combination of the Product and any other product;
                お客様における本製品の使用（または使用不能）に付随または関連して生ずる直接的または間接的な損失、損害等に関し、本契約書において明示された場合を除き、当社はお客様に対し一切の責任を負わないものとします。たとえ当社がかかる損害の可能性について知らされていた場合も同様とします。その請求原因の如何を問わず、当社に故意又は過失がある場合を除き、お客様における本製品の使用（または使用不能）から生じる損害に関し当社が負うべき責任は、お客様が本製品のご購入に際してお支払いいただいた金額を限度とします。関連する法律により、前述の責任の制限が認められない場合は、当社の責任はその関連する法律において認められる最低限度に限定されるものとします。<br><br>4.ユーザーサポート<br>誠に勝手ながら本製品のサポートは以下の通りとさせて戴きます。あらかじめご了承くださいますようお願い申し上げます。
                <br>・	
                your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
                本製品のサポート期間は本製品の発売日より３年間とさせていただきます。
                <br>・	
                any defect or malfunction of the computer on which the Product is installed or other hardware connected to the computer, or non-conformance of the computer to system requirements or communication environment required for the Product.<br>(4) THE PRODUCT IS PROVIDED "AS IS".  KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF THE PRODUCT, INCLUDING, BUT, NOT LIMITED TO, FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE AND FREEDOM FROM ANY BUGS AND ANY OTHER DEFECTS.<br>(5) Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY DAMAGES OR LOSS OF PROFIT INCURRED BY YOU ARISING OUT OF SUCH MODIFICATION OF THE PRODUCT. <br>(6) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR FUTURE DAMAGES OR LOSS ETC. INCURRED BY YOU ARISING OUT OF USE, UNAVAILABILITY OR DISCONTINUANCE OF THE PRODUCT, EVEN IF KOEI TECMO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS OR SUCH DAMAGES OR LOSS COULD HAVE BEEN REASONABLY FORESEEN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO’S LIABILITY TO YOU HEREUNDER EXCEED THE ACTUAL PRICE PAID BY YOU FOR THE PRODUCT UNLESS IT’S DUE TO OUR WILLFUL MISCONDUCT OR NEGLIGENCE. <br><br>4. Customer Support<br>You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
                本製品に関するサポートの受付は電話または所定のメール送信フォームになります。
                <br>・	
                Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date; 
                ユーザーサポートの宛先については本製品のマニュアルをご覧ください。
                <br>・	
                Any inquiries with respect to the Product from you to our customer support division shall be made by a phone call or filling out a web form specified by Koei Tecmo;
                お問い合わせの回答の要否・内容及び時期は当社の判断にて行います。
                <br>・	
                Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
                お問い合わせ内容によっては、回答しない場合もございます。
                <br>
                ・	Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;<br>・	We might not answer depending on your inquiry; and<br>・	KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF KOEI TECMO’S ANSWER TO YOUR INQUIRY.
                ・当社はお問い合わせ内容の回答の正確性、合目的性、有用性等につき如何なる保証も行わないものとします。

                5.
                5.本製品使用のための登録<br>（1）
                 
                Registration
                本製品を使用いただくにはSteam

                のアカウント登録及びSteamクライアントソフトウェアのインストールが必要になります。<br>（2）
                 
                use
                Steamクライアントソフトウェアをお持ちでない方は、Steamクライアントソフトウェアをインストールする必要があります。<br>（3）
                 
                of the Product<br>(1) In order to use the Product, you need to install the Steam client software and complete the Steam registration (including creating a Steam account). <br>(2) If you haven’t installed the Steam client software, you need to install the Steam client software in order to use the Product.<br>(3) If you haven’t completed the Steam registration (including creating a Steam account), you need to complete the Steam registration (including creating a Steam account) accepting STEAM SUBSCRIBER AGREEMENT in order to use the Product.
                Steamのアカウントをお持ちでない方は、Steamの利用規約への同意の上、Steamのアカウント登録が必要となります。

                6.
                6.本製品使用のためのインターネット接続<br>（1）
                 
                The Internet connection for use of the Product<br>(1) When you install the Steam client software and complete the Steam registration set forth in Article 5 above, you shall prepare all necessary hardware/service and bear and pay all necessary charge for internet service provider, communication expense, etc.<br>(2) You agree that certain information on your computer will be sent and Koei Tecmo may collect and use such information if you install the Steam client software and complete the Steam registration set forth in Article 5 above.
                第5項の登録及びインストールにあたり、必要な設備・サービスについては、お客様において準備し、必要なインターネットサービスプロバイダーを使用する際の料金及び通信費等は、すべてお客様のご負担となります。

                7. Termination of this Agreement
                7.契約の終了
                <br>
                Koei Tecmo may immediately terminate the license hereunder in case of your breach hereof. In this case, you shall, according to Koei Tecmo’s instructions, delete the Product (including all components and copies thereof) from the computer (including a hard drive or other storage device) on which the Product is installed. 
                お客様が本契約書の条項に違反した場合、当社は本契約書に基づく使用権の許諾を直ちに終了することができるものとします。この場合、お客様は、当社の指示に従い、本製品のすべての構成部分及びその複製物を破棄又は記録媒体から抹消しなければならないものとします。

                8. Export Control
                8.輸出管理
                <br>
                You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.
                お客様は、日本国政府または該当国の政府より必要な許可等を得ることなしに、本製品の全部または一部を、直接または間接に輸出しないものとします。

                9.
                9.一般条項<br>（1）
                 
                General
                本契約書の一部が何らかの理由により無効とされても、他の部分はこれに反しない範囲で引続き効力を有するものとします。<br>（2）
                 
                Provisions
                本契約書は、その成立、効力、解釈及び履行を含め、全て日本国法令により規律されるものとします。

                本契約書に関連するお客様と当社との紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。<br>以

                of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.<br>(2) This Agreement shall be governed by the laws of Japan.<br>(3) In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.<br>(4) Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
