Terms Watch

1. Software License
(1) All copyright and related intellectual property rights in and to this software program, its update programs and this software program updated by the update programs (collectively the “Product”) are owned by Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) or its licensors.
(2) The Product is licensed, not sold, for your use. All rights not specifically granted are reserved by Koei Tecmo or its licensors. 
(3) Subject to your consent to this Agreement, Koei Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install the Product on only one (1) computer and use the Product solely for your personal use.
(4) With respect to the Product you have installed on the computer pursuant to section (3) above, you may install the same Product on another computer as long as you completely delete the Product from the first computer.
(5) Except when you install the Product on the computer under section (3) and (4) above, you may not copy the Product.

1. Licenza software
(1) Tutti i diritti d'autore e i relativi diritti di proprietà intellettuale contenuti nel presente programma software e ad esso relativi, inerenti i programmi di aggiornamento e il presente programma software aggiornato dai programmi di aggiornamento (definiti nell'insieme il "Prodotto") sono di proprietà di Koei Tecmo Games Co., Ltd. ("Koei Tecmo") o dei suoi licenzianti.
(2) Il Prodotto è concesso in licenza, non venduto, per l'utilizzo da parte dell'utente. Tutti i diritti non espressamente concessi rimangono di competenza di Koei Tecmo o dei suoi licenzianti. 
(3) Previo consenso al presente Contratto, Koei Tecmo concede all'utente il diritto non esclusivo, non trasferibile e non a sua volta concedibile di installare il Prodotto su un (1) solo computer e di utilizzare il Prodotto esclusivamente per uso personale.
(4) Per quanto riguarda il Prodotto installato sul computer in conformità alla sezione (3) di cui sopra, l'utente ha la facoltà di installare lo stesso Prodotto su un altro computer purché cancelli completamente il Prodotto dal primo computer.
(5) Salvo laddove l'utente installi il Prodotto sul computer ai sensi delle sezioni (3) e (4) di cui sopra, non è autorizzato a copiare il Prodotto.

2. Prohibited Actions
When using the Product hereunder, you may not:
・	except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;
・	combine the Product with any other software;
・	rent, lease or otherwise exploit the Product commercially;
・	transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval; 
・	reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;
・	breach any terms and conditions hereof;
・	interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 4 below;
・	cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;
・	act against public order and good morals;
・	commit a crime or an illegal act or otherwise violate any laws or regulations;
・	infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;
・	repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;
・	conduct any other acts that Koei Tecmo deems to be inappropriate;
・	directly or indirectly, evoke or facilitate any of acts listed in the preceding items;
・	conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;

2. Azioni vietate
All'atto dell'utilizzo del Prodotto di seguito, all'utente è fatto divieto di:
・	copiare, modificare, alterare o cedere il Prodotto, fatto salvo quanto espressamente previsto nel presente contratto;
・	combinare il Prodotto con qualsiasi altro software;
・	affittare, noleggiare o sfruttare in altro modo economicamente il Prodotto;
・	trasmettere o predisporre per la trasmissione al pubblico il Prodotto, in toto o in parte, tramite Internet o con qualsiasi altro mezzo senza l'espressa approvazione scritta di Koei Tecmo; 
・	decodificare, modificare, decompilare, disassemblare o altrimenti analizzare il Prodotto, o provare a ricavarne il codice sorgente;
・	violare uno qualsiasi dei termini e delle condizioni del presente contratto;
・	interrompere il regolare funzionamento di Koei Tecmo durante l'utilizzo del Prodotto e contattare l'assistenza clienti di Koei Tecmo di cui all'articolo 4 di seguito;
・	arrecare svantaggi, danni o disagio ad altri acquirenti del Prodotto o a qualsiasi altro soggetto terzo;
・	agire contro l'ordine pubblico e il buon costume;
・	commettere un crimine o un atto illegale, o violare leggi e regolamenti in qualsiasi modo;
・	intaccare la reputazione, i diritti di proprietà intellettuale o altri diritti o profitti di Koei Tecmo;
・	inoltrare ripetutamente a Koei Tecmo le medesime o simili richieste di informazioni in merito al Prodotto;
・	commettere qualsiasi altra azione ritenuta inappropriata da Koei Tecmo;
・	richiamare o agevolare, direttamente o indirettamente, una qualsiasi delle condotte elencate negli articoli precedenti;
・	commettere qualsiasi azione che Koei Tecmo abbia ragione di ritenere ricada o possa ricadere nell'ambito di una qualsiasi delle condotte di cui sopra;

3. Scope of Warranty and Liability
(1) If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.
(2) Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the computer on which the Product is installed.  
(3) Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
・	Use of the Product breaching any terms and conditions hereof;
・	your modification or alteration of the Product or combination of the Product and any other product;
・	your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
・	any defect or malfunction of the computer on which the Product is installed or other hardware connected to the computer, or non-conformance of the computer to system requirements or communication environment required for the Product.
(4) THE PRODUCT IS PROVIDED "AS IS".  KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF THE PRODUCT, INCLUDING, BUT, NOT LIMITED TO, FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE AND FREEDOM FROM ANY BUGS AND ANY OTHER DEFECTS.
(5) Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY DAMAGES OR LOSS OF PROFIT INCURRED BY YOU ARISING OUT OF SUCH MODIFICATION OF THE PRODUCT. 
(6) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR FUTURE DAMAGES OR LOSS ETC. INCURRED BY YOU ARISING OUT OF USE, UNAVAILABILITY OR DISCONTINUANCE OF THE PRODUCT, EVEN IF KOEI TECMO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS OR SUCH DAMAGES OR LOSS COULD HAVE BEEN REASONABLY FORESEEN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO’S LIABILITY TO YOU HEREUNDER EXCEED THE ACTUAL PRICE PAID BY YOU FOR THE PRODUCT UNLESS IT’S DUE TO OUR WILLFUL MISCONDUCT OR NEGLIGENCE. 

3. Ambito di applicazione della garanzia e della responsabilità
(1) Se il Prodotto non funziona come descritto nel manuale fornito da Koei Tecmo e l'utente non può effettivamente utilizzare il Prodotto per una causa attribuibile a Koei Tecmo, Koei Tecmo, a propria discrezione, consentirà all'utente di riscaricare il Prodotto, o provvederà a riparare il Prodotto (ivi compresa la distribuzione dei programmi di aggiornamento) o rimborserà il prezzo del Prodotto all'utente, entro sessanta (60) giorni dall'acquisto per il Prodotto venduto per il Giappone o novanta (90) giorni dall'acquisto relativamente al Prodotto venduto per territori diversi dal Giappone, a seconda dei casi.
(2) La Sezione (1) di cui sopra si applica soltanto qualora Koei Tecmo sia in grado di riscontrare l'effettivo acquisto del Prodotto. Qualora Koei Tecmo effettui il rimborso ai sensi della sezione (1) di cui sopra, l'utente dovrà eliminare completamente il Prodotto dal computer sul quale è installato.  
(3) La Sezione (1) di cui sopra non si applica se il malfunzionamento o il difetto del Prodotto è dovuto a una delle seguenti cause:
・	utilizzo del Prodotto in violazione dei termini e delle condizioni del presente contratto;
・	modifica o alterazione del Prodotto oppure combinazione dello stesso con qualsiasi altro prodotto da parte dell'utente;
・	utilizzo improprio del Prodotto in maniera intenzionale o negligente da parte dell'utente o altri utilizzi del Prodotto in circostanze anomale; o
・	qualsiasi difetto o malfunzionamento del computer sul quale è installato il Prodotto o di altro hardware collegato al computer, o non conformità del computer ai requisiti di sistema o all'ambiente di comunicazione richiesti per il Prodotto.
(4) IL PRODOTTO VIENE FORNITO "COSÌ COM'È".  KOEI TECMO NON RILASCIA GARANZIE DI ALCUN TIPO, ESPLICITE, IMPLICITE O DI ALTRA NATURA, RELATIVAMENTE ALLA COMPLETEZZA, ALLA PRECISIONE, ALL'UTILITÀ, ALLE PRESTAZIONI O ALL'ADEGUATEZZA DEL PRODOTTO, IVI COMPRESE, A TITOLO ESEMPLIFICATIVO MA NON ESAUSTIVO, L'IDONEITÀ PER UNO SCOPO PARTICOLARE E L'ASSENZA DI QUALSIASI BUG O DI ALTRI DIFETTI.
(5) Koei Tecmo ha la facoltà di modificare una parte del Prodotto in qualsiasi momento (ivi compresa la distribuzione di programmi di aggiornamento) senza darne preavviso all'utente. IN NESSUNA CIRCOSTANZA KOEI TECMO POTRÀ ESSERE RITENUTA RESPONSABILE A FRONTE DI EVENTUALI DANNI O PERDITE DI PROFITTO SOSTENUTI DALL'UTENTE E DERIVANTI DA TALE MODIFICA DEL PRODOTTO. 
(6) NELLA MISURA MASSIMA CONSENTITA DALLE LEGGI APPLICABILI, FATTA ECCEZIONE PER QUANTO ESPRESSAMENTE PREVISTO NEL PRESENTE CONTRATTO, IN NESSUNA CIRCOSTANZA KOEI TECMO SARÀ RESPONSABILE A FRONTE DI EVENTUALI PERDITE O DANNI INCIDENTALI, INDIRETTI, SPECIALI, CONSEQUENZIALI O FUTURI, SOSTENUTI DALL'UTENTE E DERIVANTI DALL'UTILIZZO, DALLA MANCATA DISPONIBILITÀ O DALL'INTERRUZIONE DELLA FORNITURA DEL PRODOTTO, ANCHE NEL CASO KOEI TECMO SIA STATO INFORMATO DELLA POSSIBILITÀ DI TALI DANNI O PERDITE O NEL CASO TALI DANNI O PERDITE FOSSERO RAGIONEVOLMENTE PREVEDIBILI. NELLA MISURA MASSIMA CONSENTITA DALLE LEGGI APPLICABILI, IN NESSUN CASO LA RESPONSABILITÀ DI KOEI TECMO NEI CONFRONTI DELL'UTENTE POTRÀ ECCEDERE IL PREZZO EFFETTIVAMENTE CORRISPOSTO DALL'UTENTE PER IL PRODOTTO, A MENO CHE NON DERIVI DA DOLO O COLPA GRAVE. 

4. Customer Support
You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
・	Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date; 
・	Any inquiries with respect to the Product from you to our customer support division shall be made by a phone call or filling out a web form specified by Koei Tecmo;
・	Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
・	Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;
・	We might not answer depending on your inquiry; and
・	KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF KOEI TECMO’S ANSWER TO YOUR INQUIRY.

4. Assistenza clienti
L'utente accetta e riconosce che Koei Tecmo metterà a sua disposizione l'assistenza clienti per il Prodotto in base ai seguenti termini e condizioni:
・	Koei Tecmo fornirà all'utente l'assistenza clienti per il Prodotto solo per un periodo di tre (3) anni dalla data del suo lancio commerciale; 
・	qualsiasi richiesta relativa al Prodotto inviata dall'utente al nostro dipartimento di assistenza clienti deve essere effettuata tramite telefono o compilando un modulo web indicato da Koei Tecmo;
・	si prega di consultare il manuale utente del Prodotto per il contatto dell'assistenza clienti di Koei Tecmo;
・	Koei Tecmo, a sua discrezione, determinerà se rispondere e come rispondere alla richiesta dell'utente;
・	ci riserviamo la facoltà di non rispondere, a seconda della richiesta dell'utente; e
・	KOEI TECMO NON RILASCIA GARANZIE DI ALCUN TIPO, ESPLICITE, IMPLICITE O DI ALTRA NATURA, RELATIVAMENTE ALLA COMPLETEZZA, ALLA PRECISIONE, ALL'UTILITÀ, AL FUNZIONAMENTO O ALL'ADEGUATEZZA DELLA RISPOSTA DI KOEI TECMO ALLA RICHIESTA DELL'UTENTE.

5. Registration for use of the Product
(1) In order to use the Product, you need to install the Steam client software and complete the Steam registration (including creating a Steam account). 
(2) If you haven’t installed the Steam client software, you need to install the Steam client software in order to use the Product.
(3) If you haven’t completed the Steam registration (including creating a Steam account), you need to complete the Steam registration (including creating a Steam account) accepting STEAM SUBSCRIBER AGREEMENT in order to use the Product.

5. Registrazione per l'utilizzo del Prodotto
(1) Per utilizzare il Prodotto è necessario installare il software client Steam e completare la registrazione a Steam (ivi compresa la creazione di un account Steam). 
(2) Se non è stato installato il software client Steam, è necessario installarlo per poter utilizzare il Prodotto.
(3) Se non è stata completata la registrazione a Steam (ivi compresa la creazione di un account Steam), è necessario completare la registrazione a Steam (ivi compresa la creazione di un account Steam) accettando il CONTRATTO DI SOTTOSCRIZIONE A STEAM per poter utilizzare il Prodotto.

6. The Internet connection for use of the Product
(1) When you install the Steam client software and complete the Steam registration set forth in Article 5 above, you shall prepare all necessary hardware/service and bear and pay all necessary charge for internet service provider, communication expense, etc.
(2) You agree that certain information on your computer will be sent and Koei Tecmo may collect and use such information if you install the Steam client software and complete the Steam registration set forth in Article 5 above.

6. Connessione Internet per l'utilizzo del Prodotto
(1) Una volta installato il software client Steam e completata la registrazione a Steam di cui all'Articolo 5 sopra, l'utente deve predisporre tutto l'hardware/il servizio necessario, nonché sostenere e corrispondere tutti i costi necessari per il provider del servizio Internet, le spese di comunicazione, ecc.
(2) L'utente acconsente all'invio di determinate informazioni presenti sul proprio computer e al fatto che Koei Tecmo potrebbe raccogliere e utilizzare tali informazioni, una volta installato il software client Steam e completata la registrazione a Steam di cui all'Articolo 5 sopra.

7. Termination of this Agreement
Koei Tecmo may immediately terminate the license hereunder in case of your breach hereof. In this case, you shall, according to Koei Tecmo’s instructions, delete the Product (including all components and copies thereof) from the computer (including a hard drive or other storage device) on which the Product is installed. 

7. Cessazione del Contratto
Koei Tecmo ha la facoltà di cessare immediatamente la licenza prevista dal presente contratto in caso di violazione della stessa da parte dell'utente. In tal caso, l'utente dovrà, secondo le istruzioni di Koei Tecmo, eliminare il Prodotto (ivi compresi tutti i suoi componenti e le copie) dal computer (ivi compreso il disco rigido o altro dispositivo di archiviazione) sul quale è installato il Prodotto. 

8. Export Control
You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.

8. Controllo delle esportazioni
All'utente è fatto divieto di esportare, direttamente o indirettamente, il Prodotto, in tutto o in parte, in qualsiasi forma, in qualsiasi Paese senza aver prima ottenuto la necessaria licenza di esportazione o altra approvazione governativa da parte del governo giapponese o del governo del Paese interessato.

9. General Provisions
(1) If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.
(2) This Agreement shall be governed by the laws of Japan.
(3) In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.
(4) Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.

9. Disposizioni generali
(1) Qualora una qualsiasi disposizione del presente Contratto o una parte di esso sia ritenuta non valida o non applicabile in base a qualsivoglia legge o regolamento, le restanti disposizioni dello stesso rimarranno in vigore a tutti gli effetti.
(2) Il presente Contratto sarà regolato dalle leggi del Giappone.
(3) In caso di controversie, la versione inglese del presente Contratto prevarrà su qualsiasi versione redatta in un'altra lingua.
(4) Le controversie di qualsivoglia natura derivanti da o in connessione con il presente Contratto dovranno essere sottoposte alla giurisdizione esclusiva del Tribunale distrettuale di Tokyo in prima istanza.
