Terms Watch

1. Software License
(1) All copyright and related intellectual property rights in and to this software program, its update programs and this software program updated by the update programs (collectively the “Product”) are owned by Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) or its licensors.
(2) The Product is licensed, not sold, for your use. All rights not specifically granted are reserved by Koei Tecmo or its licensors. 
(3) Subject to your consent to this Agreement, Koei Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install the Product on only one (1) computer and use the Product solely for your personal use.
(4) With respect to the Product you have installed on the computer pursuant to section (3) above, you may install the same Product on another computer as long as you completely delete the Product from the first computer.
(5) Except when you install the Product on the computer under section (3) and (4) above, you may not copy the Product.

(1) Tous les copyrights et droits de propriété intellectuelle y afférents, dans et pour le présent logiciel, ses programmes de mise à jour et le présent logiciel mis à jour au moyen des programmes de mise à jour (appelés collectivement le « Produit ») sont la propriété de Koei Tecmo Games Co., Ltd. (« Koei Tecmo ») ou de ses concédants.
(2) Le Produit est concédé en licence, et non pas vendu, pour votre usage. Tous les droits qui ne sont pas expressément accordés sont réservés par Koei Tecmo ou ses concédants. 
(3) Sous réserve de votre adhésion au présent Contrat, Koei Tecmo vous concède le droit, non-exclusif, non-cessible et ne pouvant être concédé en sous licence, d’installer le Produit sur un (1) seul ordinateur et d’utiliser le Produit uniquement pour votre usage personnel.
(4) Eu égard au Produit que vous avez installé sur l’ordinateur conformément au paragraphe (3) ci-dessus, vous pouvez installer le même Produit sur un autre ordinateur, pourvu que vous supprimiez complètement le Produit du premier ordinateur.
(5) Hormis si vous installez le Produit sur l’ordinateur conformément aux paragraphes (3) et (4) ci-dessus, vous ne pouvez pas copier le Produit.

2. Prohibited Actions
When using the Product hereunder, you may not:
・	except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;
・	combine the Product with any other software;
・	rent, lease or otherwise exploit the Product commercially;
・	transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval; 
・	reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;
・	breach any terms and conditions hereof;
・	interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 4 below;
・	cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;
・	act against public order and good morals;
・	commit a crime or an illegal act or otherwise violate any laws or regulations;
・	infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;
・	repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;
・	conduct any other acts that Koei Tecmo deems to be inappropriate;
・	directly or indirectly, evoke or facilitate any of acts listed in the preceding items;
・	conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;

2. Interdictions
Lorsque vous utilisez le Produit visé aux présentes, vous ne pouvez pas :
・	sauf dans les cas expressément prévus par les présentes, copier, modifier, altérer ou céder le produit ;
・	combiner le Produit avec un autre logiciel ;
・	louer, donner à bail ou en tout état de cause exploiter le Produit à des fins commerciales ;
・	transmettre ou préparer le Produit, en tout ou partie, pour la transmission au public, via Internet ou toute autre méthode sans l’accord écrit exprès de Koei Tecmo ; 
・	rétroconcevoir, déterminer le code source, modifier, décompiler, désassembler ou analyser le Produit de toute autre manière ;
・	contrevenir aux termes et conditions des présentes ;
・	entraver le bon fonctionnement de Koei Tecmo lorsque vous utilisez le Produit et contacter le service client mentionné à l’Article 4 ci-dessous ;
・	causer des inconvénients, des dommages ou une situation de gêne aux autres acquéreurs du Produit ou aux tiers ;
・	agir de façon contraire à l’ordre public et aux bonnes mœurs ;
・	commettre un crime ou un acte illégal ou contrevenir aux lois et réglementations de quelque autre manière que ce soit ;
・	porter atteinte à la réputation de Koei Tecmo, à ses droits de propriété intellectuelle ou à d’autres droits ou avantages ;
・	poser de manière répétée les mêmes questions ou autres à Koei Tecmo sur le Produit ;
・	agir de toute autre façon jugée inappropriée par Koei Tecmo ;
・	provoquer ou faciliter les agissements énoncés aux points qui précèdent directement ou indirectement ;
・	mettre en œuvre tout agissement que Koei Tecmo estime raisonnablement relever ou qui pourrait éventuellement relever des points qui précèdent ;

3. Scope of Warranty and Liability
(1) If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.
(2) Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the computer on which the Product is installed.  
(3) Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
・	Use of the Product breaching any terms and conditions hereof;
・	your modification or alteration of the Product or combination of the Product and any other product;
・	your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
・	any defect or malfunction of the computer on which the Product is installed or other hardware connected to the computer, or non-conformance of the computer to system requirements or communication environment required for the Product.
(4) THE PRODUCT IS PROVIDED "AS IS".  KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF THE PRODUCT, INCLUDING, BUT, NOT LIMITED TO, FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE AND FREEDOM FROM ANY BUGS AND ANY OTHER DEFECTS.
(5) Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY DAMAGES OR LOSS OF PROFIT INCURRED BY YOU ARISING OUT OF SUCH MODIFICATION OF THE PRODUCT. 
(6) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR FUTURE DAMAGES OR LOSS ETC. INCURRED BY YOU ARISING OUT OF USE, UNAVAILABILITY OR DISCONTINUANCE OF THE PRODUCT, EVEN IF KOEI TECMO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS OR SUCH DAMAGES OR LOSS COULD HAVE BEEN REASONABLY FORESEEN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO’S LIABILITY TO YOU HEREUNDER EXCEED THE ACTUAL PRICE PAID BY YOU FOR THE PRODUCT UNLESS IT’S DUE TO OUR WILLFUL MISCONDUCT OR NEGLIGENCE. 

3. Champ d’application de la garantie et de la responsabilité
(1) Si le Produit ne marche pas comme décrit dans le manuel fourni par Koei Tecmo et que vous ne pouvez fondamentalement pas utiliser le Produit pour une raison attribuable à Koei Tecmo, cette dernière pourra, à son entière discrétion, vous permettre de télécharger une nouvelle fois le Produit, réparer le Produit (y compris la distribution des programmes de mise à jour) ou vous rembourser le prix du Produit, dans un délai de soixante (60) jours à compter de votre achat du Produit au Japon ou de quatre-vingt-dix (90) jours à compter de votre achat du Produit hors du Japon, selon le cas.
(2) Le paragraphe (1) ci-dessus sera valable uniquement si Koei Tecmo possède une preuve d’achat du Produit de votre part. Si Koei Tecmo vous rembourse le Produit conformément au paragraphe (1) ci-dessus, vous supprimerez complètement le Produit de l’ordinateur sur lequel le Produit est installé.  
(3) Le paragraphe (1) ci-dessus ne sera pas valable si le dysfonctionnement ou le défaut du Produit est dû à l’une des raisons suivantes :
・	Une utilisation du Produit contraire aux termes et conditions des présentes ;
・	la modification ou l’altération du Produit de votre part ou la combinaison du Produit avec tout autre produit ;
・	une utilisation inappropriée ou négligente de votre part ou d’autres utilisations non conformes du Produit ; ou
・	tout défaut ou dysfonctionnement de l’ordinateur sur lequel le Produit est installé ou de tout autre matériel informatique connecté à l’ordinateur, ou la non-conformité de l’ordinateur à la configuration requise ou à l’environnement de communication requis pour le Produit.
(4) LE PRODUIT EST FOURNI « TEL QUEL ».  KOEI TECMO NE DONNE AUCUNE GARANTIE, EXPRESSE, IMPLICITE OU AUTRE, QUANT À L’EXHAUSTIVITÉ, L’EXACTITUDE, L’UTILITÉ, LE FONCTIONNEMENT OU LE CARACTÈRE APPROPRIÉ DU PRODUIT, NOTAMMENT MAIS NON EXCLUSIVEMENT LA COMPATIBILITÉ OU LA PERTINENCE À DES FINS SPÉCIFIQUES ET QUANT AU FAIT QU’IL SOIT EXEMPT DE BOGUES ET AUTRES DÉFAUTS.
(5) Koei Tecmo peut, à tout moment, modifier une partie du Produit (y compris la distribution des programmes de mise à jour) sans vous en informer au préalable. EN AUCUN CAS KOEI TECMO NE SAURAIT ÊTRE TENUE RESPONSABLE DES DOMMAGES OU MANQUES À GAGNER SUBIS DE VOTRE PART SUITE À CETTE MODIFICATION DU PRODUIT. 
(6) DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, SAUF STIPULATION EXPRESSE CONTRAIRE DES PRÉSENTES, EN AUCUN CAS KOEI TECMO NE SAURAIT ÊTRE TENUE RESPONSABLE DES DOMMAGES OU PERTES FORTUITS, INDIRECTS, SPÉCIAUX, CONSÉCUTIFS, FUTURS OU AUTRES SUBIS DE VOTRE PART ET DÉCOULANT DE L’UTILISATION, L’INDISPONIBILITÉ OU LA SUSPENSION DU PRODUIT, MÊME DANS LE CAS OÙ KOEI TECMO SERAIT AU COURANT DE L’ÉVENTUALITÉ DE CES DOMMAGES OU PERTES OU QUE CES DOMMAGES OU PERTES AURAIENT RAISONNABLEMENT PU ÊTRE PRÉVUS. DANS TOUTE LA MESURE PERMISE PAR LA LOI APPLICABLE, EN AUCUN CAS LA RESPONSABILITÉ DE KOEI TECMO À VOTRE ÉGARD ET AU TITRE DES PRÉSENTES NE DÉPASSERA LE PRIX DU PRODUIT QUE VOUS AVEZ EFFECTIVEMENT PAYÉ À MOINS QUE LE DOMMAGE NE RÉSULTE D’UNE CONDUITE INAPPROPRIÉE OU NÉGLIGENTE DE NOTRE PART. 

4. Customer Support
You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
・	Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date; 
・	Any inquiries with respect to the Product from you to our customer support division shall be made by a phone call or filling out a web form specified by Koei Tecmo;
・	Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
・	Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;
・	We might not answer depending on your inquiry; and
・	KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF KOEI TECMO’S ANSWER TO YOUR INQUIRY.

4. Service client
Vous acceptez et reconnaissez que Koei Tecmo vous fournit un service client pour le Produit sous réserve des termes et conditions suivants :
・	Koei Tecmo vous offrira un service client pour le Produit, uniquement pour une période de trois (3) ans à compter de la date de son lancement commercial ; 
・	Toutes les demandes de votre part adressées à notre service client à propos du Produit seront effectuées par téléphone ou en via un formulaire en ligne prévu par Koei Tecmo ;
・	Veuillez consulter le manuel d’utilisation du Produit pour contacter le service client de Koei Tecmo ;
・	Koei Tecmo, à son entière discrétion, décidera de la réponse à apporter ou non à votre demande ;
・	Selon votre demande, nous pourrions ne pas répondre ; et
・	KOEI TECMO NE DONNE AUCUNE GARANTIE EXPRESSE, IMPLICITE OU AUTRE QUANT À L’EXHAUSTIVITÉ, L’EXACTITUDE, L’UTILITÉ, LE FONCTIONNEMENT OU LE CARACTÈRE APPROPRIÉ DE SA RÉPONSE À VOTRE DEMANDE.

5. Registration for use of the Product
(1) In order to use the Product, you need to install the Steam client software and complete the Steam registration (including creating a Steam account). 
(2) If you haven’t installed the Steam client software, you need to install the Steam client software in order to use the Product.
(3) If you haven’t completed the Steam registration (including creating a Steam account), you need to complete the Steam registration (including creating a Steam account) accepting STEAM SUBSCRIBER AGREEMENT in order to use the Product.

5. Inscription pour l’utilisation du produit
(1) Afin d’utiliser le Produit, vous devez installer le logiciel client Steam et vous inscrire sur Steam (notamment en créant un compte Steam). 
(2) Si vous n’avez pas installé le logiciel Steam client, vous devez l’installer pour pouvoir utiliser le Produit.
(3) Si vous n’avez pas effectué l’inscription sur Steam (notamment en créant un compte Steam), vous devez vous inscrire (notamment en créant un compte Steam) et accepter l'ACCORD DE SOUSCRIPTION STEAM pour pouvoir utiliser le Produit.

6. The Internet connection for use of the Product
(1) When you install the Steam client software and complete the Steam registration set forth in Article 5 above, you shall prepare all necessary hardware/service and bear and pay all necessary charge for internet service provider, communication expense, etc.
(2) You agree that certain information on your computer will be sent and Koei Tecmo may collect and use such information if you install the Steam client software and complete the Steam registration set forth in Article 5 above.

6. Connexion Internet pour l’utilisation du Produit
(1) lorsque vous installez le logiciel client Steam et vous inscrivez sur Steam conformément à l’Article 5 ci-dessus, vous devez prévoir tout le matériel et les services nécessaires et supporter tous les coûts nécessaires d’accès Internet, de frais de communication, etc.
(2) Vous acceptez que certaines informations sur votre ordinateur soient envoyées à Koei Tecmo et que celle-ci puisse recueillir et utiliser ces informations si vous installez le logiciel client Steam et vous inscrivez sur Steam conformément à l’Article 5 ci-dessus.

7. Termination of this Agreement
Koei Tecmo may immediately terminate the license hereunder in case of your breach hereof. In this case, you shall, according to Koei Tecmo’s instructions, delete the Product (including all components and copies thereof) from the computer (including a hard drive or other storage device) on which the Product is installed. 

7. Résiliation du présent Contrat
Koei Tecmo peut résilier la licence visée par les présentes en cas de manquement de votre part. Dans ce cas, conformément aux instructions de Koei Tecmo, vous supprimerez le Produit (y compris tous les éléments le composant et les copies) de l’ordinateur (y compris disque dur et autres périphériques de stockage) sur lesquels le Produit est installé. 

8. Export Control
You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.

8. Contrôle des exportations
Vous ne devez pas exporter le produit, directement ou indirectement, en tout ou en partie, quelle qu’en soit la forme, vers un pays quel qu’il soit, sans avoir préalablement obtenu la licence d’exportation nécessaire ou toute autre autorisation administrative du Japon ou de l’administration du pays concerné.

9. General Provisions
(1) If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.
(2) This Agreement shall be governed by the laws of Japan.
(3) In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.
(4) Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.

9. Généralités
(1) Si une clause quelle qu’elle soit du présent Contrat, ou une partie de celle-ci, est réputée non valable ou nulle au regard de la loi, les autres clauses des présentes demeureront pleinement valables et applicables.
(2) Le présent Contrat est régi par le droit japonais.
(3) En cas de litige, la version en anglais du présent Contrat prévaudra sur toute autre version dans d'autres langues.
(4) Tout litige découlant de, ou lié au présent Contrat sera en premier lieu soumis à la compétence exclusive des tribunaux de Tokyo.
