                (“Kwalee” or “us”) and governs your use of the Kwalee application or game and any related services (the “Game”). By downloading, installing, accessing or using the Game or by uploading or downloading any other content or materials provided with or in connection with a Game (together “Materials”), or by making any In Game Purchases (as defined below), or by tapping or clicking “I AGREE” in the Game or in an app or game store, or by otherwise signifying your acceptance of this Agreement, you agree to be bound by this Agreement (the earliest of such dates is the “Effective Date”).   <br><br>PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE GAME. THIS AGREEMENT AFFECTS YOUR LEGAL RIGHTS AND OBLIGATIONS. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT, UNINSTALL AND DO NOT ACCESS OR USE THE GAME. <br><br>THIS AGREEMENT CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS HOW DISPUTES ARE RESOLVED. PLEASE READ IT.

Your tapping or clicking “I AGREE” in the Game when asked to confirm acceptance of an amendment, or continued access or use of the Game after such notice, is and will be deemed to be your acceptance of the amended Agreement, which will take effect immediately upon such acceptance. If you do not agree to any change to the terms of this Agreement, you must uninstall and discontinue using or accessing the Game.

Kwalee는 개인정보 보호정책에 명시된 대로 이 정보를 사용할 수 있습니다.  <br><br>    라이선스.  <br><br>    Kwalee는 본 계약의 약관에 따라 귀하의 개인적이고 비상업적인 목적을 위해 Kwalee에 의해 제공된 장치(경우에 따라 본 계약의 목적상 PC, 게임 콘솔 또는 태블릿일 수 있음)에서만 게임에 액세스하거나 사용할 수 있는, 제한적이고 비독점적이며 양도 불가능하고 취소 가능한 라이선스를 귀하에게 부여합니다(“최종 사용자 라이선스”). 본 계약의 약관은 오리지널 게임을 대체 및/또는 보완하며 Kwalee에 의해 제공되는 모든 업데이트 또는 업그레이드(“게임” 용어 정의에 모두 포함)에 적용될 것입니다. 단, 해당 업데이트 또는 업그레이드에 별도의 라이선스가 수반되는 경우 해당 라이선스의 약관이 적용될 것입니다. 본 계약의 약관은 “게임” 용어 정의에 모두 포함되는 자료 및 모든 게임 내 구매(아래 정의)에도 적용됩니다. 귀하는 Kwalee에 의해 수시로 이용 가능한 모든 규칙에 따라 게임을 통해 게임 플레이와 관련해서만 게임의 일부로 귀하에게 제공된 모든 자료를 사용할 수 있습니다. <br><br>    최종 사용자 라이선스는 귀하가 소유하거나 제어하지 않는 모든 장치에서는 귀하의 게임 사용을 허용하지 않으며, 본 계약에서 달리 규정하지 않는 한, 여러 장치에서 동시에 제한 없이 네트워크 등을 통해 게임을 배포하거나 다른 방법으로 이용 가능한 상태로 만들 수 없습니다. 귀하는 게임을 대여하거나, 임대하거나, 빌려주거나, 판매하거나, 양도하거나, 재배포하거나, 제3자가 이용 가능하게 만들거나, 2차 라이선스를 부여할 수 없으며, 귀하가 게임이 설치된 장치를 제3자에게 판매하는 경우, 그렇게 하기 전 해당 장치에서 게임을 삭제해야 합니다. 귀하는 본 게임이나 그 일부를 복사(본 계약에서 명시적으로 허용하는 경우 제외)하거나, 디컴파일하거나, 디스어셈블링하거나, 소스 코드를 도출하거나, 다른 방법으로 역엔지니어링하거나, 역엔지니어링을 시도하거나, 파생물 생성을 시도하지 않을 것에 동의합니다(여하한 앞서 언급한 제한이 적용가능한 법률에 의해 금지되는 경우만 그 한도 내에서 제외). <br><br>    귀하는 게임 플레이와 관련된 경우를 제외하고, 게임의 파생 작업물을 대중이 이용가능하게 만들거나, 공개 방송하거나, 수정하거나, 생성하는 행위를 포함하여, 대중을 상대로 실연하거나, 전송하거나, 대중에게 통신하는 것을 포함하여 복사하거나, 배포하거나, 전시하거나, 실연하지 않을 것에 동의합니다. <br><br>    여기에 명시적으로 부여되지 않은 모든 권리는 명시적으로 유보됩니다. <br><br>    귀하의 콘텐츠에 대한 책임.  귀하가 게임을 통해 또는 게임상에 제출하거나, 공유하거나, 게시하거나, 사용하거나, 제공하거나, 전송하거나, 전시한 귀하의 행위 및 모든 데이터, 텍스트, 파일, 정보, 사용자 이름, 이미지, 그래픽, 사진, 프로필, 오디오 및 비디오 클립, 사운드, 음악 작업물, 녹음물, 저작물, 애플리케이션, 링크, 기타 콘텐츠 또는 자료(“귀하의 콘텐츠”)에 대한 책임은 전적으로 귀하가 집니다. <br><br>    귀하의 콘텐츠.  귀하는 이로써 귀하의 콘텐츠를 사용, 복사, 재창조, 배포, 전시, 대중 실연을 포함한 실연, 대중에게 이용가능하게 만드는 것, 전송, 방송, 출판, 각색, 수정, 새롭거나 파생된 작업물 생성을 포함한 대중에 대한 커뮤니케이션을 할 수 있고, 이렇게 각색되거나, 수정되거나, 파생된 작업물로 상기 모든 행위를 수행할 수 있고, 게임의 다른 사용자를 포함하여 타인에게 상기 모든 행위를 승인하는, 양도 가능하고, 2차 라이선스 부여 가능하며, 로열티가 없고, 영구적이며, 전 세계에 적용되는 권리 및 라이선스를 Kwalee에게 부여합니다(“게임 사용자 라이선스”). 게임 사용자 라이선스는 게임을 통해 이용 가능하게 된 시점부터 오(5) 년 동안 게임 및 퍼즐과 관련되는 경우 독점적이며, 그렇지 않은 경우 비독점적입니다. 귀하는 요청 시 귀하가 (a) 사용자 라이선스를 소유하거나, 다른 방법으로 부여할 권리가 있거나, (b) 귀하가 게임을 통해 혹은 게임에 제출, 공유, 게시, 사용, 제공, 전송, 전시한 또는 자료를 통해 제공한 귀하의 콘텐츠가 여하한 제3자의 권리(개인정보보호권, 퍼블리시티권, 저작권, 상표, 영업비밀 또는 기밀 정보에 대한 권리 및/또는 기타 지적 재산권(“지적재산권”)을 포함하되 이에 국한되지 않음)를 위반하거나, 오용하거나, 침해하지 않으며, (c)

                may collect, use, store, transfer, disclose, process, and otherwise handle your personal data as set forth in our Privacy Policy (located at <a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fwww.kwalee.com%2Fpp-pcc%29" target="_blank" rel=" noopener">https://www.kwalee.com/pp-pcc)
                또는 제3자에 의한 모든 귀하의 콘텐츠 사용 또는 앱 사용자 라이선스 행사로 인해 발생하거나 지불해야 할 모든 로열티, 수수료, 보수, 기타 모든 금전을 지불하는 데 동의하며, (d) 그러한 귀하의 콘텐츠에 각 식별 가능한 개별적 개인의 이름과 유사성을 사용하고, 해당 개인을 식별하는 정보나 개인 정보를 본 계약에 고려된 바에 따라 사용할 권한을 보유하며, (e) 사용자 라이선스를 Kwalee에게 부여할 법적 권리와 능력이 있음을 진술, 보증, 서약하며, Kwalee가 온전히 만족할 수 있도록 표명할 수 있습니다. <br><br>    저작인격권 포기.  귀하는 이로써 Kwalee 및 라이선스 사용자에게 유리하게 귀하가 귀하의 콘텐츠에 대해 보유할 수 있는 전 세계 모든 저작인격권을 포기합니다. <br><br>    지적재산권.  귀하는 이로써 본 게임 관련 어떠한 지적 재산권도 취득하지 않습니다. 귀하와 Kwalee 간에 Kwalee는 게임 내 지적재산권을 포함한 모든 권리를 소유하고 보유합니다. 귀하는 게임에 포함되거나 동반되는 모든 저작권, 상표, 서비스 마크 또는 모든 독자적 권리를 삭제, 변경 또는 은닉하지 않습니다.  <br><br>    결제 및 수수료.  게임에는 게임 내 또는 게임과 관련해 사용 가능한 추가 서비스, 아티팩트, 콘텐츠, 권리 또는 라이선스(“게임 내 구매”)를 받을 수 있는 기능이 포함될 수 있습니다. 게임 내 구매는 (i) 귀하만 게임 내에서 사용할 수 있으며, (ii) 다른 장치로 전송할 수 없으며, (iii) 한 번만 다운로드할 수 있으며, (iii) 다운로드 후에는 교체할 수 없습니다. 모든 게임 내 구매는 게임 일부로 간주되며 본 계약 약관이 적용됩니다. 가능한 경우 앱스토어에서 인게임 구매를 득하고 결제해야 합니다.  <br><br>    종료.  본 계약은 귀하 또는 Kwalee가 종료할 때까지 본 계약에 달리 명시되지 않는 한 발효일까지 유효합니다. 귀하가 본 계약의 여하한 조건을 준수하지 않거나 위반하는 경우 귀하의 최종 사용자 라이선스는 Kwalee로부터 통지 없이 자동으로 종료될 것입니다. 계약이 종료되면 귀하는 게임의 모든 사용을 중단하고 게임의 전체 또는 일부 사본을 모두 삭제해야 할 것입니다. 2, 4, 5, 6, 7, 8, 10, 11, 12-24항은 영구 존속합니다. <br><br>    보증 및 면책.  귀하는 게임 사용에 따른 위험 부담이 전적으로 귀하에게 있으며 만족스러운 품질 및 성능에 관한 모든 위험은 귀하에게 있음을 명시적으로 인정하고 이에 동의합니다. 게임은 “있는 그대로” 제공됩니다. KWALEE는 목적적합성, 상품성, 만족스러운 품질, 내구성, 권원, 비침해성, 설명에 따른 판매에 대한 모든 보증이나 조건을 포함하여, 법이 허용하는 최대 범위까지, 법률에 의거하거나, 관습이나 상관습으로 인한 모든 명시적 및 묵시적 진술, 보증, 계약상 의무, 조건에서 면책됩니다. 명확성을 더하기 위해, 13항 또는 14항의 내용 또는 스토어 특정 약관의 어떠한 부분도 이에 의거한 KWALEE에 대한 의무나 책임을 확대하거나 생성하지 않습니다. KWALEE의 유일한 의무와 책임은, 만약 있다면, 스토어의 이익을 목적으로 하는 13항 및 14항 약관을 제외하고 본 계약의 약관에 따라 발생합니다. <br><br>    책임의 한계.  적용가능한 법률에서 금지하지 않는 범위 내에서, KWALEE는 어떠한 경우에도, 발생 원인에 관계없이, 책임(계약, 불법 행위(부작위, 엄격한 책임 등 포함) 포함) 이론에 관계없이, 귀하의 게임 또는 귀하의 콘텐츠 사용 또는 사용 불가능으로 인해 발생한 개인적 부상 또는 모든 부수적, 특별, 간접 또는 결과적인 여하한 손해, 수익 손실, 데이터 손실, 정신적 고통, 사용 또는 액세스 중단, 또는 기타 손해 또는 이와 관련하여 발생하는 기타 손해나 손실에 대해 어떠한 책임도 지지 않으며, KWALEE가 그러한 손해의 가능성을 사전에 알고 있는 경우에도 마찬가지입니다. 어떠한 경우에도 본 계약 또는 게임 또는 그 사용으로 인해 발생하거나 관련하여 발생하는 KWALEE의 총 책임은 (I) 청구가 원인이 된 게임 사용에 대해 귀하가 지불한 금액 및 (II) 영국 £100 중 더 큰 금액을 초과하지 않으며, 이는 청구가 계속되는 경우에도 적용됩니다. 어떠한 경우에도 KWALEE 또는 KWALEE 계열사의 임원, 이사, 대리인, 계약자 또는 직원은 본 계약으로 인해 발생하거나 이와 관련한 어떠한 책임도 지지 않으며 해당 개인은 본 제한의 제3수혜자로 간주됩니다. 일부 관할권은 개인 상해 또는 기타 유형의 손해에 대한 책임 제한을 허용하지 않으므로 이러한 제한은 해당 법률에 의해 제외되는 범위 내에서만 귀하에게 적용되지 않을 수 있습니다.  <br><br>    유지 관리 및 지원.  귀하는 법률에서 요구되는 경우를 제외하고 Kwalee가 어떠한 유지 보수 및 지원도 제공할 의무가 없음을 인지합니다. <br><br>    준거법, 분쟁해결, 집단소송포기.  본 계약은 법률 상충을 규율하는 법적 기관을 제외하고, 잉글랜드 및 웨일즈 법의 적용을 받으며 이에 따라 해석됩니다.  양 당사자는 국제물품매매계약에 관한 UN협약이 본 계약의 적용 대상에서 완전히 제외됨에 동의합니다. 귀하 소속 관할권의 관련 법률에 의해 특별히 금지된 범위를 제외하고, 본 계약으로 인하거나 이와 관련해 발생하는 모든 의견 불일치 또는 분쟁은 LCIA 중재규칙(“규칙”)에 따라 영국 런던에서 진행되는 런던국제중재법원(LCIA)의 최종적이고 구속력 있는 중재를 통해 해결되며, 해당 규칙에 따라 선임된 한 명의 중재자에 의해 심리되며, 중재자가 선임된 날로부터 삼십(30) 일 이내에 당사자 간 상호 합의해야 하며, 합의에 이르지 못할 경우 미국중재협회가 규칙에 따라 중재자를 선임해야 합니다. 각 당사자는 중재 절차 관련 비용의 절반을 부담해야 합니다. 귀하의 관할권의 적용가능한 법률에 의해 특별히 금지된 범위를 제외하고, 당사자 간 또는 귀하를 제외한 다른 사람과 관련된 분쟁은 Kwalee의 사전 서면 동의 없이 집단소송을 포함하여 결합 또는 통합될 수 없습니다.  중재자가 내린 판정에 대한 판결은 그에 따라 관할권이 있는 모든 법원에 제기될 수 있습니다. 전술한 내용에도 불구하고, Kwalee는 (i) 귀하의 게임 또는 그 일부의 획득과 관련하여 귀하가 Kwalee에게 지불해야 하는 금액 또는 (ii) 귀하가 본 계약을 위반하거나 위반할 위험이 있는 것과 관련된 청구 또는 분쟁을 대상으로 법원에 가처분 구제를 포함한 법적 또는 형평법상 절차를 제기할 권리를 보유합니다. 귀하는 장소, 불편의 법정 또는 이와 유사한 이유로 어떠한 이의를 제기하는 것을 취소 불가능한 방법으로 포기하며, 우편 또는 관련 법률에서 허용하는 기타 방식으로 처리 절차를 처리하는 데 취소 불가능한 방법으로 동의하고, 이러한 청구 또는 관련 법률에 따라 명시된 중재를 통해 해결할 수 없는 청구에 관해 적용가능한 법률에 따라 잉글랜드와 웨일즈에 위치한 법원의 관할권에 취소 불가능한 방법으로 동의하고 위임합니다. 양 당사자는 본 계약에 따라 분쟁이 발생하고 그러한 분쟁이 법원에서 해결되어야 하는 경우 해당 분쟁은 배심원 재판으로 해결되지 않아야 함에 동의합니다.  양 당사자는 본 계약과 관련되거나 이로 인해 발생하는 모든 문제에 대해 배심원 재판을 받을 모든 권리를 포기합니다. <br><br>    손해배상.  귀하는 (i) 귀하의 게임 또는 귀하의 콘텐츠 사용으로 인해 발생하거나 이와 관련하여 발생하는 모든 제3자 청구 (ii) 귀하가 본 약관에 명시한 진술, 보증 또는 계약을 위반하는 행위로 인해 발생한 합리적인 변호사 수임료를 포함하여 모든 책임, 청구 및 비용으로부터 Kwalee 및 그 계열사, 직원, 계약자, 이사, 공급업체, 대리인을 면책하고 해를 입지 않도록 하는 데 동의합니다. <br><br>    기타 약관.   <br><br>           귀하는 폭력, 누드, 차별, 불법, 침해, 증오, 음란물 또는 성적 암시적인 사진 또는 기타 콘텐츠를 게임을 통해 제출, 공유, 게시, 사용, 제공, 전송 또는 전시할 수 없습니다. <br><br>           귀하는 귀하의 계정(있는 경우)을 통해 발생하는 모든 활동에 대한 책임을 지며, 귀하의 계정, 팔로워, 사용자 이름 또는 기타 계정 권한을 판매, 양도, 라이선스 부여 또는 할당하지 않을 것에 동의합니다. 또한 자동화된 장치, 스크립트, 봇, 스파이더, 크롤러 또는 스크레이퍼 사용을 포함하되 이에 국한되지 않는, 승인되지 않은 수단을 통해 생성할 수 없습니다. <br><br>           귀하는 모든 암호 또는 기타 인증 수단의 안전과 보안을 갖출 책임이 있음에 동의합니다. <br><br>           귀하는 게임 액세스 또는 사용을 통해 발생하는 모든 데이터 요금을 귀하가 부담함에 동의합니다. <br><br>           귀하는 게임과 자료를 사용하는 데 따른 위험 부담은 전적으로 귀하에게 있음을 이해하고 동의합니다.  <br><br>           온라인, 오프라인 무관히 게임 내 다른 사용자와의 상호작용에 대한 책임은 전적으로 귀하에게 있습니다. 귀하는 Kwalee 또는 제3자가 여하한 사용자의 행동에 대해 책임을 지지 않는다는 데 동의합니다.                 License.  <br><br>    Kwalee grants to you a limited, non-exclusive, non-transferrable, revocable license to access or use the Game solely on the device (which for the purposes of this agreement may be a PC, game console or tablet, as the case maybe) for which it was supplied by Kwalee for your personal, non-commercial purposes, subject to the terms of this Agreement (the “End User License”). The terms of this Agreement will govern any update or upgrade provided by Kwalee that replaces and/or supplements the original Game (all of which together are included in the definition of the term “Game”), unless such update or upgrade is accompanied by a separate license in which case the terms of that license will govern. The terms of this Agreement also govern Materials and any In Game Purchases (as defined below), which are also both included in the definition of the term “Game”. You may use any Materials provided to you as part of the Game solely in connection with your playing the game through the Game in accordance with any rules made available by Kwalee from time to time. <br><br>    The End User License does not allow you to use the Game on any device that you do not own or control, and except as otherwise provided in this Agreement, you may not distribute or otherwise make the Game available such as without limitation over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, transfer, redistribute, make available to third persons, or sublicense the Game and, if you sell a device on which the Game has been installed to a third party, you must uninstall the Game from the device before doing so. You agree not to copy (except as expressly permitted by this Agreement), decompile, disassemble, derive the source code of, or otherwise reverse engineer or attempt to reverse engineer, modify, or create derivative works of the Game, or any part thereof (except as and only to the extent that any foregoing restriction is prohibited by applicable law). <br><br>    You agree not to copy, distribute, display, perform including perform in public, transmit, communicate to the public including making available to the public, broadcast publish, modify or create derivative works of the Game, except in connection with playing the Game. <br><br>    Any rights not expressly granted herein are expressly reserved. <br><br>    Responsibility for your Content.  You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, sound recordings, works of authorship, applications, links and other content or materials that you submit, share, post, use, provide, transmit, or display on or via the Game (“Your Content”). <br><br>    Your Content.  You hereby grant to Kwalee a transferrable, sublicensable, royalty free perpetual worldwide right and license to use, copy, reproduce, distribute, display, perform including perform in public, communicate to the public including making available to the public, transmit, broadcast, publish, adapt, modify and create new or derivative works of or using Your Content, and to do all of the foregoing with such adapted, modified, or derivative works, and to authorize others including other users of the Game, to do the foregoing (the “Game User License”). The Game User License shall be exclusive as it relates to games and puzzles for a period of five (5) years from when it is made available via the Game and non-exclusive otherwise. You represent, warrant, and covenant and can demonstrate to Kwalee’s full satisfaction upon request that you (a) own or otherwise have the right to grant the  User License, (b) Your Content you submit, share, post, use, provide, transmit, or display on or through the Materials does not violate, misappropriate or infringe the rights of any third party, including, without limitation, privacy rights, publicity rights, copyrights, trademarks, rights in trade secrets or confidential information and/or other intellectual property rights (“Intellectual Property Rights”), (c) agree to pay for all royalties, fees, remuneration, and any other monies due or payable arising from any use of Your Content or the exercise of the App User License by Kwalee or third parties, (d) have the permission to use the name and likeness of each identifiable individual person in such Your Content and to use such individual’s identifying or personal information as contemplated by this Agreement, and (e) have the legal right and capacity to grant the  User License to Kwalee. <br><br>    Waiver of Moral Rights.  You hereby waive any moral rights worldwide you may have in Your Content in favour of Kwalee and its licensees. <br><br>    Intellectual Property Rights.  You do not hereby acquire any Intellectual Property Right in or relating to the Game. As between you and Kwalee, Kwalee owns and retains all rights including Intellectual Property Rights in the Game. You will not remove, alter or conceal any copyright, trademark, service mark or any proprietary rights notices incorporated in or accompanying the Game.  <br><br>    Payments and Fees.  The Game may include functionality that enables you to receive additional services, artifacts, content, rights, or licenses for use within or in connection with the Game ("In Game Purchases"). In Game Purchases (i) may be used solely by you within the Game, (ii) may not be transferred to another device, (iii) can be downloaded only once; and (iii) after being downloaded, cannot be replaced. All In Game Purchases are deemed to be part of the Game and subject to the terms of this Agreement. You must acquire and pay for the In Game Purchases at the app store, where available.  <br><br>    Termination.  This Agreement is effective upon the Effective Date until terminated by you or Kwalee, or as otherwise set out in this Agreement. Your End User License will terminate automatically without notice from Kwalee if you fail to comply with or breach any term(s) of this Agreement. Upon termination of the Agreement, you will cease all use of the Game and uninstall all copies, full or partial, of the Game. Clauses  2, 4, 5, 6, 7, 8, 10, 11, and 12-24  which shall survive in perpetuity. <br><br>    Warranty and Disclaimer.  YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE GAME IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY AND PERFORMANCE IS WITH YOU. THE GAME IS PROVIDED ON AN “AS IS” BASIS. KWALEE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, COVENANTS AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, STATUTORY, ARISING BY CUSTOM OR USAGE OF TRADE, OR OTHERWISE TO FULLEST EXTENT PERMITTED BY LAW INCLUDING ANY WARRANTIES OR CONDITIONS OF FITNESS FOR PURPOSE, MERCHANTABLE QUALITY, SATISFACTORY QUALITY, DURABILITY, TITLE, NON-INFRINGEMNT, AND SALE BY DESCRIPTION. FOR CLARITY, NOTHING IN AND STORE SPECIFIC TERMS IN CLAUSES 13 OR 14 ENLARGE OR CREATE ANY OBLIGATION OR LIABILITY ON KWALEE HEREUNDER. KWALEE’S SOLE OBLIGATIONS AND LIABILITY SHALL ARISE, IF ANY, UNDER THE TERMS OF THIS AGREEMENT EXCLUDING THE TERMS IN CLAUSES 13 AND 14 WHICH ARE INTENDED FOR THE BENEFIT OF THE STORE. <br><br>    Limitations of Liability.  TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, IN NO EVENT WILL KWALEE BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, LOSS OF PROFITS, LOSS OF DATA, MENTAL DISTRESS, INTERRUPTION OF USE OR ACCESS, OR ANY OTHER DAMAGES OR LOSSES ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE GAME OR YOUR CONTENT, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF KWALEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF KWALEE ARISING FROM OR RELATED TO THIS AGREEMENT OR THE  GAME OR THE USE THEREOF EXCEED THE GREATER OF (I) THE AMOUNT PAID BY YOU FOR THE USE OF THE  GAME THAT GAVE RISE TO THE CLAIM, AND (II) UK £100, EVEN IF A CLAIM IS A CONTINUING ONE. IN NO EVENT SHALL ANY OFFICER, DIRECTOR, AGENT, CONTRACTOR, OR EMPLOYEE OF KWALEE OR ANY AFFIATE OF KWALEE HAVE ANY LIABILITY ARISING FROM OR RELATED TO THIS AGREEMENT AND SUCH PERSONS ARE INTENDED THIRD PARTY BENEFICIARIES OF THIS LIMITATION. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OTHER TYPES OF DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU SOLELY TO THE EXTENT THEY ARE PRECLUDED BY SUCH LAWS.  <br><br>    Maintenance and Support.  You acknowledge that Kwalee has no obligation to furnish any maintenance and support, except where required by law. <br><br>    Governing Law,  Dispute Resolution and Class Action Waiver.  This Agreement is to be governed by and construed under the laws of the England and Wales, excluding any body of law governing conflicts of law.  The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is hereby excluded in its entirety from application to this Agreement. Except to the extent specifically prohibited by applicable law in your jurisdiction, any disagreement or dispute arising from or related to this Agreement shall be settled by final and binding arbitration by the London Court of International Arbitration (LCIA) to be conducted in London, England, in accordance with the LCIA Arbitration Rules (the “Rules”) and shall be heard by one arbitrator appointed in accordance with the said Rules and to be mutually agreed to by the parties within thirty (30) days of the appointment of the arbitrator, failing which the American Arbitration Association shall appoint the arbitrator in accordance with the Rules. Each Party shall bear one half of the costs associated with the arbitration proceedings. Except to the extent specifically prohibited by applicable law in your jurisdiction, no dispute between the parties, or involving any person but you, may be joined or combined together, including in a class action without the prior written consent of Kwalee.  Judgment upon the award rendered by the arbitrator may be entered in any Court having jurisdiction thereof. Notwithstanding the foregoing, Kwalee has the right to institute legal or equitable proceedings, including proceedings seeking injunctive relief, in a court of law for claims or disputes regarding: (i) amounts owed by you to Kwalee in connection with your acquisition of the  Game or any portion thereof, or (ii) your violation or threatened violation of this Agreement. You irrevocably waive any objection on the grounds of venue, forum non-conveniens or any similar grounds and irrevocably consent to service of process by mail or in any other manner permitted by applicable law and irrevocably consent and attorn to the jurisdiction of the courts located in England and Wales, for any such claims, or any claims which pursuant to applicable law cannot be resolved through arbitration as set out herein. The parties agree that, in the event that there is a dispute under this Agreement and such dispute is to be resolved in a court of law, such dispute shall not be resolved by jury trial.  The parties hereby waive all rights to a trial by jury in any matter related to or arising from this Agreement. <br><br>    Indemnification.  You agree to indemnify, and hold harmless Kwalee, its affiliates and each of its employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable lawyers’ fees (i) for all third-party claims or demands that arise from or relate to your use of the Game or Your Content, and (ii) from any breach of any representation, warranty or covenant made by you herein. <br><br>    Other Terms.   <br><br>           You may not submit, share, post, use, provide, transmit, or display violent, nude, discriminatory, illegal, infringing, hateful, pornographic or sexually suggestive photos or other content via the Game. <br><br>           You are responsible for any activity that occurs through your account (if any) and you agree that you will not sell, transfer, license or assign your account, followers, username, or any other account rights. Further, you may not create through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper. <br><br>           You agree that you are responsible for keeping any passwords or other authentication means safe and secure. <br><br>           You agree that you are responsible for all data charges you incur through the access or use of the Game. <br><br>           You understand and agree that you use the Game and Materials at your own risk.  <br><br>           You are solely responsible for your interaction with other users of the Game, whether online or offline. You agree that neither Kwalee nor any third party is responsible or liable for the conduct of any user. Kwalee reserves the right, but has no obligation, to monitor or become involved in disputes between you and other users.   <br><br>           Kwalee reserves the right to change, suspend, remove or disable access to the Game and your Content for any reason, including but not limited to complaints or allegations of infringement or other unlawful conduct, without liability to you, and at any time without notice. <br><br>           There may be links from the Game, or from communications you receive from Kwalee, to third-party web sites or features, including but not limited to third party web sites such as Facebook. There may also be links to third-party web sites or features in images or comments within the Game. The Game may also include third-party materials that we do not control, maintain or endorse. Functionality in the Game may also permit interactions between the Game and a third-party web site or feature, including locations that connect the Game or your profile in the Game with a third-party web site or feature. For example, the Game may include a feature that enables you to share content from the Game or your Content with a third party, which may be publicly posted on that third party's service or application. Using this functionality typically requires you to login to your account on the third-party service and you do so at your own risk. Kwalee does not control any of these third-party web services or any of their content. You expressly acknowledge and agree that Kwalee is in no way responsible or liable for any such third-party services or features and your dealings with third parties are at your own risk and between you and the third parties. You may choose, at your sole and absolute discretion and risk, to use applications that connect the Game or your profile on the Game with a third-party service (each, an "Application") and such Application may interact with, connect to or gather and/or pull information from and to your  profile. By using such Applications, you acknowledge and agree to the following: (i) if you use an Application to share information, you are consenting to personal data about your profile on the Application being shared; (ii) your use of an Application may cause personal data to be publicly disclosed and/or associated with you, even if Kwalee has not itself provided such information; and (iii) your use of an Application is at your own option and risk, and you will indemnify and hold the Kwalee harmless for activity, and claims for loss or damages related to the Application. <br><br>    U.S. Legal Compliance.  You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties. If this representation and warranty is breached, you may not access, download, or use the Game. <br><br>    Territorial Restrictions.  You agree that the Game will not be exported, imported, used, transferred, or re-exported from the country in which it is provided to you. The Game  is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject Kwalee to any registration requirement within such jurisdiction or country. We reserve the right to limit the availability of the Game or any portion of the Game, to any person, geographic area, or jurisdiction, at any time and in our sole discretion, and to limit the quantities of any content, program, product, service or other feature that Kwalee provides. <br><br>    Severability.  If any term(s) of this Agreement is held to be invalid or unenforceable under any applicable local laws or by an applicable court, that part shall be interpreted in a manner consistent with applicable law as nearly as possible to the original intentions of the parties as set out herein and the remaining terms of the Agreement will remain valid and enforceable.  <br><br>    No Waiver.  Kwalee’s failure to exercise or enforce its rights under this Agreement does not waive our right to enforce such right. Any waiver of such rights will only be effective if it is in writing and signed by us.   <br><br>    Assignment. This Agreement is personal to Kwalee and you may not assign this Agreement without the express written consent of Kwalee. Kwalee shall have the right to assign this Agreement to a group company. For the purposes of this clause “group company” means any subsidiary, affiliate or holding company of Kwalee or any subsidiary affiliate or holding company of such holding affiliate or subsidiary company. Kwalee shall also have the right to assign the Agreement in connection with the sale of all or a substantial part of the assets of Kwalee or in connection with a reorganization of Kwalee or merger or amalgamation of Kwalee with another entity.  <br><br>    Contact Information.
