                These terms and conditions and end user license agreement (the “Agreement”) is between you (“you or “You”) and

IN CASO NON ACCETTASSI UN VINCOLO A TALE ACCORDO, DISINSTALLA IL GIOCO, NON ACCEDERVI O NON FARNE USO. <br><br>QUESTO ACCORDO CONTIENE UN PATTO D'ARBITRARIATO VINCOLANTE E UNA RINUNCIA ALL'AZIONE DI CLASSE.                 License.

                grants to you
                garantisce all'Utente una licenza limitata, revocabile, non esclusiva e non trasferibile per accedere al Gioco o utilizzarlo esclusivamente sul dispositivo (che ai fini del presente accordo potrebbe essere un PC, una console di gioco o un tablet,

I termini del presente Accordo disciplineranno ogni aggiornamento o miglioramento offerto da Kwalee con intento di sostituire e/o integrare il Gioco originale (il tutto incluso nella definizione del termine "Gioco"), salvo nel caso in cui tale aggiornamento o miglioramento siano accompagnati da una licenza separata, nel quale caso entreranno in vigore i termini di quest'ultima. I termini del presente Accordo disciplinano anche i Materiali e gli Acquisti in gioco (come definiti di seguito), entrambi inclusi nella definizione del termine "Gioco". L'Utente potrà sfruttare i Materiali forniti insieme al Gioco esclusivamente in relazione all'utilizzo di quest'ultimo, secondo le regole condivise da Kwalee di volta in volta. <br><br>    La Licenza con l'utente finale non permette all'Utente di usufruire del Gioco su dispositivi non di sua proprietà o sotto il suo controllo e, a eccezion fatta per i casi specificati nel presente Accordo, non consente all'Utente di distribuire o rendere il Gioco liberamente disponibile su una rete in cui potrebbe essere utilizzato contemporaneamente da molteplici dispositivi. L'Utente non può noleggiare, prestare, vendere, trasferire, ridistribuire, rendere disponibile a terzi o concedere in sub-licenza il Gioco e, in caso di vendita a terzi del dispositivo in cui è stato installato, prima è necessario disinstallare il Gioco da esso. L'Utente accetta di non copiare (ove non espressamente permesso dal presente Accordo), decompilare, disassemblare, estrarre il codice sorgente, effettuare o tentare qualsiasi tipologia di ingegneria inversa, modificare o creare opere derivate dal Gioco o dalle sue parti (eccezion fatta per i casi in cui ciò è permesso dalle leggi vigenti). <br><br>    L'Utente accetta di non copiare, distribuire, esporre, esibire in qualunque modo inclusa esibizione in pubblico, trasmettere, comunicare al pubblico incluso rendere disponibili a quest'ultimo, trasmettere, pubblicare, modificare o creare opere derivate dal Gioco se non in relazione con l’utilizzo dello stesso. <br><br>    Tutti i diritti non specificati espressamente in questo documento sono riservati. <br><br>    Responsabilità per i contenuti dell'Utente.  L'Utente è l’unico responsabile della propria condotta e di tutti i dati, file, informazioni, nomi utente, immagini, grafiche, foto, profili, clip audio e video, suoni, opere musicali, registrazioni audio, opere d'autore, applicazioni, link e ulteriori contenuti o materiali inviati, condivisi, pubblicati, utilizzati, forniti, trasmessi o mostrati nel Gioco o tramite esso ("Contenuti dell'utente"). <br><br>    Contenuti dell'Utente.  L'Utente concede a Kwalee diritto e licenza trasferibili, sub-licenziabili, esenti da diritti d'autore e globali per utilizzare, copiare, riprodurre, distribuire, mostrare, esibire in qualunque modo inclusa l’esibizione in pubblico, comunicare al pubblico incluso rendere disponibile a quest'ultimo, trasmettere, diffondere, pubblicare, adattare, modificare e creare opere nuove o derivate dai Contenuti dell'utente, o per utilizzare questi ultimi, e per fare tutto quanto sopra riportato con le stesse opere adattate, modificate o derivate, nonché autorizzare terzi, inclusi altri utenti del Gioco, a fare quanto sopra riportato (la "Licenza di gioco dell’utente"). La Licenza di gioco dell’utente sarà esclusiva per un periodo di cinque (5) anni dalla pubblicazione all'interno del Gioco relativamente a giochi ed enigmi, mentre sarà non esclusiva in ogni altro caso. L'Utente rappresenta, garantisce, pattuisce ed è in grado di dimostrare in maniera soddisfacente a Kwalee, se richiesto: (a) di  possedere o avere i diritti di concedere la Licenza con l'utente; (b) che i Contenuti dell'utente inviati, condivisi, pubblicati, utilizzati, forniti, trasmessi o mostrati nei Materiali o tramite essi non si appropriano indebitamente, non violano né infrangono i diritti di terzi inclusi, senza limitazioni, diritti alla privacy, diritti pubblicitari, copyright, marchi registrati, diritto alla riservatezza di segreti commerciali o informazioni confidenziali e/o altri diritti di proprietà intellettuali ("Diritti di proprietà intellettuali"); (c) di acconsentire al pagamento di tutti i diritti d'autore, tasse, remunerazioni e ulteriori importi dovuti o da pagare derivati dall'utilizzo dei Contenuti dell'utente o dall'esercizio della Licenza dell'applicazione con l’utente da parte di Kwalee o terze parti; (d) di possedere il permesso di utilizzare nome e aspetto di ogni individuo identificabile all'interno dei Contenuti dell'utente e di sfruttare le informazioni personali e identificative di questi ultimi come richiesto dal presente Accordo, oltre a (e) possedere il diritto legale e la capacità di offrire a Kwalee la Licenza con l'utente. <br><br>    Rinuncia ai diritti morali.  L'Utente rinuncia a tutti i diritti morali globali relativi ai Contenuti dell'utente in favore di Kwalee e i suoi licenziatari. <br><br>    Diritti di proprietà intellettuale.  L'Utente non acquisisce alcun Diritto di proprietà intellettuale internamente al Gioco o relativamente a esso. Tra l'Utente e Kwalee, è quest'ultima a possedere e mantenere tutti i diritti, inclusi i Diritti di proprietà intellettuale del Gioco. L'Utente non potrà rimuove, alterare o nascondere il copyright, il marchio registrato, il marchio di servizio o qualsiasi altra segnalazione del diritto di proprietà che accompagna il Gioco o vi è incorporato.  <br><br>    Pagamenti e tassazioni.  Nel Gioco possono essere incluse delle funzionalità che permettono all'Utente di ricevere contenuti, manufatti, diritti, licenze o servizi aggiuntivi utilizzabili all'interno del Gioco o in relazione a esso ("Acquisti in gioco"). Gli Acquisti in gioco (i) possono essere sfruttati esclusivamente dall'Utente all'interno del Gioco, (ii) non possono essere trasferiti su altri dispositivi, (iii) possono essere scaricati soltanto una volta e (iv) una volta scaricati, non potranno essere sostituiti. Tutti gli Acquisti in gioco sono da considerarsi parte del Gioco, quindi soggetti ai termini di questo Accordo. L'Utente deve acquisire e pagare gli Acquisti in gioco all'interno del negozio dell’applicazione, laddove disponibile.  <br><br>    Cessazione.  Il presente Accordo entra in vigore a partire dalla Data effettiva e fino a cessazione da parte dell'Utente o di Kwalee, oppure nelle altre modalità stabilite nell'Accordo. La Licenza con l'utente finale cesserà automaticamente e senza avviso da parte di Kwalee in caso di inadempienza o violazione dell'Accordo da parte dell'Utente. Alla cessazione dell'Accordo, l'Utente dovrà interrompere l'uso del Gioco e disinstallare ogni copia dello stesso, che sia integrale o parziale. Le clausole 2, 4, 5, 6, 7, 8, 10, 11 e quelle dalla 12 alla 24 rimarranno in vigore a tempo indeterminato. <br><br>    Garanzia e limitazione di responsabilità.  L'UTENTE RICONOSCE E ACCETTA DI UTILIZZARE IL GIOCO INTERAMENTE A PROPRIO RISCHIO E COMPRENDE CHE LE ASPETTATIVE SULLA SODDISFAZIONE RELATIVA A QUALITÀ E PRESTAZIONI SONO UN SUO RISCHIO. IL GIOCO VIENE FORNITO "NELLO STATO IN CUI SI TROVA". KWALEE NON RICONOSCE ALCUNA DICHIARAZIONE, GARANZIA, PATTO E CONDIZIONE, SIANO ESSI ESPLICITI, IMPLICITI, DERIVANTI DALLO STATUTO, DALLA DOGANA O DALLA CONSUETUDINE COMMERCIALE, O IN CASO CONTRARIO NEI LIMITI MASSIMI CONSENTITI DALLA LEGGE, INCLUSE GARANZIE O CONDIZIONI DI IDONEITÀ PER LO SCOPO, QUALITÀ COMMERCIALE, QUALITÀ SODDISFACENTE, DUREVOLEZZA, TITOLO, NON VIOLAZIONE E VENDITA BASATA SULLA SOLA DESCRIZIONE. PER CHIAREZZA, NESSUNO DEI TERMINI SPECIFICATI NELLE CLAUSOLE 13 O 14 AMPLIA O CREA VINCOLI O RESPONSABILITÀ A CUI KWALEE DEVE ADEMPIERE. GLI UNICI VINCOLI O RESPONSABILITÀ DI KWALEE, QUALORA PRESENTI, SAREBBERO DETERMINATI AI SENSI DELL'ACCORDO, A ESCLUSIONE DEI TERMINI CONTENUTI NELLE CLAUSOLE 13 E 14, INTESI PER OFFRIRE BENEFICI AL NEGOZIO. <br><br>    Limiti di responsabilità.  KWALEE NON SARÀ RESPONSABILE IN ALCUN CASO, NELLA MISURA IN CUI NON PROIBITO DALLA LEGGE VIGENTE, DI LESIONI PERSONALI O DANNI INCIDENTALI, SPECIALI, INDIRETTI O CONSEQUENZIALI DI QUALUNQUE TIPO, PERDITA DI PROFITTI O DI DATI, DISAGI PSICHICI, INTERRUZIONE DELL'UTILIZZO O DELL'ACCESSO, NÉ DI ALTRI DANNI O PERDITE DOVUTE O RELATIVE ALL'UTILIZZO O ALL'IMPOSSIBILITÀ DI UTILIZZO DEL GIOCO O DEI CONTENUTI DELL'UTENTE, QUALUNQUE SIA IL MOTIVO, INDIPENDENTEMENTE DALL'IPOTESI DI RESPONSABILITÀ (INCLUSI CONTRATTO, ILLECITI CIVILI DOVUTI A NEGLIGENZA, RESPONSABILITÀ INCONDIZIONATA O ALTRO) ANCHE QUALORA KWALEE SIA STATA AVVISATA DELLA POSSIBILITÀ DI TALI DANNI. IN NESSUN CASO LA RESPONSABILITÀ COMPLESSIVA DI KWALEE DOVUTA O RELATIVA A QUESTO ACCORDO, AL GIOCO O ALL'UTILIZZO DEL MEDESIMO SUPERERÀ IL MAGGIORE TRA (I) LA SOMMA PAGATA DALL'UTENTE PER L'UTILIZZO DEL GIOCO CAUSANTE RECLAMO E (II) 100 £ DEL REGNO UNITO, ANCHE IN CASO DI RECLAMO CONTINUATIVO. IN NESSUN CASO UN UFFICIALE, DIRETTORE, AGENTE, CONTRAENTE O DIPENDENTE DI KWALEE O AFFILIATI PUÒ ESSERE TENUTO RESPONSABILE PER PROBLEMATICHE LEGATE AL PRESENTE ACCORDO. TALI INDIVIDUI SONO I TERZI BENEFICIARI DI QUESTA LIMITAZIONE. ALCUNE GIURISDIZIONI NON PERMETTONO LIMITAZIONI DELLA RESPONSABILITÀ PER LESIONI PERSONALI O ULTERIORI TIPOLOGIE DI DANNI, PERTANTO TALE RESTRIZIONE POTREBBE NON VENIRE APPLICATA ALL'UTENTE IN CASO FOSSE PRECLUSA DA TALI LEGGI.  <br><br>    Manutenzione e supporto.  L'Utente riconosce che Kwalee non è in alcun modo obbligata a fornire manutenzione e assistenza, tranne nei casi in cui ciò è richiesto dalla legge. <br><br>    Legislazione applicabile, risoluzione delle controversie e rinuncia all'azione di classe.  Questo Accordo è disciplinato e deve essere interpretato secondo le leggi di Inghilterra e Galles, escludendo ogni corpo legislativo che disciplina i conflitti legali.  Le parti accettano che la Convenzione delle Nazioni Unite sui contratti di compravendita internazionale di merci è del tutto esclusa dall'applicazione del presente Accordo. Esclusi i casi in cui ciò viene specificatamente vietato dalla legge applicabile nella giurisdizione dell'Utente, eventuali dissensi o controversie generati da o relativi al presente Accordo verranno risolti tramite arbitrato definitivo e vincolante dalla London Court

L'Utente accetta di manlevare e tenere indenne Kwalee, i suoi affiliati e ciascuno dei suoi dipendenti, appaltatori, direttori, fornitori e rappresentanti per responsabilità, reclami e costi, incluse spese legali ragionevoli (i) per ogni reclamo di terzi o richieste dovute a o relative all'utilizzo da parte dell'Utente del Gioco o dei Contenuti dell'utente, e (ii) per ogni violazione di qualsiasi dichiarazione, garanzia o accordo fatto dall'Utente accluso al presente documento. <br><br>    Ulteriori termini.   <br><br>           L'Utente non può inviare, condividere, pubblicare, utilizzare, fornire, trasmettere o mostrare foto ritraenti atti violenti, nudità, discriminazione, atti illegali, contenuti sotto copyright, atti denigratori, scene pornografiche o a sfondo sessuale, oppure altri contenuti di questo tipo all'interno del Gioco. <br><br>           L'Utente è responsabile per ogni attività effettuata tramite il suo account e accetta di non vendere, trasferire, concedere in licenza o assegnare account, follower, nome utente o qualunque altro diritto legato al profilo. You hereby grant to Kwalee a transferrable, sublicensable, royalty free perpetual worldwide right and license to use, copy, reproduce, distribute, display, perform including perform in public, communicate to the public including making available to the public, transmit, broadcast, publish, adapt, modify and create new or derivative works of or using Your Content, and to do all of the foregoing with such adapted, modified, or derivative works, and to authorize others including other users of the Game, to do the foregoing (the “Game User License”). The Game User License shall be exclusive as it relates to games and puzzles for a period of five (5) years from when it is made available via the Game and non-exclusive otherwise. You represent, warrant, and covenant and can demonstrate to Kwalee’s full satisfaction upon request that you (a) own or otherwise have the right to grant the  User License, (b) Your Content you submit, share, post, use, provide, transmit, or display on or through the Materials does not violate, misappropriate or infringe the rights of any third party, including, without limitation, privacy rights, publicity rights, copyrights, trademarks, rights in trade secrets or confidential information and/or other intellectual property rights (“Intellectual Property Rights”), (c) agree to pay for all royalties, fees, remuneration, and any other monies due or payable arising from any use of Your Content or the exercise of the App User License by Kwalee or third parties, (d) have the permission to use the name and likeness of each identifiable individual person in such Your Content and to use such individual’s identifying or personal information as contemplated by this Agreement, and (e) have the legal right and capacity to grant the  User License to Kwalee. <br><br>    Waiver of Moral Rights.  You hereby waive any moral rights worldwide you may have in Your Content in favour of Kwalee and its licensees. <br><br>    Intellectual Property Rights.  You do not hereby acquire any Intellectual Property Right in or relating to the Game. As between you and Kwalee, Kwalee owns and retains all rights including Intellectual Property Rights in the Game. You will not remove, alter or conceal any copyright, trademark, service mark or any proprietary rights notices incorporated in or accompanying the Game.  <br><br>    Payments and Fees.  The Game may include functionality that enables you to receive additional services, artifacts, content, rights, or licenses for use within or in connection with the Game ("In Game Purchases"). In Game Purchases (i) may be used solely by you within the Game, (ii) may not be transferred to another device, (iii) can be downloaded only once; and (iii) after being downloaded, cannot be replaced. All In Game Purchases are deemed to be part of the Game and subject to the terms of this Agreement. You must acquire and pay for the In Game Purchases at the app store, where available.  <br><br>    Termination.  This Agreement is effective upon the Effective Date until terminated by you or Kwalee, or as otherwise set out in this Agreement. Your End User License will terminate automatically without notice from Kwalee if you fail to comply with or breach any term(s) of this Agreement. Upon termination of the Agreement, you will cease all use of the Game and uninstall all copies, full or partial, of the Game. Clauses  2, 4, 5, 6, 7, 8, 10, 11, and 12-24  which shall survive in perpetuity. <br><br>    Warranty and Disclaimer.  YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE GAME IS AT YOUR SOLE RISK AND THAT THE ENTIRE RISK AS TO SATISFACTORY QUALITY AND PERFORMANCE IS WITH YOU. THE GAME IS PROVIDED ON AN “AS IS” BASIS. KWALEE DISCLAIMS ALL REPRESENTATIONS, WARRANTIES, COVENANTS AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, STATUTORY, ARISING BY CUSTOM OR USAGE OF TRADE, OR OTHERWISE TO FULLEST EXTENT PERMITTED BY LAW INCLUDING ANY WARRANTIES OR CONDITIONS OF FITNESS FOR PURPOSE, MERCHANTABLE QUALITY, SATISFACTORY QUALITY, DURABILITY, TITLE, NON-INFRINGEMNT, AND SALE BY DESCRIPTION. FOR CLARITY, NOTHING IN AND STORE SPECIFIC TERMS IN CLAUSES 13 OR 14 ENLARGE OR CREATE ANY OBLIGATION OR LIABILITY ON KWALEE HEREUNDER. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY, OR OTHER TYPES OF DAMAGES, SO THIS LIMITATION MAY NOT APPLY TO YOU SOLELY TO THE EXTENT THEY ARE PRECLUDED BY SUCH LAWS.  <br><br>    Maintenance and Support.  You acknowledge that Kwalee has no obligation to furnish any maintenance and support, except where required by law. <br><br>    Governing Law,  Dispute Resolution and Class Action Waiver.  This Agreement is to be governed by and construed under the laws of the England and Wales, excluding any body of law governing conflicts of law.  The parties agree that the United Nations Convention on Contracts for the International Sale of Goods is hereby excluded in its entirety from application to this Agreement. Except to the extent specifically prohibited by applicable law in your jurisdiction, any disagreement or dispute arising from or related to this Agreement shall be settled by final and binding arbitration by the London Court of International Arbitration (LCIA) to be conducted in London, England, in accordance with the LCIA Arbitration Rules (the “Rules”) and shall be heard by one arbitrator appointed in accordance with the said Rules and to be mutually agreed to by the parties within thirty (30) days of the appointment of the arbitrator, failing which the American Arbitration Association shall appoint the arbitrator in accordance with the Rules. Each Party shall bear one half of the costs associated with the arbitration proceedings. Except to the extent specifically prohibited by applicable law in your jurisdiction, no dispute between the parties, or involving any person but you, may be joined or combined together, including in a class action without the prior written consent of Kwalee.  Judgment upon the award rendered by the arbitrator may be entered in any Court having jurisdiction thereof. Notwithstanding the foregoing, Kwalee has the right to institute legal or equitable proceedings, including proceedings seeking injunctive relief, in a court of law for claims or disputes regarding: (i) amounts owed by you to Kwalee in connection with your acquisition of the  Game or any portion thereof, or (ii) your violation or threatened violation of this Agreement. You irrevocably waive any objection on the grounds of venue, forum non-conveniens or any similar grounds and irrevocably consent to service of process by mail or in any other manner permitted by applicable law and irrevocably consent and attorn to the jurisdiction of the courts located in England and Wales, for any such claims, or any claims which pursuant to applicable law cannot be resolved through arbitration as set out herein. The parties agree that, in the event that there is a dispute under this Agreement and such dispute is to be resolved in a court of law, such dispute shall not be resolved by jury trial.  The parties hereby waive all rights to a trial by jury in any matter related to or arising from this Agreement. <br><br>    Indemnification.  You agree to indemnify, and hold harmless Kwalee, its affiliates and each of its employees, contractors, directors, suppliers and representatives from all liabilities, claims, and expenses, including reasonable lawyers’ fees (i) for all third-party claims or demands that arise from or relate to your use of the Game or Your Content, and (ii) from any breach of any representation, warranty or covenant made by you herein. <br><br>    Other Terms.   <br><br>           You may not submit, share, post, use, provide, transmit, or display violent, nude, discriminatory, illegal, infringing, hateful, pornographic or sexually suggestive photos or other content via the Game. <br><br>           You are responsible for any activity that occurs through your account (if any) and you agree that you will not sell, transfer, license or assign your account, followers, username, or any other account rights. Further, you may not create through unauthorized means, including but not limited to, by using an automated device, script, bot, spider, crawler or scraper. <br><br>           You agree that you are responsible for keeping any passwords or other authentication means safe and secure. <br><br>           You agree that you are responsible for all data charges you incur through the access or use of the Game. <br><br>           You understand and agree that you use the Game and Materials at your own risk.  <br><br>           You are solely responsible for your interaction with other users of the Game, whether online or offline. You agree that neither Kwalee nor any third party is responsible or liable for the conduct of any user.
