                (“Account”), this EULA shall coexist with, and shall not supersede, the Terms of Use. To the extent that the provisions of this Agreement conflict with the provisions of the Terms of Use, the conflicting provisions in the Terms of Use shall govern.

                GRANT OF LICENSE.

                (o sus licenciadores) le otorga una licencia personal, no comercial, no exclusiva, intransferible y que no podrá ceder en régimen de sublicencia para instalar y/o utilizar el Producto (total o parcialmente) y cualquier otro Producto (la “Licencia”), hasta el momento en que Usted o UBISOFT den por resuelto este CLUF. Bajo ninguna circunstancia podrá utilizar, ni permitir que otros utilicen, el Producto o esta Licencia para fines comerciales sin antes obtener una autorización para hacerlo de UBISOFT. Es posible que sean necesarias mejoras, actualizaciones, soluciones provisionales y modificaciones para poder seguir utilizando el Producto en determinado hardware. ESTE PRODUCTO SE LE CEDE BAJO LICENCIA, NO SE LE VENDE.<br><br>Según proceda, ciertas partes del Producto pueden estar utilizando funciones de terceros, algunas de las cuales están gestionadas por proveedores externos y

                non-exclusive, non-transferable, non-sublicensed, non-commercial and

Sírvase examinar detenidamente dichos términos, condiciones y costes adicionales.<br><br>1.2 No podrá, directa ni indirectamente, (i) vender, alquilar, ceder en régimen de leasing o bajo licencia, distribuir, comercializar ni explotar comercialmente el Producto, total ni parcialmente, (ii) someter el Producto a ingeniería inversa, descompilarlo, desensamblarlo, adaptarlo, reproducirlo ni crear obras derivadas del mismo (salvo si el Producto incorporase una función específica para crear, generar o enviar Contenidos generados por el usuario y para la cual necesite crear una Cuenta y cumplir Términos y condiciones de uso), total o parcialmente; (iii) crear, utilizar ni distribuir programas informáticos “auto”, “instructor”, “secuencia de comandos” o “macro”, ni otros programas o aplicaciones de software tipo “cheat” o “hack” de este Producto (tanto para partidas multijugador o de un solo jugador por Internet o cualquier red de área local); (iv) retirar, modificar, desactivar o eludir cualquier indicación de derechos de autor, marca comercial u otros datos, avisos o etiquetas de autoría u origen contenidos en el Producto o dentro de él; ni (v) exportar o reexportar este Producto, o cualquier copia o adaptación del mismo, quebrantando las leyes o reglamentos vigentes.<br><br>1.3 Mientras utilice este Producto, Usted acepta cumplir todas las leyes, normas y reglamentos vigentes. Asimismo, acepta cumplir determinadas normas de conducta que rigen la utilización por su parte de este Producto (“Normas de conducta”), que no son exhaustivas y que podrán ser modificadas en todo momento por UBISOFT. En todos los casos, solamente podrá utilizar el Producto con arreglo al uso previsto del mismo.<br><br>Por ejemplo, y sin que ello suponga limitación alguna del derecho de UBISOFT de tomar medidas contra Usted, no podrá:<br><br>a. crear, utilizar, compartir y/o publicar, en relación con el Producto, ningún material (textos, palabras, imágenes, sonidos, vídeos, etc.) que quebrantan la obligación de confidencialidad, infrinjan cualquier derecho de propiedad intelectual o derechos de privacidad, o susceptibles de incitar a la comisión de acciones ilícitas (en particular, piratería, vulneración de medidas de seguridad o circulación de software falsificado);<br><br>b. modificar, distorsionar, bloquear, sobrecargar anómalamente, interrumpir, ralentizar y/u obstaculizar el funcionamiento normal de la totalidad o parte del Producto, o el acceso al mismo por parte de otros usuarios, o el funcionamiento de redes de asociados del producto, o intentar cualquiera de los actos antes mencionados;<br><br>c. transmitir o propagar cualquier virus, troyano, gusano, bomba, archivo corrupto y/u otros dispositivos destructivos o datos dañinos similares en relación con el Producto, y/o participar, organizar o estar involucrado de cualquier otro modo en ataques a servidores de UBISOFT y/o del Producto, o de sus prestadores de servicios y colaboradores;<br><br>d. crear, facilitar o utilizar métodos alternativos para el uso del Producto, como por ejemplo emuladores de servidor;<br><br>e. irrumpir en los servicios de conversación con mensajes no deseados, tanto de naturaleza privada como comercial, interrumpiendo el flujo de las conversaciones con materiales repetidos de naturaleza similar;<br><br>f. transmitir o comunicar materiales o contenidos que UBISOFT, a su absoluta discreción, considere ofensivos, incluyendo, entre otros, los que contengan un lenguaje insultante, intimidatorio, ilícito, abusivo, difamatorio, despectivo, obsceno, sexualmente explícito, discriminatorio por motivos étnicos y raciales, u objetable por cualesquiera otros motivos;<br><br>g. acosar ni intimidar a otros usuarios del Producto;<br><br>h. hacer un uso inadecuado del servicio de ayuda o de los botones de reclamación, o enviar informes falsos a integrantes del

El Producto está protegido por leyes, tratados y convenios nacionales e internacionales de protección de derechos de autor. Este Producto puede contener ciertos materiales cedidos bajo licencia y, en tal caso, los licenciadores de UBISOFT pueden proteger sus derechos en caso de quebrantamiento del presente Contrato. Se prohíbe toda reproducción o representación, por cualquier medio o motivo, de estos materiales cedidos bajo licencia sin la previa autorización por escrito de UBISOFT y, si procede, de los licenciadores y representantes de UBISOFT. Con las excepciones explícitamente previstas en este CLUF, todos los derechos

POR LA PRESENTE USTED ACEPTA, RECONOCE Y AUTORIZA LO SIGUIENTE EN RELACIÓN CON EL SOFTWARE DRM: (I) LA INSTALACIÓN DEL PRODUCTO PROVOCARÁ LA INSTALACIÓN DEL SOFTWARE DRM EN SU EQUIPO; (II) EL SOFTWARE DRM PUEDE LIMITAR EL NÚMERO DE INSTALACIONES DEL PRODUCTO; (III) EL SOFTWARE DRM PUEDE INSTALAR EN SU EQUIPO LOS COMPONENTES ADICIONALES NECESARIOS PARA LA PROTECCIÓN CONTRA COPIAS; (IV) DURANTE LA INSTALACIÓN Y/O PRIMERA EJECUCIÓN DEL PRODUCTO, PUEDE SER NECESARIA UNA CONEXIÓN EN LÍNEA PARA DESBLOQUEAR EL PRODUCTO A TRAVÉS DEL SOFTWARE DRM; Y (V) ALGUNOS ARCHIVOS DE LA TECNOLOGÍA ANTI-TAMPER PUEDEN PERMANECER EN SU EQUIPO INCLUSO TRAS LA DESINSTALACIÓN DEL PRODUCTO.<br><br>UBISOFT DECLINA TODA RESPONSABILIDAD CON RESPECTO A LOS COMPONENTES QUE CUALQUIER SOFTWARE DRM PUEDA INSTALAR EN SU EQUIPO O CON RESPECTO A LA TECNOLOGÍA ANTI-TAMPER. PARA OBTENER INFORMACIÓN ADICIONAL, VISITE EL SITIO WEB DEL SOFTWARE DRM O DE LA TECNOLOGÍA ANTI-TAMPER. SE REQUERIRÁN UNA CONEXIÓN A INTERNET, UNA CUENTA DE UPLAY, LA INSTALACIÓN DEL SOFTWARE CLIENTE DE UPLAY <a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2F%28WWW.UBISOFTCONNECT.COM%29" target="_blank" rel=" noopener">(WWW.UBISOFTCONNECT.COM)</a> Y REGISTRARSE CON EL CÓDIGO SERIE DE UN SOLO USO ADJUNTO PARA ACTIVAR EL JUEGO TRAS LA INSTALACIÓN EN UN NUEVO EQUIPO, AUTENTICAR SU EQUIPO EN CUALQUIER MOMENTO, ACCEDER A LAS FUNCIONES EN LÍNEA Y EJECUTAR O DESBLOQUEAR CONTENIDO EXCLUSIVO. AUNQUE NO HAYA UN LÍMITE DE EQUIPOS EN LOS QUE PUEDA ACTIVARSE EL PRODUCTO, SOLAMENTE SE PODRÁ ACTIVAR EN CINCO (5) EQUIPOS DISTINTOS EN UN PERIODO DE 24 HORAS. SI ELUDE EL SOFTWARE DRM, EL PRODUCTO DEJARÁ DE SER ACCESIBLE Y LA LICENCIA CONCEDIDA POR EL PRESENTE CONTRATO DE LICENCIA PARA EL USUARIO FINAL SERÁ REVOCADA POR INCUMPLIMIENTO MATERIAL. USTED SERÁ RESPONSABLE DE GUARDAR EL CÓDIGO SERIE DEL PRODUCTO EN TODO MOMENTO, LO NECESITARÁ PARA INSTALAR EL PRODUCTO EN OTROS EQUIPOS. EL CÓDIGO SERIE SOLAMENTE SE PODRÁ UTILIZAR EN UNA SOLA CUENTA DE UPLAY. ES POSIBLE QUE SE IMPONGAN RESTRICCIONES DE EDAD PARA EL ACCESO A LOS SERVICIOS Y FUNCIONES EN LÍNEA, CON ARREGLO A LA LEGISLACIÓN LOCAL.<br><br>3.2 Si está utilizando el Producto en un Terminal móvil compatible, la presente Sección 3.2 es aplicable al uso que haga Usted del Producto:<br><br>A todos los efectos de este CLUF, se entenderá por “Terminal móvil compatible”

UBISOFT puede venir obligada a divulgar o compartir sus datos personales para cumplir alguna obligación legal, así como para proteger los derechos de UBISOFT, de otros usuarios y/o de terceros.                 transmit or propagate any virus, trojan horse, worm, bomb, corrupted file and/or similar destructive device or corrupted data in relation to the Product, and/or organise, participate in or be involved in any way in an attack on UBISOFT’s servers and/or the Product and/or those of its service providers and partners;<br><br>d. create, supply or use alternative methods of using the Products, for example server emulators;<br><br>e. spamming chat, whether for personal or commercial purposes, by disrupting the flow of conversation with repeated postings of

                similar nature;<br><br>f. transmitting or communicating any material or content which, in the sole and exclusive discretion of UBISOFT, is believed or deemed offensive, including, but not limited to, language that is harmful, threatening, unlawful, abusive, harassing, defamatory, disparaging, obscene, sexually explicit, or racially, ethnically, or otherwise objectionable;<br><br>g. harassing or threatening any other users in the Product;<br><br>h. make inappropriate use of the help service or the claim buttons or send untruthful reports to members of UBISOFT’s personnel;<br><br>i. falsely claim to be an employee or representative of

OWNERSHIP.<br>All title, ownership rights and intellectual property rights in and to the Product (including, without limitation, all text, graphics, music or sounds, all messages or items of information, fictional characters, names, themes, objects, scenery, costumes, effects, dialogues, slogans, places, characters, diagrams, concepts, choreographies, videos, audio-visual effects, domain names and any other elements which are part of the Product, individually or in combination) and any and all copies thereof are owned by

Except as expressly set forth in this EULA, all rights not granted hereunder to You are expressly reserved by UBISOFT.<br><br>This License confers no title or ownership in the Product and should not be construed as a sale of any rights in the Product.<br><br>3. ACCESS TO THE PRODUCT<br>3.1 THE PRODUCT IS PROTECTED BY DIGITAL RIGHTS MANAGEMENT SOFTWARE (“DRM SOFTWARE”) AND DENUVO ANTI-TAMPER PROTECTION TECHNOLOGY (“ANTI-TAMPER TECHNOLOGY”). IN NO EVENT UBISOFT, ITS AFFILIATES, LICENSORS, CHANNEL PARTNERS AND ASSOCIATED SERVICE PROVIDERS BE LIABLE FOR DAMAGES IN EXCESS OF ANY AMOUNT YOU HAVE PAID TO UBISOFT FOR THE PRODUCT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE TIME YOUR CAUSE OF ACTION AROSE.<br><br>NOTHING IN THIS SECTION 6 SHALL AFFECT UBISOFT’S LIABILITY FOR DEATH OR PERSONAL INJURY ARISING FROM UBISOFT’S NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, NOR ANY OTHER LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.<br><br>FOR PURPOSES OF THIS SECTION 6, UBISOFT’S LICENSORS, CHANNEL PARTNERS AND ASSOCIATED SERVICE PROVIDERS ARE THIRD PARTY BENEFICIARIES TO THE LIMITATIONS OF LIABILITY SPECIFIED HEREIN AND THEY MAY ENFORCE THIS EULA AGAINST YOU.<br><br>7. INDEMNITY.<br>You are solely responsible for any damage caused to UBISOFT, its licensors, channel partners and associated service providers and subcontractors, other users of the product or any other individual or legal entity as a result of Your violation of this EULA.<br><br>YOU HEREBY AGREE TO DEFEND, INDEMNIFY AND KEEP INDEMNIFIED UBISOFT AND ITS AFFILIATES, THEIR LICENSORS, CHANNEL PARTNERS AND ASSOCIATED SERVICE PROVIDERS AND THEIR SUBCONTRACTORS AGAINST ANY CLAIM OR ALLEGED CLAIMS, LIABILITIES, LOSSES DAMAGES AND ALL COSTS (INCLUDING LAWYERS’ FEES), DIRECTLY OR INDIRECTLY ATTRIBUTABLE TO YOUR FAULT AND/OR RESULTING FROM (A) A VIOLATION OF ANY PROVISION OF THIS EULA OR (B) YOUR USE OR MISUSE OF THE PRODUCT. UBISOFT reserves the right to take sole responsibility, at its own expense, for conducting the defense of any claim for which You agreed to indemnify UBISOFT. The provisions of this Section 7 shall remain in force after termination of this EULA.<br><br>8. TERMINATION.<br>The EULA is effective from the earlier of the date You purchase, download or use the Product, until terminated according to its terms.
