## ViRTUE End User License Agreement

**Version 1.0 - Effective 15 June 2026**

This End User License Agreement (the "Agreement") is a binding agreement between you ("you" or "User") and **Ateo GmbH**, Erika-Mann-Strasse 11, 8050 Zurich, Switzerland (commercial register no. CH-020.4.051.129-3, Zurich; VAT no. CHE-214.652.641) ("Ateo," "we," "us," or "our"), governing your installation and use of the ViRTUE virtual reality training software and all related content, updates, and documentation (together, the "Software").

The Software is distributed via Steam. This Agreement is in addition to, and does not replace, Valve Corporation's Steam Subscriber Agreement and related Steam terms (the "Steam Terms"), which continue to govern your relationship with Valve and your use of Steam.

### 1. Acceptance

By installing, accessing, or using the Software, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, do not install or use the Software. If you accept this Agreement on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

### 2. Nature of the Software (please read carefully)

**The Software is an interactive virtual reality training and educational simulation. It is not a medical product.**

You acknowledge and agree that:

- The Software is **not a medical device** and is not certified, cleared, or approved under any medical-device regulation (including the EU Medical Device Regulation or the Swiss Medical Devices Ordinance). It is not intended to diagnose, treat, cure, prevent, monitor, or otherwise manage any disease, infection, or medical condition.
- The germ visualizations, "Germ View," patient zones, transmission behaviour, feedback, scores, and analyses in the Software are a **simplified instructional model created for teaching and engagement**. They are **not a scientifically or medically accurate representation** of real pathogens, real contamination, real transmission dynamics, real infection risk, or real-world clinical outcomes.
- The Software **does not provide medical, clinical, nursing, or other professional advice**, and nothing in it should be interpreted as such.
- The Software is **not a substitute** for formal professional training, qualified instruction, supervision, official hygiene guidelines (for example the World Health Organization "Five Moments for Hand Hygiene"), the protocols and policies of your institution, applicable law, or your own professional judgment.
- Any performance indicator, result, score, or "measurable result" produced by the Software reflects only the rules of the simulation. It **does not measure real-world competence and does not guarantee, predict, or imply** any reduction in infection, improvement in patient safety, or compliance with any standard.

### 3. Assumption of Risk and No Reliance

You agree that you use the Software for practice, familiarization, and awareness only. **You will not rely on the Software for any real patient care, clinical decision, or safety-critical purpose.** Real-world hand hygiene and infection-prevention practice must follow your institution's protocols, applicable professional guidelines, and applicable law. You assume all risk arising from any reliance you place on the Software contrary to this Agreement.

### 4. Virtual Reality Health and Safety

Virtual reality use carries physical risks. Before and during use you agree that:

- **Photosensitive seizures:** a small percentage of people may experience seizures or blackouts triggered by light flashes or patterns, including while using VR. Stop immediately and consult a physician if you experience any such symptoms.
- **Discomfort and motion sickness:** VR may cause nausea, dizziness, disorientation, eye strain, or loss of balance. Stop using the Software if you feel unwell, and do not operate vehicles or machinery or undertake activities requiring balance or coordination until fully recovered.
- **Physical surroundings:** clear your play space of people, pets, furniture, and obstacles before use. You are solely responsible for your physical environment and for the safety of yourself and others while a headset is in use.
- **Suitability:** do not use the Software while impaired or fatigued, or if a physician has advised you against VR or similar activity. Supervise any permitted minor users and observe your headset manufacturer's minimum-age and safety instructions.
- Always follow the safety instructions of your VR hardware and of Steam and SteamVR. Take regular breaks.

To the maximum extent permitted by applicable law, you assume the risk of, and Ateo is not responsible for, physical injury or property damage resulting from your physical environment or your failure to follow these safety instructions.

### 5. License Grant

Subject to your compliance with this Agreement and the Steam Terms, Ateo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you own or control, for your own training and educational purposes, for as long as your entitlement to the Software through Steam remains valid.

Organizations may purchase multiple licenses and use them to train their personnel, with one license per simultaneous user. Volume and site licensing are also available directly from Ateo ([email protected]). All rights not expressly granted are reserved by Ateo and its licensors.

### 6. Restrictions

You agree not to, and not to permit any third party to:

- copy (except as required for normal use), modify, translate, or create derivative works of the Software;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent applicable law expressly permits despite this restriction;
- rent, lease, lend, sell, redistribute, sublicense, or commercially host the Software, or make it available to third parties, except as expressly permitted in Section 5;
- remove, alter, or obscure any proprietary notices;
- use the Software for any unlawful purpose, or in any safety-critical or clinical setting as if it were authoritative;
- represent the Software as a medical device, as medically or clinically accurate, or as a source of professional advice.

### 7. Intellectual Property

The Software is the property of Universitätsspital Zürich (University Hospital Zurich, "USZ"), which holds all intellectual property rights in it, including the underlying invention and its further development. Ateo GmbH distributes and licenses the Software as USZ's exclusive, authorized licensee. The Software is protected by Swiss and international law. This Agreement grants you a license only, and no ownership rights in the Software. "ViRTUE" and related logos are trademarks of their respective owners.

### 8. Data and Privacy

The Software can create "replay" recordings of a training session for review. These recordings are stored locally on your device and are not transmitted to Ateo automatically. Ateo receives a recording or log file only if you choose to attach and send it to us, for example through the in-app contact feature, and in that case we use it solely to handle your request and do not pass it to third parties. You are responsible for the recordings you create, including their security and deletion, and, where a recording includes another person, for obtaining any consent or legal basis required by applicable data-protection law before you send it to us or to anyone else. ### 9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Software is provided **"AS IS" and "AS AVAILABLE," without warranty of any kind**, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement, and any warranty that the Software will be uninterrupted, error-free, secure, or will achieve any particular result. You bear the entire risk as to the quality and performance of the Software.

### 10. Limitation of Liability

To the maximum extent permitted by applicable law:

- Ateo, its directors, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profit, revenue, data, goodwill, or business, arising out of or relating to the Software or this Agreement, even if advised of the possibility.
- Ateo's total aggregate liability arising out of or relating to the Software and this Agreement will not exceed the total amount you paid for the Software.

**Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable mandatory law.** This includes, where and to the extent applicable, liability for death or personal injury caused by negligence, liability for unlawful intent or gross negligence (in particular under Art. 100 of the Swiss Code of Obligations), liability under product-liability law (in particular the Swiss Product Liability Act), liability for fraud, and any mandatory rights of consumers. Where any limitation in this Section is not permitted, it applies only to the extent permitted.

### 11. Indemnification

To the extent permitted by applicable law, and except as regards mandatory consumer rights, you agree to indemnify and hold harmless Ateo and its licensors from any third-party claim, loss, liability, and reasonable expense (including reasonable legal fees) arising out of your use of the Software in breach of this Agreement or of applicable law.

### 12. Updates and Changes

Ateo may provide updates, patches, or new versions of the Software, and may modify or discontinue features. Ateo may update this Agreement; the current version will be made available through Steam, and your continued use after an update takes effect constitutes acceptance, except where applicable law requires your explicit consent.

### 13. Term and Termination

This Agreement applies for as long as you use the Software. It terminates automatically if you breach it, and may terminate on expiry of your entitlement to the Software. On termination you must stop using and remove the Software. Sections 2, 3, 4 (assumption of risk), 7, 9, 10, 11, and 15 survive termination.

### 14. Relationship to Steam

This Agreement is additional to the Steam Terms. Nothing here modifies the Steam Terms or your rights against Valve. To the extent this Agreement conflicts with the Steam Terms regarding your use of Steam itself, the Steam Terms govern that subject matter.

### 15. Governing Law and Jurisdiction

This Agreement is governed by the substantive laws of Switzerland, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The courts of Zurich, Switzerland have exclusive jurisdiction, subject to any mandatory jurisdiction available to a consumer. **If you are a consumer, you keep the protection of any mandatory provisions of the law of your country of habitual residence**, and nothing in this Agreement deprives you of those protections.

### 16. General

If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision applies to the maximum permitted extent. This Agreement, together with the Steam Terms and our Privacy Policy, is the entire agreement regarding the Software. Ateo may assign this Agreement in connection with a reorganization or transfer of the business. The English version is the governing original; any translation is provided for convenience only.
