Acordo de Licença para Produtos MAGIX (EULA)

1. Definições

Para efeitos do presente Acordo de Licença, são aplicáveis as seguintes definições:

1.1 "Produto MAGIX" designa o produto licenciado ao abrigo deste Acordo, composto por software e, eventualmente, conteúdos adicionais.
1.2 "Software" designa o programa de computador em formato de código de objeto, contido num produto MAGIX e licenciado ao abrigo deste Acordo, incluindo todas as atualizações ("updates" e "upgrades"), com exceção dos conteúdos incluídos.
1.3 Por "Conteúdos" designa-se neste Acordo os conteúdos de um produto MAGIX, que vão além do software, por exemplo: arquivos de música, vídeo e fotografia, bem como outros sons e modelos que contêm arquivos próprios.
1.4 "Computador" designa qualquer aparelho físico ou virtual, capaz de processar dados com recurso a uma regra de cálculo programável (p. ex.: PC, laptop, estação de trabalho, instância de um dispositivo virtual, etc.), juntamente com uma CPU ou um processador de núcleos múltiplos. Às redes aplica-se o seguinte: se vários computadores de uma rede têm acesso a um servidor no qual está instalado o produto MAGIX, cada um dos computadores da rede (estações de trabalho) é considerado um computador para efeitos do presente Acordo, ou seja, pode ser necessária uma licença separada para cada um dos computadores que compõem a rede.
1.5 "Upgrades" designam, para efeitos do presente Acordo, as versões complementares de um produto MAGIX.
1.6 "Local da licença" designa a licença atribuída a um determinado computador do cliente após a ativação do produto MAGIX.
1.7 "Fins comerciais" designam, para efeitos do presente Acordo, qualquer utilização comercial e qualquer uso do software e respectivos conteúdos, que tenham como fim a obtenção de vantagens econômicas (por exemplo, através de venda ou licenciamento ou de anúncios em publicações online ou similares).

2. Objeto do contrato

2.1 A MAGIX concede-lhe ("cliente"), nos termos do presente Acordo, o direito não exclusivo e não sublicenciável de utilizar, durante o período do contrato, o produto MAGIX na quantidade de computadores definida no número de série. A MAGIX mantém a propriedade intelectual, bem como os demais direitos de autor relacionados ao software. O cliente reconhece os direitos de propriedade intelectual da MAGIX sobre o software e os respectivos conteúdos, cópias de segurança e documentação. O comprador do produto MAGIX é o único responsável pela utilização contratual adequada dos softwares.

2.2 Aplica-se o seguinte aos "upgrades": só os proprietários do produto original estão autorizados a receber a respectiva atualização. A utilização de uma atualização depende do facto de o cliente ser proprietário e utilizador do produto de base. Não é permitida a transmissão isolada de uma atualização a terceiros.

2.3 Às atualizações e funcionalidades fornecidas no âmbito da garantia de atualidade da MAGIX aplica-se o seguinte: a licença para as atualizações e funcionalidades fornecidas no prazo de 12 meses após o primeiro registro do produto MAGIX limita-se à instalação ou às instalações que tenham sido realizadas no prazo de 12 meses. Se a garantia de atualidade for prolongada além do prazo de 12 meses, a limitação deixa de ser aplicada.

Para utilizar os produtos MAGIX é necessário fazer o registro na MAGIX Software GmbH. Com isso, garantimos que os softwares são originais e que a sua licença será utilizada em conformidade com as Condições de Licença. Além disso, precisamos desse registro também para fins contábeis perante nossos licenciantes. Consequentemente, nos procedimentos de instalação do programa surgirá automaticamente uma caixa de diálogo solicitando o registro do produto com seu respectivo número de série sob seu endereço de email, além da abertura de uma conta de usuário. Se você já tiver uma conta de usuário na MAGIX Software GmbH, ela poderá ser utilizada. 5. Utilização do software e respectivos conteúdos para fins comerciais

5.1 Software
Dentro das limitações previstas no item 6, o software pode ser utilizado para fins comerciais.

5.2 Conteúdos
a) Dentro das limitações previstas no item 6, os conteúdos podem ser utilizados para fins comerciais, desde que sejam para a criação de trabalhos próprios. Isso também se aplica a arquivos de música, de vídeo ou de fotografia, bem como aos modelos correspondentes, adquiridos através de ou em conjunto com os produtos MAGIX.

b) A exploração destes conteúdos através do software, fora do âmbito de trabalhos criados pessoalmente, é proibida. Principalmente quanto às fotografias contidas nos modelos, as quais não podem ser extraídas e usadas separadamente. Isso se aplica tanto ao uso para fins comerciais como ao uso não comercial.

6. Proibição de cópia e locação; Proibição de alteração

6.1 O cliente está proibido de copiar tanto o produto MAGIX como a sua documentação escrita, seja parcialmente, seja na sua totalidade. A criação de uma cópia de segurança está excluída dessa disposição.

6.2 O produto MAGIX, bem como a sua documentação escrita, não podem ser alugados nem emprestados para fins comerciais a um terceiro em troca de um pagamento, seja de que forma for. O mesmo se aplica à locação de um computador onde o software já esteja instalado e que seja comercialmente disponibilizado a terceiros em troca de pagamento.

6.3 Em conformidade com o artigo 69 alínea "d" e alínea "e" da UrhG (Lei de Direitos Autorais Alemã), não é permitido efetuar alterações no software licenciado, pessoalmente ou através de terceiros. Da mesma forma, não é permitido fragmentar o software em componentes, modificar o seu código-objeto, nem decodificar, copiar ou utilizar o software de outra forma que não a prevista no contrato.

8. Garantia e responsabilidade:

8.1 O cliente tem conhecimento de que mesmo os programas mais modernos e a documentação a eles associada podem conter erros e de que não é possível desenvolver programas de processamento de dados isentos de erros para todas as condições de aplicação e para todas as necessidades do cliente, ou que estejam isentos de erros quando usados em conjunto com todos os programas e hardware de terceiros. A MAGIX não oferece quaisquer garantias de funcionalidades específicas e de usabilidade relacionada com a aplicação individual pretendida pelo cliente.

8.2 No caso de produtos e serviços adquiridos mediante pagamento, a MAGIX será responsável pelos danos provocados por ela ou pelos seus funcionários no cumprimento de uma obrigação, nos casos de negligência normal, também no caso de responsabilidade não contratual, apenas se uma obrigação, cuja observância seja particularmente importante para se alcançar o objetivo do contrato (obrigação primordial) não for cumprida, bem como em casos de lesões fatais, lesões físicas e riscos para a saúde.

8.3 Em caso de incumprimento de uma obrigação primordial, a responsabilidade é limitada aos danos que sejam normalmente considerados no âmbito do presente Acordo, se não houver dolo nem negligência grosseira ou se a empresa tiver que assumir a responsabilidade por lesões fatais, lesões físicas ou riscos para a saúde.

8.4 A MAGIX não será responsável por quaisquer danos que o cliente poderia ter controlado ou evitado mediante medidas consideradas adequadas. Se houver perda de dados, a MAGIX só é responsável pelos custos associados à restauração dos mesmos e desde que as cópias de segurança estejam disponíveis.

8.5 Não obstante as anteriores disposições, a responsabilidade da MAGIX, em cada caso, limita-se a quatro vezes a taxa de licença ou montante pago pelo cliente, conforme o tipo de dano. Esta exclusão não se aplica a danos provocados por dolo ou negligência grosseira da MAGIX.

8.6 Se os programas e serviços foram obtidos gratuitamente, a garantia contra falhas e defeitos do material limita-se à ocultação fraudulenta de defeitos pela MAGIX, tendo em conta o licenciamento gratuito do produto. Caso contrário, a responsabilidade da MAGIX limita-se a situações de dolo e de negligência grosseira relativamente ao licenciamento gratuito.

8.7 Tal disposição não afeta a responsabilidade com origem na lei alemã de responsabilidade sobre um produto.

8.8 A inversão do ônus da prova em prejuízo do cliente não está relacionada com a disposição anterior.

8.9 Se os produtos MAGIX contiverem funções que devem ser executadas através de um servidor online, a MAGIX reserva-se o direito de suspender a oferta a qualquer momento. Não será garantida uma disponibilidade.

9. Condições das licenças de outros fabricantes:

Se um produto da MAGIX contiver software ou conteúdos de outro fabricante ou hiperligações para prestadores de serviços terceiros, é necessário ter em consideração as condições da licença dos respectivos prestadores terceiros. Se o produto da MAGIX contiver software ou conteúdos sujeitos a uma licença open source, aplicam-se as condições da licença open source dos respectivos componentes, por exemplo para a sua edição e difusão. As respectivas condições de utilização podem ser consultadas no arquivo fornecido.

10. Assistência

A MAGIX oferece aos usuários registrados uma assistência eletrônica pela internet durante o período da garantia. Essa assistência abrange o esclarecimento de dúvidas sobre a instalação ou a solução de problemas relativos à instalação e é realizada pela internet ou por e-mail. A prestação de assistência técnica ocorrerá de acordo com os critérios exclusivos da MAGIX e não se encontra associada a nenhuma garantia.

11. Outros:

11.1 O presente Acordo constitui o Acordo integral entre as partes no que diz respeito ao objeto do contrato. Não existem cláusulas acessórias. Nenhuma declaração verbal ou escrita da MAGIX ou de qualquer funcionário da MAGIX pode alterar ou questionar a validade das presentes condições de licença.

11.2 Caso uma ou mais das condições deste Acordo não seja válida ou deixe de ser válida, esse facto não afetará a validade dos restantes termos do Acordo. Uma disposição de substituição tomará o lugar da condição não válida, nomeadamente a que mais se aproximar da finalidade pretendida. O contrato está sujeito à legislação da República Federal da Alemanha.
