Acuerdo de licencia de usuario final para los productos MAGIX (EULA)

1. Definiciones:

Las siguientes definiciones se aplicarán al presente acuerdo de licencia:

1.1 "Producto MAGIX" se refiere a los productos cuyas licencias se encuentran bajo este contrato e incluyen software y, si procediera, contenidos adicionales.
1.2 "Software" se refiere al programa informático bajo este contrato de licencia en formato de código de objeto e incluye todas las actualizaciones y mejoras del mismo con la excepción de los contenidos provistos.
1.3 "Contenidos" se refiere a aquellos contenidos adicionales incluidos en un producto MAGIX como, por ejemplo, archivos de música, vídeo o imagen, así como los sonidos adicionales y plantillas que dichos archivos contengan.
1.4 "Equipo" se refiere a cualquier dispositivo físico o virtual capaz de procesar datos a través de cálculos de programación (p. ej., PC, dispositivo portátil, estación de trabajo, instancia de una máquina virtual, etc.) en conexión con una CPU o un procesador multinúcleo. En el caso de redes: si varios dispositivos tienen acceso a un servidor en el que haya instalado un producto MAGIX, cada licencia individual (de cada estación de trabajo) contará como un equipo en lo que respecta a las condiciones de licencia, es decir, es necesaria una licencia separada e individual para cada equipo conectado a la red.
1.5 El término "Actualizaciones" se refiere, bajo este contrato, a la versión completa de un producto MAGIX.
1.6 „Puesto de licencia“ se refiere a la licencia atribuida a un equipo específico tras la activación del producto MAGIX.
1.7 "Fines comerciales" se refiere, en el contexto del presente contrato, al uso comercial del producto o a cualquier otro tipo de uso, tanto del software como del contenido, que aporte una retribución económica directa o indirecta (p. ej., a través de la compra o la concesión de licencias, inclusiones publicitarias en la publicación en Internet, etc.).

2. Objeto del acuerdo

2.1 MAGIX le garantiza (al "Cliente"), bajo el presente contrato y durante la duración del mismo, el derecho no exclusivo y no cedible de utilizar el producto MAGIX especificado en un número de equipos igualmente indicado en el número de serie. La propiedad intelectual u otros derechos de protección del software son propiedad de MAGIX. El cliente reconoce que todo derecho de propiedad sobre el software de MAGIX, contenidos, copias de seguridad y documentaciones pertenece al licenciante. De acuerdo con el contrato, el comprador del producto MAGIX es responsable del buen uso del mismo.

2.2 Con respecto a las actualizaciones, rige lo siguiente: solo los propietarios de un producto base tienen derecho a beneficiarse de las respectivas actualizaciones. El uso de estas actualizaciones está sujeto al hecho de ser propietario y usuario del producto base. Por consiguiente, queda expresamente prohibido el traspaso de dicha actualización a terceros.

2.3 Para las actualizaciones y funciones que se obtengan en el marco de la garantía de actualización de MAGIX, se aplica lo siguiente: la licencia para las actualizaciones y funciones obtenidas durante los 12 meses posteriores al primer registro del producto MAGIX se restringe a la instalación o instalaciones ya configuradas en el momento de expiración del periodo de garantía de 12 meses. Si la garantía de actualización se prolonga más allá de un periodo de 12 meses, no se aplicará esta restricción.

Para utilizar el producto MAGIX es necesario registrarse en MAGIX Software GmbH. Esto asegura que se trata de software original y que la licencia se está utilizando de acuerdo a los términos y condiciones de licencia. El registro también es necesario para la liquidación contable con nuestros proveedores de licencia. Por lo tanto, al finalizar la instalación se mostrará un cuadro diálogo donde es necesario registrar el producto utilizando para ello una dirección de correo electrónico y el número de serie, de este modo se crea también una cuenta de usuario. 5. Uso comercial del software y contenidos

5.1 Software
Es posible utilizar el software con usos comerciales siempre y cuando se respeten las limitaciones expuestas en el punto 6 del presente contrato.

5.2 Contenido

a) Es posible utilizar los contenidos con usos comerciales siempre y cuando se respeten las limitaciones expuestas en el punto 6 del presente contrato y sean un resultado propio del cliente. Esto también es aplicable para los archivos de música, vídeo y fotografía, así como a las plantillas que los contengan, adquiridos a través del producto o con el propio producto MAGIX.

b) Está prohibida cualquier utilización del contenido para fines comerciales, cuando no forme parte del resultado de un trabajo personal creado a través del software. En particular, no se permite la extracción de las fotos contenidas en las plantillas. Esto se aplica tanto para uso comercial como para no comercial.

6. Prohibición de reproducción, alquiler y modificación

6.1 No está permitido reproducir, total o parcialmente, ni el producto MAGIX ni la documentación escrita. Se permite, excepcionalmente, la creación de una copia del software por motivos de seguridad.

6.2 El cliente no podrá en ningún caso alquilar con fines de lucro el producto MAGIX ni la documentación escrita, ni ponerlos, en ningún caso, a disposición de un tercero a cambio de una retribución económica. Lo mismo es aplicable en el caso de alquiler del programa instalado en un equipo que se ponga a disposición de un tercero a cambio de una retribución económica.

6.3 Según los artículos 69 d, e de la UrhG (Ley alemana sobre derechos de autor), el cliente no podrá realizar modificación alguna del software ni directamente ni por medio de un tercero. Además, el cliente no podrá dividir el software en sus diversos módulos, transformarlo en código objeto, descifrarlo, copiarlo o utilizarlo de forma diferente a lo establecido en el presente contrato.

8. Garantía y responsabilidad

8.1 El cliente reconoce que, según el estado actual de la tecnología, no se puede descartar que se produzcan fallos en los programas de software y en su respectiva documentación, también que no es posible la creación de programas de procesamiento de datos que queden libres de error en todas sus condiciones de uso y requerimientos, y, así mismo, libres de error durante su uso con programas y hardware de terceros. MAGIX no garantiza la adecuación de determinadas propiedades del software o su idoneidad para el uso según los propósitos planeados por el cliente.

8.2 En caso de productos y prestaciones a título oneroso, MAGIX solo asume responsabilidad por negligencia leve por los daños ocasionados por ella o por sus empleados – también de manera extracontractual -, si se viola una obligación cuyo cumplimiento es de especial importancia para lograr el efecto del contrato (obligación cardinal), así como en casos de lesiones vitales, corporales o de salud.

8.3 En caso de infringirse una obligación principal, la responsabilidad se limitará a aquellos daños cuya presencia se pueda suponer en el marco del acuerdo existente, siempre que no exista dolo o grave imprudencia o se responda obligatoriamente por atentarse contra la vida, el cuerpo o la salud.

8.4 MAGIX no asume responsabilidad por daños controlables o daños que el cliente hubiese podido evitar a través de medidas que se le puedan exigir al mismo. En caso de pérdida de datos, MAGIX solo responderá en la cuantía de los costes de reconstrucción que resultarían necesarios en caso de que se dispusiese de copias de seguridad.

8.5 A pesar de las disposiciones existentes, la responsabilidad de MAGIX en todos los casos está limitada al cuádruple del monto de la licencia o del precio de compra en caso de daño. Esta exención de responsabilidad no se aplica en caso de daños en los que se pueda inculpar a MAGIX por dolo o negligencia grave.

8.6 En el caso de productos y prestaciones gratuitas, la garantía de evicción y saneamiento en cuanto a estos artículos gratuitos se vería limitada a los casos de ocultación dolosa de vicios por parte de MAGIX. La responsabilidad de MAGIX en los programas con licencias gratuitas se limita a los casos de dolo y negligencia grave.

8.7 La responsabilidad que corresponda de acuerdo con la Ley sobre la responsabilidad por productos defectuosos no se verá afectada por lo acordado en este contrato.

8.8 Una modificación de la carga de la prueba en detrimento del cliente no está vinculada con las disposiciones anteriores.

8.9 En tanto los productos MAGIX contengan funciones que se ejecuten a través de un servidor online, MAGIX se reserva el derecho de revocar la oferta en cualquier momento. No se garantiza la disponibilidad.

9. Condiciones de licencia de otros fabricantes

Si el producto MAGIX incluye software, contenidos de otro fabricante o enlaces a terceros proveedores, se deben respetar también las correspondientes condiciones de licencia de estos proveedores. Si el producto MAGIX incluye software o contenidos publicados bajo una licencia de código abierto, los respectivos términos de licencia de código abierto se aplican a estos componentes, por ejemplo, si se editan o distribuyen. Estas condiciones de licencia se suministran para su consulta en el archivo correspondiente.

10. Asistencia técnica:

MAGIX ofrece asistencia técnica por Internet durante el periodo de garantía a los usuarios registrados. Esto comprende la aclaración de dudas sobre la instalación o la reparación de problemas de instalación, tanto por Internet como por correo electrónico. MAGIX podrá decidir a su propia discreción si ofrecer, o no, asistencia técnica y esto no tiene vinculación alguna con la garantía.

11. Otras

11.1 El presente contrato representa el acuerdo completo de las partes en relación al objeto del contrato. No existen contratos accesorios. Ninguna declaración oral por parte de MAGIX o de un trabajador de MAGIX u otra persona de dicha empresa modificará o pondrá en duda el efecto de las presentes condiciones de licencia.

11.2 Si una o más de las condiciones de este contrato perdieran su validez, ello no afectaría a la validez del resto del contrato. En vez de las disposiciones no válidas, entrará en vigor una regulación de sustitución que será similar al propósito deseado. Se aplica el derecho de la República Federal Alemana.

PREAMBLE
