IMPORTANT, READ FIRST: TimoS is NOT a medical device. It is an assistive input/accessibility tool, not a diagnostic, therapeutic, or life-safety device, and it is not reviewed or cleared by any medical device regulator (FDA, EU MDR, or otherwise). Do not rely on TimoS for any purpose where its failure or malfunction could endanger health, safety, or life.

This End User License Agreement ("Agreement") is between Dapper Digital Oy (a Finnish limited company, Business ID 3645799-3, Helsinki, Finland) ("Licensor", "we", "us") and the individual or organization that has purchased or obtained a license to use TimoS ("Licensee", "you").

By installing, launching, or using TimoS, you accept this Agreement. If you do not agree, do not install or use the software.

TimoS is a SteamVR accessibility input tool: it lets a user operate a VR headset, the SteamVR dashboard, and the Windows desktop using head movement (gaze), without requiring hand or arm mobility.

TimoS is not a medical device (see the notice above). If your use case requires a medically classified device, TimoS is not it.

Subject to compliance with this Agreement, Licensor grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to install and use TimoS.

• Steam purchases: your Steam ownership of TimoS is your license, on the Personal tier below. There is no key file and no activation step; TimoS performs no online license checks.
  
• Personal tier: licensed to a single named individual for that individual's own personal use.
  
• Institutional use: use by, or on behalf of, a school, clinic, employer, or other organization, including deployment to, or purchase on behalf of, multiple individuals within that organization, requires an Institutional license for each such individual, obtained directly from Licensor, regardless of the channel (including Steam) through which any copy was purchased. An organization that purchases or facilitates the purchase of Personal-tier copies for its clients, students, patients, or staff in place of Institutional licenses is in breach of this Agreement.

This license does not transfer ownership of TimoS. Licensor and its licensors retain all right, title, and interest in TimoS, including all intellectual property rights. Third-party components are acknowledged in the THIRD_PARTY_ACKNOWLEDGEMENTS file distributed with the software.

Except as this Agreement or applicable law expressly permits, Licensee may not:

• redistribute, resell, rent, lease, lend, or sublicense TimoS to any third party;
  
• use a Personal-tier license for organizational, institutional, or commercial deployment in place of an Institutional license (see Section 3);
  
• reverse-engineer, decompile, or disassemble TimoS, except to the extent applicable law grants a right that cannot be excluded by contract;
  
• remove or alter any copyright, trademark, or attribution notice.

Fees are as stated at the time of purchase. Purchases made through Steam are governed by Steam's own refund policy (currently: within 14 days of purchase and under 2 hours of use, via Steam Support). Nothing in this Agreement limits any non-waivable refund or withdrawal right granted by applicable consumer-protection law.

A purchased license includes updates released for the purchased major version, delivered automatically via Steam. TimoS is sold as Early Access software with a public roadmap: features described as planned or upcoming are delivered as free updates when ready, and no specific future feature or delivery date is promised or sold. TimoS's mission is to let someone who depends on it to operate their computer do so without ever being locked out by a licensing problem. Concretely:

• TimoS makes no network calls to check any license: there is no online activation and no phone-home.
  
• No licensing state, missing, expired, or invalid, will ever cause TimoS to stop responding to your gaze or clicks. A licensing problem is never a lockout.
  
• This does not waive Licensor's right to pursue license violations as a matter of contract; it only means the software itself will never technically lock out a user.

TimoS makes no network connections: it does not collect, store, or transmit any personal data, telemetry, audio, or usage information to Licensor or any third party. Diagnostic logs, if any, are written only to your own device and are shared only if you choose to send them. Voice control, when enabled, runs entirely on your own device through Windows' built-in speech recognition; no audio ever leaves your device. This section will be updated before any future feature that transmits data is ever introduced. See the Privacy Policy distributed with the software for the complete statement.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• TIMOS IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
  
• LICENSOR DOES NOT WARRANT THAT TIMOS IS FIT FOR ANY LIFE-SAFETY, MEDICAL, OR EMERGENCY USE (SEE THE NOTICE ABOVE AND SECTION 2). YOU ASSUME ALL RISK ARISING FROM USE OF TIMOS, INCLUDING USE WHILE WEARING A VR HEADSET (PHYSICAL SURROUNDINGS, MOTION DISCOMFORT, AND FATIGUE INCLUDED).
  
• LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR TIMOS SHALL NOT EXCEED THE AMOUNT LICENSEE ACTUALLY PAID FOR THE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.
  
• NOTHING IN THIS AGREEMENT LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING MANDATORY FINNISH AND EU CONSUMER-PROTECTION LAW (FOR EXAMPLE, LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR FOR FRAUD).

This Agreement is effective until terminated. Licensor may terminate this license if Licensee materially breaches this Agreement and does not cure the breach within 30 days of notice. Consistent with Section 7, termination affects Licensee's contractual right to continued use and support; the software will not remotely disable itself.

TimoS is developed and updated on an ongoing basis, including during Early Access. Licensor may amend this Agreement from time to time. Any amendment takes effect for new purchases immediately upon publication. For existing Licensees, a material change (one that narrows Licensee's rights, changes fees, or changes liability terms) takes effect no earlier than 30 days after notice, which Licensor will give through the Steam store page, an in-app notice, or direct contact; continued use of TimoS after that date constitutes acceptance of the amended Agreement. Non-material changes (for example, clarifications, added features, or updates to reflect the software's current functionality) take effect immediately. Nothing in this section limits any non-waivable right Licensee has under applicable consumer-protection law to reject a material change and terminate this Agreement instead.

This Agreement is governed by the laws of Finland, without regard to conflict-of-laws principles. Any dispute shall be subject to the exclusive jurisdiction of the courts of Helsinki, Finland, except where mandatory consumer-protection law grants the Licensee the right to bring proceedings in their own country of residence.
