WELCOME TO TEARDOWN, A VIDEOGAME PROVIDED TO YOU BY TUXEDO LABS AB. BEFORE ACCESSING AND PLAYING THE GAME, USING THE RELATED SERVICES OR ACCESSING ANY GAME RELATED WEBSITES, ETC. (THE GAME, RELATED SERVICES AND THE WEBSITES HEREINAFTER THE "GAME"), PLEASE READ THIS AGREEMENT CAREFULLY.

1. Acceptance
This document ("Terms of Use")Use", “Agreement”) is a legal agreement between you ("You", "End User" or "user") and Tuxedo Labs AB, email address [email protected] ("Tuxedo Labs"),Labs", “Publisher”), and governs your use of the Game.

PLEASE NOTE THAT BY ACCESSING AND/OR PLAYING THE GAME YOU AGREE TO ABIDE BY AND BE BOUND BY THESE TERMS OF USE. TUXEDO LABS OWNS ALL INTELLECTUAL PROPERTY RIGHTS IN AND TO THE GAME AND PERMITS YOU TO PLAY THE GAME ONLY IN ACCORDANCE WITH THESE TERMS. YOUR PLAYING OF THE GAME CONSTITUTES YOUR ACCEPTANCE OF THE TERMS OF USE. IF YOU DO NOT AGREE TO THE TERMS OF USE, PLEASE DO NOT ACCESS AND PLAY THE GAME.

Teardown is a single-player,multi-player, sandbox heist video game.

4. Delivery of products and services, Updates and New Releases
TUXEDO LABS MAY FROM TIME TO TIME UPDATE OR OTHERWISE MODIFY THE GAME ELECTRONICALLY, OR REQUIRE THE USER TO INSTALL UPDATES, PATCHES OR FIXES TO THE GAME'S ("UPDATES"). UPDATES MAY CHANGE THE GAME'S TERMS, CONDITIONS, FEATURES, ITEMS, MECHANICS, OR ANY OTHER ELEMENT OF THE GAME. IF YOU FAIL TO INSTALL THE NEW RELEASE WHEN REQUIRED, TUXEDO LABS WILL NOT BE RESPONSIBLE FOR YOUR INABILITY TO PLAY THE GAME, AND YOU SHALL NOT BE ENTITLED TO RECEIVE A REFUND OR ANY OTHER FORM OF COMPENSATION.

TUXEDO LABS MAY PROVIDE NEW RELEASES OR OTHERWISE ENHANCE THE GAME AT ANY TIME, IN ITS SOLE DISCRETION, WITHOUT OBLIGATION TO YOU. ANY SUCH NEW RELEASE OR OTHER ENHANCEMENT OF THE GAME MAY CHANGE THE GAME'S TERMS, CONDITIONS, FEATURES, ITEMS, MECHANICS, OR ANY OTHER ELEMENT OF THE GAME.



5. Indemnification
Your access to and/or playing of the Game constitutes your agreement to defend, indemnify, and hold harmless Tuxedo Labs, its parents and affiliates, licensors and partners, the platform/service providers and their respective members, employees, contractors, officers, and directors, from and against any actions, claims, demands, liability and expenses, including reasonable attorneys' fees, arising out of your use or misuse of the Game including related services by a third party.

6. Termination
TUXEDO LABS MAY TERMINATE YOUR ACCESS TO THE GAME AND ANY RIGHTS WHICH YOU RECEIVE UNDER THESE TERMS OF USE UNDER THE FOLLOWING CONDITIONS:

I) TUXEDO LABS CEASES TO PROVIDE, PUBLISH OR OTHERWISE GRANT ACCESS TO THE GAME TO USERS GENERALLY;
II) IF YOU VIOLATE ANY OF THE TERMS SET OUT IN THIS AGREEMENT;
III) IF YOU CANCEL YOUR ACCOUNT, DELETE THE GAME OR OTHERWISE INDICATE YOUR TERMINATION OF THE USE OF THE GAME.

THESE TERMS OF USE ARE EFFECTIVE UNTIL AMENDED BY TUXEDO LABS IN ITS SOLE DISCRETION. TUXEDO LABS MAY, BUT IS NOT OBLIGATED TO, COMMUNICATE SUCH TERMINATION TO YOU IN ANY OF THE FOLLOWING MANNERS: (I) IN A NOTICE IN THE GAME; (II) VIA ELECTRONIC MAIL; (III) IN THESE TERMS OF USE, OR (IV) IN ANOTHER MANNER THAT TUXEDO LABS DEEMS SUITABLE TO INFORM YOU OF THE TERMINATION. IF TUXEDO LABS TERMINATES THE GAME, YOU WILL NOT RECEIVE A REFUND OF PAID FEES. IN THE EVENT OF ANY TERMINATION HEREUNDER SECTIONS 1, 3, 4, 5, 6, 7, 8, 9, 10, 11, 12, 13, 14, 15, 16, 17, 18, 19, 2020, 21 AND 21,22, OF THESE TERMS OF USE WILL SURVIVE TERMINATION.

7. Disclaimers and limitations of liability
THE GAME IS PROVIDED BY TUXEDO LABS ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, TUXEDO LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, TUXEDO LABS MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED: (I) AS TO THE GAME, THE INFORMATION, CONTENT, MATERIALS ETC. INCLUDED THEREIN; (II) THAT THE GAME WILL BE FUNCTIONING CONTINUOUSLY, UNINTERRUPTED, SECURELY OR ERROR-FREE; (III) AS TO THE ACCURACY, RELIABILITY, OR CURRENCY OF ANY INFORMATION, CONTENT, PRODUCTS AND SERVICES PROVIDED; OR (IV) THAT THE GAME, SERVERS, PLATFORMS, OR E-MAILS SENT FROM OR ON BEHALF OF TUXEDO LABS, ARE FREE OF VIRUSES, SCRIPTS, TROJAN HORSES, WORMS OR OTHER HARMFUL COMPONENTS.

THE OPERATION AND FUNCTIONS OF THE GAME MAY BE INTERFERED WITH BY NUMEROUS FACTORS OUTSIDE THE CONTROL OF TUXEDO LABS, AND, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL TUXEDO LABS, ITS PARENTS, AFFILIATES, LICENSEES, LICENSORS, PARTNERS AND/OR PLATFORM/SERVICE PROVIDERS (COLLECTIVELY "TUXEDO LABS" FOR PURPOSES OF THIS SECTION 7 AND THE FOLLOWING SECTION 8) BE LIABLE FOR ANY DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE OR PLAY THE GAME. TUXEDO LABS TAKES NO RESPONSIBILITY FOR THE ACCURACY, SAFE DELIVERIES, AND FUNCTIONALITY OF SMS/TEXTING SERVICES ETC. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES SHALL TUXEDO LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE GAME, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TUXEDO LABS' ENTIRE LIABILITY UNDER ANY PROVISION OF THESE TERMS OF USE SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE GAME DURING THE CALENDAR YEAR WHEN THE CLAIM IS MADE.

8. Special disclaimer and limitation of liability for products and services
TUXEDO LABS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY IN THE GAME OR IN RELATION TO THE GAME, THROUGH THE PLATFORMS, OR ANY HYPERLINKED WEBSITE OR FEATURE IN ANY BANNER OR OTHER ADVERTISING, AND TUXEDO LABS WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.

9. Seizure warning, motion sickness etc.
In rare instances, some users may experience seizures when exposed to certain light patterns or flashing lights in the Game and/or advertising related to the Game. Exposure to certain light patterns or backgrounds on a video monitor or virtual reality/augmented reality headset/glasses/equipment may induce an epileptic seizure, motion sickness even in persons who have no history of prior seizures or epilepsy. Tuxedo Labs takes no responsibility for such effects in the Game and advertising related to the Game and end results thereof and you are accessing and playing the Game and seeing the advertising on your own risk. Nor does Tuxedo Labs take any responsibility for motion sickness, any balance problem etc. that may occur from the playing of the Game or seeing the advertising etc.

10. Trademarks and Game marks
The names, logos, characters, brands and product and service names appearing in the Game and related services are trademarks/service marks or registered trademarks/service marks of Tuxedo Labs or third parties (the respective holders). The use of any such trademark, service mark or any confusingly similar marks without express written consent of the respective holder is strictly prohibited.

11. Ownership of the Game and related content
All title, ownership rights and intellectual property rights in and to the Game and any and all copies thereof, are owned by Tuxedo Labs, its affiliates and/or licensors. All rights are reserved, except as expressly stated in these Terms of Use. The Game may contain certain licensed materials and Tuxedo Labs, its affiliates and/or licensors may protect their rights in the event of any violation of these Terms of Use.

12. User Created Content and Intellectual Property
1) User Intellectual Property.
Through the Game Tuxedo Labs provides you with interfaces and tools, such as voxel models, level files, scripts, etc. owned by Tuxedo Labs, its affiliates and/or its licensors ("Tuxedo Labs Materials"), that you may use to create certain content such as, for example playable levels, different game modes, in-game items, stories, modifications and/or other Game related content ("User Created Content"). You may not use the Tuxedo Labs Materials or any other materials owned or controlled by Tuxedo Labs, its affiliates and/or licensors for any purpose other than for the creation of User Created Content in accordance with these Terms of Use. Except for any intellectual property rights owned by Tuxedo Labs, its affiliates and/or licensors, any intellectual property right and title to such User Created Content will remain with, and where applicable, will become, your intellectual property created and submitted by you for use in the Game ("User Intellectual Property"). User Created Content and User Intellectual Property containing Tuxedo Labs Materials may only be used in the Game, unless otherwise permitted by Tuxedo Labs. User Created Content and User Intellectual Property created by You which does not contain any Tuxedo Labs Materials or User Created Content and/or User Intellectual Property created by any third parties may be freely used by You outside of the Game.

2) License to User Created Content and User Intellectual Property.
By creating, submitting for publishing, uploading and/or publishing any User Created Content in or in connection with the Game and/or related websites or third party websites, services etc. such as Steam Workshop etc., You agree that Tuxedo Labs will be given an irrevocable, sub-licensable, assignable, perpetual, worldwide, paid in full, royalty-free license and right to use, utilize, perform, reproduce, incorporate in to the Game, modify, edit, public perform and display, distribute and make derivative works of Your User Created Content and any User Intellectual Property contained therein, separately or as part of any other materials of any kind of nature, for commercial and/or non-commercial use, in any and all media now known or hereafter devised.

If you provide Tuxedo Labs with any feedback, suggestions, ideas, gameplay mechanics or comments ("feedback") through the Game or User Created Content, Tuxedo Labs is free to use the Feedback however Tuxedo Labs chooses, without any obligation to account to you.

By making your User Created Content available through third party websites, services etc. such as Valve's platform for User Created Content ("Steam Workshop") etc., You also agree, acknowledge and consent to the fact that other End Users of the Game may use all or parts of your User Created Content for the purpose of creating new, additional and/or modified User Created Content for the Game and hereby give such users a license to use your User Created Content how they see fit, provided they follow the terms and conditions of this Terms of Use and any additional applicable guidelines and applicable laws.

3) Guidelines for User Created Content.
User Created Content must comply with all from time-to-time applicable laws, terms and conditions and guidelines. Your User Created Content may not contain any content (including, by way of example and not limitation, language, sounds, images, assets, code, designs, patterns, layouts and levels etc.) that includes, is or can be construed to be: (i) graphic depictions of gratuitous or excessive violence; (ii) sexually explicit, harmful, threatening, harassing, abusive, defamatory, obscene, vulgar, hateful, or racially and/or ethnically charged; (iii) depicting or promoting intoxication or substance abuse; (iv) depicting or promoting negative racial, ethnic, gender, political or religious stereotypes; (v) making negative or disrespectful use of religious symbolism; (vi) reflecting adversely on the name, reputation, or goodwill of Tuxedo Labs, its affiliates, licensors, partners, the platform(s) etc.; or (vii) any content otherwise in violation of these Terms of Use or the platform/service providers' at any time applicable terms regarding user created content.

4) Protection of Third-Party Rights.
You will be fully responsible for Your User Created Content. By making your User Created Content available through the Game or its connected platforms such as the Steam Workshop and/or websites, services etc., you warrant and represent that the User Created Content you post, submit, upload, publish etc. through the Game or in connection with the Game does not infringe on any third-party intellectual property rights or other rights under applicable laws (including such rights as privacy rights etc.). It is your responsibility to make sure that no copyright protected material owned or controlled by third parties is inserted into Your User Created Content without the prior written consent of such third party and that no open-source software is contained or uploaded therein in breach of any licensing or other terms for such open-source software.

5) End User Warranties for User Created Content and User Intellectual Property.
By creating, posting, uploading, submitting for publishing and/or publishing any User Created Content in or in connection with the Game You represent and warrant that: (i) You have all the necessary rights to grant the licenses contained herein; (ii) there is no suit, action, claim, or other legal or administrative proceeding now pending or threatened which might directly or indirectly affect any of your User Created Content, or any part thereof, or which might in anyway impair the rights granted by You herein; (iii) You have not made the User Created Content to be deliberately offensive or objectionable and that it complies with these Terms of Use, the from time to time applicable Guidelines for User Created Content as well as applicable laws; (iv) you will not use the materials owned or controlled by Tuxedo Labs, its affiliates and/or licensors for any other purpose than for creating User Created Content for the Game; and (v) You will indemnify and hold harmless Tuxedo Labs for all damages, costs and expenses incurred for breaching these warranties.

6) DLC Specific Modification, Alteration and Reproduction Regulations.
In the Game, Tuxedo Labs may from time to time release certain downloadable content. Downloadable content is additional content created for the Game distributed through platforms and/or game stores ("DLC"). Such content will be subject to the terms about User Created Content unless stated otherwise in this clause. Additional fees may be charged for the access and playing of DLC.

In relation to DLC, we give you the ability to modify the material to create User Created Content. However, this comes with the exception that if modified User created Content is in essence a reproduction of an entire level, a substantial part of a level or if modified User Created Content is very close or similar to being a reproduction of an entire or substantial part of a level (thereby capturing the look and feel of an existing DLC) such use will be considered a breach of these terms. We aim to be as clear as possible when/if we do these assessments but given the unique situation Tuxedo Labs will have to assess some User Created Content that captures the essence of an entire or a substantial part of a level on a case-by-case basis.


We encourage all forms of modification, altering or reproduction of Teardown materials as long as this is not done with the object or aim to circumvent the structure of the DLC, for example, for other players to play a mod that in essence is the same level as a DLC intended for purchase or infringes Tuxedo Labs’ or third parties’ intellectual property rights. Tuxedo Labs encourages all its users to creatively drive the Game forward by modification and altering the products released within the given limits in accordance with these Terms of Use.

7) Moral Rights.
For the purposes of this Agreement, "Moral Rights" means any rights of paternity or integrity, any right to claim authorship of User Created Content or User Intellectual Property, to object to any distortion, mutilation or other modification of, or derogatory action in relation to, any of such User Created Content whether or not such would be prejudicial to your honor or reputation, and any similar rights existing under judicial or statutory law of any country in the world, or under any treaty, regardless of whether such right is denominated or generally referred to as a "moral" right. You hereby, to the fullest extent of the law, irrevocably waive in favor of Tuxedo Labs and assigns any and all Moral Rights that you may have or claim to have in the User Created Content. You also hereby, to the fullest extent of the law, forever waive and agree to never assert any Moral Rights You may have or claim to have in the User Created Content, whether or not You or Tuxedo Labs henceforth terminate this Agreement, or terminates Your use of the Game.

8) Penalties and Actions.
Tuxedo Labs/or the applicable platform or service provider may at any time, in its sole discretion, without prior notice delete, remove, or otherwise disable access to any of Your User Created Content if Tuxedo Labs or the applicable platform provider believe Your User Created Content is infringing the intellectual property rights of someone else, violates the terms and conditions of these Terms of Use, any guidelines for User Created Content, Your warranties and representations under these Terms of Use or any applicable laws.

Tuxedo Labs reserves all rights to disable your access to the Game, if you are found in violation of these rules multiple times, or if, in Tuxedo Labs' sole opinion, your transgression motivates such a penalty.

If You believe Tuxedo Labs has removed your User Created Content by mistake, you may notify Tuxedo Labs at [email protected] and Tuxedo Labs may, but has no obligation to, provide You with an opportunity to appeal that decision.



9) Multiplayer User Created Content.
While joining another player’s game, lobby or match, User Created Content may be downloaded to Your Game. Tuxedo Labs does not guarantee that the User Created Content complies with all obligations as set in this Agreement. When joining other player’s game, lobby or match, You accept that You do so on Your own risk. This, however, shall only apply to published User Created Content.
13. Take Down Notice
The Publisher respects the intellectual property of others and expects our End Users and third parties to do so as well. If the Publisher is notified of, or discovers, any potentially infringing content, it will disable access or remove such content without undue delay. You shall confirm and cooperate with such removals.

If You have well founded reason to believe content in or accessible through the Game is in violation of copyright or trademark rights, You shall immediately notify the Publisher of such use. If such a request is made by a third party claiming to be the rightful owner or licensor of the content in questions, You shall advice the third party to file a competent “Take Down Notice” including the information set out below:

• A statement identifying in sufficient detail the work or intellectual property You claim has been infringed, or – if multiple works are covered by this Take Down Notice – You may also provide a representative list of the works You claim have been infringed;
• A statement identifying in sufficient detail the work, content, or intellectual property You claim to be infringing and, if possible, its location within the Game, so that the material can be located;
• A statement that You have a good faith belief that use of the content or material identified in the Take Down Notice is not authorized by the owner of the intellectual property, an agent of the owner, or applicable law;
• A statement that the information in the Take Down Notice is accurate, and under penalty of perjury, that You are the owner or are authorized to act on behalf of the owner of the work or intellectual property that is allegedly being infringed; and
• Sufficient contact details for the person making the complaint, including an address, telephone number, and e-mail address as well as the physical or electronic signature of the person making the complaint. All such personal data to be handled according to our Privacy Policy.

Any such Take Down Notice must be submitted to the Publisher at [email protected]. [LR1.1]

The Publisher will respond to any claims of copyright infringement or other infringement committed using the Game that are reported through a completed Take Down Notice. After reviewing a Take Down Notice, the Publisher will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Game or disabling access to it. The Publisher may notify the alleged infringer of Your claim and You expressly authorize the Publishers to do so.

14. Prohibited use
You agree to abide by all applicable laws and regulations when using or accessing the Game. Your continued use or access to the Game and right to play the Game, including but not limited to Your right to generate content for the Game, is subject to proper conduct. Without limiting Tuxedo Labs's rights to control the Game's environment, and the conduct of the End Users within that environment, Tuxedo Labs prohibits the following practices that Tuxedo Labs has determined detract from the overall user experience and you are strictly prohibited from:
1) Use, post, upload, link, modify the Game is subjector altering any representation of the Game to proper conduct. Without limitinginclude, any sexually explicit, harmful, threatening, abusive, defamatory, obscene, hateful, racially or ethnically offensive language, images or content;

2) Advertising the intent to or commit the act of buying, selling, trading, sharing, or transferring access to the Game;

3) Creating, using, or providing any emulator or other site where the Game may be played, and you will not post or distribute any emulators or other software tools which allow for the Game to be emulated or played on another basis than the one provided by Tuxedo Labs'sLabs, without the express written permission of Tuxedo Labs;

4) Downloading, extracting or otherwise accessing or using third-party content related to the Game through Game files or Game directory, especially for files that are intentionally made unreadable (.tde file extension), unless granted explicit consent by the relevant rights owner;

5) Using the Game for User Created Content in a manner not compliant with applicable laws, terms and conditions contained herein and any applicable guidelines;

6) Using the User Created Content in other games, products or services;

7) You may not modify any part of the Game, or Clients, servers in such a way as to control the Game's environment, and thepromote any other of the prohibited uses hereunder, including using harmful or offensive material;

8) You may not use the Game for any illegal purpose or arrange for the exchange or transfer of any pirated or illegal software in the Game. You may not organize nor be a member of any pledges or groups within the Game that are based on or espouse any racist, sexist, anti-religious, anti-ethnic, anti-gay, or other hate-mongering philosophies;

9) You will not attempt to interfere with, hack into, or decipher any transmissions to or from the servers or platforms running the Game;

10) Disrespecting the rights of others and their rights to play and enjoy the Game. You may not defraud, harass or threaten other players;

11) You may not post or communicate any player's real-world information (name, address, account name, etc.) in the Game, on the websites or in any other forum or media, or make public anyone’s identification documents or sensitive financial information, or post such information in the Game or other permitted websites;

12) You may not harvest or collect email addresses or other contact information of other users from the Game by electronic or other means, for example for the purposes of sending unsolicited emails or other unsolicited communications;

13) You may not solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes;

14) You may not impersonate another person, the Publisher, their representatives, employees, consultants, partners etc., misrepresent Your affiliation with an entity or person, hide or attempt to hide Your identity, or otherwise conduct of the End Users within that environment, Tuxedo Labs prohibits the following practices that Tuxedo Labs has determined detract from the overall user experience and you are strictly prohibited from:

1) Modifying the Game or altering any representation of the Game to include any sexually explicit, harmful, threatening, abusive, defamatory, obscene, hateful, racially or ethnically offensive language, images or content;

2) Advertising the intent to or commit the act of buying, selling, trading, sharing, or transferring access to the Game;

3) Creating, using, or providing any emulator or other site where the Game may be played, and you will not post or distribute any emulators or other software tools which allow for the Game to be emulated or played on another basis than the one provided by Tuxedo Labs, without the express written permission of Tuxedo Labs;

4) Downloading, extracting or otherwise accessing or using third-party content related to the Game through Game files or Game directory, especially for files that are intentionally made unreadable (.tde file extension), unless granted explicit consent by the relevant rights owner;

5) Using the Game for User Created Content in a manner not compliant with applicable laws, terms and conditions contained herein and any applicable guidelines;

6) Using the User Created Content in other games, products or services;

7) fraud;

15) Otherwise use the Game in any manner that breaches the terms and conditions of the Terms of Use or the Privacy Policy.

If you post recordings of your playing of the Game on sites like Twitch.com, YouTube.com etc. you shall refer to the name of the Game and give Tuxedo Labs credit as the developer of the Game. Such recordings and postings shall be done in good taste.

The Publisher and the platform/service providers can close down Your account and stop Your access to the Game for any reason, at any time, without notice, including, but not limited to, if we believe that You violate this EULA, the Privacy Policy, or our policies.

15. Electronic communications
When you play the Game or send e-mails to us, you are communicating with us electronically. You consent to receiving communications from us electronically and communicate with us electronically. We will communicate with you by e-mail or by posting notices in the Game or by any other means Tuxedo Labs finds suitable. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically (whether by email, posting notice in the Game or otherwise) satisfy any legal requirement that such communications be in writing.

15.16. Disputes
OUR GOAL IS TO RESOLVE DISPUTES FAIRLY AND QUICKLY. FOR ALL DISPUTES AGAINST TUXEDO LABS, YOU AGREE TO FIRST CONTACT TUXEDO LABS AND TRY TO RESOLVE THE DISPUTE INFORMALLY BY SENDING A WRITTEN NOTICE OF THE CLAIM ("NOTICE") TO TUXEDO LABS. THE NOTICE MUST BE SENT BY EMAIL WITH CONFIRMATION OF RECEIPT. THE NOTICE MUST (A) INCLUDE YOUR NAME, YOUR RESIDENTIAL ADDRESS AND E-MAIL ADDRESS AND / OR MOBILE PHONE NUMBER; (B) DESCRIBE THE TYPE AND REASON FOR THE CLAIM; AND (C) SPECIFY THE SPECIFIC COMPENSATION SOUGHT. IF YOU AND TUXEDO LABS CANNOT AGREE ON A SOLUTION TO THE DISPUTE WITHIN 60 DAYS OF RECEIVING SUCH A NOTICE, EITHER PARTY MAY INITIATE LEGAL PROCEEDINGS IN ACCORDANCE WITH SECTIONS 16-18.

17. Class action waiver
YOU AGREE THAT ANY CLAIMS MUST BE MADE IN YOUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.18. Claims
YOU AND TUXEDO LABS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OF USE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

18.19. Governing law
This Agreement shall be governed by and construed in accordance with the laws of Sweden, without giving effect to any principles of conflicts of law, and the parties hereby consent to the sole and exclusive jurisdiction of the courts of Sweden, with the district court of Lund (Lunds Tingsratt)Malmö (Malmö tingsrätt) as first venue, to resolve any disputes arising out of or relating to this Agreement.

19.20. Severability
If for any reason any provision of the Terms of Use shall be held invalid or unenforceable in whole or in part in any applicable jurisdiction, such provision shall, as to such jurisdiction, be ineffective only to the extent of such invalidity or unenforceability without in any manner affecting the validity or enforceability thereof in any other jurisdiction or the remaining provisions hereof in any jurisdiction.

20.21. Modification
Tuxedo Labs reserves the right, at its discretion, to update or revise the Terms of Use at any time. Tuxedo Labs will post such changes either in the Game, on forums related to the Game or on the Game's website, and these additional or revised terms will become part of the Terms of Use. Please check this Terms of Use document periodically for changes. Your continued playing of the Game constitutes your binding acceptance of the Terms of Use, including any changes or modifications made by Tuxedo Labs as permitted above.

21.22. Entire agreement, Assignment
These Terms of Use constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter. Tuxedo Labs may assign its rights under the Terms of Use without notice to you. You may not assign Your rights under the Terms of Use.

                <br>TUXEDO LABS DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD-PARTY IN THE GAME OR IN RELATION TO THE GAME, THROUGH THE PLATFORMS, OR ANY HYPERLINKED WEBSITE OR FEATURE IN ANY BANNER OR OTHER ADVERTISING, AND TUXEDO LABS WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES.<br><br>

                9. Seizure warning, motion sickness etc.
                </b>
                <br>In rare instances, some users may experience seizures when exposed to certain light patterns or flashing lights in the Game and/or advertising related to the Game. Exposure to certain light patterns or backgrounds on a video monitor or virtual reality/augmented reality headset/glasses/equipment may induce an epileptic seizure, motion sickness even in persons who have no history of prior seizures or epilepsy. Tuxedo Labs takes no responsibility for such effects in the Game and advertising related to the Game and end results thereof and you are accessing and playing the Game and seeing the advertising on your own risk. Nor does Tuxedo Labs take any responsibility for motion sickness, any balance problem etc. that may occur from the playing of the Game or seeing the advertising etc.<br><br>

                10. Trademarks and Game marks
                </b>
                <br>The names, logos, characters, brands and product and service names appearing in the Game and related services are trademarks/service marks or registered trademarks/service marks of Tuxedo Labs or third parties (the respective holders). The use of any such trademark, service mark or any confusingly similar marks without express written consent of the respective holder is strictly prohibited.<br><br>

                11. Ownership of the Game and related content

                <br>All title, ownership rights and intellectual property rights in and to the Game and any and all copies thereof, are owned by Tuxedo Labs, its affiliates and/or licensors. All rights are reserved, except as expressly stated in these Terms of Use. The Game may contain certain licensed materials and Tuxedo Labs, its affiliates and/or licensors may protect their rights in the event of any violation of these Terms of Use.<br><br>

                12. User Created Content and Intellectual Property
                </b>

                User Intellectual Property.

                <br>Through the Game Tuxedo Labs provides you with interfaces and tools, such as voxel models, level files, scripts, etc. owned by Tuxedo Labs, its affiliates and/or its licensors ("Tuxedo Labs Materials"), that you may use to create certain content such as, for example playable levels, different game modes, in-game items, stories, modifications and/or other Game related content ("User Created Content"). You may not use the Tuxedo Labs Materials or any other materials owned or controlled by Tuxedo Labs, its affiliates and/or licensors for any purpose other than for the creation of User Created Content in accordance with these Terms of Use. Except for any intellectual property rights owned by Tuxedo Labs, its affiliates and/or licensors, any intellectual property right and title to such User Created Content will remain with, and where applicable, will become, your intellectual property created and submitted by you for use in the Game ("User Intellectual Property"). User Created Content and User Intellectual Property containing Tuxedo Labs Materials may only be used in the Game, unless otherwise permitted by Tuxedo Labs. User Created Content and User Intellectual Property created by You which does not contain any Tuxedo Labs Materials or User Created Content and/or User Intellectual Property created by any third parties may be freely used by You outside of the Game.

                License to User Created Content and User Intellectual Property.
                </u>
                <br>By creating, submitting for publishing, uploading and/or publishing any User Created Content in or in connection with the Game and/or related websites or third party websites, services etc. such as Steam Workshop etc., You agree that Tuxedo Labs will be given an irrevocable, sub-licensable, assignable, perpetual, worldwide, paid in full, royalty-free license and right to use, utilize, perform, reproduce, incorporate in to the Game, modify, edit, public perform and display, distribute and make derivative works of Your User Created Content and any User Intellectual Property contained therein, separately or as part of any other materials of any kind of nature, for commercial and/or non-commercial use, in any and all media now known or hereafter devised.
                 
                <br><br>If you provide Tuxedo Labs with any feedback, suggestions, ideas, gameplay mechanics or comments ("feedback") through the Game or User Created Content, Tuxedo Labs is free to use the Feedback however Tuxedo Labs chooses, without any obligation to account to you.<br><br>By making your User Created Content available through third party websites, services etc. such as Valve's platform for User Created Content ("Steam Workshop") etc., You also agree, acknowledge and consent to the fact that other End Users of the Game may use all or parts of your User Created Content for the purpose of creating new, additional and/or modified User Created Content for the Game and hereby give such users a license to use your User Created Content how they see fit, provided they follow the terms and conditions of this Terms of Use and any additional applicable guidelines and applicable laws.<br><br>3)

                Guidelines for User Created Content.
                </u>
                <br>User Created Content must comply with all from time-to-time applicable laws, terms and conditions and guidelines. Your User Created Content may not contain any content (including, by way of example and not limitation, language, sounds, images, assets, code, designs, patterns, layouts and levels etc.) that includes, is or can be construed to be: (i) graphic depictions of gratuitous or excessive violence; (ii) sexually explicit, harmful, threatening, harassing, abusive, defamatory, obscene, vulgar, hateful, or racially and/or ethnically charged; (iii) depicting or promoting intoxication or substance abuse; (iv) depicting or promoting negative racial, ethnic, gender, political or religious stereotypes; (v) making negative or disrespectful use of religious symbolism; (vi) reflecting adversely on the name, reputation, or goodwill of Tuxedo Labs, its affiliates, licensors, partners, the platform(s) etc.; or (vii) any content otherwise in violation of these Terms of Use or the platform/service providers' at any time applicable terms regarding user created content.<br><br>4) 
                <u>
                Protection of Third-Party Rights.
                </u>
                <br>You will be fully responsible for Your User Created Content. By making your User Created Content available through the Game or its connected platforms such as the Steam Workshop and/or websites, services etc., you warrant and represent that the User Created Content you post, submit, upload, publish etc. through the Game or in connection with the Game does not infringe on any third-party intellectual property rights or other rights under applicable laws (including such rights as privacy rights etc.). It is your responsibility to make sure that no copyright protected material owned or controlled by third parties is inserted into Your User Created Content without the prior written consent of such third party and that no open-source software is contained or uploaded therein in breach of any licensing or other terms for such open-source software.
                 
                <br><br>5)

                End User Warranties for User Created Content and User Intellectual Property.
                </u>
                <br>By creating, posting, uploading, submitting for publishing and/or publishing any User Created Content in or in connection with the Game You represent and warrant that: (i) You have all the necessary rights to grant the licenses contained herein; (ii) there is no suit, action, claim, or other legal or administrative proceeding now pending or threatened which might directly or indirectly affect any of your User Created Content, or any part thereof, or which might in anyway impair the rights granted by You herein; (iii) You have not made the User Created Content to be deliberately offensive or objectionable and that it complies with these Terms of Use, the from time to time applicable Guidelines for User Created Content as well as applicable laws; (iv) you will not use the materials owned or controlled by Tuxedo Labs, its affiliates and/or licensors for any other purpose than for creating User Created Content for the Game; and (v) You will indemnify and hold harmless Tuxedo Labs for all damages, costs and expenses incurred for breaching these warranties.<br><br>6) 
                <u>
                DLC Specific Modification, Alteration and Reproduction Regulations.
                </u>
                <br>In the Game, Tuxedo Labs may from time to time release certain downloadable content. Downloadable content is additional content created for the Game distributed through platforms and/or game stores ("DLC"). Such content will be subject to the terms about User Created Content unless stated otherwise in this clause. Additional fees may be charged for the access and playing of DLC.<br>
                 
                <br>In relation to DLC, we give you the ability to modify the material to create User Created Content. However, this comes with the exception that if modified User created Content is in essence a reproduction of an entire level, a substantial part of a level or if modified User Created Content is very close or similar to being a reproduction of an entire or substantial part of a level (thereby capturing the look and feel of an existing DLC) such use will be considered a breach of these terms. We aim to be as clear as possible when/if we do these assessments but given the unique situation Tuxedo Labs will have to assess some User Created Content that captures the essence of an entire or a substantial part of a level on a case-by-case basis.

                <br>We encourage all forms of modification, altering or reproduction of Teardown materials as long as this is not done with the object or aim to circumvent the structure of the DLC, for example, for other players to play a mod that in essence is the same level as a DLC intended for purchase or infringes Tuxedo Labs’ or third parties’ intellectual property rights. Tuxedo Labs encourages all its users to creatively drive the Game forward by modification and altering the products released within the given limits in accordance with these Terms of Use.
                 
                <br><br>7) 
                <u>
                Moral Rights.
                </u>
                <br>For the purposes of this Agreement, "Moral Rights" means any rights of paternity or integrity, any right to claim authorship of User Created Content or User Intellectual Property, to object to any distortion, mutilation or other modification of, or derogatory action in relation to, any of such User Created Content whether or not such would be prejudicial to your honor or reputation, and any similar rights existing under judicial or statutory law of any country in the world, or under any treaty, regardless of whether such right is denominated or generally referred to as a "moral" right. You hereby, to the fullest extent of the law, irrevocably waive in favor of Tuxedo Labs and assigns any and all Moral Rights that you may have or claim to have in the User Created Content. You also hereby, to the fullest extent of the law, forever waive and agree to never assert any Moral Rights You may have or claim to have in the User Created Content, whether or not You or Tuxedo Labs henceforth terminate this Agreement, or terminates Your use of the Game.<br><br>8)

                Penalties and Actions.
                </u>
                <br>Tuxedo Labs/or the applicable platform or service provider may at any time, in its sole discretion, without prior notice delete, remove, or otherwise disable access to any of Your User Created Content if Tuxedo Labs or the applicable platform provider believe Your User Created Content is infringing the intellectual property rights of someone else, violates the terms and conditions of these Terms of Use, any guidelines for User Created Content, Your warranties and representations under these Terms of Use or any applicable laws.
                 
                <br><br>Tuxedo Labs reserves all rights to disable your access to the Game, if you are found in violation of these rules multiple times, or if, in Tuxedo Labs' sole opinion, your transgression motivates such a penalty.
                 
                <br><br>If You believe Tuxedo Labs has removed your User Created Content by mistake, you may notify Tuxedo Labs at <a href="mailto:[email protected]">[email protected]</a> and Tuxedo Labs may, but has no obligation to, provide You with an opportunity to appeal that decision.
                 <br><br><b>
                <br><br>9) Multiplayer User Created Content.<br>While joining another player’s game, lobby or match, User Created Content may be downloaded to Your Game. Tuxedo Labs does not guarantee that the User Created Content complies with all obligations as set in this Agreement. When joining other player’s game, lobby or match, You accept that You do so on Your own risk. This, however, shall only apply to published User Created Content.<br>

                Take Down Notice<br>The Publisher respects the intellectual property of others and expects our End Users and third parties to do so as well. If the Publisher is notified of, or discovers, any potentially infringing content, it will disable access or remove such content without undue delay. You shall confirm and cooperate with such removals.<br><br>If You have well founded reason to believe content in or accessible through the Game is in violation of copyright or trademark rights, You shall immediately notify the Publisher of such use. If such a request is made by a third party claiming to be the rightful owner or licensor of the content in questions, You shall advice the third party to file a competent “Take Down Notice” including the information set out below:<br><br>•	A statement identifying in sufficient detail the work or intellectual property You claim has been infringed, or – if multiple works are covered by this Take Down Notice – You may also provide a representative list of the works You claim have been infringed;<br>•	A statement identifying in sufficient detail the work, content, or intellectual property You claim to be infringing and, if possible, its location within the Game, so that the material can be located;<br>•	A statement that You have a good faith belief that use of the content or material identified in the Take Down Notice is not authorized by the owner of the intellectual property, an agent of the owner, or applicable law;<br>•	A statement that the information in the Take Down Notice is accurate, and under penalty of perjury, that You are the owner or are authorized to act on behalf of the owner of the work or intellectual property that is allegedly being infringed; and<br>•	Sufficient contact details for the person making the complaint, including an address, telephone number, and e-mail address as well as the physical or electronic signature of the person making the complaint. All such personal data to be handled according to our Privacy Policy.<br><br>Any such Take Down Notice must be submitted to the Publisher at <a href="mailto:[email protected]">[email protected]</a>. [LR1.1]<br><br>The Publisher will respond to any claims of copyright infringement or other infringement committed using the Game that are reported through a completed Take Down Notice. After reviewing a Take Down Notice, the Publisher will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged material from the Game or disabling access to it. The Publisher may notify the alleged infringer of Your claim and You expressly authorize the Publishers to do so.<br><br>14. 
                Prohibited use
                </b>
                <br>You agree to abide by all applicable laws and regulations when using or accessing the Game. Your continued use or access to the Game and right to play the 
                Game, including but not limited to Your right to generate content for the Game, is subject to proper conduct. Without limiting Tuxedo Labs's rights to control the Game's environment, and the conduct of the End Users within that environment, Tuxedo Labs prohibits the following practices that Tuxedo Labs has determined detract from the overall user experience and you are strictly prohibited from:<br>1)	Use, post, upload, link, modify the 
                Game 
                is subject
                or altering any representation of the Game
                 to 
                proper conduct. Without limiting
                include, any sexually explicit, harmful, threatening, abusive, defamatory, obscene, hateful, racially or ethnically offensive language, images or content;<br><br>2)	Advertising the intent to or commit the act of buying, selling, trading, sharing, or transferring access to the Game;<br><br>3)	Creating, using, or providing any emulator or other site where the Game may be played, and you will not post or distribute any emulators or other software tools which allow for the Game to be emulated or played on another basis than the one provided by
                 Tuxedo 
                Labs's
                Labs, without the express written permission of Tuxedo Labs;<br><br>4)	Downloading, extracting or otherwise accessing or using third-party content related to the Game through Game files or Game directory, especially for files that are intentionally made unreadable (.tde file extension), unless granted explicit consent by the relevant
                 rights 
                owner;<br><br>5)	Using the Game for User Created Content in a manner not compliant with applicable laws, terms and conditions contained herein and any applicable guidelines;<br><br>6)	Using the User Created Content in other games, products or services;<br><br>7)	You may not modify any part of the Game, or Clients, servers in such a way as 
                to 
                control the Game's environment, and the
                promote any other of the prohibited uses hereunder, including using harmful or offensive material;<br><br>8)	You may not use the Game for any illegal purpose or arrange for the exchange or transfer of any pirated or illegal software in the Game. You may not organize nor be a member of any pledges or groups within the Game that are based on or espouse any racist, sexist, anti-religious, anti-ethnic, anti-gay, or other hate-mongering philosophies;<br><br>9)	You will not attempt to interfere with, hack into, or decipher any transmissions to or from the servers or platforms running the Game;<br><br>10)	Disrespecting the rights of others and their rights to play and enjoy the Game. You may not defraud, harass or threaten other players;<br><br>11)	You may not post or communicate any player's real-world information (name, address, account name, etc.) in the Game, on the websites or in any other forum or media, or make public anyone’s identification documents or sensitive financial information, or post such information in the Game or other permitted websites;<br><br>12)	You may not harvest or collect email addresses or other contact information of other users from the Game by electronic or other means, for example for the purposes of sending unsolicited emails or other unsolicited communications;<br><br>13)	You may not solicit personal information from anyone under 18 or solicit passwords or personally identifying information for commercial or unlawful purposes;<br><br>14)	You may not impersonate another person, the Publisher, their representatives, employees, consultants, partners etc., misrepresent Your affiliation with an entity or person, hide or attempt to hide Your identity, or otherwise
                 conduct 
                of the End Users within that environment, Tuxedo Labs prohibits the following practices that Tuxedo Labs has determined detract from the overall user experience and you are strictly prohibited from:<br><br>1) Modifying the Game or altering any representation of the Game to include any sexually explicit, harmful, threatening, abusive, defamatory, obscene, hateful, racially or ethnically offensive language, images or content;<br><br>2) Advertising the intent to or commit the act of buying, selling, trading, sharing, or transferring access to the Game;<br><br>3) Creating, using, or providing any emulator or other site where the Game may be played, and you will not post or distribute any emulators or other software tools which allow for the Game to be emulated or played on another basis than the one provided by Tuxedo Labs, without the express written permission of Tuxedo Labs;<br><br>4) Downloading, extracting or otherwise accessing or using third-party content related to the Game through Game files or Game directory, especially for files that are intentionally made unreadable (.tde file extension), unless granted explicit consent by the relevant rights owner;<br><br>5) Using the Game for User Created Content in a manner not compliant with applicable laws, terms and conditions contained herein and any applicable guidelines;<br><br>6) Using the User Created Content in other games, products or services;<br><br>7) 
                fraud;<br><br>15)	
                Otherwise use the Game in any manner that breaches the terms and conditions of the Terms of Use or the Privacy Policy.<br><br>If you post recordings of your playing of the Game on sites like <a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2FTwitch.com" target="_blank" rel=" noopener">Twitch.com</a>, <a class="bb_link" href="http://YouTube.com" target="_blank" rel="">YouTube.com</a> etc. you shall refer to the name of the Game and give Tuxedo Labs credit as the developer of the Game. Such recordings and postings shall be done in good taste.
                 <br><br><b>14.
                <br><br>The Publisher and the platform/service providers can close down Your account and stop Your access to the Game for any reason, at any time, without notice, including, but not limited to, if we believe that You violate this EULA, the Privacy Policy, or our policies.<br><br>15.
                 Electronic communications
                </b>
                <br>When you play the Game or send e-mails to us, you are communicating with us electronically. You consent to receiving communications from us electronically and communicate with us electronically. We will communicate with you by e-mail or by posting notices in the Game or by any other means Tuxedo Labs finds suitable. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically (whether by email, posting notice in the Game or otherwise) satisfy any legal requirement that such communications be in writing.<br><br>

                 Disputes
                </b>
                <br>OUR GOAL IS TO RESOLVE DISPUTES FAIRLY AND QUICKLY. FOR ALL DISPUTES AGAINST TUXEDO LABS, YOU AGREE TO FIRST CONTACT TUXEDO LABS AND TRY TO RESOLVE THE DISPUTE INFORMALLY BY SENDING A WRITTEN NOTICE OF THE CLAIM ("NOTICE") TO TUXEDO LABS. THE NOTICE MUST BE SENT BY EMAIL WITH CONFIRMATION OF RECEIPT. THE NOTICE MUST (A) INCLUDE YOUR NAME, YOUR RESIDENTIAL ADDRESS AND E-MAIL ADDRESS AND / OR MOBILE PHONE NUMBER; (B) DESCRIBE THE TYPE AND REASON FOR THE CLAIM; AND (C) SPECIFY THE SPECIFIC COMPENSATION SOUGHT. IF YOU AND
                  
                 
                TUXEDO LABS CANNOT AGREE ON A SOLUTION TO THE DISPUTE WITHIN 60 DAYS OF RECEIVING SUCH A NOTICE, EITHER PARTY MAY INITIATE LEGAL PROCEEDINGS IN ACCORDANCE WITH SECTIONS

                 Class action waiver
                </b>

                 Claims
                </b>
                <br>YOU AND TUXEDO LABS AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OF USE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.<br><br>

                 Governing law
                </b>
                <br>This Agreement shall be governed by and construed in accordance with the laws of Sweden, without giving effect to any principles of conflicts of law, and the parties hereby consent to the sole and exclusive jurisdiction of the courts of Sweden, with the district court of 
                Lund (Lunds Tingsratt)
                Malmö (Malmö tingsrätt)
                 as first venue, to resolve any disputes arising out of or relating to this Agreement.<br><br>
                <b>19.

                 Severability
                </b>
                <br>If for any reason any provision of the Terms of Use shall be held invalid or unenforceable in whole or in part in any applicable jurisdiction, such provision shall, as to such jurisdiction, be ineffective only to the extent of such invalidity or unenforceability without in any manner affecting the validity or enforceability thereof in any other jurisdiction or the remaining provisions hereof in any jurisdiction.<br><br>

                 Modification
                </b>
                <br>Tuxedo Labs reserves the right, at its discretion, to update or revise the Terms of Use at any time. Tuxedo Labs will post such changes either in the Game, on forums related to the Game or on the Game's website, and these additional or revised terms will become part of the Terms of Use. Please check this Terms of Use document periodically for changes. Your continued playing of the Game constitutes your binding acceptance of the Terms of Use, including any changes or modifications made by Tuxedo Labs as permitted above.<br><br>

                 Entire agreement, Assignment
                </b>
                <br>These Terms of Use constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to such subject matter.
