This End User License Agreement (the “EULA”) between you and Patrik Medek, with registered office at Nové sady 988/2, Staré Brno, 602 00 Brno, Czech Republic, ID No.: 197 02 825 (“I”, “me”, “my” or “myself”), governs your access to and use of the video game “Space Aces” including its individual elements and related content (including the Store Content as defined within the Terms as referred to in Section ‎5 of this EULA), software, upgrades, patches, mods and other User Generated Content (the “UGC”), features, launchers, accompanying manual(s), and other written files, including electronic or on-line materials and documentation (jointly as the “Game”).

1. COMPATIBILITY

Minimum Requirements Before creating your User Account and accessing the Game, you should ensure that your device is compatible with the minimum system requirements available via steam store, as the effective performance of the Game depends on it. If your device does not meet the minimum requirements, you may experience suboptimal functionality or be unable to use the Game.

Internet Connection. The Game requires a stable Internet connection to be playable and to perform various online operations necessary to ensure smooth gameplay. Please ensure that your operator provides you with sufficient service.

1. USER ACCOUNT

User Account. To access the Game, you need to set up and maintain a user account (the “User Account”) by registering either at https://www.steam.space-aces.com with a valid email address or via the Steam platform (each a “Registration Method”). A User Account created through either Registration Method shall constitute a User Account for the purposes of this EULA; however, the scope and manner of creation, authentication, management, and functionality of the User Account may differ depending on the Registration Method used, and the provisions of this EULA relating to the User Account shall apply accordingly and to the extent compatible with the relevant Registration Method. By downloading, installing, launching, or otherwise using the Game (including by creating or using a User Account via Steam), you enter into and agree to be bound by this EULA and the Terms (as referred to in Section ‎5 of this EULA). If Steam presents this EULA to you for acceptance in the Steam client or during installation/first launch, your acceptance through Steam constitutes acceptance of this EULA. You must be 15 years of age or older to create the User Account (or the minimum age required by the law of your country of residence, if higher). If you are younger, please have your parent or other legal guardian review this EULA and enter into this EULA on your behalf. After successful registration, you will be sent a validation e-mail. To validate your User Account, also allowing you access to the Game community Discord server, you will be required to validate your User Account by linking your Discord account to your User Account via link included in the validation e-mail. Be aware that due to the above, you will also be subject to the Discord terms of service, available at: https://discord.com/terms. Should you have any inquiries about the Discord terms of service, please direct your questions to them directly.

Steam Registration. If you register or access the Game via the Steam platform, the User Account will be created, authenticated, and managed through Steam. In such case, certain features, settings, or account-related actions described in this EULA may be handled through Steam or may not be available in the same manner as for User Accounts created via my website. You acknowledge and agree that your use of Steam is subject to the Steam Subscriber Agreement and related Steam terms and policies, as made available by Valve Corporation at https://store.steampowered.com/subscriber_agreement/.

Correct Information. Make sure that the information you provide about yourself during the User Account registration is accurate, truthful and complete. If I find out that you’ve provided false, inaccurate or incomplete information about yourself.

Account Exclusivity. Your User Account is personal and cannot be transferred, sold, leased, licensed, rented, or re-registered by someone else. This rule ensures your User Account stays secure and personal to you.

Login Credentials. When setting up your User Account, you'll be required to select a unique username and password (the “Login Credentials”). You agree not to share your Login Credentials with anyone, nor will you sell, transfer, or allow any other person to access your Login Credentials, or offer to do so. Additionally, you are responsible for keeping your Login Credentials confidential.

Security Breach Protocol. Should you become aware of any security breach, including unauthorized access to your User Account or any loss, theft, or unauthorized use or disclosure of your Login Credentials, it is imperative that you inform me immediately. This allows me to take necessary actions to protect your User Account. You will be held responsible for any losses incurred on your User Account, resulting from your sharing of the Login Credentials or failure to secure your User Account and its details. I reserve the right to request and/or require you to alter your Login Credentials if I believe that they are no longer secure.

Suspension and Termination of User Account. You may terminate or suspend your User Account at any time by contacting us at http://mailto:[email protected]. I may immediately suspend your User Account for various reasons, including breach of this EULA, to protect the Game's community or if I discontinue to provide the Game (I'll give appropriate advance notice). My decisions may be based on automated decision making. I reserve the right to terminate your User Account and the EULA altogether, especially if your material breach of the EULA and/or the Terms (including the Rules of Conduct outlined in Section 13 below) is confirmed, or if you fail to remedy a breach thereof within a specified timeframe.

Consequences of Termination. Termination of your User Account means automatic termination of the EULA and loss of access to your User Account and all associated content and data (including the Store Content as defined within the Terms as referred to in Section ‎5 of this EULA), which may lead to your inability to use the Game. There will be no refunds or liability on my part for such termination. Each person is allowed to only have one active User Account. I may terminate any other User Accounts you have for the Game.

User Account Inactivity. Prolonged inactivity for a duration of 12 months may result in your User Account suspension. You will be given prior notice (via e-mail used for registering your User Account) and an opportunity to reactivate your User Account. Failure to reactivate your User Account after this notice may result in its termination.

1. YOUR RIGHTS TO THE GAME

License. Provided that you have entered into this EULA in accordance with Section ‎2 and legally obtained access to the Game, I hereby grant you, effective upon your acceptance of this EULA and your lawful access to the Game (including via Steam), a personal, limited, non-transferable, non-assignable, non-sublicensable, freely revocable, and non-exclusive license to use the Game solely for non-commercial and private play on a single game platform, i.e., PC (the “License”). The License is expressly conditioned on your compliance with this EULA, which means that I may terminate the License and this EULA immediately if I determine that you have violated this EULA, which means that you will no longer be able to use the Game. The License also automatically terminates upon the earlier of your disposal of the Game (i.e., when you delete it from your device or upon termination/deletion of your User Account) or the termination of this EULA.

Ownership. The Game is licensed and made available to you, not sold. I and my licensors own and reserve all rights, titles and interest in and to the Game and its individual elements (including intellectual property rights).

Security and Access Management. The Game may include measures designed to regulate access, ensure proper use of features and content, and prevent unauthorized copying, which you must comply with. Your use of the Game will be actively monitored to ensure it complies with this EULA and the law and for other reasons, including preventing cheating and hacking, curbing toxic player behavior, and enhancing the overall Game experience. Attempting to interfere with, disable, or circumvent these security measures is prohibited and may result in the Game not operating correctly and/or suspension of your access to the Game (including termination of your User Account and this EULA).

Single Device. You may install the Game on different devices, but you may only run the Game on one device at a time.

1. RESTRICTIONS AND OBLIGATIONS

Usage Restrictions. You're not allowed to copy, reproduce, change, distribute, resell or otherwise commercialize the Game, in whole or in part, without my express written permission. Additionally, you must not, nor assist others to, use or tamper with the Game in any way that is not expressly allowed by this EULA or is outright prohibited herein or by applicable law.

Technical Misuse and Cheating. Without my explicit written permission, modifying, merging, distributing, translating, reverse engineering, decompiling, or disassembling the Game is prohibited, except as explicitly allowed by this EULA. Creating, using, or distributing cheats such as exploits, bots, hacks, and any software that affect the Game in any way, is forbidden.

Interference. Deliberately disrupting the Game services, impersonating staff, or maliciously interfering with my or third-party IT systems, including network software or servers through harmful activities (tunneling, code injection, denial of service attacks, or creating private servers), is not permitted. Any attempts to manipulate in-Game technologies to produce content in violation of this EULA or applicable laws are prohibited. This includes exploiting the Game's systems to bypass content filters and other guard railing technologies or to generate prohibited content. These restrictions are in place to maintain the integrity of the Game and ensure the safety and respect of our community.

Data Privacy and Intellectual Property. You are not allowed to (a) mine, scrape or collect information from the Game, (b) use “Space Aces” sign, brand, trademarks, trade names, or any other designations in the Game without prior authorization, or (c) engage in any activity that infringes upon any intellectual property or privacy rights.

Prohibited Actions. Uploading files that contain malicious code (viruses, spyware, worms, and other malware) to the Game, inputting any real person’s personal data into the Game, other than yours for the purposes described in the Privacy Policy, uploading or inputting any content that infringes the intellectual property rights or other rights of third parties, disregarding applicable geographic restrictions, or using the Game in any offensive, discriminatory, or illegal manner is strictly prohibited and may lead to immediate termination of your User Account and/or this EULA.

1. IN-GAME CONTENT

Third-Party Rights. Any protected asset owner or their authorized agent who believe that their rights or the rights of others have been infringed in the Game may send me a notice identifying the specific asset that they claim has been infringed, details about how to locate the infringing material, and contact information (mailing address, telephone number, and email address, if available) at http://mailto:[email protected].

Content Sensitivity Warning. The Game may feature scenes or images that include violence or other material that could be upsetting or disturbing. If you are sensitive to such topics or are prone to be offended by such content, exercise caution before playing the Game.

Epileptic Seizure Warning. The Game may include flashing lights and images that could trigger epileptic seizures. If you or someone in your household is susceptible to epilepsy, it's important to consult with a doctor before playing the Game. Should you experience symptoms like dizziness, altered vision, eye or muscle twitches, loss of consciousness, disorientation, any involuntary movements, or convulsions while playing, stop immediately and seek medical advice.

Terms of Sale. The specific terms governing the purchase, use, and associated rights and obligations related to in-game content and digital items for enhancing gameplay, as well as your rights concerning defective performance, are outlined in the Terms of Sale, available at https://steam.space-aces.com/tos (the “Terms”).

1. CHANGES

Change Procedure. From time to time, I may make changes to the Game to improve gameplay, comply with applicable laws, or for other reasons, which may include patches, updates, upgrades and/or other modifications (collectively the “Changes”). You will be notified of the Changes through the appropriate communication channel, e.g., in the Game, in the patch notes displayed upon login into your User Account, in the Steam platform and/or on our Discord channel (currently available at https://discord.com/channels/1187377888647979059/1187378506418622576) or otherwise. You may be required to accept and/or install or otherwise implement such Changes on your device to continue playing the Game, but some Changes may occur even without any action on your side.

Updates. After implementation of the Changes, you may be required to either (i) install and use the latest version of the Game Desktop Launcher available or in the Steam platform, or (ii) launch the game via the Space Aces Website at https://www.steam.space-aces.com/. You understand that the Game Desktop Launcher and/or the Game may require downloading and installing updates, upgrades, and additional features and you agree that I have no obligation to support previous versions of the Game Desktop Launcher or the Game upon the availability of the Change, in particular an update, upgrade, and/or implementation of additional features to the Game. Failure to install available Game updates may render the Game Desktop Launcher and/or the Game unavailable/unplayable.

System Requirements Adjustment. You understand and agree that Changes may alter the minimum system requirements and other system specifications needed to play the Game. Should such Changes require additional software or hardware, the responsibility to acquire these rests solely with you, not me. It is your responsibility to ensure your system and device meets the updated requirements to continue accessing and enjoying the Game.

1. AVAILABILITY OF THE GAME

No Warranty. I do not warrant that the Game, or any part thereof, will be available at all times, in all locations, or at any particular time or extent, or that I will continue to offer and/or provide the Game, or any part thereof, for any particular period of time, or that the Game will continue to receive Changes.

Compliance Measures. I may take any action with or without notice to you in connection with your use of the Game and/or your User Account to comply with legal requirements, to protect you, other users, or myself. Such an action may include restricting your access to the Game, resetting your User Account Login Credentials, and deleting data (e.g., your UGC).

Crash Reporting Assistance. Should the Game experience technical issues, I may request that you submit a crash log report. This aids me in diagnosing problems and enhancing the Game for improved stability and performance in future updates.

1. EARLY ACCESS

Early Access. I may from time to time offer access to pre-release versions of the Game (so-called “alpha” and “beta” versions) prior to its full release. Access to these pre-release versions may be available for a limited time and may be subject to additional terms and conditions that will be communicated to you.

Feedback Contribution. If you use the pre-release version of the Game, you may be invited to provide feedback regarding your gameplay experience. Your feedback will be treated as UGC – see the following Section.

No Warranties. Pre-release versions of the Game are provided on an “as-is” basis without warranties of any kind, either express or implied. I bear no liability for any incompleteness, operational failures, or other issues that may arise from the use of a pre-release version of the Game. By accessing and using the pre-release version of the Game, you acknowledge and accept the inherent risks of using pre-release Game, understanding that it may not fully represent the quality or functionality of the final Game.

1. USER GENERATED CONTENT (UGC)

Scope. UGC may include, but is not limited to, chat and forum (including Discord) posts, feedback, character and model customizations, cinematics, scripts and programs, mods, gameplay, gameplay maps, scenarios, modes, music and sound, animations, and other types of works related to the Game created by you or third parties (primarily other Game players).

Sole Responsibility. Be aware that you are the creator of and responsible for the UGC you create, which means, inter alia, that you must ensure that you have cleared rights to any and all content used in your UGC, whether it's images, music, video clips, or any other intellectual property. I do not pre-screen the UGC and do not endorse or approve any UGC that you and other users may contribute, provide, post, upload, or otherwise submit via the Game. You hereby represent and warrant that the UGC used or contributed by you does and will not infringe upon the copyright, trademark, patent, trade secret or other third-party rights nor is in breach of applicable laws. In addition, you further represent and warrant that you will not use or contribute UGC that is unlawful, tortious, defamatory, obscene, invasive of the privacy of another person, threatening, harassing, abusive, hateful, racist or otherwise inappropriate. I will not be responsible for or liable to pay any claims arising from your UGC. Additionally, I will promptly remove any illegal UGC from the Game and/or your User Account upon becoming aware of it.

Game Modifications. Notwithstanding anything to the contrary in this EULA, you may only modify the Game via the “Mod Injection” function within the Game, which allows only for modification of ship models, sound and animation effects or changes to the user interface. Modifications are only permitted if they comply with all of the requirements as set out in this EULA, in particular this Section ‎9. If you elect to download, install or use any UGC modifications in connection with the Game, you do so at your own risk and your Game experience may vary from other user experience. Modifying the Game with mods that violate third-party rights and/or applicable law is strictly prohibited.

Rights to UGC. The rights to your UGC are primarily vested in you, but do not extend to, and do not grant any rights in, the Game or anything created or provided by third parties or any content made available by myself through the Game. However, upon creation of your UGC, you grant me (provided that you legally own such UGC or in case third party owns such UGC, you will, free of charge, secure me a grant of rights to such UGC within the scope outlined in this paragraph) and my affiliates a non-exclusive, worldwide, royalty-free and fully paid up, freely transferable, assignable and sublicensable without prior notice, irrevocable, and perpetual (i.e., for the entire term of the relevant rights), unlimited right to use, process, develop, reproduce, modify, copy, adapt, create derivative works from, distribute, publish, transmit, broadcast, otherwise communicate, publicly display, publicly perform and otherwise commercialize and/or exploit your UGC in connection with the Game and/or related products and services in any manner or form and via any technology, medium or format, whether now known or later devised. You hereby waive and agree never to assert any moral rights in the UGC in relation to me and/or my affiliates, including paternity, integrity, publication, reputation, or attribution with respect to the use and enjoyment of your UGC in the scope stated herein in connection with the Game and related goods and services under applicable law. The foregoing right and terms shall survive any termination of this EULA. If local laws do not allow for the waiver of moral rights, instead, you hereby grant me and my affiliates the right to use your UGC and all elements of your UGC with or without your name or pseudonym, as well as to freely edit and process your UGC. You hereby agree to help me and my affiliates, if needed, to secure and enforce rights in your UGC as stipulated in this paragraph.

Warranty. You hereby represent, warrant, and agree to procure that none of your UGC will be subject to any obligation of confidentiality, attribution, or otherwise on my part, and that I and my affiliates will not be liable for any use or disclosure of your UGC.

Discretion. I and my affiliates are under no obligation to use, process, distribute or continue to distribute your UGC, and I may restrict or remove your UGC in my sole discretion.

Content Management. I comply with relevant obligations in relation to the UGC and take necessary action where required. I may use automated software and/or algorithms to analyze UGC for the purposes of fraud prevention, service improvement, customer support, and enforcement of this EULA.

If I discover UGC that contains evidence of fraudulent or illegal conduct, circumvention of the EULA, or otherwise violates this EULA, such content will not be published, and:

(i) you may be notified by me that the published UGC violates applicable law or this EULA; or

(ii) in the case of repeated violations, your User Account as well as this EULA may be suspended and/or terminated; or

(iii) in the case of UGC that involves suspected criminal activity that threatens the life or safety of any person, I may also notify the relevant authorities.

You may also report suspicious, inappropriate or illegal UGC published by other users as described here. Upon receipt of your report through our single point of contact specified in Section ‎19 below, I will promptly review such UGC if:

(i) the UGC may be considered unlawful or in violation of any applicable law; and/or

(ii) violates this EULA.

In any such case I reserve the right to remove the reported UGC and/or to suspend or terminate the reported User Account and this EULA. If I decide to remove any of your UGC or suspend or terminate your User Account and/or this EULA, I will provide you with the reasons for my actions, including options as to how you may modify your UGC to comply with this EULA or applicable law. If you disagree with my reasoning, you may appeal my decision through the designated single point of contact.

You may contact me regarding any matter relating to your UGC via http://mailto:[email protected]. Feel free to communicate in either Czech or English. If you encounter UGC created by another user that you find problematic (for example, because you find it illegal, offensive, or harmful), please report it and include as much information as possible, including but not limited to: a description of the problem, the username of the person who exposed you to such content, and any other relevant information that may help me identify the content and/or user.

Non-monetization. If you share your UGC with a third party, you must do so free of charge and you may not monetize it (e.g., place your UGC behind a paywall). This is without prejudice to Section 12.

Feedback. By submitting feedback, you acknowledge that it constitutes UGC under this EULA. Therefore, the provisions applicable to UGC as outlined in this Section will also apply to your feedback. This means that I can use your ideas to improve my products or create new ones, and you won't claim any rights to those ideas or ask for any payment.

1. VIRTUAL CURRENCY

Virtual Currency. The Game may make use of one or more virtual currencies (the “Virtual Currency”). Virtual Currency may be obtained via in-game actions, achievements, or otherwise in one or more ways depending on the type of Virtual Currency, including purchase via the Store (as defined in and subject to the Terms). I may, from time to time and in my sole discretion, grant Virtual Currency to users as a gesture of goodwill or in connection with promotions, competitions, or sweepstakes organized by myself.

Interchangeability of the Virtual Currency. Regardless of the method by which you obtain a Virtual Currency, it has no value in real currency, and is not transferable to any other person, returnable, exchangeable, or refundable for real currency, goods, or services. Any Virtual Currency balance shown in your User Account does not constitute a real currency balance or reflect any monetary value.

Virtual Currency Changes. I reserve the right to change or limit the amount of Virtual Currency granted as part of any in-game actions, achievements, ongoing or continuous promotions, to discontinue any promotion at any time and without providing advance notice or refund of any kind.

Redeemability. Virtual Currency is not transferable to, or redeemable for, any sum of real currency or monetary value from me or any other person at any time. I prohibit, and do not recognize any purported, transfers, sales, gifts, or trades of Virtual Currency. Virtual Currency will only be used by you to obtain virtual goods within the Game (e.g., equipment, abilities or single use items that are used and expire after use within the Game), as determined by me in my sole discretion. You agree not to sell or transfer or assist others in selling or transferring Virtual Currency or any amounts thereof. Evidence of any attempt to use, sell or transfer Virtual Currency in any manner that violates this EULA and/or the Terms may result in revocation, termination, or cancellation of the Virtual Currency and/or without refund and/or immediate suspension or termination of your User Account and/or this EULA and/or the Terms.

1. COMPETITIONS

Competitions. I reserve the right to organize player competitions within the Game, rewards for which may include Virtual Currency or real currency and goods (the “Competition”). The terms and conditions of the Competition, player participation and claiming rewards will be always communicated in advance and will remain available throughout each Competition duration at https://steam.space-aces.com/comprules. Participation in the Competition may be conditioned upon possession of certain in-game items (so-called “Jackpot CPU”), but not Virtual Currency or real currency.

Anti-Cheating Measures. All Competitions will be subject to strict anti-cheating protocols to ensure fair play. Any evidence of unauthorized software, manipulation, cooperation or other forms of cheating will result in immediate disqualification from the Competition and may also result in termination of the User Account, and/or other legal or corrective measures as outlined in this EULA.

Rewards and Distribution. Rewards will be distributed to winners following the conclusion of the Competition and upon successful verification of compliance with this EULA and the specific rules of the Competition. Distribution may take up to two (2) weeks after winner validation. Rewards will be paid out in the specified fiat currency as communicated in the Competition announcement. Please note that failure to provide accurate personal information necessary for reward distribution, such as real name or banking details, may result in forfeiture of the reward. I reserve the right to delay distribution for up to 72 hours for verification purposes, or longer in cases requiring additional investigation.

Forfeiture of Rewards. If a participant is found to have violated any terms of this EULA or the specific Competition rules, their reward will be forfeited. I also reserve the right to allocate such forfeited rewards to the next eligible Competition participant or take other actions as I deem fit.

Competition Rules and Changes. I reserve the right to modify, amend, or update the rules, terms, and conditions of any Competition at any time and at my sole discretion. Additional Competition rules and terms and conditions may also be specified within the Game (either via the user interface or at https://steam.space-aces.com/comprules). In the event that such specifications deviate from the rules under this Section 11 of the EULA, the rules and terms and conditions for the specific Competition shall prevail.

AML and Counter-Terrorism Financing Compliance. By participating in the Competition, you represent and warrant that the information provided during your registration for the Competition is complete, true and accurate and that you will not use the rewards earned for any unlawful activities, including but not limited to funding terrorism or other criminal enterprises. You further agree that the payment details provided for reward distribution (e.g., banking details) are accurate, valid, and correspond to an account legitimately owned by you. You acknowledge that providing false or misleading information, including fake or fraudulent bank account details, may result in forfeiture of rewards and further legal or corrective actions as outlined in this EULA.

Tax Declaration: Competition winner who is a tax resident of a state other than the Czech Republic shall provide a declaration of tax residence and beneficial ownership of the Competition reward, based on a template provided by me (“Declaration”). If the Declaration is not provided by the Competition winner within fourteen (14) days of the Competition winner validation, the Competition winner will not be entitled to claim the elimination or reduction of withholding tax under an applicable double tax treaty. In such cases, the full applicable withholding tax rate under Czech law will be applied. If the same Competition winner receives multiple rewards within the same calendar year, the Declaration will only need to be provided once per calendar year.

1. STREAMING THE GAME

Content Creation and Monetization. You may create content (e.g., videos, streams, screenshots, or artwork) that incorporates my proprietary elements of the Game, such as gameplay, music, sound, graphics, etc. (the “Game Content”) and share the Game Content on media-sharing websites (YouTube, Twitch, Reddit, etc.), provided that the relevant Game Content is freely available to the public. Monetization of the Game Content is permitted only through the official affiliate, advertising or partner programs of such websites. Any other forms of monetization of the Game Content are not permitted.

Official Content. Without my permission, you may only use the Game Content from official materials, i.e., products that have been officially released (including officially released early access versions of the Game), or from official promotional materials (e.g., trailers, artwork, screenshots, etc.). For avoidance of doubt, creating any content (streaming) while using UGC (such as mods or addons) downloaded from third parties and installed by you is prohibited.

Third-Party Content. If you wish to include third party property (such as music, videos, memes, photos, etc.) in your content along with the Game content, you are responsible for obtaining any necessary third-party permissions. In that regard, please acknowledge that some elements of the Game may be provided by third parties and therefore are not owned by me (see the list here https://steam.space-aces.com/?showCredits%3Dtrue). Be aware that third party content may trigger content flags and potential removal of your content. Also, mind and follow the Prohibited Actions provision in Section 4 above.

Non-endorsement. You may not imply or state that your content is officially affiliated with, sponsored by, endorsed by, or approved by me (unless you have agreed with me to do so, in advance).

1. RULES OF CONDUCT

Compliance and Safety. To guarantee legal compliance and ensure a respectful, safe, and responsible gaming experience and community, it is imperative that you strictly follow our Community Rules available at our Discord channel (https://discord.com/channels/1187377888647979059/1187378200825831576). These rules are not solely for adherence to the law but also to foster an environment of respect and responsibility.

Scope of Rules. When using the Game, you must abide by the Community Rules, which (in short) prohibit you from:

• breaking the law (for example committing crimes, infringing intellectual property or other third party rights);
• misusing or taking any action that may harm the Game, such as disrupting or interfering with the Game, server, or using, developing, distributing or selling exploits, cheats, etc.;
• taking any actions that negatively affect me, other users of the Game, or anyone else (for example spam the forums (including Discord), share personal data, harass, troll, necropost, post any NSFW content or any Nazi propaganda or symbols, make racist comments or fun of religion, disturb the peace, etc.); or

1. TERM AND TERMINATION

Term. This EULA is effective upon first acceptance of this EULA, which occurs no later than when you download, install, launch, or otherwise use the Game, and remains in force until terminated by you or me.

Termination and Consequences. I reserve the right to terminate this EULA if I determine that you are in breach of this EULA, if I suspect fraudulent activity, if I cease to make the Game available (for example, by shutting down the servers that host the Game), or for any other reason specified in this EULA or permitted under applicable law. Termination may result in the loss of your User Account, username, achievements, forum badges, in-game items, UGC, and other content associated with your User Account or use of the Game (e.g., the Virtual Currency and other Store Content). In addition, upon termination, all rights to use the Game (including the License) will terminate and you must cease all use of the Game and delete any and all copies of the Game from your device. If the EULA is terminated due to your violation, I may prevent you from accessing the Game in the future.

My Termination Rights. Should you commit a material breach of this EULA, which includes serious breaches or conduct causing potential harm to the Game, its community, myself, and my affiliates, licensors and partners, I may terminate or suspend your access to the Game and/or the User Account. A material breach encompasses violations of the License terms or any explicitly prohibited actions under this EULA and/or other documents concerning your use of the Game referenced herein. Whenever reasonably possible, I will inform you of the termination reasons and potential remedial actions. Following a suspension or termination under this clause, I bear no obligations or liabilities towards you.

Pre-Termination Actions and Refund Policy. Prior to terminating the EULA, I may warn you, suspend, or alter your access to the Game, remove or delete any content which violates this EULA, or ban your User Account or device from accessing the Game. You will not be entitled to any refund if such an action is taken. This is without prejudice to any refund rights available under mandatory law and, where the relevant purchase was made via a third-party platform (such as Steam), under that platform’s refund rules and procedures.

Your Termination Rights. You may terminate this EULA anytime via your User Account or contacting me at http://mailto:[email protected]. Such termination will lead to deletion of all data associated with your User Account (including the purchased Store Content). In addition, termination for any reason as stipulated by applicable law will result in the deletion of your User Account and all associated data, which will no longer be usable (including the purchased Store Content).

Discontinuation of the Game. I may, in my sole discretion, discontinue the operation of the Game upon thirty days' notice by email or within the Game (in the Game, pop-up window or otherwise). A discontinued Game will not receive any updates or modifications, and I do not guarantee that the Game will continue to work or be available for download on newer or updated operating systems. In such cases, I will have no future obligations or liabilities to you, although this does not negate any pre-existing obligations or liabilities that may have arisen prior to the discontinuation of the Game.

Consent to Commence Performance. By entering into this EULA, you explicitly consent to and request the immediate initiation of the provision of the Game, thereby acknowledging the extinguishment of your statutory rights to withdraw from the EULA, including the right to any related refunds or returns of fees, in accordance with applicable law. This is without prejudice to your rights under Section 17.

Survival. All Sections that by their nature would survive termination of the EULA shall survive termination thereof. In particular, the rights granted by you to me to your UGC under Section 9 of this EULA and the relevant provisions of Sections 16 and 17 will continue beyond the termination of this EULA.

1. PRIVACY AND USE OF DATA

Privacy Policy. Please read the Privacy Policy to learn more about how I process your personal data in connection with the Game available at https://steam.space-aces.com/privacy.

1. REPRESENTATIONS AND LIMITATIONS OF LIABILITY

Representations. I hereby represent that: (i) I possess the necessary rights to enter into this EULA and grant you the usage rights for the Game as detailed herein; (ii) I will exercise reasonable care regarding the Game and your usage thereof; and (iii) I will endeavor to adhere to applicable laws while fulfilling my obligations under this EULA. This provision is in addition to and does not affect your statutory rights which cannot be excluded or limited in any way under applicable law (so-called mandatory provisions).

No Warranty. I do not warrant that the Game will always run uninterrupted or without errors, nor do I warrant the performance of the Game on your specific device, considering the variability in hardware, software, internet connections, and individual usage patterns. Furthermore, I do not warrant that the Game will be free from interference with your enjoyment, meet your requirements, or be compatible with third-party software or hardware, nor that errors within the Game will be corrected. No advice or information, whether oral or written, obtained from me or my authorized representatives shall create any warranty not expressly stated herein. To the extent permitted by applicable law, I hereby disclaim any and all implied warranties, including but not limited to warranties of merchantability or fitness for a particular purpose. It is worth noting that if your jurisdiction does not allow the exclusion of or limitations on implied warranties, or the limitation of rights for consumers, some or all of the above exclusions and limitations may not apply to you.

Limitation of Liability and Damages. To the maximum extent permitted by applicable law, neither I, my affiliates, nor licensees shall be liable for any special, incidental, indirect, or consequential damages whatsoever. This includes, without limitation, damages for loss of business profits, business interruption, loss of business information, personal injuries, property damage, computer failure or malfunction, and any other pecuniary or punitive damages arising from possession, use, or malfunction of the Game. This applies whether such damages arise out of or are related to this EULA or the Game, resulting from tort (including negligence), contract, strict liability, or otherwise, and even if I have been advised of the possibility of such damages. I am not responsible or liable for any damages caused by any third party and/or third-party services, products or content. I also won’t have responsibility for any damage which arises because you failed to install any Game update when it is made available by me or where you fail to maintain the minimum system specifications required.

Tax Responsibility. You are liable for all taxes, duties, and levies imposed by any government entity related to transactions under this EULA, including interest and penalties (except taxes on net income). Provide me any exemption certificates you're entitled to. All your costs related to this EULA are your responsibility, with no reimbursements from me, and you will indemnify me from such expenses. You agree that I may withhold or deduct all taxes, duties or levies where required by applicable laws. I am authorized to retain information about your tax residency and any provided payment details for as long as required by applicable law.

Competition Reward Taxation: I am entitled to withhold tax on Competition rewards (see Section 11) in accordance with applicable Czech tax law. I am not responsible for the Competition winner’s tax obligations in their state of residence. Competition winners are solely responsible for complying with tax reporting and payment requirements in their jurisdiction. Upon my request, you must immediately provide all reasonable assistance necessary to ensure compliance with my tax obligations. I am entitled to retain information provided about your tax residency and payment details as long as required under applicable law.

Indemnification. To the fullest extent of applicable law, you agree to be responsible and liable to me, my partners, licensors, affiliates, contractors, officers, directors, employees, and agents in respect of all damages, losses, and expenses arising directly or indirectly from your acts and omissions to act in using the Game pursuant to the terms of the EULA and/or applicable law.

Liability Exceptions. Despite any other provisions in this EULA, I do not limit or exclude my liability to you where it would be illegal to do so. This includes liability for: (i) death or personal injury caused by my negligence; (ii) fraud or fraudulent misrepresentation; (iii) willful or grossly negligent actions; (iv) damage from negligently breaching crucial obligations stipulated herein, where harm is typical and foreseeable; (v) any guarantees I provide; and (vi) any unavoidable liability under applicable product liability laws.

Game Defects. If you encounter any defects in the Game, Section 6 of the Terms will apply accordingly. Please note that your rights regarding defective performance are limited, as the Game is provided free of charge and on an "as-is" basis, as outlined above.

1. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law. You agree that this EULA shall be deemed to have been made and executed in the Czech Republic and any dispute arising under this EULA shall be resolved in accordance with Czech law, excluding the conflict of laws provisions and the Convention on Contracts for the International Sale of Goods. If you are a consumer this shall not apply insofar as mandatory provisions (e.g., mandatory consumer protection regulations) under the law of the state in which you have your domicile, usual residence or registered office conflict with the application of Czech law pursuant to Article 6(2) of Regulation (EC) No 593/2008 of the European Parliament and of the Council of 17 June 2008 on the law applicable to contractual obligations (Rome I).

Dispute Resolution. Any disputes regarding this EULA and your use of the Game (the “Dispute”) can be resolved by contacting me at http://mailto:[email protected]. You must try to solve any Dispute informally with me for 30 days before initiating any court proceeding. In the event that we are unable to resolve the Dispute amicably within thirty (30) days, either of us may submit the Dispute to the exclusive jurisdiction of the courts located in Prague, Czech Republic. However, if you are a consumer with residence in the EU, you may submit the Dispute to the applicable courts in your place of residence.

ADR. If you are a consumer, you have the right to out-of-court dispute resolution (ADR) of any disputes arising from this EULA through the Czech Trade Inspection Authority (http://www.coi.gov.cz/ or http://www.adr.coi.cz), Central Inspectorate - ADR Department, with its registered office at Gorazdova 1969/24, 120 00 Prague 2, Czech Republic, email: http://mailto:[email protected]. The out-of-court settlement of a consumer dispute shall be initiated upon your request, which may be submitted in particular in writing, orally on the record or electronically via the online form on the website of the Czech Trade Inspection Authority.

Regional Laws. You may have additional rights under the mandatory legal provisions of the jurisdiction from which you access or use the Game.

1. MISCELLANEOUS

Complete Agreement. This EULA represents the complete agreement between you and me concerning the Game and supersedes any prior or contemporaneous agreements between you and me. This EULA shall coexist with and shall not supersede any other of the documents, terms and policies referenced in this EULA (in particular the Terms). You and I agree that we have not relied upon any terms, conditions, representations, warranties or similar that are not expressly set out in this EULA.

Third-Party Interactions. Some components of the Game are provided or facilitated by third parties and are governed by their own terms and conditions. You are solely responsible for adhering to these terms, which may govern your use of specific features or content within the Game. I do not guarantee the functionality, quality, or availability of these third-party components, nor do I ensure they are free of charge.

Third-Party Platforms. The Game may be distributed, made available, or supported through third-party platforms (such as Steam). Your access to the Game via such platforms may be subject to the terms, policies and technical rules of those platforms (including the Steam Subscriber Agreement), and certain platform features (such as account management, payments, refunds, or distribution-related obligations) may be handled by the platform.

No Third-Party Rights. The terms of this EULA specifically define the relationship between you and me and do not confer rights to any third parties, except as explicitly stated within this document.

Transferability. I reserve the right and am entitled to assign, subcontract, or transfer our obligations under this EULA to a third party for purposes such as supporting the Game, reorganization, merger, or other business needs, without prior notice or further consent by you. You expressly acknowledge and agree that such transfer will not adversely affect your rights under this EULA. You hereby agree to the aforesaid and waive any rights you may have to object to such assignment.

Waiver. Neither party's failure or delay in exercising any right, power, or privilege under this EULA shall act as a waiver thereof, nor shall any single or partial exercise of any such right, power, or privilege preclude any other or further exercise thereof. The right to enforce my or your rights and remedies will remain in effect unless explicitly waived in this EULA.

Relationship Clause. By agreeing to this EULA, you understand that no joint venture, partnership, employment, or agency relationship is established between you and me as a result of this EULA or through your use of the Game.

1. UPDATES TO EULA

Amendments. I may update this EULA from time to time by making the updated version available (i) on https://steam.space-aces.com/eula , and/or (ii) through Steam where the Game is made available (including, where supported, through Steam’s third-party EULA display/acceptance mechanism), and/or (iii) by displaying a notice in the Game or otherwise through reasonable communication channels (e.g., Steam announcements, patch notes, or email where available). If an updated EULA is presented to you for acceptance (including via Steam), you must accept it to continue using the Game. If no acceptance mechanism is presented, your continued use of the Game after the “Last update” date (or after the effective date stated in the notice, if any) signifies your agreement to the updated EULA to the extent permitted by applicable law.

Disagreement. If the EULA updates are not acceptable to you, I regretfully ask that you stop using the Game. It's essential for the smooth operation of the Game that all users follow the same set of rules, rather than operating under varied terms. This uniformity ensures fairness and consistency for everyone involved.

If your device does not            meet the minimum requirements, you may experience suboptimal functionality or be unable to use the            Game.</u><u> </u><br>    <br><u>Internet Connection</u><u>. The Game requires a stable Internet            connection to be playable and to perform various online operations necessary to ensure smooth gameplay.            Please ensure that your operator provides you with sufficient service.</u><br>    <ol>        <li><u>USER ACCOUNT</u></li>    </ol>    <br><u>User Account</u><u>. To access the Game, you need to set up and maintain a user            account (the “</u><u>User Account</u><u>”) by registering either at        </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fwww.steam.space-aces.com" target="_blank" rel=" noopener">https://www.steam.space-aces.com</a></u><u> with            a valid email address or via the Steam platform (each a “</u><u>Registration            Method</u><u>”). A User Account created through either Registration Method shall constitute a            User Account for the purposes of this EULA; however, the scope and manner of creation, authentication,            management, and functionality of the User Account may differ depending on the Registration Method used, and            the provisions of this EULA relating to the User Account shall apply accordingly and to the extent            compatible with the relevant Registration Method. By downloading, installing, launching, or otherwise using            the Game (including by creating or using a User Account via Steam), you enter into and agree to be bound by            this EULA and the Terms (as referred to in Section ‎5 of this EULA). If Steam presents this            EULA to you for acceptance in the Steam client or during installation/first launch, your acceptance through            Steam constitutes acceptance of this EULA. You must be 15 years of age or older to create the User            Account (or the minimum age required by the law of your country of residence, if higher). If you are            younger, please have your parent or other legal guardian review this EULA and enter into this EULA on your            behalf.  After successful registration, you will be sent a validation e-mail. To validate your User            Account, also allowing you access to the Game community Discord server, you will be required to validate            your User Account by linking your Discord account to your User Account via link included in the validation            e-mail. If you register or access the Game via the Steam            platform, the User Account will be created, authenticated, and managed through Steam. In such case, certain            features, settings, or account-related actions described in this EULA may be handled through Steam or may            not be available in the same manner as for User Accounts created via my website. You acknowledge and agree            that your use of Steam is subject to the Steam Subscriber Agreement and related Steam terms and policies, as            made available by Valve Corporation at </u><u><a class="bb_link" href="https://store.steampowered.com/subscriber_agreement/" target="_blank" rel>https://store.steampowered.com/subscriber_agreement/</a></u><u>.</u><br>    <br><u>Correct Information</u><u>. Make sure that the information you            provide about yourself during the User Account registration is accurate, truthful and complete. If I find            out that you’ve provided false, inaccurate or incomplete information about yourself.</u><br>    <br><u>Account Exclusivity</u><u>. Your User Account is personal and            cannot be transferred, sold, leased, licensed, rented, or re-registered by someone else. This rule ensures            your User Account stays secure and personal to you.</u><br>    <br><u>Login Credentials</u><u>. When setting up your User Account, you&#39;ll be            required to select a unique username and password (the “</u><u>Login            Credentials</u><u>”). You agree not to share your Login Credentials with anyone,            nor will you sell, transfer, or allow any other person to access your Login Credentials, or offer to do so.            Additionally, you are responsible for keeping your Login Credentials confidential.</u><br>    <br><u>Security Breach Protocol</u><u>. Should you become aware of any            security breach, including unauthorized access to your User Account or any loss, theft, or unauthorized use            or disclosure of your Login Credentials, it is imperative that you inform me immediately. This allows me to            take necessary actions to protect your User Account. You will be held responsible for any losses incurred on            your User Account, resulting from your sharing of the Login Credentials or failure to secure your User            Account and its details. I reserve the right to request and/or require you to alter your Login Credentials            if I believe that they are no longer secure.</u><br>    <br><u>Suspension and Termination of User Account</u><u>. You may terminate or suspend            your User Account at any time by contacting us at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2Fmailto%3Asupport%40space-aces.com" target="_blank" rel=" noopener">http://mailto:[email protected]</a></u><u>. I may            immediately suspend your User Account for various reasons, including breach of this EULA, to protect the            Game&#39;s community or if I discontinue to provide the Game (I&#39;ll give appropriate advance notice). My            decisions may be based on automated decision making. I reserve the right to terminate your User Account and            the EULA altogether, especially if your material breach of the EULA and/or the Terms (including the Rules of            Conduct outlined in Section 13 below) is confirmed, or if you fail to remedy a breach thereof within a            specified timeframe.</u><br>    <br><u>Consequences of Termination</u><u>. Termination of your User            Account means automatic termination of the EULA and loss of access to your User Account and all            associated content and data (including the Store Content as defined within the Terms as referred to in            Section ‎5 of this EULA), which may lead to your inability to use the Game. There will be no refunds or            liability on my part for such termination. Each person is allowed to only have one active User Account.            I may terminate any other User Accounts you have for the Game.</u><br>    <br><u>User Account Inactivity</u><u>. Prolonged inactivity for a            duration of 12 months may result in your User Account suspension. You will be given prior notice (via e-mail            used for registering your User Account) and an opportunity to reactivate your User Account. Failure to            reactivate your User Account after this notice may result in its termination.</u><br>    <ol>        <li><u>YOUR RIGHTS TO THE GAME</u></li>    </ol>    <br><u>License</u><u>. Provided that you have entered into this EULA in accordance            with Section ‎2 and legally obtained access to the Game, I hereby grant you, effective upon your            acceptance of this EULA and your lawful access to the Game (including via Steam), a personal, limited,            non-transferable, non-assignable, non-sublicensable, freely revocable, and non-exclusive license to use the            Game solely for non-commercial and private play on a single game platform, i.e., PC (the “</u><u>License</u><u>”). The License is expressly conditioned on your            compliance with this EULA, which means that I may terminate the License and this EULA immediately if I            determine that you have violated this EULA, which means that you will no longer be able to use the Game.            The License also automatically terminates upon the earlier of your disposal of the Game (i.e., when you            delete it from your device or upon termination/deletion of your User Account) or the termination of this            EULA.</u><br>    <br><u>Ownership</u><u>. The Game is licensed and made available to you,            not sold. I and my licensors own and reserve all rights, titles and interest in and to the Game and its            individual elements (including intellectual property rights). </u><br>    <br><u>Security and Access Management</u><u>. The Game may include            measures designed to regulate access, ensure proper use of features and content, and prevent unauthorized            copying, which you must comply with. Your use of the Game will be actively monitored to ensure it complies            with this EULA and the law and for other reasons, including preventing cheating and hacking, curbing toxic            player behavior, and enhancing the overall Game experience. Attempting to interfere with, disable, or            circumvent these security measures is prohibited and may result in the Game not operating correctly and/or            suspension of your access to the Game (including termination of your User Account and this EULA).</u><br>    <br><u>Single Device</u><u>. You may install the Game on different            devices, but you may only run the Game on one device at a time.</u><br>    <ol>        <li><u>RESTRICTIONS AND OBLIGATIONS</u></li>    </ol>    <br><u>Usage Restrictions</u><u>. You&#39;re not allowed to copy,            reproduce, change, distribute, resell or otherwise commercialize the Game, in whole or in part, without my            express written permission. Additionally, you must not, nor assist others to, use or tamper with the Game in            any way that is not expressly allowed by this EULA or is outright prohibited herein or by applicable            law.</u><br>    <br><u>Technical Misuse and Cheating</u><u>. Without my explicit written            permission, modifying, merging, distributing, translating, reverse engineering, decompiling, or            disassembling the Game is prohibited, except as explicitly allowed by this EULA. Creating, using, or            distributing cheats such as exploits, bots, hacks, and any software that affect the Game in any way, is            forbidden. </u><br>    <br><u>Interference</u><u>. Deliberately disrupting the Game services,            impersonating staff, or maliciously interfering with my or third-party IT systems, including network            software or servers through harmful activities (tunneling, code injection, denial of service attacks, or            creating private servers), is not permitted. Any attempts to manipulate in-Game technologies to produce            content in violation of this EULA or applicable laws are prohibited. This includes exploiting the Game&#39;s            systems to bypass content filters and other guard railing technologies or to generate prohibited content.            These restrictions are in place to maintain the integrity of the Game and ensure the safety and respect of            our community.</u><br>    <br><u>Data Privacy and Intellectual Property</u><u>. You are not            allowed to (a) mine, scrape or collect information from the Game, (b) use “Space Aces” sign,            brand, trademarks, trade names, or any other designations in the Game without prior authorization, or (c)            engage in any activity that infringes upon any intellectual property or privacy rights.</u><br>    <br><u>Prohibited Actions</u><u>. Uploading files that contain malicious            code (viruses, spyware, worms, and other malware) to the Game, inputting any real person’s personal            data into the Game, other than yours for the purposes described in the Privacy Policy, uploading or            inputting any content that infringes the intellectual property rights or other rights of third parties,            disregarding applicable geographic restrictions, or using the Game in any offensive, discriminatory, or            illegal manner is strictly prohibited and may lead to immediate termination of your User Account and/or this            EULA.</u><br>    <ol>        <li><u>IN-GAME CONTENT</u></li>    </ol>    <br><u>Third-Party Rights</u><u>. Any protected asset owner or their authorized agent            who believe that their rights or the rights of others have been infringed in the Game may send me a notice            identifying the specific asset that they claim has been infringed, details about how to locate the            infringing material, and contact information (mailing address, telephone number, and email address, if            available) at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2Fmailto%3Asupport%40space-aces.com" target="_blank" rel=" noopener">http://mailto:[email protected]</a></u><u>.</u><br>    <br><u>Content Sensitivity Warning</u><u>. The Game may feature scenes            or images that include violence or other material that could be upsetting or disturbing. If you are            sensitive to such topics or are prone to be offended by such content, exercise caution before playing the            Game.</u><br>    <br><u>Epileptic Seizure Warning</u><u>. The Game may include flashing            lights and images that could trigger epileptic seizures. If you or someone in your household is susceptible            to epilepsy, it&#39;s important to consult with a doctor before playing the Game. Should you experience            symptoms like dizziness, altered vision, eye or muscle twitches, loss of consciousness, disorientation, any            involuntary movements, or convulsions while playing, stop immediately and seek medical advice.</u><br>    <br><u>Terms of Sale</u><u>. The specific terms governing the purchase, use, and            associated rights and obligations related to in-game content and digital items for enhancing gameplay, as            well as your rights concerning defective performance, are outlined in the Terms of Sale, available at        </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fsteam.space-aces.com%2Ftos" target="_blank" rel=" noopener">https://steam.space-aces.com/tos</a></u><u> (the            “</u><u>Terms</u><u>”).</u><br>    <ol>        <li><u>CHANGES</u></li>    </ol>    <br><u>Change Procedure</u><u>. You may be required to accept and/or install or otherwise implement such            Changes on your device to continue playing the Game, but some Changes may occur even without any action on            your side.</u><br>    <br><u>Updates. </u><u>After implementation of the Changes, you may be required to            either (i) install and use the latest version of the Game Desktop Launcher available </u><u> or            in the Steam platform, or (ii) launch the game via the Space Aces Website at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fwww.steam.space-aces.com%2F" target="_blank" rel=" noopener">https://www.steam.space-aces.com/</a></u><u>. You understand that the Game Desktop Launcher and/or the Game may require downloading            and installing updates, upgrades, and additional features and you agree that I have no obligation to support            previous versions of the Game Desktop Launcher or the Game upon the availability of the Change, in            particular an update, upgrade, and/or implementation of additional features to the Game. Failure to install            available Game updates may render the Game Desktop Launcher and/or the Game            unavailable/unplayable.</u><br>    <br><u>System Requirements Adjustment</u><u>. You understand and agree            that Changes may alter the minimum system requirements and other system specifications needed to play the            Game. Should such Changes require additional software or hardware, the responsibility to acquire these rests            solely with you, not me. It is your responsibility to ensure your system and device meets the updated            requirements to continue accessing and enjoying the Game.</u><br>    <ol>        <li><u>AVAILABILITY OF THE GAME</u></li>    </ol>    <br><u>No Warranty</u><u>. I do not warrant that the Game, or any part            thereof, will be available at all times, in all locations, or at any particular time or extent, or that I            will continue to offer and/or provide the Game, or any part thereof, for any particular period of time, or            that the Game will continue to receive Changes.</u><br>    <br><u>Compliance Measures</u><u>. I may take any action with or without            notice to you in connection with your use of the Game and/or your User Account to comply with legal            requirements, to protect you, other users, or myself. Such an action may include restricting your access to            the Game, resetting your User Account Login Credentials, and deleting data (e.g., your UGC).</u><br>    <br><u>Crash Reporting Assistance</u><u>. Should the Game experience            technical issues, I may request that you submit a crash log report. This aids me in diagnosing problems and            enhancing the Game for improved stability and performance in future updates.</u><br>    <ol>        <li><u>EARLY ACCESS</u></li>    </ol>    <br><u>Early Access</u><u>. I may from time to time offer access to pre-release            versions of the Game (so-called “</u><u>alpha</u><u>” and            “</u><u>beta</u><u>” versions) prior to its full release.            Access to these pre-release versions may be available for a limited time and may be subject to additional            terms and conditions that will be communicated to you.</u><br>    <br><u>Feedback Contribution</u><u>. If you use the pre-release version            of the Game, you may be invited to provide feedback regarding your gameplay experience. Your feedback will            be treated as UGC – see the following Section.</u><br>    <br><u>No Warranties</u><u>. Pre-release versions of the Game are            provided on an “as-is” basis without warranties of any kind, either express or implied. I bear            no liability for any incompleteness, operational failures, or other issues that may arise from the use of a            pre-release version of the Game. By accessing and using the pre-release version of the Game, you acknowledge            and accept the inherent risks of using pre-release Game, understanding that it may not fully represent the            quality or functionality of the final Game.</u><br>    <ol>        <li><u>USER GENERATED CONTENT (UGC)</u></li>    </ol>    <br><u>Scope</u><u>. UGC may include, but is not limited to, chat and            forum (including Discord) posts, feedback, character and model customizations, cinematics, scripts and            programs, mods, gameplay, gameplay maps, scenarios, modes, music and sound, animations, and other types of            works related to the Game created by you or third parties (primarily other Game players).</u><br>    <br><u>Sole Responsibility</u><u>. Be aware that you are the creator of            and responsible for the UGC you create, which means, inter alia, that you must ensure that you have cleared            rights to any and all content used in your UGC, whether it&#39;s images, music, video clips, or any other            intellectual property. I do not pre-screen the UGC and do not endorse or approve any UGC that you and            other users may contribute, provide, post, upload, or otherwise submit via the Game. You hereby represent            and warrant that the UGC used or contributed by you does and will not infringe upon the copyright,            trademark, patent, trade secret or other third-party rights nor is in breach of applicable laws. In            addition, you further represent and warrant that you will not use or contribute UGC that is unlawful,            tortious, defamatory, obscene, invasive of the privacy of another person, threatening, harassing, abusive,            hateful, racist or otherwise inappropriate. I will not be responsible for or liable to pay any claims            arising from your UGC. Additionally, I will promptly remove any illegal UGC from the Game and/or your User            Account upon becoming aware of it.</u><br>    <br><u>Game Modifications</u><u>. Notwithstanding anything to the            contrary in this EULA, you may only modify the Game via the “Mod Injection” function within            the Game, which allows only for modification of ship models, sound and animation effects or changes to the            user interface. Modifications are only permitted if they comply with all of the requirements as set out in            this EULA, in particular this Section ‎9. If you elect to download, install or use any UGC modifications            in connection with the Game, you do so at your own risk and your Game experience may vary from other user            experience. Modifying the Game with mods that violate third-party rights and/or applicable law is strictly            prohibited.</u><br>    <br><u>Rights to UGC</u><u>. The rights to your UGC are primarily vested            in you, but do not extend to, and do not grant any rights in, the Game or anything created or provided by            third parties or any content made available by myself through the Game. However, upon creation of your UGC,            you grant me (provided that you legally own such UGC or in case third party owns such UGC, you will, free of            charge, secure me a grant of rights to such UGC within the scope outlined in this paragraph) and my            affiliates a non-exclusive, worldwide, royalty-free and fully paid up, freely transferable, assignable            and sublicensable without prior notice, irrevocable, and perpetual (i.e., for the entire term of the            relevant rights), unlimited right to use, process, develop, reproduce, modify, copy, adapt, create            derivative works from, distribute, publish, transmit, broadcast, otherwise communicate, publicly display,            publicly perform and otherwise commercialize and/or exploit your UGC in connection with the Game and/or            related products and services in any manner or form and via any technology, medium or format, whether now            known or later devised. You hereby waive and agree never to assert any moral rights in the UGC in relation            to me and/or my affiliates, including paternity, integrity, publication, reputation, or attribution with            respect to the use and enjoyment of your UGC in the scope stated herein in connection with the Game and            related goods and services under applicable law. The foregoing right and terms shall survive any termination            of this EULA. If local laws do not allow for the waiver of moral rights, instead, you hereby grant me and my            affiliates the right to use your UGC and all elements of your UGC with or without your name or pseudonym, as            well as to freely edit and process your UGC. You hereby agree to help me and my affiliates, if needed, to            secure and enforce rights in your UGC as stipulated in this paragraph.</u><br>    <br><u>Warranty</u><u>. You hereby represent, warrant, and agree to            procure that none of your UGC will be subject to any obligation of confidentiality, attribution, or            otherwise on my part, and that I and my affiliates will not be liable for any use or disclosure of your            UGC.</u><br>    <br><u>Discretion</u><u>. I and my affiliates are under no obligation to            use, process, distribute or continue to distribute your UGC, and I may restrict or remove your UGC in my            sole discretion.</u><br>    <br><u>Content Management</u><u>. I comply with relevant obligations in            relation to the UGC and take necessary action where required. I may use automated software and/or algorithms            to analyze UGC for the purposes of fraud prevention, service improvement, customer support, and enforcement            of this EULA.</u><br>    <br><u>If I discover UGC that contains evidence of fraudulent or illegal conduct,            circumvention of the EULA, or otherwise violates this EULA, such content will not be published, and:</u>    <br>    <br><u>(i)</u><u> </u><u>you may be notified by me that the            published UGC violates applicable law or this EULA; or</u><br>    <br><u>(ii) in the case of repeated violations, your User Account as well as this EULA            may be suspended and/or terminated; or</u><br>    <br><u>(iii)</u><u> </u><u>in the case of UGC that involves            suspected criminal activity that threatens the life or safety of any person, I may also notify the relevant            authorities.</u><br>    <br><u>You may also report suspicious, inappropriate or illegal UGC published by other            users as described here. Upon receipt of your report through our single point of contact specified in            Section ‎19 below, I will promptly review such UGC if:</u><br>    <br><u>(i)</u><u>      </u><u>the UGC may be            considered unlawful or in violation of any applicable law; and/or</u><br>    <br><u>(ii)</u><u>    </u><u>violates this            EULA.</u><br>    <br><u>In any such case I reserve the right to remove the reported UGC and/or to suspend            or terminate the reported User Account and this EULA. If I decide to remove any of your UGC or suspend            or terminate your User Account and/or this EULA, I will provide you with the reasons for my actions,            including options as to how you may modify your UGC to comply with this EULA or applicable law. If you            disagree with my reasoning, you may appeal my decision through the designated single point of            contact.</u><br>    <br><u>You may contact me regarding any matter relating to your UGC via </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2Fmailto%3Asupport%40space-aces.com" target="_blank" rel=" noopener">http://mailto:[email protected]</a></u><u>.            Feel free to communicate in either Czech or English. If you encounter UGC created by another user that            you find problematic (for example, because you find it illegal, offensive, or harmful), please report it and            include as much information as possible, including but not limited to: a description of the problem,            the username of the person who exposed you to such content, and any other relevant information that may            help me identify the content and/or user.</u><br>    <br><u>Non-monetization</u><u>. If you share your UGC with a third            party, you must do so free of charge and you may not monetize it (e.g., place your UGC behind a paywall).            This is without prejudice to Section 12.</u><br>    <br><u>Feedback.</u><u> By submitting feedback, you acknowledge            that it constitutes UGC under this EULA. Therefore, the provisions applicable to UGC as outlined in this            Section will also apply to your feedback. This means that I can use your ideas to improve my products or            create new ones, and you won&#39;t claim any rights to those ideas or ask for any payment.</u><br>    <ol>        <li><u>VIRTUAL CURRENCY</u></li>    </ol>    <br><u>Virtual Currency</u><u>. The Game may make use of one or more virtual            currencies (the “</u><u>Virtual Currency</u><u>”). Virtual            Currency may be obtained via in-game actions, achievements, or otherwise in one or more ways depending on            the type of Virtual Currency, including purchase via the Store (as defined in and subject to the Terms). I            may, from time to time and in my sole discretion, grant Virtual Currency to users as a gesture of goodwill            or in connection with promotions, competitions, or sweepstakes organized by myself.</u><br>    <br><u>Interchangeability of the Virtual Currency</u><u>. Regardless of            the method by which you obtain a Virtual Currency, it has no value in real currency, and is not transferable            to any other person, returnable, exchangeable, or refundable for real currency, goods, or services. Any            Virtual Currency balance shown in your User Account does not constitute a real currency balance or reflect            any monetary value.</u><br>    <br><u>Virtual Currency Changes</u><u>. I reserve the right to change or            limit the amount of Virtual Currency granted as part of any in-game actions, achievements, ongoing or            continuous promotions, to discontinue any promotion at any time and without providing advance notice or            refund of any kind.</u><br>    <br><u>Redeemability</u><u>. Virtual Currency is not transferable to, or            redeemable for, any sum of real currency or monetary value from me or any other person at any time. I            prohibit, and do not recognize any purported, transfers, sales, gifts, or trades of Virtual Currency.            Virtual Currency will only be used by you to obtain virtual goods within the Game (e.g., equipment,            abilities or single use items that are used and expire after use within the Game), as determined by me in my            sole discretion. You agree not to sell or transfer or assist others in selling or transferring Virtual            Currency or any amounts thereof. Evidence of any attempt to use, sell or transfer Virtual Currency in any            manner that violates this EULA and/or the Terms may result in revocation, termination, or cancellation of            the Virtual Currency and/or without refund and/or immediate suspension or termination of your User Account            and/or this EULA and/or the Terms.</u><br>    <ol>        <li><u>COMPETITIONS</u></li>    </ol>    <br><u>Competitions</u><u>. I reserve the right to organize player competitions within            the Game, rewards for which may include Virtual Currency or real currency and goods (the “</u><u>Competition</u><u>”). The terms and conditions of the Competition, player            participation and claiming rewards will be always communicated in advance and will remain available            throughout each Competition duration at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fsteam.space-aces.com%2Fcomprules" target="_blank" rel=" noopener">https://steam.space-aces.com/comprules</a></u><u>. Participation in the Competition may be conditioned upon possession of certain in-game items            (so-called “Jackpot CPU”), but not Virtual Currency or real currency.</u><br>    <br><u>Anti-Cheating Measures</u><u>. All Competitions will be subject            to strict anti-cheating protocols to ensure fair play. Any evidence of unauthorized software, manipulation,            cooperation or other forms of cheating will result in immediate disqualification from the Competition and            may also result in termination of the User Account, and/or other legal or corrective measures as outlined in            this EULA.</u><br>    <br><u>Rewards and Distribution</u><u>. Rewards will be distributed to            winners following the conclusion of the Competition and upon successful verification of compliance with this            EULA and the specific rules of the Competition. Distribution may take up to two (2) weeks after winner            validation. Rewards will be paid out in the specified fiat currency as communicated in the Competition            announcement. Please note that failure to provide accurate personal information necessary for reward            distribution, such as real name or banking details, may result in forfeiture of the reward. I reserve the            right to delay distribution for up to 72 hours for verification purposes, or longer in cases requiring            additional investigation.</u><br>    <br><u>Forfeiture of Rewards</u><u>. If a participant is found to have            violated any terms of this EULA or the specific Competition rules, their reward will be forfeited. I also            reserve the right to allocate such forfeited rewards to the next eligible Competition participant or take            other actions as I deem fit.</u><br>    <br><u>Competition Rules and Changes</u><u>. I reserve the right to modify, amend, or            update the rules, terms, and conditions of any Competition at any time and at my sole discretion. Additional            Competition rules and terms and conditions may also be specified within the Game (either via the user            interface or at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fsteam.space-aces.com%2Fcomprules" target="_blank" rel=" noopener">https://steam.space-aces.com/comprules</a></u><u>)</u><u>. In the event that such specifications deviate from the rules            under this Section 11 of the EULA, the rules and terms and conditions for the specific Competition shall            prevail.</u><br>    <br><u>AML and Counter-Terrorism Financing Compliance.</u><u> By            participating in the Competition, you represent and warrant that the information provided during your            registration for the Competition is complete, true and accurate and that you will not use the rewards earned            for any unlawful activities, including but not limited to funding terrorism or other criminal enterprises.            You further agree that the payment details provided for reward distribution (e.g., banking details) are            accurate, valid, and correspond to an account legitimately owned by you. You acknowledge that providing            false or misleading information, including fake or fraudulent bank account details, may result in forfeiture            of rewards and further legal or corrective actions as outlined in this EULA.</u><br>    <br><u>Tax Declaration</u><u>: Competition winner who is a tax resident of a state            other than the Czech Republic shall provide a declaration of tax residence and beneficial ownership of the            Competition reward, based on a template provided by me (“</u><u>Declaration</u><u>”). If the Declaration is not provided by the            Competition winner within fourteen (14) days of the Competition winner validation, the Competition winner            will not be entitled to claim the elimination or reduction of withholding tax under an applicable double tax            treaty. In such cases, the full applicable withholding tax rate under Czech law will be applied. If the same            Competition winner receives multiple rewards within the same calendar year, the Declaration will only need            to be provided once per calendar year. </u><br>    <ol>        <li><u>STREAMING THE GAME</u></li>    </ol>    <br><u>Content Creation and Monetization</u><u>. You may create content (e.g., videos,            streams, screenshots, or artwork) that incorporates my proprietary elements of the Game, such as gameplay,            music, sound, graphics, etc. (the “</u><u>Game Content</u><u>”) and share the Game Content on media-sharing websites (YouTube, Twitch, Reddit, etc.),            provided that the relevant Game Content is freely available to the public. Monetization of the Game Content            is permitted only through the official affiliate, advertising or partner programs of such websites. Any            other forms of monetization of the Game Content are not permitted.</u><br>    <br><u>Official Content</u><u>. Without my permission, you may only use            the Game Content from official materials, i.e., products that have been officially released (including            officially released early access versions of the Game), or from official promotional materials (e.g.,            trailers, artwork, screenshots, etc.). For avoidance of doubt, creating any content (streaming) while using            UGC (such as mods or addons) downloaded from third parties and installed by you is prohibited.</u><br>    <br><u>Third-Party Content</u><u>. If you wish to include third party property (such            as music, videos, memes, photos, etc.) in your content along with the Game content, you are responsible for            obtaining any necessary third-party permissions. In that regard, please acknowledge that some elements of            the Game may be provided by third parties and therefore are not owned by me (see the list here </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fsteam.space-aces.com%2F%3FshowCredits%253Dtrue" target="_blank" rel=" noopener">https://steam.space-aces.com/?showCredits%3Dtrue</a></u><u>). Be aware that third party content may trigger content flags and potential removal of your            content. Also, mind and follow the Prohibited Actions provision in Section 4 above.</u><br>    <br><u>Non-endorsement</u><u>. You may not imply or state that your            content is officially affiliated with, sponsored by, endorsed by, or approved by me (unless you have agreed            with me to do so, in advance).</u><br>    <ol>        <li><u>RULES OF CONDUCT</u></li>    </ol>    <br><u>Compliance and Safety</u><u>. To guarantee legal compliance and ensure a            respectful, safe, and responsible gaming experience and community, it is imperative that you strictly follow            our Community Rules available at our Discord channel (</u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fdiscord.com%2Fchannels%2F1187377888647979059%2F1187378200825831576" target="_blank" rel=" noopener">https://discord.com/channels/1187377888647979059/1187378200825831576</a></u><u>). These rules are not solely for adherence to the law but also to foster an environment of            respect and responsibility.</u><br>    <br><u>Scope of Rules</u><u>. When using the Game, you must abide by the            Community Rules, which (in short) prohibit you from:</u><br>    <ul class="bb_ul">        <li><u>breaking the law (for example committing crimes, infringing                intellectual property or other third party rights);</u></li>        <li><u>misusing or taking any action that may harm the Game, such as                disrupting or interfering with the Game, server, or using, developing, distributing or selling exploits,                cheats, etc.;</u></li>        <li><u>taking any actions that negatively affect me, other users of                the Game, or anyone else (for example spam the forums (including Discord), share personal data, harass,                troll, necropost, post any NSFW content or any Nazi propaganda or symbols, make racist comments or fun                of religion, disturb the peace, etc.); or</u></li>        <li><u>promote, encourage or take part in any prohibited activity                described above.</u></li>    </ul>    <ol>        <li><u>TERM AND TERMINATION</u></li>    </ol>    <br><u>Term</u><u>. This EULA is effective upon first acceptance of this            EULA, which occurs no later than when you download, install, launch, or otherwise use the Game, and remains            in force until terminated by you or me.</u><br>    <br><u>Termination and Consequences</u><u>. I reserve the right to            terminate this EULA if I determine that you are in breach of this EULA, if I suspect fraudulent activity, if            I cease to make the Game available (for example, by shutting down the servers that host the Game), or for            any other reason specified in this EULA or permitted under applicable law. Termination may result in the            loss of your User Account, username, achievements, forum badges, in-game items, UGC, and other content            associated with your User Account or use of the Game (e.g., the Virtual Currency and other Store Content).            In addition, upon termination, all rights to use the Game (including the License) will terminate and you            must cease all use of the Game and delete any and all copies of the Game from your device. If the EULA is            terminated due to your violation, I may prevent you from accessing the Game in the future.</u><br>    <br><u>My Termination Rights</u><u>. Should you commit a material breach            of this EULA, which includes serious breaches or conduct causing potential harm to the Game, its community,            myself, and my affiliates, licensors and partners, I may terminate or suspend your access to the Game and/or            the User Account. A material breach encompasses violations of the License terms or any explicitly            prohibited actions under this EULA and/or other documents concerning your use of the Game referenced herein.            Whenever reasonably possible, I will inform you of the termination reasons and potential remedial actions.            Following a suspension or termination under this clause, I bear no obligations or liabilities towards            you.</u><br>    <br><u>Pre-Termination Actions and Refund Policy</u><u>. Prior to            terminating the EULA, I may warn you, suspend, or alter your access to the Game, remove or delete any            content which violates this EULA, or ban your User Account or device from accessing the Game. You will not            be entitled to any refund if such an action is taken. This is without prejudice to any refund rights            available under mandatory law and, where the relevant purchase was made via a third-party platform (such as            Steam), under that platform’s refund rules and procedures.</u><br>    <br><u>Your Termination Rights</u><u>. You may terminate this EULA anytime via your            User Account or contacting me at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=http%3A%2F%2Fmailto%3Asupport%40space-aces.com" target="_blank" rel=" noopener">http://mailto:[email protected]</a></u><u>. Such            termination will lead to deletion of all data associated with your User Account (including the purchased            Store Content). In addition, termination for any reason as stipulated by applicable law will result in the            deletion of your User Account and all associated data, which will no longer be usable (including the            purchased Store Content).</u><br>    <br><u>Discontinuation of the Game</u><u>. I may, in my sole discretion,            discontinue the operation of the Game upon thirty days&#39; notice by email or within the Game (in the Game,            pop-up window or otherwise). A discontinued Game will not receive any updates or modifications, and I            do not guarantee that the Game will continue to work or be available for download on newer or updated            operating systems. In such cases, I will have no future obligations or liabilities to you, although this            does not negate any pre-existing obligations or liabilities that may have arisen prior to the            discontinuation of the Game.</u><br>    <br><u>Consent to Commence Performance</u><u>. By entering into this            EULA, you explicitly consent to and request the immediate initiation of the provision of the Game, thereby            acknowledging the extinguishment of your statutory rights to withdraw from the EULA, including the right to            any related refunds or returns of fees, in accordance with applicable law. This is without prejudice to your            rights under Section 17.</u><br>    <br><u>Survival</u><u>. All Sections that by their nature would survive            termination of the EULA shall survive termination thereof. In particular, the rights granted by you to me to            your UGC under Section 9 of this EULA and the relevant provisions of Sections 16 and 17 will continue beyond            the termination of this EULA.</u><br>    <ol>        <li><u>PRIVACY AND USE OF DATA</u></li>    </ol>    <br><u>Privacy Policy</u><u>. Please read the Privacy Policy to learn more about how I            process your personal data in connection with the Game available at </u><u><a class="bb_link" href="https://steamcommunity.com/linkfilter/?u=https%3A%2F%2Fsteam.space-aces.com%2Fprivacy" target="_blank" rel=" noopener">https://steam.space-aces.com/privacy</a></u><u>.</u><br>    <ol>        <li><u>REPRESENTATIONS AND LIMITATIONS OF LIABILITY</u></li>    </ol>    <br><u>Representations</u><u>. I hereby represent that: (i) I possess            the necessary rights to enter into this EULA and grant you the usage rights for the Game as detailed herein;            (ii) I will exercise reasonable care regarding the Game and your usage thereof; and (iii) I will endeavor to            adhere to applicable laws while fulfilling my obligations under this EULA. This provision is in addition to            and does not affect your statutory rights which cannot be excluded or limited in any way under applicable            law (so-called mandatory provisions).</u><br>    <br><u>No Warranty</u><u>. I do not warrant that the Game will always            run uninterrupted or without errors, nor do I warrant the performance of the Game on your specific            device, considering the variability in hardware, software, internet connections, and individual usage            patterns. Furthermore, I do not warrant that the Game will be free from interference with your            enjoyment, meet your requirements, or be compatible with third-party software or hardware, nor that errors            within the Game will be corrected. No advice or information, whether oral or written, obtained from me or my            authorized representatives shall create any warranty not expressly stated herein. It is worth noting that if your jurisdiction does not            allow the exclusion of or limitations on implied warranties, or the limitation of rights for consumers, some            or all of the above exclusions and limitations may not apply to you.</u><br>    <br><u>Limitation of Liability and Damages</u><u>. To the maximum extent            permitted by applicable law, neither I, my affiliates, nor licensees shall be liable for any special,            incidental, indirect, or consequential damages whatsoever. This includes, without limitation, damages for            loss of business profits, business interruption, loss of business information, personal injuries, property            damage, computer failure or malfunction, and any other pecuniary or punitive damages arising from            possession, use, or malfunction of the Game. This applies whether such damages arise out of or are related            to this EULA or the Game, resulting from tort (including negligence), contract, strict liability, or            otherwise, and even if I have been advised of the possibility of such damages. I am not responsible or            liable for any damages caused by any third party and/or third-party services, products or content. I also            won’t have responsibility for any damage which arises because you failed to install any Game update            when it is made available by me or where you fail to maintain the minimum system specifications            required.</u><br>    <br><u>Tax Responsibility</u><u>. You are liable for all taxes, duties,            and levies imposed by any government entity related to transactions under this EULA, including interest and            penalties (except taxes on net income). Provide me any exemption certificates you&#39;re entitled to. All            your costs related to this EULA are your responsibility, with no reimbursements from me, and you will            indemnify me from such expenses. You agree that I may withhold or deduct all taxes, duties or levies where            required by applicable laws. I am authorized to retain information about your tax residency and any provided            payment details for as long as required by applicable law.</u><br>    <br><u>Competition Reward Taxation</u><u>: I am entitled to withhold tax            on Competition rewards (see Section 11) in accordance with applicable Czech tax law. I am not responsible            for the Competition winner’s tax obligations in their state of residence. Competition winners are            solely responsible for complying with tax reporting and payment requirements in their jurisdiction. Upon my            request, you must immediately provide all reasonable assistance necessary to ensure compliance with my tax            obligations. I am entitled to retain information provided about your tax residency and payment details as            long as required under applicable law.</u><br>    <br><u>Indemnification</u><u>. To the fullest extent of applicable law,            you agree to be responsible and liable to me, my partners, licensors, affiliates, contractors, officers,            directors, employees, and agents in respect of all damages, losses, and expenses arising directly or            indirectly from your acts and omissions to act in using the Game pursuant to the terms of the EULA and/or            applicable law.</u><br>    <br><u>Liability Exceptions</u><u>. Despite any other provisions in this            EULA, I do not limit or exclude my liability to you where it would be illegal to do so. This includes            liability for: (i) death or personal injury caused by my negligence; (ii) fraud or fraudulent            misrepresentation; (iii) willful or grossly negligent actions; (iv) damage from negligently breaching            crucial obligations stipulated herein, where harm is typical and foreseeable; (v) any guarantees I provide;            and (vi) any unavoidable liability under applicable product liability laws.</u><br>    <br><u>Game Defects</u><u>. If you encounter any defects in the Game,            Section 6 of the Terms will apply accordingly. Please note that your rights regarding defective performance            are limited, as the Game is provided free of charge and on an "as-is" basis, as outlined            above.</u><br>    <ol>        <li><u>GOVERNING LAW AND DISPUTE RESOLUTION</u>        </li>    </ol>    <br><u>Governing Law</u><u>. You agree that this EULA shall be deemed to            have been made and executed in the Czech Republic and any dispute arising under this EULA shall be            resolved in accordance with Czech law, excluding the conflict of laws provisions and the Convention on            Contracts for the International Sale of Goods. If you are a consumer this shall not apply insofar as            mandatory provisions (e.g., mandatory consumer protection regulations) under the law of the state in which            you have your domicile, usual residence or registered office conflict with the application of Czech law            pursuant to Article 6(2) of Regulation (EC) No 593/2008 of the European Parliament and of the Council of 17            June 2008 on the law applicable to contractual obligations (Rome I).</u><br>    <br><u>Dispute Resolution</u><u>. This EULA represents the complete            agreement between you and me concerning the Game and supersedes any prior or contemporaneous agreements            between you and me. This EULA shall coexist with and shall not supersede any other of the documents, terms            and policies referenced in this EULA (in particular the Terms). You and I agree that we have not relied upon            any terms, conditions, representations, warranties or similar that are not expressly set out in this            EULA.</u><br>    <br><u>Third-Party Interactions</u><u>. Some components of the Game are            provided or facilitated by third parties and are governed by their own terms and conditions. You are solely            responsible for adhering to these terms, which may govern your use of specific features or content within            the Game. I do not guarantee the functionality, quality, or availability of these third-party            components, nor do I ensure they are free of charge.</u><br>    <br><u>Third-Party Platfor</u><u>ms. The Game may be distributed, made            available, or supported through third-party platforms (such as Steam). Your access to the Game via such            platforms may be subject to the terms, policies and technical rules of those platforms (including the Steam            Subscriber Agreement), and certain platform features (such as account management, payments, refunds, or            distribution-related obligations) may be handled by the platform.</u><br>    <br><u>No Third-Party Rights</u><u>. The terms of this EULA specifically            define the relationship between you and me and do not confer rights to any third parties, except as            explicitly stated within this document.</u><br>    <br><u>Transferability</u><u>. I reserve the right and am entitled to            assign, subcontract, or transfer our obligations under this EULA to a third party for purposes such as            supporting the Game, reorganization, merger, or other business needs, without prior notice or further            consent by you. You expressly acknowledge and agree that such transfer will not adversely affect your rights            under this EULA. You hereby agree to the aforesaid and waive any rights you may have to object to such            assignment.</u><br>    <br><u>Waiver</u><u>. Neither party&#39;s failure or delay in exercising            any right, power, or privilege under this EULA shall act as a waiver thereof, nor shall any single or            partial exercise of any such right, power, or privilege preclude any other or further exercise thereof. The            right to enforce my or your rights and remedies will remain in effect unless explicitly waived in this            EULA.</u><br>    <br><u>Relationship Clause</u><u>.
