This Agreement constitutes an agreement between a user of RPG Developer Bakin and SmileBoom Co. Ltd. (hereinafter referred to as "the Company").

If the whole or any part of the Software described in Article 1 of this Agreement is used, the person who uses and applies the software (hereinafter referred to as the "User") is deemed to have agreed to be bound by the terms of this Agreement. If the Software is already downloaded, the User is equally deemed to have read and accepted the terms of this Agreement.

软件使用者(以下称为“用户”)一旦使用本合同第1条中记载的全部或部分软件,即被视为同意接受本合同各条款的约束。用户一旦下载软件,也被视为已阅读并同意本合同条款。

Article 1. Definition
As used in this Agreement, the following terms have the following meanings.
(1) "Software" refers to programs provided by the Company, related files, storage media and media containing such programs, and specifications, descriptions, procedures, manuals and any other documentation related to such tools and programs.
(2) "Downloaded Content" refers to the content which the User downloads via the Internet and uses in RPG Developer Bakin.
(3) "Plug-in" refers to the content that extends the functionality of the Software, the Company's product.
(4) "Use of the Software" refers to downloading and installing the Software on a personal computer or other device and operating it in one way or another. Alternatively, it refers to using specifications, descriptions, procedures, manuals, and any other documentation related to the Software.
(5) "User Game" refers to a game created by a user using the Software, the Company's product.

在本合同中,下列各项所记载术语的定义,依据该项的规定。
(1)软件 软件是指本公司提供的程序、该程序中所含的相关文件、各种存储媒介、媒体及该工具和程序相关的规格书、说明书、步骤书、手册及其他一切相关资料。
(2)下载内容 下载内容是指用户通过互联网下载并在RPG Developer Bakin内使用的内容。
(3)插件 插件指扩充本公司所售软件之功能的内容。
(4)使用软件 使用软件是指在电脑等设备中下载、安装软件并进行一切相关操作。或使用软件相关的规格书、说明书、步骤书、手册及其他一切相关资料。
(5)用户游戏 用户游戏指用户使用本公司所售软件制作的游戏。

Article 2. Granting of a license
The Company grants the User a non-exclusive and non-sublicensable license to install and use the Software on a personal computer. The User may not assign its license regarding the Use of the Software to a third party.

本公司赋予用户在电脑中安装软件,并在该电脑中使用软件的非独占且不可再许可的使用权。用户不得将软件使用权转让给第三方。

Article 3. Basic matters
This Agreement specifies conditions concerning the granting by the Company to the User of a license regarding the Use of the Software in its capacity as the copyright holder or a licensor authorized by lawful right holders, and the User's use of the Software. In all circumstances, the terms of this Agreement apply to conditions concerning the Use of the Software as between the Company and the User.

本合同规定了作为著作权人的本公司、或从拥有正当权限的权利人获得授权的本公司允许用户使用软件后,用户使用软件时的合同条件。关于本公司与用户之间的软件使用条件,在任何情况下均适用本合同条款。

Article 4. Intellectual property rights
Copyright and other intellectual property rights to the Software are vested in the Company or lawful third parties.

软件的著作权及其他知识产权归本公司或拥有正当权限的第三方所有。

Article 5. Prohibition
1. The User may not conduct the following acts without the Company's approval.
(1) The User may not reproduce, adapt, alter, sell, loan or otherwise distribute, enable for transmission, put to public transmission, sublicense, or make commercial use of the Software without obtaining licenses from the Company and lawful right holders.
(2) The User may not reverse-engineer, decompile, or disassemble the Software. The Software may not be disassembled for source code analysis.
(3) The Software may not be exported in violation of laws and regulations.
2. If the User causes damage to the Company as a result of a breach of this Agreement or infringement of intellectual property rights related to the Software, the User shall be obligated to pay compensation for such damage. In such cases, the Company may immediately terminate this Agreement.

第5条(禁止事项)
1. 客户在未经本公司同意的情况下,不得有以下行为。
(1) 用户在未经本公司或拥有正当权限的权利人同意的情况下,不得对软件进行复制、改编、修改、销售、出租、以其他形式分发、可传播化、公开传播、再使用许可或将软件用于经营活动。
(2) 用户不得对软件进行反向工程、反向编译和反向汇编。不得进行反向汇编并解析源代码。
(3) 不得违反法律法规出口软件。
2. 用户因违反本合同或侵害软件相关知识产权而给本公司造成损失时,有义务对此进行赔偿。这种情况下,本公司可以立即解除本合同。

Article 6. Use of the assets
1. The User may use, free of charge, 3D model data, graphics and sounds contained in the Software, and model data etc. generated by Software functions (hereinafter referred to as the "Assets").
2. The Assets from a product or tool manufactured by the Company may be used in another product or tool manufactured by the Company. However, the Company does not warrant Assets compatibility between the products and the tools.
3. The use of various Assets other than for products and tools manufactured by the Company is prohibited.
4. Assets data contained in the Software may not be distributed as-is, whether on a chargeable or non-chargeable basis.
5. The User may make and use its own altered versions of the Assets, but such use is limited to inside the Software. In the case of secondary distribution of such altered data, it must be clearly marked as the Company's copyrightable work.
6. The Assets may be modified and used for the purpose of introducing work produced by the user on the user's own blog, social media, promotional videos, and so on. In this case, you may also transfer or distribute them to other users for free. However, commercial use of altered Assets or distribution to third parties other than other users is prohibited, regardless of whether such use is paid or free. In the case of secondary distribution of such altered data, it must be clearly marked as the Company's copyrightable work.
7. The Downloaded Content is governed by separate license terms.

第6条(素材使用)
1. 关于软件中收录的3D模型数据、图形、声音及利用软件功能生成的模型数据等(以下称为“各种素材”),用户可免费使用。
2. 各种素材可在本公司制作的商品/工具间使用。但是,不保证各种素材在商品/工具间的兼容性。
3. 禁止将各种素材用于非本公司制作的商品/工具。
4. 关于各种素材,无论付费免费,软件中收录的数据均不得直接分发。
5. 关于各种素材,用户可自行修改并使用,但其使用仅限于软件内。二次分发该修改数据时,请注明其为本公司拥有版权的作品。
6. 用户可出于在自身博客、社交媒体、宣传视频等进行介绍,或介绍用户自身所制作作品的目的,对各类素材进行修改和使用。此时,用户可无偿转让、分发给其他用户。但是无论是否有偿,禁止对已修改的素材进行商用,或分发给其他用户以外的第三方。二次分发该修改数据时,请注明其为本公司拥有版权的作品。
7. 关于下载内容,另行遵照各下载内容的使用许可条件。

Article 7. Rights to created games, their distribution, etc. 
1. The User is to distribute their games with all of the following conditions satisfied.
(i) The User is a lawful license holder of the Software.
(ii) Games created by the User do not infringe, and are not likely to infringe, third-party rights and interests.
(iii) In connection with games created by the User, the User shall not provide computer viruses or other harmful programs (including spamming).
(iv) Game created by the User do not violate laws, regulations, and public order and morals.
(v) There is no possibility of otherwise breaching the foregoing.
Copyright to games created by the User with the Software is vested in the User. The Company assumes no responsibility for the contents of games created by the User and any issues arising in connection with their posting or distribution via video media.
2. The User shall announce or display the following matters when distributing their games.
(i) Indicate, at a place visible to game users, that the game was created with the Software (e.g., "RPG Developer Bakin was used to create this software").
(ii) Include the following notice regarding the Software.
● Notice: "©2022-2025 SmileBoom Co. Ltd."
3. There are no particular restrictions on the distribution of games created by the User with the Software, provided that the distribution conditions specified in paragraph 1 are met. Their distribution, whether on a chargeable or non-chargeable basis, shall not require the User to pay royalties to the Company. However, the Company assumes no responsibility for the content of games created by the User or any issues arising in connection with their distribution and sale.
4. The User is free to distribute games created with the Downloaded Content so long as the User complies with the license terms. The Company assume no responsibility for any issues arising in connection with their distribution.

第7条(制成的游戏的权利、分发等)
1. 用户应在满足以下全部条件的状态下进行游戏分发。
① 为本软件的正规被授权人
② 用户制作的游戏不应侵害或可能侵害第三方的权利及利益
③ 用户制作的游戏不应出现提供电脑病毒等有害程序的行为(包括大量发送垃圾邮件的行为)
④ 用户制作的游戏不应违反法律法规及公序良俗
⑤ 不存在其他违反上述条款的可能性
用户使用软件制作的游戏的著作权归用户所有。对于用户制作的游戏内容及登载/分发到视频媒体时所发生的任何问题,本公司概不负责。
2. 用户进行游戏分发等时,应告知或标记以下各项中记载的事项。
① 在游戏使用者可以看到的地方,注明该游戏使用本软件制作而成(例:本软件使用RPG Developer Bakin制作而成)
② 关于本软件,应进行如下权利标记
●权利标记:“©2022 SmileBoom Co.Ltd.”
3. 用户使用软件制作的游戏进行分发时,以满足第1款分发条件为前提,无特殊限制。分发时,无论付费免费,均无需向本公司支付版税。但是,用户制作的游戏内容及游戏分发、销售时所发生的任何问题,本公司概不负责。
4. 用户使用下载内容制作的游戏,只要符合使用许可条件,即可自由分发。届时发生任何问题,本公司概不负责。

Article 8. Use, distribution, and rights of plug-ins 
1. Users of the Software, the Company's product, may add or change features by incorporating the Company's official plug-in into their user games. Additionally, the user may alter the official plug-in only for use in the user game.
2. Official plug-ins and modified official plug-ins may be distributed together with user games created with the Company's products. However, distribution of official plug-ins by themselves is prohibited.
3. The use of all plug-ins, including user plug-ins, plug-ins created by third parties, official plug-ins altered by users, and official plug-ins, shall be at the full responsibility and expense of the user. The Company shall not be responsible for any and all issues that may arise from the use of these plug-ins.

1. 本公司所售软件的用户可通过将本公司官方插件嵌入用户游戏来扩展或更改功能。此外还可修改官方插件(仅限于在用户游戏中使用)。
2. 官方插件和修改后的官方插件可随用本公司商品制作的用户游戏一起分发。但是,禁止单独分发官方插件。
3. 使用用户插件、第三方制作的插件、用户修改后的官方插件,以及包含官方插件在内的所有插件时,请用户自行承担所有责任。关于使用该类插件造成的所有问题,本公司概不负责。

Article 9. Collection of information 
If RPG Developer Bakin crashes while it is used by the User, the Product can collect operation logs and user folder path information at the option of the User and use them for trouble analysis and future product improvement. If other information, such as personal information, is collected, it shall be handled in accordance with the Company's privacy policy.

本产品具有在用户使用RPG Developer Bakin的过程中RPG Developer Bakin发生崩溃时,经用户同意,收集用户的操作日志、用户文件夹路径信息,并将之用作问题分析及今后商品改善用信息的功能。收集其他信息、个人信息等时,会按照本公司的隐私政策进行处理。

Article 10. Disclaimer 
This Agreement does not warrant the operation of the Software. It does not warrant accuracy, reliability, or integrity as to the Use of the Software or the results thereof, either. Please note that if any trouble occurs, prompt actions, such as modification and repair, cannot be taken.

本合同不保证软件的运行。另外,不保证软件使用或使用结果相关的正确性、可靠性、完整性。发生故障时,无法即刻进行修改、修补等应对处理,敬请谅解。

Article 11. Compensation for Damages 
The Company assumes no responsibility for any direct, indirect, or consequential damage arising from the Use of the Software or loss of Use of the Software.

对于因软件使用或软件无法使用所引发的直接、间接或波及效果造成的任何损害,本公司概不负责。

Article 12. Refund of purchase price 
In principle, The Company does not refund the purchase price of the Software. However, if the terms of use of the online store from which the User purchased the Software specify otherwise, such terms shall apply.

第12条(退还购买货款)
原则上,软件购买货款一经支付,本公司概不退还。但是,如果用户购买软件的网上商城的规定中有相关记载时,则遵照该规定内容。

Article 13. Withdrawal of the agreement 
If the User withdraws its acceptance of this Agreement, it must delete all Software-related files and files created with the Software from all its storage media and leased servers.

第13条(撤销合同)
用户针对本合同撤销同意时,必须从归用户所有的全部存储媒介及签约服务器中,将软件相关文件及使用软件制作的文件全部删除。

Article 14. Jurisdiction 
With regard to any dispute arising in connection with the Use of the Software and the interpretation and performance of this Agreement, the laws of Japan shall apply and the Sapporo District Court shall be the agreed court of competent jurisdiction.

如关于软件使用及本合同的解释履行发生任何纠纷,解决时均适用日本法律,以札幌地方法院为协议管辖法院。

Article 15. Amendment 
The Company may amend the contents of this Agreement and other announcements without prior notice to the User, and if any such amendment is made, the latest amended versions of the agreement and announcements shall apply.

本公司可以变更本合同内容及其他告知内容,而无需事先通知客户,发生变更后,适用变更后的最新合同内容及告知内容。

Article 16. Language
This Agreement is made in Japanese, and an English translation of this Agreement is nothing more than a translation. If there is any discrepancy between the Japanese and English interpretations of this Agreement, the Japanese interpretation shall prevail.

本合同用日文制作,翻译成中文的本合同仅为译文。本合同的日文与中文解释内容存在分歧时,以日文解释为优先。
