YOU SHOULD CAREFULLY READ THE ENTIRE FOLLOWING END USER LICENSE AGREEMENT BEFORE DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME OR ANY RELATED SOFTWARE (collectively, the “GAME”).  THIS AGREEMENT CONTAINS IMPORTANT TERMS THAT AFFECT YOUR LEGAL RIGHTS.  BY DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME, YOU AGREE TO BE BOUND BY ALL THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, PLEASE DO NOT (AND YOU ARE NOT PERMITTED TO) DOWNLOAD, INSTALL, USE OR PLAY THE GAME.  
IN ORDER TO PLAY THE GAME AND/OR ACCESS CERTAIN FEATURES, YOU MAY BE REQUIRED TO HAVE AND MAINTAIN A VALID AND ACTIVE USER ACCOUNT WITH ZENIMAX (“ACCOUNT”)
BY DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME YOU CONFIRM THAT YOU HAVE READ THIS END USER LICENSE AGREEMENT, THE ZENIMAX TERMS OF SERVICE AND THE ZENIMAX PRIVACY POLICY AND THAT YOU AGREE TO THE TERMS IN THIS AGREEMENT AND THE TERMS OF SERVICE, (COLLECTIVELY, THIS “AGREEMENT”).  YOU FURTHER ACKNOWLEDGE AND UNDERSTAND THAT ZENIMAX WILL PROCESS YOUR PERSONAL INFORMATION IN ACCORDANCE WITH THE ZENIMAX PRIVACY POLICY (available at https://bethesda.net/en/document/privacy-policy). IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, OR YOU HAVE NOT READ AND UNDERSTOOD THE ZENIMAX PRIVACY POLICY, DO NOT DOWNLOAD, INSTALL OR USE THE GAME.
For ease of reference, the ZeniMax “Terms of Service” or the “ZeniMax Terms of Service” that you agreed to at the time you established your Account with ZeniMax may be found at: https://bethesda.net/en/document/terms-of-service.  
This Agreement is between you and ZeniMax Media Inc. (“ZeniMax”). 
AS SET OUT IN SECTION 1 OF THE TERMS OF SERVICE, IF YOU ARE RESIDENT IN THE EEA, UNITED KINGDOM, SWITZERLAND, AUSTRALIA, NEW ZEALAND, TURKEY, JAPAN OR BRAZIL, ZENIMAX ACKNOWLEDGES THAT THERE ARE CERTAIN GUARANTEES, WARRANTIES, TERMS AND CONDITIONS (INCLUDING IN RESPECT OF REFUNDS AND RETURNS AND UNFAIR TERMS) IMPOSED BY THE LAWS RELATING TO THE SUPPLY OF GOODS, SERVICES AND DIGITAL CONTENT WHICH THE LAWS EXPRESSLY PROVIDE MAY NOT BE EXCLUDED, RESTRICTED OR MODIFIED OR MAY ONLY BE LIMITED TO A CERTAIN EXTENT (THE "STATUTORY OBLIGATIONS").  NOTHING IN THIS EULA EXCLUDES, RESTRICTS OR MODIFIES THE STATUTORY OBLIGATIONS OTHERWISE THAN ACCORDING TO SUCH LAWS.
PHOTOSENSITIVITY WARNING:
A very small percentage of individuals may experience epileptic seizures or blackouts when exposed to certain visual images, including without limitation light patterns or flashing lights.  If you experience any of the following symptoms while playing the Game, immediately discontinue use and consult your physician before resuming play: blackouts, seizures, dizziness, altered vision, eye or muscle twitches, jerking or shaking of arms or legs, loss of awareness, disorientation, confusion, any involuntary movement, or convulsions.
The ZeniMax Terms of Service contain a Dispute Resolution and Arbitration Provision, including a Class Action Waiver, (the “Disputes Provision”) that - if you reside in a jurisdiction outside of the EEA/United Kingdom/Switzerland/Australia/New Zealand/Turkey/Japan or Brazil that permits class actions or other collective disputes - affects your rights under the ZeniMax Terms of Service and this End User License Agreement with respect to disputes you may have with ZeniMax.  That Disputes Provision is incorporated into this End User License Agreement by this reference and forms a part of this End User License Agreement as if such provision was fully restated in this End User License Agreement.  You may opt out of the binding individual arbitration and class action waiver as provided in the ZeniMax Terms of Service.  
Any and all uses of the Game are governed by the terms of this End User License Agreement and the ZeniMax Terms of Service.  To play the Game, you must (a) obtain from ZeniMax access to the Game and (b) download the Game Client (as defined below).  The ZeniMax Terms of Service are hereby incorporated into and form a part of this End User License Agreement by this reference as if such provisions were fully restated in this End User License Agreement.  The End User License Agreement is a “EULA” and constitutes “Supplemental Terms” as contemplated by the ZeniMax Terms of Service.  The Game is made available and distributed solely for use by authorized end users according to the terms of this Agreement, including the ZeniMax Terms of Service.  Any use, reproduction, modification or distribution of the Game not expressly authorized by the terms of this Agreement is expressly prohibited.  You agree that the Game, the Game Client, other Game related software, Content (as defined in the Terms of Service) specific to the Game and your access to and use of the Game are all a “Service” for the purposes of this Agreement, including the ZeniMax Terms of Service.  Any rights not granted to you in this Agreement are reserved by ZeniMax. 
You have previously acknowledged that ZeniMax may process your personal information in accordance with the ZeniMax Privacy Policy which is available at https://bethesda.net/en/document/privacy-policy and you have agreed to the ZeniMax Code of Conduct which is available at https://bethesda.net/en/document/code-of-conduct.  The Code of Conduct is incorporated into this End User License Agreement by this reference and forms a part of this End User License Agreement as if it were fully restated in this End User License Agreement.  All personal information collected and processed by ZeniMax in connection with this End User License Agreement will be collected and processed in accordance with the ZeniMax Privacy Policy. 
YOU SHOULD PRINT A COPY OF THIS END USER LICENSE AGREEMENT, THE TERMS OF SERVICE, THE PRIVACY POLICY AND THE CODE OF CONDUCT FOR YOUR RECORDS AND FOR FUTURE REFERENCE.
All software programs and any and all files that are delivered to you or made available to you by ZeniMax, directly or indirectly through a ZeniMax authorized reseller or distributor, (via on-line access, transmission, download or otherwise), including any “patcher”, “installer”, and any updates and modifications to such software programs, and any and all copies and derivative works of such software programs (collectively, with the Game Client (defined below), the “Game”) is the copyrighted work of ZeniMax and its affiliates.  THE GAME IS LICENSED, NOT SOLD, TO YOU.  
1.	LIMITED LICENSE; RESTRICTIONS AND OWNERSHIP
If you agree to this Agreement, you may download and install the computer software (hereafter referred to as the “Game Client”) onto your computer or console for the sole purpose of playing the Game by registering for and accessing an account with the Service (the “Account”).  Additional terms applicable to your Account are set forth in the ZeniMax Terms of Service.  Subject to your compliance with all the terms and conditions in this Agreement, ZeniMax hereby grants, and you hereby accept, a limited, non-transferable, non-exclusive license (a) to download, install, or use the Game Client on one or more computers or consoles owned by you or under your legitimate control, and (b) to use the Game Client solely as part of the Service for your non-commercial entertainment purposes only.  
The ZeniMax Terms of Service include terms and conditions applicable to Virtual Currency (as such term is defined in the ZeniMax Terms of Service), including terms that grant to you a non-exclusive, limited license for Virtual Currency.  Such terms and conditions apply to the Virtual Currency (if any) licensed to you for use with the Game.  The in-Game currency associated with this Game are “Virtual Currency” and are subject to such terms and conditions.
Subject to the Statutory Obligations (as defined in Section 1 of the Terms of Service), this Agreement does not give you any right to obtain reissues or replacements of the Game at any time and ZeniMax is not obliged to supply software updates, upgrades, or expansions for the Game, or even to operate or continue to support the Game for an indefinite period.  
As further described in the ZeniMax Terms of Service, but subject to the Statutory Obligations (as defined in Section 1 of the ZeniMax Terms of Service), ZeniMax may change, modify, suspend, or discontinue any aspect of the Game at any time and ZeniMax may also impose limits on certain features or restrict your access to parts or all of the Game without notice or liability.
In all cases, the licenses granted to you in this Agreement will terminate upon the earlier of termination of this Agreement or termination of your Account, if any, with ZeniMax.  
The ZeniMax Terms of Service include terms and conditions applicable to user generated Content, downloadable Content and other Content and you agree to comply with such terms and conditions. 
2.	SOFTWARE UPDATES AND ANTI-CHEATING AND SECURITY TOOLS.  ZeniMax may deploy or provide patches, updates, improvements, upgrades and modifications to the Game (“Updates”) that must be installed by you in the manner described by ZeniMax in its discretion before you may continue to play the Game.  All such Updates are part of the Game for purposes of this Agreement, the licenses granted to you and the License Limitations set forth in this Agreement.  The terms of this Agreement will govern any Updates provided by ZeniMax that replace and/or supplement the original Game, unless such Updates is accompanied by a separate license agreement in which case the terms of that license agreement will govern.  ZENIMAX HAS IMPLEMENTED TOOLS AND SOFTWARE (“ANTI-CHEAT TOOLS”) DESIGNED TO DETECT AND PREVENT CHEATING AND FRAUD; THESE TECHNOLOGIES MAY SCAN ANY COMPUTER OR DEVICE FROM WHICH YOU DOWNLOAD OR PLAY THE GAME TO DETECT OR IDENTIFY ANY PROGRAMS OR PROCESSES DESIGNED TO “CHEAT,” GAIN AN UNFAIR ADVANTAGE IN THE GAME OR OTHERWISE CIRCUMVENT ANY SECURITY, ANTI-CHEAT OR FRAUD DETECTION PROCESSES  OR TOOLS WE HAVE IMPLEMENTED (“CHEAT PROGRAMS”).  BY USING OR DOWNLOADING THE GAME OR ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE AND EXPRESSLY AGREE TO THE ACCESS TO YOUR COMPUTER OR DEVICE  BY THESE ANTI-CHEAT TOOLS TO IDENTIFY OR DETECT CHEAT PROGRAMS.
3.	LIMITATIONS AND RESTRICTIONS.
The Game and/or certain features are a Service offered by ZeniMax and may only be playable online.  In such cases, a persistent Internet connection (which is not supplied by ZeniMax) is required to play the Game. The Game Client alone without a persistent Internet connection does not give you the right or ability to play the Game.  You are responsible for all costs and expenses associated with acquiring any hardware, software (e.g., Internet browsers) or other products or services required to play the Game or access these features.  
In addition to the restrictions, conditions and limitations set forth in the ZeniMax Terms of Service and the ZeniMax Code of Conduct, the license granted to you in this End User License Agreement is subject to the conditions, restrictions and limitations set forth in Section 1 and this Section 3 of this End User License Agreement (collectively, the “License Limitations”). Any use of the Game in violation of the License Limitations will be regarded as an infringement of ZeniMax’s copyrights in and to the Game and will be a breach of this Agreement.  You agree that you will not and will not assist any other person, under any circumstances, to:
A.	in whole or in part, distribute, publicly perform or display, sell, transmit, publish, edit, reproduce, sublicense, rent, lease, loan or otherwise transfer the Game or Content, including without limitation any access keys;
B.	in whole or in part, modify, adapt, translate, reverse engineer, attempt to derive source code from, modify, disassemble, decompile, or create derivative works based on the Game; provided, however, that you may make one (1) copy of the Game Client and the manuals that accompany it for archival purposes only and you may install the relevant Game Client on one or more computers owned by you or under your legitimate control as described in Section 1 above; 
C.	remove any proprietary notices or labels on the Game; or attempt in any manner to circumvent any security measures designed to control access to the Game or any part thereof;  
D.	use cheats, automation software (bots), hacks, mods or any other unauthorized third-party software designed to modify the Game or adversely impact any other persons playing of the Game or his/her experience of playing the Game; 
E.	exploit the Game or any of its parts, including without limitation the Game Client, for any commercial purpose (including without limitation renting, leasing or licensing the Game to others), including without limitation (a) for gathering Virtual Currency (as defined in the ZeniMax Terms of Service), items or resources for sale outside the Game; or (b) performing in-game services in exchange for payment outside the Game, e.g., power-leveling; 
F.	use any unauthorized third-party software that intercepts, “mines”, or otherwise collects information from or through the Game or the Service, including without limitation any software that reads areas of RAM used by the Game to store information about a character or the game environment; provided, however, that ZeniMax may, at its sole and absolute discretion, allow the use of certain third party user interfaces and other third party software; 
G.	modify or cause to be modified any files that are a part of the Game Client in any way not expressly authorized by ZeniMax; 
H.	host, provide or develop matchmaking services for the Game or intercept, emulate or redirect the communication protocols used by ZeniMax in any way, for any purpose, including without limitation unauthorized play over the internet, network play, or as part of content aggregation networks;   
I.	facilitate, create or maintain any unauthorized connection to the Game or the Service, including without limitation (a) any connection to any unauthorized server that emulates, or attempts to emulate, the Service; and (b) any connection using programs or tools not expressly approved by ZeniMax; 
J.	take any action or upload, post, transmit, promote, or distribute any illegal content; 
K.	take any action or upload, post, transmit, promote, or distribute any content that infringes or violates any third party rights; 
L.	engage in, take any action associated with, or participate in any type of child solicitation, grooming behavior, pedophilia, or predatory behavior in any form;  
M.	harass, stalk, threaten, embarrass, spam or do anything else to another user of the Game that is unwanted, such as repeatedly sending unwanted messages or making personal attacks or statements about race, sexual orientation, religion, heritage, etc.; 
N.	take any action or upload, post, transmit, distribute, or communicate your or any person’s real-world personal information; 
O.	impersonate any person or entity, including, but not limited to, ZeniMax, ZeniMax’s partners’ or affiliates’ employees, or falsely state or otherwise misrepresent your affiliation with a person or entity; 
P.	take any action, organize, transmit any content, effectuate or participate in any activity, group, or guild that is harmful, tortuous, abusive, hateful (including “hate speech”), racially, ethnically, religiously or otherwise offensive, obscene, threatening, bullying, vulgar, sexually explicit, defamatory, libelous, infringing, invasive of personal privacy or publicity rights, encourages conduct that would violate a law or is, in a reasonable person's view, objectionable and/or deemed to be in the sole discretion of ZeniMax inappropriate;  
Q.	promote, upload, transmit, encourage or take part in any activity involving hacking, cracking, phishing, taking advantage of exploits or cheats and/or distribution of counterfeit software and/or Virtual Currency or virtual items.  In an effort to continuously improve the Game, you and other users/players discovering exploits, cheats, cracks or other inconsistencies are required to report them to ZeniMax; or 
R.	take any action or upload, post, transmit, promote, or distribute any content that may contain a Trojan horse, virus, worm, spyware, time bombs, cancelbots, corrupted data or other computer programs that you do not own or have permission to freely distribute that may damage, interfere with, intercept, expropriate or disrupt the Game.
Any attempt to do any of the foregoing is a breach of this Agreement and may be a violation of intellectual property rights in the Game.  If you breach these restrictions, you may be subject to prosecution and damages.  
The Game is licensed to you as a single product. Its component parts may not be separated for use on more than one computer.  The Game is licensed, not sold.  Your license confers no title or ownership in the Game or copies thereof.  
4.	OWNERSHIP OF THE GAME.  
ZeniMax and its licensors are and will continue to be the owner of all right, title, and interest in and to the Game and the Service, including without limitation all intellectual property rights and moral rights in and to the Game and all copies thereof (including without limitation any titles, software programs and code, Game related themes, characters, character names, character likenesses, stories, dialog, catch phrases, locations, concepts, artwork, character inventories, structural, landscape and other designs in the Game, animations, sounds, musical compositions and recordings, audio-visual effects, storylines, methods of operation, and any related documentation).  You shall take no action inconsistent with such title or ownership.  The Game is protected by the copyright laws of the United States, international treaties and conventions, and other laws.  The Game may contain materials licensed by third parties, and the licensors of those materials may enforce their rights in the event of any violation of this Agreement.  You acknowledge and agree that you have no interest, monetary or otherwise, in any feature or Content contained in the Game.  This paragraph will survive the termination of this Agreement.  
5.	COLLECTION AND PROCESSING OF PERSONAL INFORMATION
ZeniMax will process your personal information in accordance with the ZeniMax Privacy Policy [https://bethesda.net/en/document/privacy-policy] and we will also use cookies, web beacons and other analytic technologies (together “cookies” herein) and similar mechanisms – including those provided by third parties – to collect, store and transmit information related to your usage of the Service in order to operate, improve and optimize the Service and our other products, to analyze usage, to personalize your experiences using the Service, and otherwise in accordance with the ZeniMax Privacy Policy.  You expressly acknowledge that you have read and understood the: 
•	ZeniMax Privacy Policy [https://bethesda.net/en/document/privacy-policy] which explains how we may collect, use, disclose and otherwise process data about you (including personal information)
•	ZeniMax Cookie Policy [https://bethesda.net/en/document/cookie-policy], which sets forth our use of cookies and your options regarding the same; 
ZeniMax reserves the right to disclose any information ZeniMax deems necessary to (i) ensure your compliance with this Agreement; (ii) satisfy any applicable law, regulation or legal process; and (iii) protect the rights, property and interests of ZeniMax, its employees, other users of the Game or the public.  
6.	MONITORING AND UPDATES.	
If you request any technical support from ZeniMax, subject to your consent ZeniMax may remotely access and review the computer onto which you have loaded the Game Client for purposes of providing technical support and debugging.  As further described in the ZeniMax Terms of Service, ZeniMax may update the Game remotely including without limitation the Game Client residing on your computer, and you hereby grant to ZeniMax your consent to deploy and apply such Updates.  
You understand and agree that (a) any and all Game related character data is stored and is resident on ZeniMax computers and servers and (b) any and all communications that you make within the Game (including, but not limited to, messages solely directed at another player or group of players) traverse through ZeniMax computers and servers and may or may not be monitored by ZeniMax or ZeniMax’s agents.  You expressly consent to such monitoring of such communications that you send and receive.  The ZeniMax Terms of Service and the ZeniMax Privacy Policy include further terms and conditions applicable to the accessing, monitoring and recording of activities and communications on and relating to the Service, including but not limited to when ZeniMax may report incidents to law enforcement and other authorities. All personal information collected and processed by ZeniMax as part of the activities set out in this clause 6 will be collected and processing accordance with the ZeniMax Privacy Policy[https://bethesda.net/en/document/privacy-policy] and the terms of the Agreement.   
7.	TERMINATION.  
This End User License Agreement starts at the time you accept this End User License Agreement and it will remain effective until terminated.  You may terminate this End User License Agreement at any time by (i) permanently destroying all copies of the Game in your possession or control and (ii) removing the Game Client from your hard drive.  Subject to the Statutory Obligations (as defined in Section 1 of the ZeniMax Terms of Service),  ZeniMax may terminate this End User License Agreement at any time for any reason or no reason (including at such time as ZeniMax elects to discontinue offering the Game).  Upon termination by ZeniMax for any reason, all licenses granted in this Agreement (including in the ZeniMax Terms of Service) with respect to the Game that is the subject of this End User License Agreement shall immediately terminate and you must immediately do (i) and (ii) above.  Termination for no reason will be communicated to you by ZeniMax.  
8.	EXPORT RESTRICTIONS.  
The Game may not be exported, re-exported, downloaded or otherwise transferred (i) to or into (collectively, an “Export”) any country which requires an Export license or which the United States Government prohibits Exports, including any such country subject to economic sanctions or (ii) to any person or entity prohibited from receiving goods or services of U.S. origin.  You represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.  This Section 8 will survive the termination of this Agreement.
9.	WARRANTY.  
If you, the original purchaser, purchased the Game on a physical media (such as a disc) your use of the Game is subject to the limited warranty included with the manual or other packaging material that came with your purchase.
THE ZENIMAX TERMS OF SERVICE INCLUDE PROVISIONS REGARDING THE DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND GUARANTEES (SUBJECT TO THE STATUTORY OBLIGATIONS (AS DEFINED IN SECTION 1 OF THE ZENIMAX TERMS OF SERVICE)) AND SUCH PROVISIONS ARE INCORPORATED INTO THIS END USER LICENSE AGREEMENT BY THIS REFERENCE AND FORMS A PART OF THIS END USER LICENSE AGREEMENT AS IF SUCH PROVISIONS WERE FULLY RESTATED IN THIS END USER LICENSE AGREEMENT.  THIS SECTION 9  SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT.
With respect to software that is enabled for use on or over the Internet, you acknowledge that ZeniMax is not responsible for the Internet or whether it should continue to exist in its present form or whether or not a government or governmental agency, either foreign or domestic, will control, regulate or disband the Internet.  Use of the Internet is at your sole risk.
10.	LIMITATION OF LIABILITY, REIMBURSEMENT.
To the maximum extent permitted by applicable law, and subject to the Statutory Obligations (as defined in Section 1 of the Terms of Service), IN NO EVENT SHALL ZENIMAX OR ANY OF LICENSORS BE LIABLE FOR ANY (I) SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER INDIRECT DAMAGES, (II) THIRD PARTY CLAIMS, OR (III) LOSS OR DAMAGE TO ANY SYSTEMS, HARDWARE OR SOFTWARE, RECORDS OR DATA, EVEN IF ADVISED OF OR AWARE OF THE POSSIBILITY OF ANY SUCH DAMAGES AND EVEN IF A LIMITED REMEDY IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.  
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY.  ACCORDINGLY, SOME OF THE ABOVE MAY NOT APPLY TO YOU.
THE ZENIMAX TERMS OF SERVICE INCLUDE OTHER PROVISIONS REGARDING THE LIMITATION OF LIABILITY AND REMEDIES (SUBJECT TO THE STATUTORY OBLIGATIONS (AS DEFINED IN SECTION 1 OF THE ZENIMAX TERMS OF SERVICE)) AND SUCH PROVISIONS ARE INCORPORATED INTO THIS END USER LICENSE AGREEMENT BY THIS REFERENCE AND FORMS A PART OF THIS END USER LICENSE AGREEMENT AS IF SUCH PROVISIONS WERE FULLY RESTATED IN THIS END USER LICENSE AGREEMENT.  
If (i) you misuse the Game Service or breach this Agreement or (ii) any contributions, actions or omissions by you in connection with your use of the Game Service results in ZeniMax incurring any liabilities, damages, losses, costs and expenses (including without limitation attorneys’ fees and court costs), then you agree to reimburse ZeniMax and its affiliates and other participants of the Service from all such liabilities, damages, losses, costs and expenses.  If a third party sues ZeniMax for either or both of (i) or (ii) above, ZeniMax reserves the right to control the defense and settlement of such third party lawsuit, and you agree to reimburse ZeniMax for the cost of the defense, including, but not limited to, reasonable and documented attorneys’ fees. 
This Section 10 shall survive termination of this Agreement.  
11.	CHANGES TO THE AGREEMENT.  ZeniMax may replace this End User License Agreement with new versions (each a “New EULA”) over time as the Game and the law evolve.  This End User License Agreement will terminate immediately upon the introduction of a New EULA, and you will be given an opportunity to review the New EULA in accordance with the change provisions set out in the ZeniMax Terms of Service.  New EULAs will not be applied retroactively.  Your continued use of the Software and play of the Game after a modification of the EULA will be deemed as your acceptance of any modified terms.
12.	U.S. GOVERNMENT RESTRICTED RIGHTS.  The Game is a Commercial Item developed exclusively at private expense and comprised of “commercial computer software” and “commercial computer software documentation”, as these terms are defined in the applicable acquisition regulations, including without limitation the Federal Acquisition Regulation (“FAR”) at 48 C.F.R. 2.101.  The Game is licensed to U.S. Government End Users subject to the terms of this Agreement, as specified in 48 C.F.R. 12.212 (Computer Software) and 12.211 (Technical Data) ( for civilian agencies), and as specified in 48 C.F.R. 227.7202-3 and 48 C.F.R. 227.7202-4, consistent with 48 C.F.R. 227.7202 (for Department of Defense entities).  Solely with respect to the U.S. Government’s rights in the Game, this U.S. Government License Rights clause is in lieu of, and supersedes, any other FAR, DFARS, or other clause or provision of the contract under which this Game is obtained.  The Manufacturer is ZeniMax.  
13.	GOVERNING LAW.
For residents of North America, this Agreement and all Disputes (as defined in the Disputes Provision) shall be governed by the laws of the State of Maryland, USA, excluding its conflicts of laws rules and principles that would result in another State or country’s laws applying to this Agreement or any Disputes, and excluding the United Nations Convention on Contracts for the International Sale of Goods, the Uniform Computer Information Transactions Act (“UCITA”), and any laws based on UCITA.  For clarity, the terms in this paragraph shall control over any conflicting terms in the ZeniMax Terms of Service, including without limitation any terms that would result in another State’s or country’s laws applying to this Agreement or any Disputes.
If you reside outside of North America, then this Agreement and all Disputes shall be governed by the laws of England, excluding its conflicts-of-law rules and principles that would result in another State or country’s laws applying to this Agreement or any Disputes, and excluding the United Nations Convention on Contracts for the International Sale of Goods.  Local mandatory laws may be applied.
Notwithstanding the Disputes Provision, you agree that ZeniMax shall be entitled to injunctive relief, specific performance and equitable remedies with respect to breaches of Sections 1 or 3 of this Agreement, in addition to such other remedies as ZeniMax may otherwise have under applicable law.  
This Section 13 will survive the termination of this Agreement.
14.	MISCELLANEOUS.  This End User License Agreement along with the ZeniMax Terms of Service and the ZeniMax Code of Conduct constitute and contain the entire agreement between you and ZeniMax with respect to the subject matter hereof and supersedes any prior oral or written agreements. This End User License Agreement shall coexist with, and shall not supersede, the ZeniMax Terms of Service or the ZeniMax Privacy Policy.  To the extent that the provisions of this End User License Agreement conflict with the provisions of the ZeniMax Terms of Service, and unless expressly indicated otherwise in this Agreement, the conflicting provisions in this End User License Agreement shall control and shall govern.  Except as specifically provided in the Disputes Provision, if any part of this Agreement is held invalid or unenforceable, that portion shall be interpreted in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of such part, and the remaining portions of this Agreement shall remain in full force and effect.  The failure of ZeniMax to exercise or enforce any right or provision of this Agreement will not constitute waiver of such right or provision.  Any waiver of any provision of this Agreement will be effective only if in a writing signed by ZeniMax.  You agree that this Agreement and ZeniMax’s enforcement of this Agreement, are not intended to confer and do not confer any rights or remedies upon any person other than you and ZeniMax.  This Section 14 shall survive the termination of this Agreement for any reason.  
I hereby acknowledge that I have read and understand all the terms and conditions in this Agreement.  BY CLICKING AGREE, I acknowledge and agree to be bound by all the terms and conditions of this Agreement, which includes my express consent to ZeniMax’s use of Anti-Cheat Tools as described herein.

IL PRESENTE ACCORDO CONTIENE CLAUSOLE IMPORTANTI CHE INCIDONO SUI TUOI DIRITTI.  SCARICANDO, INSTALLANDO, USANDO O GIOCANDO AL GIOCO, ACCETTI DI ESSERE VINCOLATO DA TUTTI I TERMINI DEL PRESENTE ACCORDO.  SE NON ACCETTI TUTTI I TERMINI DEL PRESENTE ACCORDO, NON PUOI E NON DEVI SCARICARE, INSTALLARE, USARE O GIOCARE AL GIOCO.  
PER GIOCARE AL GIOCO E/O ACCEDERE A CERTE FUNZIONALITÀ, POTREBBE ESSERE RICHIESTO IL POSSESSO DI UN ACCOUNT UTENTE PRESSO ZENIMAX VALIDO E ATTIVO (“ACCOUNT”).
SCARICANDO, INSTALLANDO, USANDO O GIOCANDO AL GIOCO, CONFERMI DI AVER LETTO IL PRESENTE ACCORDO DI LICENZA CON L’UTENTE FINALE, LE CONDIZIONI DI SERVIZIO DI ZENIMAX E L’INFORMATIVA SULLA PRIVACY DI ZENIMAX, NONCHÉ DI ACCETTARE I TERMINI DEL PRESENTE ACCORDO E LE CONDIZIONI DEL SERVIZIO (COLLETTIVAMENTE: “L’ACCORDO”)  INOLTRE, RICONOSCI E ACCETTI, CHE ZENIMAX TRATTERÀ I TUOI DATI PERSONALI SECONDO QUANTO PREVISTO DALL’INFORMATIVA SULLA PRIVACY DI ZENIMAX (disponibile al link https://bethesda.net/it/document/privacy-policy). NEL CASO NON ACCETTASSI I TERMINI DEL PRESENTE ACCORDO, OPPURE TU NON ABBIA LETTO E COMPRESO L’INFORMATIVA SULLA PRIVACY DI ZENIMAX, NON SCARICARE, INSTALLARE O USARE IL GIOCO.
Le “Condizioni di servizio” di ZeniMax o le “Condizioni di servizio di ZeniMax” che hai accettato al momento della creazione del tuo account ZeniMax sono consultabili su: https://bethesda.net/it/document/terms-of-service.  
Il presente Accordo è stipulato tra te e ZeniMax Media Inc. (“ZeniMax”). 
COME INDICATO NELLA SEZIONE 1 DELLE CONDIZIONI DI SERVIZIO, QUALORA L’UTENTE SIA RESIDENTE NELLO SEE, IN GRAN BRETAGNA, SVIZZERA, AUSTRALIA, NUOVA ZELANDA, TURCHIA, GIAPPONE O BRASILE, ZENIMAX RICONOSCE CHE VI SONO SPECIFICHE GARANZIE, TERMINI E CONDIZIONI IMPOSTI DALLA LEGGE (IVI INCLUSI I TERMINI RELATIVI AI RIMBORSI E ALLE RESTITUZIONI E LE CLAUSOLE VESSATORIE) RELATIVI ALLA FORNITURA DI BENI, SERVIZI E CONTENUTI DIGITALI CHE POTREBBERO NON ESSERE ESCLUSI, LIMITATI O MODIFICATI O CHE POTREBBERO ESSERE LIMITATI SOLO PARZIALMENTE (GLI “OBBLIGHI DI LEGGE”).  NIENTE DI QUANTO PREVISTO NEL PRESENTE ACCORDO ESCLUDE, LIMITA O MODIFICA GLI OBBLIGHI DI LEGGE SE NON IN CONFORMITÀ CON TALI NORME.
AVVERTENZE SULLA FOTOSENSIBILITÀ:
Una ridotta percentuale di soggetti può essere soggetta a crisi epilettiche o blackout se esposta a determinate immagini, ivi inclusi, a mero titolo esemplificativo e non esaustivo, giochi di luce o luci lampeggianti.  Se durante l’utilizzo del Gioco presenti uno qualsiasi dei sintomi indicati di seguito, sospendine immediatamente l’uso e consulta il tuo medico prima di tornare a giocare: svenimenti, vertigini, vista alterata, spasmi oculari o muscolari, scatti o tremolii di braccia o gambe, perdita di coscienza, disorientamento, confusione, movimenti involontari e convulsioni.
Le Condizioni di servizio di ZeniMax includono una clausola sulla composizione delle controversie, sull’arbitrato vincolante e sulla rinuncia alle class action (“Clausola sulle controversie”) che, qualora tu risieda in una giurisdizione al di fuori dei territori di SEE/Gran Bretagna/Svizzera/Australia/Nuova Zelanda/Turchia/Giappone e Brasile che ammette la possibilità di procedere con class action o altre azioni collettive, ai sensi delle Condizioni di servizio di ZeniMax e della presente EULA, incide sui diritti relativi al tipo di azione che potresti promuovere.  Tale Clausola sulle controversie è incorporata nella presente EULA per riferimento e costituisce parte integrante della presente EULA, come se fosse in essa integralmente riportata.  È possibile rinunciare alla clausola di arbitrato vincolante e alla rinuncia alle class action nei casi indicati dalle Condizioni di servizio di ZeniMax.  
Ogni utilizzo del Gioco è governato dai termini della presente EULA e delle Condizioni di servizio di ZeniMax.  Per giocare al Gioco, devi (a) ottenere da ZeniMax l’accesso al Gioco e (b) scaricare il Client del gioco (vedi definizione sotto).  Le Condizioni di servizio di ZeniMax sono incorporate nella presente EULA per riferimento e costituiscono parte integrante della presente EULA, come se fossero in essa integralmente riportate.  L’Accordo di licenza con l’utente finale è una “EULA” e funge da “Termini supplementari”, secondo le disposizioni delle Condizioni di servizio di ZeniMax.  Il Gioco è disponibile ed è distribuito esclusivamente per l’utilizzo di utenti finali autorizzati ai sensi della presente Accordo, comprensivo delle Condizioni di servizio di ZeniMax.  Qualsivoglia utilizzo, riproduzione, modifica o distribuzione del Gioco che non sia espressamente autorizzato dal presente Accordo è espressamente proibito.  Accetti che il Gioco, il Client del gioco e altri software collegati al Gioco, i Contenuti (così come definiti nelle Condizioni di servizio) specifici del Gioco e il tuo accesso a e utilizzo del Gioco sono, ai fini del presente Accordo (ivi incluse le Condizioni di servizio di ZeniMax), un “Servizio”.  Ogni diritto che non ti sia espressamente concesso dal presente Accordo è riservato a ZeniMax. 
In precedenza hai già accettato che ZeniMax possa trattare i tuoi dati personali secondo quanto stabilito dall’Informativa sulla privacy di ZeniMax, disponibile su https://bethesda.net/it/document/privacy-policy e hai accettato il Codice di comportamento di ZeniMax, consultabile su https://bethesda.net/it/document/code-of-conduct.  Il Codice di comportamento è incorporato nella presente EULA per riferimento e costituisce parte integrante della presente EULA, come se fosse in essa integralmente riportato.  Tutti i dati personali raccolti e trattati da ZeniMax in connessione con la presente EULA saranno raccolti e trattati secondo quanto stabilito dall’Informativa sulla privacy di ZeniMax. 
TI SUGGERIAMO DI STAMPARE UNA COPIA DELLA PRESENTE EULA, DELLE CONDIZIONI DI SERVIZIO, DELL’INFORMATIVA SULLA PRIVACY E DEL CODICE DI COMPORTAMENTO PER OGNI FUTURO RIFERIMENTO.
Ogni programma software e ogni file che ti vengono consegnati o resi disponibili da ZeniMax, direttamente o indirettamente tramite un rivenditore o distributore autorizzato da ZeniMax (tramite accesso online, trasmissione, download o altro mezzo), ivi inclusi “patch”, “programmi d’installazione” e ogni aggiornamento o modifica a tali programmi software, nonché ogni copia e opera derivata da tali programmi software (collettivamente, insieme al Client del gioco (per il quale, vedi la definizione sotto): il “Gioco”) costituiscono un’opera protetta da copyright di ZeniMax e delle sue società affiliate.  IL GIOCO TI VIENE CONCESSO IN LICENZA E NON VENDUTO.  
1.	LICENZA LIMITATA; LIMITAZIONI E PROPRIETÀ
Se accetti il presente Accordo, puoi scaricare e installare il software (da qui in poi: il “Client del gioco”) sul tuo computer o sulla tua console al solo scopo di giocare al Gioco creando e accedendo a un account tramite il Servizio (l’“Account”).  Ulteriori termini applicabili al tuo Account sono contenuti nelle Condizioni di servizio di ZeniMax.  Subordinatamente al rispetto dei termini e delle condizioni del presente Accordo, ZeniMax concede a te, che a tua volta accetti, una licenza limitata, non esclusiva e non trasferibile a (a) scaricare, installare o usare il Client del gioco su uno o più computer o console di tua proprietà o sotto il tuo controllo legittimo e (b) usare il Client del gioco solo nell’ambito del Servizio ed esclusivamente per finalità di intrattenimento e non commerciali.  
Le Condizioni di servizio di ZeniMax includono termini e condizioni applicabili alla Valuta virtuale (così come definita nelle Condizioni di servizio di ZeniMax), compresi i termini che concedono all’utente una licenza non esclusiva e limitata alla Valuta virtuale.  Tali termini e condizioni si applicano alla Valuta virtuale che eventualmente ti venga concessa in licenza nell’ambito del Gioco.  La valuta di gioco associata al Gioco rappresenta una “Valuta virtuale” ed è soggetta in quanto tale a tali termini e condizioni.
Fatti salvi gli Obblighi di legge (così come definiti nella sezione 1 delle Condizioni di servizio), il presente Accordo non ti conferisce il diritto di ottenere riedizioni o sostituzioni per il Gioco in qualsiasi momento, né ZeniMax è obbligata a fornirti aggiornamenti software, patch o espansioni del Gioco o a mantenerlo operativo o continuarne il supporto per un periodo di tempo indefinito.  
Così come indicato nelle Condizioni di servizio di ZeniMax e nei limiti di cui agli Obblighi di legge (così come definiti nella sezione 1 delle Condizioni di servizio di ZeniMax), ZeniMax può, in qualsiasi momento, alterare, modificare, sospendere o interrompere qualsiasi aspetto del Gioco e può altresì imporre limiti a certe funzionalità o limitare il tuo accesso al Gioco in tutto o in parte senza alcun preavviso o responsabilità.
In ogni caso, le licenze a te concesse dalla presente EULA non sopravvivranno alla risoluzione del presente Accordo o alla chiusura del tuo Account ZeniMax (è sufficiente il verificarsi di una sola delle due ipotesi).  
Le Condizioni di servizio di ZeniMax includono termini e condizioni applicabili ai Contenuti generati dagli utenti, ai Contenuti scaricabili e ad altri Contenuti e tu accetti di rispettare tali termini e condizioni. 
2.	AGGIORNAMENTI SOFTWARE E STRUMENTI ANTI-FRODE E DI SICUREZZA.  ZeniMax ha la facoltà di implementare o fornire patch, aggiornamenti, miglioramenti e modifiche al Gioco (“Aggiornamenti”), che potranno essere installati da te secondo le modalità discrezionalmente indicate da ZeniMax prima dell’utilizzo del Gioco.  Ai fini del presente Accordo, delle licenze a te concesse e delle Limitazioni alla licenza determinate dal presente Accordo, tali Aggiornamenti costituiscono parte integrante del Gioco.  I termini del presente Accordo si applicheranno anche a qualsiasi Aggiornamento fornito da ZeniMax che sostituisca e/o integri il Gioco originale, a meno che tale Aggiornamento non sia accompagnato da un accordo di licenza distinto, nel qual caso si applicheranno i termini di tale accordo di licenza.  ZENIMAX HA IMPLEMENTATO STRUMENTI E SOFTWARE (“STRUMENTI ANTI-FRODE”) PROGETTATI PER RILEVARE E PREVENIRE LE TRUFFE E LE FRODI; TALI TECNOLOGIE POSSONO SCANSIONARE OGNI COMPUTER O DISPOSITIVO SU CUI SCARICHI O GIOCHI AL GIOCO PER RILEVARE O INDIVIDUARE EVENTUALI PROGRAMMI O PROCESSI PROGETTATI PER “BARARE”, OTTENERE VANTAGGI INGIUSTI NEL GIOCO O ALTRIMENTI AGGIRARE I PROCESSI O GLI STRUMENTI DI SICUREZZA, ANTI-FRODE O DI RILEVAMENTO DELLE FRODI CHE ABBIAMO IMPLEMENTATO (“PROGRAMMI DI CHEAT”).  USANDO O SCARICANDO IL GIOCO O ACCETTANDO IL PRESENTE ACCORDO, RICONOSCI ED ESPRESSAMENTE ACCETTI L’ACCESSO AL TUO COMPUTER O DISPOSITIVO DA PARTE DI TALI STRUMENTI ANTI-FRODE PER CONSENTIRE LORO DI RILEVARE O IDENTIFICARE I PROGRAMMI DI CHEAT.
3.	LIMITAZIONI E RESTRIZIONI.
Il Gioco e/o certe funzionalità sono un Servizio offerto da ZeniMax e possono essere usati solo online.  In casi come questo, per giocare al Gioco è necessaria una connessione a Internet continua (non fornita da ZeniMax). In assenza di una connessione a Internet continua, il Client del gioco non dà diritto a, né permette di, giocare al Gioco.  Tutti i costi e tutte le spese associati all’acquisizione di qualsivoglia hardware, software (per es., browser per la navigazione su Internet), prodotti o servizi necessari per giocare al Gioco o accedere a tali funzionalità ricadono su di te.  
Oltre a essere soggetta a tali restrizioni, condizioni e limitazioni definite dalle Condizioni di servizio di ZeniMax e dal Codice di comportamento di ZeniMax, la licenza a te concessa dalla presente EULA è soggetta anche alle condizioni, restrizioni e limitazioni definite dalle sezioni 1 e 3 della presente EULA (collettivamente, le “Limitazioni alla licenza”). Qualsiasi uso del Gioco in violazione delle Limitazioni alla licenza sarà considerato una violazione del copyright di ZeniMax relativi al Gioco e costituirà pertanto una violazione del presente Accordo.  In qualsiasi circostanza, ti è fatto divieto di compiere, o aiutare a compiere, le seguenti attività:
A.	in tutto o in parte, distribuire, rappresentare pubblicamente o visualizzare, vendere, trasmettere, pubblicare, modificare, riprodurre, fornire in sub-licenza, noleggiare, affittare, o in altro modo trasferire il Gioco o i Contenuti, ivi incluse, senza limitazioni, le eventuali chiavi d’accesso;
B.	in tutto o in parte, modificare, adattare, tradurre, retroingegnerizzare, tentare di ricavare il codice sorgente, modificare, disassemblare, decompilare o creare opere derivate basate sul Gioco (ti è tuttavia concesso effettuare una (1) copia del Client del gioco e dei manuali di accompagnamento esclusivamente per finalità d’archivio e installare il Client del gioco su uno o più computer di tua proprietà o sotto il tuo controllo legittimo, così come indicato nella sezione 1 del presente documento); 
C.	rimuovere qualsivoglia avviso o etichetta di proprietà del/sul/nel Gioco; o tentare in qualsiasi modo di aggirare le misure di sicurezza progettate per controllare l’accesso al Gioco o a una sua parte;  
D.	utilizzare strumenti truffaldini, software automatici (bot), hack, mod o qualsivoglia altro software di terzi non autorizzato creati al fine di modificare il Gioco o che possano in qualche modo produrre i propri effetti su altri soggetti che utilizzano il Gioco o influenzare la loro esperienza di utilizzo del Gioco; 
E.	sfruttare il Gioco o una sua parte, ivi incluso, a mero titolo esemplificativo, il Client del gioco, per finalità commerciali (ivi inclusi, a mero titolo esemplificativo, il noleggio, l’affitto o la concessione in licenza del Gioco ad altri), per, a mero titolo esemplificativo, (a) raccogliere Valuta virtuale (come definita nelle Condizioni di servizio di ZeniMax), beni o risorse di gioco per la loro vendita al di fuori del Gioco; o (b) fornire servizi all’interno del Gioco in cambio di pagamenti al di fuori del Gioco (per es., far salire di livello un personaggio); 
F.	utilizzare qualsivoglia software di terzi non autorizzato che intercetti, “mini” o altrimenti raccolga dati da o attraverso il Gioco o il Servizio, ivi incluso, a mero titolo esemplificativo, qualsivoglia software che legga aree della RAM utilizzate dal Gioco al fine di conservare dati su personaggi o sull’ambientazione del Gioco; ciò detto ZeniMax, a sua esclusiva e assoluta discrezionalità, potrà autorizzare l’uso di certe interfacce e certi software di terze parti; 
G.	modificare o far modificare qualsiasi file che sia parte del Gioco senza espressa autorizzazione da ZeniMax; 
H.	ospitare, fornire o sviluppare servizi di matchmaking per il Gioco o intercettare, emulare o reindirizzare i protocolli di comunicazioni utilizzati da ZeniMax in qualsiasi modo, per qualsivoglia finalità, ivi incluso, a mero titolo esemplificativo, l’utilizzo/il gioco non autorizzato via internet, in rete o tramite network di aggregazione di contenuti;   
I.	facilitare, creare o mantenere una connessione non autorizzata con il Gioco o il Servizio, ivi inclusa, a mero titolo esemplificativo, (a) qualsivoglia connessione con un server non autorizzato che permetta l’emulazione del Servizio; e (b) qualsivoglia connessione utilizzando programmi o strumenti non espressamente autorizzati da ZeniMax; 
J.	uploadare, pubblicare, trasmettere, promuovere o distribuire contenuti illegali; 
K.	uploadare, pubblicare, trasmettere, promuovere o distribuire contenuti che violino i diritti di terzi; 
L.	prendere parte, o essere in qualsiasi modo associato, con qualsivoglia incitamento o adescamento di minori, pedofilia, o comportamento predatorio di qualsivoglia forma;  
M.	molestare, perseguitare, minacciare, imbarazzare, spammare o agire nei confronti di un altro utente del Gioco con un comportamento non voluto, ad esempio inviando ripetutamente messaggi non desiderati o effettuando attacchi personali o dichiarazioni in relazione alla razza, orientamenti sessuali, religione, retaggio culturale, ecc; 
N.	uploadare, pubblicare, trasmettere, distribuire o comunicare dati personali propri o di qualsiasi altra persona del mondo reale; 
O.	impersonare qualsiasi individuo o entità, ivi inclusi, a mero titolo esemplificativo, ZeniMax, i dipendenti dei partner o degli affiliati di ZeniMax, o dichiarare falsamente o diversamente sostenere la propria affiliazione a un determinato individuo o entità; 
P.	compiere azioni, organizzare, trasmettere qualsivoglia contenuto, porre in essere o prendere parte a qualsiasi attività, gruppo o associazione che siano nocivi, dannosi, abusivi, odiosi (ivi incluso il “linguaggio di odio”), razzisti, offensivi da un punto di vista etnico, religioso o di altra natura, osceni, minacciosi, prepotenti, volgari, sessualmente espliciti, diffamatori, calunniosi, invasivi della privacy o dei diritti personali, che spingano alla violazione delle leggi o che siano ragionevolmente spregevoli e/o inappropriati secondo l’esclusiva valutazione discrezionale di ZeniMax;  
Q.	promuovere, uploadare, trasmettere, incoraggiare o prendere parte a qualsiasi attività di hacking, cracking, phishing, sfruttare exploit o barare e/o distribuire software contraffatti e/o Valuta virtuale o beni virtuali.  Al fine di migliorare continuamente il Gioco, tu e qualsiasi altro utente/giocatore che scopra exploit, trucchi, inganni o altre problematiche siete tenuti a comunicarlo a ZeniMax; 
R.	uploadare, pubblicare, trasmettere, promuovere o distribuire qualsivoglia contenuto che incorpori Trojan horse, virus, worm, spyware, time bomb, cancelbot, dati corrotti o altri programmi che non sono di tua proprietà o che non puoi liberamente distribuire e che possano danneggiare, interferire, intercettare, espropriare o perturbare il Gioco.
Ogni tentativo di compiere una qualsiasi delle azioni di cui sopra rappresenta una violazione del presente Accordo e può costituire una violazione dei diritti di proprietà intellettuale connessi al Gioco.  Qualora violassi una di tali restrizioni, potresti essere soggetto ad azioni giudiziarie e a richieste di danni.  
Il Gioco ti viene concesso in licenza come un unico prodotto. Non è ammessa la possibilità di separarne le componenti per utilizzarle su più computer distinti.  Il Gioco ti viene concesso in licenza e non venduto.  La licenza non ti conferisce titoli o diritti di proprietà riguardo al Gioco o a sue copie.  
4.	PROPRIETÀ DEL GIOCO.  
ZeniMax e i suoi licenzianti sono e continueranno ad essere i titolari di tutti i diritti, titoli e interessi concernenti il Gioco e il Servizio, ivi inclusi, a mero titolo esemplificativo, tutti i diritti di proprietà intellettuale e i diritti morali concernenti il Gioco e ogni sua copia (ivi inclusi, a mero titolo esemplificativo, ogni titolo, programma software e relativo codice, tema relativo al Gioco, personaggio, nomi e aspetto dei personaggi, storia, dialogo, slogan, ambientazione, bozzetto, immagine, inventario dei personaggi, struttura, paesaggio e qualsivoglia altro design presente nel Gioco; ogni animazione, suono, composizione e registrazione musicale, effetto audio-visivo, trama, metodo operativo e ogni documentazione a essi relativa).  Tu non dovrai compiere alcuna azione che violi tali titoli o diritti di proprietà.  Il Gioco è protetto dalle leggi sul copyright degli Stati Uniti, dai trattati e dalle convenzioni internazionali sul copyright e da altre norme.  Il Gioco può contenere materiali concessi in licenza da terze parti e, in caso di violazione al presente Accordo, i licenzianti di tali materiali possono far valere i propri diritti.  Riconosci e accetti di non avere alcun interesse, di carattere economico o di altra natura, in qualsivoglia funzionalità o Contenuto del Gioco.  Questo paragrafo sopravvivrà alla cessazione del presente Accordo.  
5.	RACCOLTA E TRATTAMENTO DEI DATI PERSONALI
ZeniMax tratterà i tuoi dati personali sulla base di quanto previsto dall’Informativa sulla privacy di ZeniMax [https://bethesda.net/it/document/privacy-policy]. Inoltre userà cookie, web beacon e altre tecnologie di analisi (collettivamente: “Cookie”) e meccanismi simili (inclusi alcuni forniti da terze parti) per raccogliere, conservare e trasmettere dati relativi all’utilizzo da parte tua del Servizio al fine di operare, migliorare e ottimizzare il Servizio e gli altri nostri prodotti, analizzarne l’utilizzo, personalizzare la tua esperienza del Servizio e altro, il tutto nel rispetto dell’Informativa sulla privacy di ZeniMax.  Accetti espressamente di aver letto e compreso: 
•	l’Informativa sulla privacy di ZeniMax [https://bethesda.net/it/document/privacy-policy], che spiega come possiamo raccogliere, usare, condividere e altrimenti trattare i tuoi dati (inclusi i tuoi dati personali)
•	l’Informativa sui cookie di ZeniMax [https://bethesda.net/it/document/cookie-policy], che regola il nostro utilizzo dei cookie e indica le opzioni a tua disposizione al riguardo; 
ZeniMax si riserva il diritto di condividere qualsivoglia dato che ZeniMax ritenga essere necessario (i) ad assicurare il rispetto da parte tua del presente Accordo; (ii) ad adempiere ogni norma, regolamento o procedura legale applicabile; (iii) a garantire la tutela dei diritti, delle proprietà e degli interessi di ZeniMax, dei suoi dipendenti, degli altri utenti del Gioco o del pubblico in generale.  
6.	MONITORAGGIO E AGGIORNAMENTI.	
Se chiedi assistenza tecnica a ZeniMax, a seguito del tuo consenso ZeniMax potrà accedere e prendere in esame da remoto il computer su cui hai caricato il Client del gioco al fine di fornire assistenza tecnica e risolvere il problema.  Come ulteriormente descritto nelle Condizioni di servizio di ZeniMax, ZeniMax può aggiornare il Gioco (ivi incluso il Client del gioco installato sul tuo computer) da remoto e con il presente Accordo fornisci a ZeniMax il tuo consenso a implementare e applicare tali Aggiornamenti.  
Riconosci e accetti che (a) qualsiasi dato relativo ai personaggi del Gioco è conservato e risiede in computer e server di ZeniMax e che (b) ogni comunicazione che effettui all’interno del Gioco (inclusi, a mero titolo esemplificativo, i messaggi diretti esclusivamente a un altro giocatore o a un gruppo di giocatori) transita attraverso i computer e i server di ZeniMax e potrebbe essere monitorato da ZeniMax o suoi agenti.  Acconsenti espressamente a tale monitoraggio di tali comunicazioni inviate e ricevute.  Le Condizioni di servizio di ZeniMax e l’Informativa sulla privacy di ZeniMax includono ulteriori termini e condizioni applicabili all’accesso, al monitoraggio e alla registrazione delle attività e delle comunicazioni associate al Servizio, ivi inclusa, a mero titolo esemplificativo, la possibilità che ZeniMax segnali degli episodi alle forze dell’ordine o ad altre autorità. Tutti dati personali raccolti e trattati da ZeniMax nell’ambito delle attività di cui alla presente sezione 6 saranno raccolti e trattati in conformità con l’Informativa sulla privacy di ZeniMax [https://bethesda.net/it/document/privacy-policy] e con i termini del presente Accordo.   
7.	CESSAZIONE.  
La presente EULA ha efficacia dal momento in cui accetti il presente Accordo di licenza con l’utente finale e manterrà la propria efficacia fino alla sua cessazione.  L’utente può risolvere la presente EULA in qualsiasi momento (i) distruggendo per sempre tutte le copie del Gioco in suo possesso o sotto il suo controllo e (ii) rimuovendo il Client del gioco dal proprio hard disk.  Fatti salvi gli Obblighi di legge (come definiti nella sezione 1 delle Condizioni di servizio di ZeniMax), ZeniMax può risolvere la presente EULA in qualsiasi momento, per qualsiasi motivo o senza alcun motivo (ivi incluso il caso in cui ZeniMax decida di interrompere la fornitura del Gioco).  Quale che ne sia stato il motivo, con la risoluzione da parte di ZeniMax della presente EULA, tutte le licenze concesse sulla base del presente Accordo (comprese le Condizioni di servizio di ZeniMax) in relazione al Gioco oggetto della presente EULA saranno immediatamente cessate e l’utente dovrà provvedere alle azioni di cui ai punti (i) e (ii) sopra.  La risoluzione senza motivo sarà comunicata all’utente da ZeniMax.  
8.	RESTRIZIONI ALL’ESPORTAZIONE.  
Il Gioco non potrà essere esportato, ri-esportato, scaricato o altrimenti trasferito (collettivamente l’“esportato/Esportazione”) (i) verso qualsiasi paese che richieda una licenza all’Esportazione o per il quale il Governo degli Stati Uniti vieti l’Esportazione, ivi incluso ogni paese che sia soggetto a sanzioni economiche, o (ii) a qualsiasi persona o entità ai quali è vietato il trasferimento di tali beni o di servizi di origine statunitense.  Dichiari e garantisci di non essere ubicato in, di non essere soggetto al controllo di, o di non essere un cittadino o un residente di nessuno di tali paesi e di non essere ricompreso in nessuna di tali liste.  La presente sezione 8 sopravvivrà alla cessazione del presente Accordo.
9.	GARANZIA.  
Se tu, l’acquirente originale, hai acquistato il Gioco su supporto fisico (per es., un disco), l’utilizzo da parte tua del Gioco è soggetto alla garanzia limitata inclusa nel manuale o in altro materiale di accompagnamento fornito a seguito dell’acquisto.
LE CONDIZIONI DI SERVIZIO DI ZENIMAX INCLUDONO CLAUSOLE RIGUARDANTI LA NEGAZIONE DI DICHIARAZIONI E GARANZIE (FATTI SALVI GLI OBBLIGHI DI LEGGE COME DEFINITI NELLA SEZIONE 1 DELLE CONDIZIONI DI SERVIZIO DI ZENIMAX) E TALI CLAUSOLE SONO INCORPORATE NELLA PRESENTE EULA PER RIFERIMENTO E COSTITUISCONO PARTE INTEGRANTE DELLA PRESENTE EULA, COME SE FOSSERO IN ESSA INTEGRALMENTE RIPORTATE.  LA PRESENTE SEZIONE 9 SOPRAVVIVRÀ IN CASO DI CESSAZIONE DEL PRESENTE ACCORDO.
Per quanto riguarda il software il cui utilizzo è abilitato o avviene tramite Internet, riconosci che ZeniMax non è responsabile dell’operatività di Internet, della sua continuata esistenza nella sua forma attuale o dell’eventualità che un governo o un’agenzia governativa, nazionale o straniera, controlli, regoli o smantelli Internet.  L’utilizzo di Internet rappresenta un rischio unicamente tuo.
10.	LIMITAZIONE DELLA RESPONSABILITÀ, RIMBORSI.
Nella misura massima consentita dalla legge applicabile e fatti salvi gli Obblighi di legge (come definiti dalla sezione 1 delle Condizioni di servizio di ZeniMax), IN NESSUN CASO ZENIMAX O UNO DEI SUOI LICENZIANTI POTRANNO ESSERE RITENUTI RESPONSABILI PER QUALSIVOGLIA (I) DANNO SPECIALE, INCIDENTALE CONSEQUENZIALE, PUNITIVO, ESEMPLARE O INDIRETTO DI QUALSIASI TIPO, (II) PRETESA DI TERZE PARTI E (III) PERDITA O DANNI A QUALSIVOGLIA SISTEMA, HARDWARE O SOFTWARE, ARCHIVIO O DATO, ANCHE QUALORA SIANO STATI MESSI A CONOSCENZA O FOSSERO A CONOSCENZA DELLA POSSIBILITÀ DEL VERIFICARSI DI TALI DANNI E ANCHE QUALORA UN RIMEDIO LIMITATO PREVISTO DAL PRESENTE ACCORDO NON RAGGIUNGA IL PROPRIO SCOPO FONDAMENTALE.  
ALCUNE GIURISDIZIONI NON PERMETTONO LE LIMITAZIONI O L’ESCLUSIONE DI RESPONSABILITÀ.  DI CONSEGUENZA, QUANTO PREVISTO SOPRA POTREBBE NON APPLICARSI A TE IN TUTTO O IN PARTE.
LE CONDIZIONI DI SERVIZIO DI ZENIMAX INCLUDONO ALTRE CLAUSOLE RIGUARDANTI LA LIMITAZIONE DI RESPONSABILITÀ E I RIMEDI (FATTI SALVI GLI OBBLIGHI DI LEGGE COME DEFINITI NELLA SEZIONE 1 DELLE CONDIZIONI DI SERVIZIO DI ZENIMAX) E TALI CLAUSOLE SONO INCORPORATE NELLA PRESENTE EULA PER RIFERIMENTO E COSTITUISCONO PARTE INTEGRANTE DELLA PRESENTE EULA, COME SE FOSSERO IN ESSA INTEGRALMENTE RIPORTATE.  
Se (i) usi in modo inappropriato il Gioco/Servizio o violi il presente Accordo o se (ii) qualsivoglia contributo, azione o omissione da parte tua connessi all’utilizzo da parte tua del Gioco/Servizio comporta responsabilità, danni, perdite, costi o spese a ZeniMax (ivi incluse, a mero titolo esemplificativo, le spese legali e giudiziarie), accetti di rimborsare ZeniMax e le sue società affiliate e gli altri partecipanti al Servizio integralmente per ciò che riguarda tali responsabilità, danni, perdite, costi e spese.  Nel caso in cui una terza parte agisca contro ZeniMax per i casi di cui ai punti (i) o (ii) di cui sopra, ZeniMax si riserva il diritto di avere il controllo della difesa e di eventuali transazioni giudiziali e tu accetti di rimborsare a ZeniMax i costi per la difesa, ivi incluse, a mero titolo esemplificativo, le ragionevoli e documentate spese legali. 
La presente sezione 10 sopravvivrà alla cessazione del presente Accordo.  
11.	MODIFICHE ALL’ACCORDO.  ZeniMax può sostituire nel tempo la presente EULA con nuove versioni della stessa (“Nuova EULA”) man mano che il Gioco o la normativa si evolvono.  La presente EULA verrà immediatamente risolta dall’introduzione di una Nuova EULA. In tale circostanza, ti verrà data l’opportunità di prendere in esame la Nuova EULA come stabilito dalle clausole sulle modifiche agli accordi incluse nelle Condizioni di servizio di ZeniMax.  Le Nuove EULA non saranno efficaci retroattivamente.  Continuando a usare il Software e a giocare al Gioco anche dopo la modifica dell’EULA, dichiari di accettare le modifiche ai termini.
12.	DIRITTI LIMITATI DEL GOVERNO DEGLI STATI UNITI.  Il Gioco è un Bene commerciale sviluppato esclusivamente a spese di privati e comprende “software commerciale per computer” e “documentazione di software commerciale per computer”, così come definiti dalla normativa sulle acquisizioni applicabile, ivi inclusa, a mero titolo esemplificativo, il Federal Acquisition Regulation (“FAR”) Sezione 48 C.F.R. 2.101.  Il Gioco è concesso in licenza a utenti finali del Governo degli Stati Uniti alle condizioni del presente Accordo, così come indicato nella Sezione 48 C.F.R. 12.212 (Computer Software) e 12.211 (Technical Data) (con riferimento alle agenzie civili) e nella Sezione 48 C.F.R. 227.7202-3 e 48 C.F.R. 227.7202-4, in linea con la Sezione 48 C.F.R. 227.7202 (per le entità del Dipartimento della Difesa).  Esclusivamente con riguardo ai diritti del Governo degli Stati Uniti in relazione al Gioco, la presente clausola di diritti di licenza al Governo degli Stati Uniti si sostituisce e supera qualsivoglia altra FAR, DFARS, o altra clausola o previsione del contratto in forza del quale è ottenuto il Gioco.  Il produttore è ZeniMax.  
13.	LEGGE APPLICABILE.
Per gli utenti residenti in Nord America, il presente Accordo e tutte le Controversie (come definite nella clausola sulle controversie) saranno disciplinati dalla legge dello Stato del Maryland, USA, senza l’applicazione delle disposizioni e dei principi di diritto internazionale privato di tale Stato che potrebbero portare all’applicazione della normativa di un altro stato o paese, e senza l’applicazione della Convenzione ONU sulla vendita internazionale di beni, dello Uniform Computer Information Transactions Act (“UCITA”) e di ogni legge basata sull’UCITA.  Per chiarezza, i termini di questo paragrafo prevarranno su qualsiasi termine presente nelle Condizioni di servizio di ZeniMax in conflitto con essi, ivi inclusi, a mero titolo esemplificativo, gli eventuali termini che comporterebbero l’applicazione delle leggi di un altro stato o paese in relazione al presente Accordo o a eventuali Controversie.
Per gli utenti residenti in paesi diversi dal Nord America, il presente Accordo e tutte le Controversie saranno disciplinati dall’ordinamento inglese, senza l’applicazione delle disposizioni e dei principi di diritto internazionale privato di tale paese che potrebbero portare all’applicazione della normativa di un altro stato o paese, e senza l’applicazione della Convenzione ONU sulla vendita internazionale di beni.  Potrebbero applicarsi eventuali leggi locali inderogabili.
Fatto salvo quanto previsto dalla clausola sulle controversie, accetti che, in caso di violazione delle sezioni 1 e 3 del presente Accordo, ZeniMax ha diritto a intentare un’azione per l’ottenimento di un decreto ingiuntivo, di una prestazione specifica o di altro rimedio equitativo, oltre agli altri eventuali rimedi di cui ZeniMax può disporre in base alla normativa applicabile.  
La presente Sezione 13 sopravvivrà alla risoluzione del presente Accordo.
14.	VARIE.  Insieme alle Condizioni di servizio di ZeniMax e al Codice di comportamento di ZeniMax, la presente EULA costituisce e comprende l’intero accordo tra te e ZeniMax per quanto riguarda l’oggetto di cui si tratta, superando qualsiasi precedente accordo scritto o orale. La presente EULA coesiste con le Condizioni di servizio di ZeniMax e l’Informativa sulla privacy di ZeniMax senza con ciò soppiantarle.  Nella misura in cui le clausole della presente EULA confliggano con quelle delle Condizioni di servizio di ZeniMax, e a meno che non sia espressamente indicato altrimenti nel presente Accordo, saranno le clausole della presente EULA a prevalere.  Fatto salvo quanto espressamente previsto dalla clausola relativa alle controversie, nel caso in cui una parte del presente Accordo venga ritenuta invalida o inefficace, tale parte verrà interpretata alla luce della legge applicabile in modo da rispecchiare, nella misura massima possibile, le intenzioni originali sottostanti a detta parte, mentre tutto il resto dell’Accordo resterò a tutti gli effetti valido ed efficace.  Il mancato esercizio o esperimento da parte di ZeniMax di diritti o disposizioni del presente Accordo non costituirà una rinuncia a tali diritti o disposizioni.  L’eventuale rinuncia a disposizioni del presente Accordo sarà efficace unicamente se espressa in forma scritta e sottoscritta da ZeniMax.  Accetti che il presente Accordo e l’applicazione da parte di ZeniMax delle sue disposizioni non intendono conferire e non conferiscono alcun diritto o rimedio ad alcun individuo a eccezione di te (l’utente) e ZeniMax.  La presente sezione 14 sopravvivrà alla cessazione del presente Accordo per qualsiasi motivo.  
Dichiaro di aver letto e compreso tutti i termini e tutte le condizioni del presente Accordo.  CLICCANDO SU ACCETTA, riconosco e accetto di essere vincolato da tutti i termini e tutte le condizioni contenuti nel presente Accordo, acconsentendo espressamente anche all’uso da parte di ZeniMax degli Strumenti anti-frode in esso descritti.
