YOU SHOULD CAREFULLY READ THE ENTIRE FOLLOWING END USER LICENSE AGREEMENT BEFORE DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME OR ANY RELATED SOFTWARE (collectively, the “GAME”).  THIS AGREEMENT CONTAINS IMPORTANT TERMS THAT AFFECT YOUR LEGAL RIGHTS.  BY DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME, YOU AGREE TO BE BOUND BY ALL THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE TO ALL THE TERMS OF THIS AGREEMENT, PLEASE DO NOT (AND YOU ARE NOT PERMITTED TO) DOWNLOAD, INSTALL, USE OR PLAY THE GAME.  
IN ORDER TO PLAY THE GAME AND/OR ACCESS CERTAIN FEATURES, YOU MAY BE REQUIRED TO HAVE AND MAINTAIN A VALID AND ACTIVE USER ACCOUNT WITH ZENIMAX (“ACCOUNT”)
BY DOWNLOADING, INSTALLING, USING OR PLAYING THE GAME YOU CONFIRM THAT YOU HAVE READ THIS END USER LICENSE AGREEMENT, THE ZENIMAX TERMS OF SERVICE AND THE ZENIMAX PRIVACY POLICY AND THAT YOU AGREE TO THE TERMS IN THIS AGREEMENT AND THE TERMS OF SERVICE, (COLLECTIVELY, THIS “AGREEMENT”).  YOU FURTHER ACKNOWLEDGE AND UNDERSTAND THAT ZENIMAX WILL PROCESS YOUR PERSONAL INFORMATION IN ACCORDANCE WITH THE ZENIMAX PRIVACY POLICY (available at https://bethesda.net/en/document/privacy-policy). IF YOU DO NOT ACCEPT THE TERMS OF THIS AGREEMENT, OR YOU HAVE NOT READ AND UNDERSTOOD THE ZENIMAX PRIVACY POLICY, DO NOT DOWNLOAD, INSTALL OR USE THE GAME.
For ease of reference, the ZeniMax “Terms of Service” or the “ZeniMax Terms of Service” that you agreed to at the time you established your Account with ZeniMax may be found at: https://bethesda.net/en/document/terms-of-service.  
This Agreement is between you and ZeniMax Media Inc. (“ZeniMax”). 
AS SET OUT IN SECTION 1 OF THE TERMS OF SERVICE, IF YOU ARE RESIDENT IN THE EEA, UNITED KINGDOM, SWITZERLAND, AUSTRALIA, NEW ZEALAND, TURKEY, JAPAN OR BRAZIL, ZENIMAX ACKNOWLEDGES THAT THERE ARE CERTAIN GUARANTEES, WARRANTIES, TERMS AND CONDITIONS (INCLUDING IN RESPECT OF REFUNDS AND RETURNS AND UNFAIR TERMS) IMPOSED BY THE LAWS RELATING TO THE SUPPLY OF GOODS, SERVICES AND DIGITAL CONTENT WHICH THE LAWS EXPRESSLY PROVIDE MAY NOT BE EXCLUDED, RESTRICTED OR MODIFIED OR MAY ONLY BE LIMITED TO A CERTAIN EXTENT (THE "STATUTORY OBLIGATIONS").  NOTHING IN THIS EULA EXCLUDES, RESTRICTS OR MODIFIES THE STATUTORY OBLIGATIONS OTHERWISE THAN ACCORDING TO SUCH LAWS.
PHOTOSENSITIVITY WARNING:
A very small percentage of individuals may experience epileptic seizures or blackouts when exposed to certain visual images, including without limitation light patterns or flashing lights.  If you experience any of the following symptoms while playing the Game, immediately discontinue use and consult your physician before resuming play: blackouts, seizures, dizziness, altered vision, eye or muscle twitches, jerking or shaking of arms or legs, loss of awareness, disorientation, confusion, any involuntary movement, or convulsions.
The ZeniMax Terms of Service contain a Dispute Resolution and Arbitration Provision, including a Class Action Waiver, (the “Disputes Provision”) that - if you reside in a jurisdiction outside of the EEA/United Kingdom/Switzerland/Australia/New Zealand/Turkey/Japan or Brazil that permits class actions or other collective disputes - affects your rights under the ZeniMax Terms of Service and this End User License Agreement with respect to disputes you may have with ZeniMax.  That Disputes Provision is incorporated into this End User License Agreement by this reference and forms a part of this End User License Agreement as if such provision was fully restated in this End User License Agreement.  You may opt out of the binding individual arbitration and class action waiver as provided in the ZeniMax Terms of Service.  
Any and all uses of the Game are governed by the terms of this End User License Agreement and the ZeniMax Terms of Service.  To play the Game, you must (a) obtain from ZeniMax access to the Game and (b) download the Game Client (as defined below).  The ZeniMax Terms of Service are hereby incorporated into and form a part of this End User License Agreement by this reference as if such provisions were fully restated in this End User License Agreement.  The End User License Agreement is a “EULA” and constitutes “Supplemental Terms” as contemplated by the ZeniMax Terms of Service.  The Game is made available and distributed solely for use by authorized end users according to the terms of this Agreement, including the ZeniMax Terms of Service.  Any use, reproduction, modification or distribution of the Game not expressly authorized by the terms of this Agreement is expressly prohibited.  You agree that the Game, the Game Client, other Game related software, Content (as defined in the Terms of Service) specific to the Game and your access to and use of the Game are all a “Service” for the purposes of this Agreement, including the ZeniMax Terms of Service.  Any rights not granted to you in this Agreement are reserved by ZeniMax. 
You have previously acknowledged that ZeniMax may process your personal information in accordance with the ZeniMax Privacy Policy which is available at https://bethesda.net/en/document/privacy-policy and you have agreed to the ZeniMax Code of Conduct which is available at https://bethesda.net/en/document/code-of-conduct.  The Code of Conduct is incorporated into this End User License Agreement by this reference and forms a part of this End User License Agreement as if it were fully restated in this End User License Agreement.  All personal information collected and processed by ZeniMax in connection with this End User License Agreement will be collected and processed in accordance with the ZeniMax Privacy Policy. 
YOU SHOULD PRINT A COPY OF THIS END USER LICENSE AGREEMENT, THE TERMS OF SERVICE, THE PRIVACY POLICY AND THE CODE OF CONDUCT FOR YOUR RECORDS AND FOR FUTURE REFERENCE.
All software programs and any and all files that are delivered to you or made available to you by ZeniMax, directly or indirectly through a ZeniMax authorized reseller or distributor, (via on-line access, transmission, download or otherwise), including any “patcher”, “installer”, and any updates and modifications to such software programs, and any and all copies and derivative works of such software programs (collectively, with the Game Client (defined below), the “Game”) is the copyrighted work of ZeniMax and its affiliates.  THE GAME IS LICENSED, NOT SOLD, TO YOU.  
1.	LIMITED LICENSE; RESTRICTIONS AND OWNERSHIP
If you agree to this Agreement, you may download and install the computer software (hereafter referred to as the “Game Client”) onto your computer or console for the sole purpose of playing the Game by registering for and accessing an account with the Service (the “Account”).  Additional terms applicable to your Account are set forth in the ZeniMax Terms of Service.  Subject to your compliance with all the terms and conditions in this Agreement, ZeniMax hereby grants, and you hereby accept, a limited, non-transferable, non-exclusive license (a) to download, install, or use the Game Client on one or more computers or consoles owned by you or under your legitimate control, and (b) to use the Game Client solely as part of the Service for your non-commercial entertainment purposes only.  
The ZeniMax Terms of Service include terms and conditions applicable to Virtual Currency (as such term is defined in the ZeniMax Terms of Service), including terms that grant to you a non-exclusive, limited license for Virtual Currency.  Such terms and conditions apply to the Virtual Currency (if any) licensed to you for use with the Game.  The in-Game currency associated with this Game are “Virtual Currency” and are subject to such terms and conditions.
Subject to the Statutory Obligations (as defined in Section 1 of the Terms of Service), this Agreement does not give you any right to obtain reissues or replacements of the Game at any time and ZeniMax is not obliged to supply software updates, upgrades, or expansions for the Game, or even to operate or continue to support the Game for an indefinite period.  
As further described in the ZeniMax Terms of Service, but subject to the Statutory Obligations (as defined in Section 1 of the ZeniMax Terms of Service), ZeniMax may change, modify, suspend, or discontinue any aspect of the Game at any time and ZeniMax may also impose limits on certain features or restrict your access to parts or all of the Game without notice or liability.
In all cases, the licenses granted to you in this Agreement will terminate upon the earlier of termination of this Agreement or termination of your Account, if any, with ZeniMax.  
The ZeniMax Terms of Service include terms and conditions applicable to user generated Content, downloadable Content and other Content and you agree to comply with such terms and conditions. 
2.	SOFTWARE UPDATES AND ANTI-CHEATING AND SECURITY TOOLS.  ZeniMax may deploy or provide patches, updates, improvements, upgrades and modifications to the Game (“Updates”) that must be installed by you in the manner described by ZeniMax in its discretion before you may continue to play the Game.  All such Updates are part of the Game for purposes of this Agreement, the licenses granted to you and the License Limitations set forth in this Agreement.  The terms of this Agreement will govern any Updates provided by ZeniMax that replace and/or supplement the original Game, unless such Updates is accompanied by a separate license agreement in which case the terms of that license agreement will govern.  ZENIMAX HAS IMPLEMENTED TOOLS AND SOFTWARE (“ANTI-CHEAT TOOLS”) DESIGNED TO DETECT AND PREVENT CHEATING AND FRAUD; THESE TECHNOLOGIES MAY SCAN ANY COMPUTER OR DEVICE FROM WHICH YOU DOWNLOAD OR PLAY THE GAME TO DETECT OR IDENTIFY ANY PROGRAMS OR PROCESSES DESIGNED TO “CHEAT,” GAIN AN UNFAIR ADVANTAGE IN THE GAME OR OTHERWISE CIRCUMVENT ANY SECURITY, ANTI-CHEAT OR FRAUD DETECTION PROCESSES  OR TOOLS WE HAVE IMPLEMENTED (“CHEAT PROGRAMS”).  BY USING OR DOWNLOADING THE GAME OR ACCEPTING THIS AGREEMENT, YOU ACKNOWLEDGE AND EXPRESSLY AGREE TO THE ACCESS TO YOUR COMPUTER OR DEVICE  BY THESE ANTI-CHEAT TOOLS TO IDENTIFY OR DETECT CHEAT PROGRAMS.
3.	LIMITATIONS AND RESTRICTIONS.
The Game and/or certain features are a Service offered by ZeniMax and may only be playable online.  In such cases, a persistent Internet connection (which is not supplied by ZeniMax) is required to play the Game. The Game Client alone without a persistent Internet connection does not give you the right or ability to play the Game.  You are responsible for all costs and expenses associated with acquiring any hardware, software (e.g., Internet browsers) or other products or services required to play the Game or access these features.  
In addition to the restrictions, conditions and limitations set forth in the ZeniMax Terms of Service and the ZeniMax Code of Conduct, the license granted to you in this End User License Agreement is subject to the conditions, restrictions and limitations set forth in Section 1 and this Section 3 of this End User License Agreement (collectively, the “License Limitations”). Any use of the Game in violation of the License Limitations will be regarded as an infringement of ZeniMax’s copyrights in and to the Game and will be a breach of this Agreement.  You agree that you will not and will not assist any other person, under any circumstances, to:
A.	in whole or in part, distribute, publicly perform or display, sell, transmit, publish, edit, reproduce, sublicense, rent, lease, loan or otherwise transfer the Game or Content, including without limitation any access keys;
B.	in whole or in part, modify, adapt, translate, reverse engineer, attempt to derive source code from, modify, disassemble, decompile, or create derivative works based on the Game; provided, however, that you may make one (1) copy of the Game Client and the manuals that accompany it for archival purposes only and you may install the relevant Game Client on one or more computers owned by you or under your legitimate control as described in Section 1 above; 
C.	remove any proprietary notices or labels on the Game; or attempt in any manner to circumvent any security measures designed to control access to the Game or any part thereof;  
D.	use cheats, automation software (bots), hacks, mods or any other unauthorized third-party software designed to modify the Game or adversely impact any other persons playing of the Game or his/her experience of playing the Game; 
E.	exploit the Game or any of its parts, including without limitation the Game Client, for any commercial purpose (including without limitation renting, leasing or licensing the Game to others), including without limitation (a) for gathering Virtual Currency (as defined in the ZeniMax Terms of Service), items or resources for sale outside the Game; or (b) performing in-game services in exchange for payment outside the Game, e.g., power-leveling; 
F.	use any unauthorized third-party software that intercepts, “mines”, or otherwise collects information from or through the Game or the Service, including without limitation any software that reads areas of RAM used by the Game to store information about a character or the game environment; provided, however, that ZeniMax may, at its sole and absolute discretion, allow the use of certain third party user interfaces and other third party software; 
G.	modify or cause to be modified any files that are a part of the Game Client in any way not expressly authorized by ZeniMax; 
H.	host, provide or develop matchmaking services for the Game or intercept, emulate or redirect the communication protocols used by ZeniMax in any way, for any purpose, including without limitation unauthorized play over the internet, network play, or as part of content aggregation networks;   
I.	facilitate, create or maintain any unauthorized connection to the Game or the Service, including without limitation (a) any connection to any unauthorized server that emulates, or attempts to emulate, the Service; and (b) any connection using programs or tools not expressly approved by ZeniMax; 
J.	take any action or upload, post, transmit, promote, or distribute any illegal content; 
K.	take any action or upload, post, transmit, promote, or distribute any content that infringes or violates any third party rights; 
L.	engage in, take any action associated with, or participate in any type of child solicitation, grooming behavior, pedophilia, or predatory behavior in any form;  
M.	harass, stalk, threaten, embarrass, spam or do anything else to another user of the Game that is unwanted, such as repeatedly sending unwanted messages or making personal attacks or statements about race, sexual orientation, religion, heritage, etc.; 
N.	take any action or upload, post, transmit, distribute, or communicate your or any person’s real-world personal information; 
O.	impersonate any person or entity, including, but not limited to, ZeniMax, ZeniMax’s partners’ or affiliates’ employees, or falsely state or otherwise misrepresent your affiliation with a person or entity; 
P.	take any action, organize, transmit any content, effectuate or participate in any activity, group, or guild that is harmful, tortuous, abusive, hateful (including “hate speech”), racially, ethnically, religiously or otherwise offensive, obscene, threatening, bullying, vulgar, sexually explicit, defamatory, libelous, infringing, invasive of personal privacy or publicity rights, encourages conduct that would violate a law or is, in a reasonable person's view, objectionable and/or deemed to be in the sole discretion of ZeniMax inappropriate;  
Q.	promote, upload, transmit, encourage or take part in any activity involving hacking, cracking, phishing, taking advantage of exploits or cheats and/or distribution of counterfeit software and/or Virtual Currency or virtual items.  In an effort to continuously improve the Game, you and other users/players discovering exploits, cheats, cracks or other inconsistencies are required to report them to ZeniMax; or 
R.	take any action or upload, post, transmit, promote, or distribute any content that may contain a Trojan horse, virus, worm, spyware, time bombs, cancelbots, corrupted data or other computer programs that you do not own or have permission to freely distribute that may damage, interfere with, intercept, expropriate or disrupt the Game.
Any attempt to do any of the foregoing is a breach of this Agreement and may be a violation of intellectual property rights in the Game.  If you breach these restrictions, you may be subject to prosecution and damages.  
The Game is licensed to you as a single product. Its component parts may not be separated for use on more than one computer.  The Game is licensed, not sold.  Your license confers no title or ownership in the Game or copies thereof.  
4.	OWNERSHIP OF THE GAME.  
ZeniMax and its licensors are and will continue to be the owner of all right, title, and interest in and to the Game and the Service, including without limitation all intellectual property rights and moral rights in and to the Game and all copies thereof (including without limitation any titles, software programs and code, Game related themes, characters, character names, character likenesses, stories, dialog, catch phrases, locations, concepts, artwork, character inventories, structural, landscape and other designs in the Game, animations, sounds, musical compositions and recordings, audio-visual effects, storylines, methods of operation, and any related documentation).  You shall take no action inconsistent with such title or ownership.  The Game is protected by the copyright laws of the United States, international treaties and conventions, and other laws.  The Game may contain materials licensed by third parties, and the licensors of those materials may enforce their rights in the event of any violation of this Agreement.  You acknowledge and agree that you have no interest, monetary or otherwise, in any feature or Content contained in the Game.  This paragraph will survive the termination of this Agreement.  
5.	COLLECTION AND PROCESSING OF PERSONAL INFORMATION
ZeniMax will process your personal information in accordance with the ZeniMax Privacy Policy [https://bethesda.net/en/document/privacy-policy] and we will also use cookies, web beacons and other analytic technologies (together “cookies” herein) and similar mechanisms – including those provided by third parties – to collect, store and transmit information related to your usage of the Service in order to operate, improve and optimize the Service and our other products, to analyze usage, to personalize your experiences using the Service, and otherwise in accordance with the ZeniMax Privacy Policy.  You expressly acknowledge that you have read and understood the: 
•	ZeniMax Privacy Policy [https://bethesda.net/en/document/privacy-policy] which explains how we may collect, use, disclose and otherwise process data about you (including personal information)
•	ZeniMax Cookie Policy [https://bethesda.net/en/document/cookie-policy], which sets forth our use of cookies and your options regarding the same; 
ZeniMax reserves the right to disclose any information ZeniMax deems necessary to (i) ensure your compliance with this Agreement; (ii) satisfy any applicable law, regulation or legal process; and (iii) protect the rights, property and interests of ZeniMax, its employees, other users of the Game or the public.  
6.	MONITORING AND UPDATES.	
If you request any technical support from ZeniMax, subject to your consent ZeniMax may remotely access and review the computer onto which you have loaded the Game Client for purposes of providing technical support and debugging.  As further described in the ZeniMax Terms of Service, ZeniMax may update the Game remotely including without limitation the Game Client residing on your computer, and you hereby grant to ZeniMax your consent to deploy and apply such Updates.  
You understand and agree that (a) any and all Game related character data is stored and is resident on ZeniMax computers and servers and (b) any and all communications that you make within the Game (including, but not limited to, messages solely directed at another player or group of players) traverse through ZeniMax computers and servers and may or may not be monitored by ZeniMax or ZeniMax’s agents.  You expressly consent to such monitoring of such communications that you send and receive.  The ZeniMax Terms of Service and the ZeniMax Privacy Policy include further terms and conditions applicable to the accessing, monitoring and recording of activities and communications on and relating to the Service, including but not limited to when ZeniMax may report incidents to law enforcement and other authorities. All personal information collected and processed by ZeniMax as part of the activities set out in this clause 6 will be collected and processing accordance with the ZeniMax Privacy Policy[https://bethesda.net/en/document/privacy-policy] and the terms of the Agreement.   
7.	TERMINATION.  
This End User License Agreement starts at the time you accept this End User License Agreement and it will remain effective until terminated.  You may terminate this End User License Agreement at any time by (i) permanently destroying all copies of the Game in your possession or control and (ii) removing the Game Client from your hard drive.  Subject to the Statutory Obligations (as defined in Section 1 of the ZeniMax Terms of Service),  ZeniMax may terminate this End User License Agreement at any time for any reason or no reason (including at such time as ZeniMax elects to discontinue offering the Game).  Upon termination by ZeniMax for any reason, all licenses granted in this Agreement (including in the ZeniMax Terms of Service) with respect to the Game that is the subject of this End User License Agreement shall immediately terminate and you must immediately do (i) and (ii) above.  Termination for no reason will be communicated to you by ZeniMax.  
8.	EXPORT RESTRICTIONS.  
The Game may not be exported, re-exported, downloaded or otherwise transferred (i) to or into (collectively, an “Export”) any country which requires an Export license or which the United States Government prohibits Exports, including any such country subject to economic sanctions or (ii) to any person or entity prohibited from receiving goods or services of U.S. origin.  You represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.  This Section 8 will survive the termination of this Agreement.
9.	WARRANTY.  
If you, the original purchaser, purchased the Game on a physical media (such as a disc) your use of the Game is subject to the limited warranty included with the manual or other packaging material that came with your purchase.
THE ZENIMAX TERMS OF SERVICE INCLUDE PROVISIONS REGARDING THE DISCLAIMER OF REPRESENTATIONS, WARRANTIES AND GUARANTEES (SUBJECT TO THE STATUTORY OBLIGATIONS (AS DEFINED IN SECTION 1 OF THE ZENIMAX TERMS OF SERVICE)) AND SUCH PROVISIONS ARE INCORPORATED INTO THIS END USER LICENSE AGREEMENT BY THIS REFERENCE AND FORMS A PART OF THIS END USER LICENSE AGREEMENT AS IF SUCH PROVISIONS WERE FULLY RESTATED IN THIS END USER LICENSE AGREEMENT.  THIS SECTION 9  SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT.
With respect to software that is enabled for use on or over the Internet, you acknowledge that ZeniMax is not responsible for the Internet or whether it should continue to exist in its present form or whether or not a government or governmental agency, either foreign or domestic, will control, regulate or disband the Internet.  Use of the Internet is at your sole risk.
10.	LIMITATION OF LIABILITY, REIMBURSEMENT.
To the maximum extent permitted by applicable law, and subject to the Statutory Obligations (as defined in Section 1 of the Terms of Service), IN NO EVENT SHALL ZENIMAX OR ANY OF LICENSORS BE LIABLE FOR ANY (I) SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR OTHER INDIRECT DAMAGES, (II) THIRD PARTY CLAIMS, OR (III) LOSS OR DAMAGE TO ANY SYSTEMS, HARDWARE OR SOFTWARE, RECORDS OR DATA, EVEN IF ADVISED OF OR AWARE OF THE POSSIBILITY OF ANY SUCH DAMAGES AND EVEN IF A LIMITED REMEDY IN THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE.  
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY.  ACCORDINGLY, SOME OF THE ABOVE MAY NOT APPLY TO YOU.
THE ZENIMAX TERMS OF SERVICE INCLUDE OTHER PROVISIONS REGARDING THE LIMITATION OF LIABILITY AND REMEDIES (SUBJECT TO THE STATUTORY OBLIGATIONS (AS DEFINED IN SECTION 1 OF THE ZENIMAX TERMS OF SERVICE)) AND SUCH PROVISIONS ARE INCORPORATED INTO THIS END USER LICENSE AGREEMENT BY THIS REFERENCE AND FORMS A PART OF THIS END USER LICENSE AGREEMENT AS IF SUCH PROVISIONS WERE FULLY RESTATED IN THIS END USER LICENSE AGREEMENT.  
If (i) you misuse the Game Service or breach this Agreement or (ii) any contributions, actions or omissions by you in connection with your use of the Game Service results in ZeniMax incurring any liabilities, damages, losses, costs and expenses (including without limitation attorneys’ fees and court costs), then you agree to reimburse ZeniMax and its affiliates and other participants of the Service from all such liabilities, damages, losses, costs and expenses.  If a third party sues ZeniMax for either or both of (i) or (ii) above, ZeniMax reserves the right to control the defense and settlement of such third party lawsuit, and you agree to reimburse ZeniMax for the cost of the defense, including, but not limited to, reasonable and documented attorneys’ fees. 
This Section 10 shall survive termination of this Agreement.  
11.	CHANGES TO THE AGREEMENT.  ZeniMax may replace this End User License Agreement with new versions (each a “New EULA”) over time as the Game and the law evolve.  This End User License Agreement will terminate immediately upon the introduction of a New EULA, and you will be given an opportunity to review the New EULA in accordance with the change provisions set out in the ZeniMax Terms of Service.  New EULAs will not be applied retroactively.  Your continued use of the Software and play of the Game after a modification of the EULA will be deemed as your acceptance of any modified terms.
12.	U.S. GOVERNMENT RESTRICTED RIGHTS.  The Game is a Commercial Item developed exclusively at private expense and comprised of “commercial computer software” and “commercial computer software documentation”, as these terms are defined in the applicable acquisition regulations, including without limitation the Federal Acquisition Regulation (“FAR”) at 48 C.F.R. 2.101.  The Game is licensed to U.S. Government End Users subject to the terms of this Agreement, as specified in 48 C.F.R. 12.212 (Computer Software) and 12.211 (Technical Data) ( for civilian agencies), and as specified in 48 C.F.R. 227.7202-3 and 48 C.F.R. 227.7202-4, consistent with 48 C.F.R. 227.7202 (for Department of Defense entities).  Solely with respect to the U.S. Government’s rights in the Game, this U.S. Government License Rights clause is in lieu of, and supersedes, any other FAR, DFARS, or other clause or provision of the contract under which this Game is obtained.  The Manufacturer is ZeniMax.  
13.	GOVERNING LAW.
For residents of North America, this Agreement and all Disputes (as defined in the Disputes Provision) shall be governed by the laws of the State of Maryland, USA, excluding its conflicts of laws rules and principles that would result in another State or country’s laws applying to this Agreement or any Disputes, and excluding the United Nations Convention on Contracts for the International Sale of Goods, the Uniform Computer Information Transactions Act (“UCITA”), and any laws based on UCITA.  For clarity, the terms in this paragraph shall control over any conflicting terms in the ZeniMax Terms of Service, including without limitation any terms that would result in another State’s or country’s laws applying to this Agreement or any Disputes.
If you reside outside of North America, then this Agreement and all Disputes shall be governed by the laws of England, excluding its conflicts-of-law rules and principles that would result in another State or country’s laws applying to this Agreement or any Disputes, and excluding the United Nations Convention on Contracts for the International Sale of Goods.  Local mandatory laws may be applied.
Notwithstanding the Disputes Provision, you agree that ZeniMax shall be entitled to injunctive relief, specific performance and equitable remedies with respect to breaches of Sections 1 or 3 of this Agreement, in addition to such other remedies as ZeniMax may otherwise have under applicable law.  
This Section 13 will survive the termination of this Agreement.
14.	MISCELLANEOUS.  This End User License Agreement along with the ZeniMax Terms of Service and the ZeniMax Code of Conduct constitute and contain the entire agreement between you and ZeniMax with respect to the subject matter hereof and supersedes any prior oral or written agreements. This End User License Agreement shall coexist with, and shall not supersede, the ZeniMax Terms of Service or the ZeniMax Privacy Policy.  To the extent that the provisions of this End User License Agreement conflict with the provisions of the ZeniMax Terms of Service, and unless expressly indicated otherwise in this Agreement, the conflicting provisions in this End User License Agreement shall control and shall govern.  Except as specifically provided in the Disputes Provision, if any part of this Agreement is held invalid or unenforceable, that portion shall be interpreted in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of such part, and the remaining portions of this Agreement shall remain in full force and effect.  The failure of ZeniMax to exercise or enforce any right or provision of this Agreement will not constitute waiver of such right or provision.  Any waiver of any provision of this Agreement will be effective only if in a writing signed by ZeniMax.  You agree that this Agreement and ZeniMax’s enforcement of this Agreement, are not intended to confer and do not confer any rights or remedies upon any person other than you and ZeniMax.  This Section 14 shall survive the termination of this Agreement for any reason.  
I hereby acknowledge that I have read and understand all the terms and conditions in this Agreement.  BY CLICKING AGREE, I acknowledge and agree to be bound by all the terms and conditions of this Agreement, which includes my express consent to ZeniMax’s use of Anti-Cheat Tools as described herein.

POUR JOUER AU JEU ET/OU ACCÉDER À CERTAINES FONCTIONNALITÉS, VOUS POUVEZ ÊTRE AMENÉ À POSSÉDER ET CONSERVER UN COMPTE UTILISATEUR VALIDE ET ACTIF AVEC ZENIMAX (“COMPTE”)
EN TÉLÉCHARGEANT, INSTALLANT, UTILISANT OU JOUANT AU JEU, VOUS CONFIRMEZ AVOIR LU CE CONTRAT DE LICENCE D'UTILISATEUR FINAL, LES CONDITIONS D'UTILISATION DE ZENIMAX, AINSI QUE LA POLITIQUE DE CONFIDENTIALITÉ DE ZENIMAX, ET ACCEPTER LES TERMES DE CET ACCORD ET LES CONDITIONS D'UTILISATION (COLLECTIVEMENT, CET “ACCORD”).  DE PLUS, VOUS RECONNAISSEZ ET COMPRENEZ QUE ZENIMAX PEUT UTILISER ET TRAITER VOS DONNÉES PERSONNELLES CONFORMÉMENT À LA POLITIQUE DE CONFIDENTIALITÉ DE ZENIMAX (disponible sur https://bethesda.net/fr/document/privacy-policy). SI VOUS N'ACCEPTEZ PAS LES TERMES DE CET ACCORD, OU N'AVEZ PAS LU OU COMPRIS LA POLITIQUE DE CONFIDENTIALITÉ DE ZENIMAX, VEUILLEZ NE PAS TÉLÉCHARGER, INSTALLER OU UTILISER LE JEU.

Cet Accord est établi entre vous et ZeniMax Media, Inc (“ZeniMax”). 
AINSI QU'IL EST ÉTABLI DANS LA SECTION 1 DES CONDITIONS D'UTILISATION, SI VOUS ÊTES RÉSIDENT DE L'EEE, DU ROYAUME-UNI, DE LA SUISSE, DE L'AUSTRALIE, DE LA NOUVELLE-ZÉLANDE, DE LA TURQUIE, DU JAPON OU DU BRÉSIL, ZENIMAX RECONNAÎT QU'IL EXISTE CERTAINS TERMES, GARANTIES, EXCLUSIONS ET CONDITIONS (NOTAMMENT CONCERNANT LES REMBOURSEMENTS ET RENVOIS, AINSI QUE LES CONDITIONS INJUSTES) IMPOSÉS PAR LES LOIS CODIFIANT L'APPROVISIONNEMENT DE BIENS, SERVICES ET CONTENUS NUMÉRIQUES QUE LES LOIS FOURNISSENT EXPRESSÉMENT QUI NE PEUVENT ÊTRE EXCLUS, RESTREINTS OU MODIFIÉS OU NE PEUVENT ÊTRE LIMITÉS QUE DANS UNE CERTAINE MESURE (LES “OBLIGATIONS LÉGALES”).  RIEN DANS CE CLUF N'EXCLUT, NE RESTREINT, NI NE MODIFIE LES OBLIGATIONS LÉGALES AUTREMENT QUE SELON CES LOIS.
AVERTISSEMENT CONCERNANT LA PHOTOSENSIBILITÉ :
Pour un très faible pourcentage de personnes, l'exposition à certaines images, y compris et sans limitation, à des motifs ou clignotements lumineux, risque de provoquer une crise d'épilepsie ou une perte de connaissance.  Si vous ressentez l'un des symptômes suivants en jouant au Jeu, cessez immédiatement de jouer et consultez votre médecin avant de reprendre votre partie : perte de connaissance, crise d'épilepsie, vertige, vision altérée, contraction musculaire ou oculaire, sursaut ou tremblement des bras ou des jambes, perte de conscience de l'environnement, désorientation, confusion, mouvement involontaire ou convulsion.
Les Conditions d'utilisation de ZeniMax contiennent un accord de Règlement des litiges et une Clause d'arbitrage, notamment une Renonciation aux recours collectifs (la “Clause concernant les litiges”) qui, si vous résidez dans une autre juridiction que celles de l'EEE, du Royaume-Uni, de la Suisse, de l'Australie, de la Nouvelle-Zélande, de la Turquie, du Japon ou du Brésil qui vous permettent des actions de groupes ou des recours collectifs, affectent vos droits selon les Conditions d'utilisation de ZeniMax et ce Contrat de Licence d'Utilisateur Final pour tout litige que vous pourriez avoir avec ZeniMax.  Cette Clause concernant les litiges est intégrée à ce Contrat de Licence d'Utilisateur Final par cette référence et forme partie intégrante de ce Contrat de Licence d'Utilisateur Final de la même façon que si elle était entièrement énoncée dans ce Contrat de Licence d'Utilisateur Final.  Vous pouvez renoncer à l'arbitrage individuel contraignant et à la renonciation aux actions de groupe ainsi qu'il est spécifié dans les Conditions d'utilisation de ZeniMax.  
Toutes les utilisations du Jeu sont soumises aux termes de ce Contrat de Licence d'Utilisateur Final et des Conditions d'utilisation de ZeniMax.  Pour jouer à ce Jeu, vous devez : (a) obtenir l'accès au Jeu de la part de ZeniMax, et (b) télécharger le Client du jeu (défini ci-dessous).  Par cette référence, les Conditions d'utilisation de ZeniMax sont ainsi incorporées et forment partie intégrante à ce Contrat de Licence d'Utilisateur Final de la même façon que si elles étaient entièrement énoncées dans ce Contrat de Licence d'Utilisateur Final.  Le Contrat de Licence d'Utilisateur Final est un “CLUF” et constitue des “Conditions supplémentaires” telles qu'elles sont considérées dans les Conditions d'utilisation de ZeniMax.  Le Jeu est rendu disponible et est distribué uniquement pour être utilisé par les utilisateurs finaux autorisés selon les termes de cet Accord, y compris les Conditions d'utilisation de ZeniMax.  Toute utilisation, reproduction, modification ou distribution du Jeu n'ayant pas été expressément autorisée par les termes de cet Accord est strictement interdite.  Vous acceptez que le Jeu, le Client de jeu, tout autre logiciel lié au Jeu, le Contenu (tel que défini dans les Conditions d'utilisation) spécifique au Jeu, ainsi que votre accès et l'utilisation que vous en faites soient tous un “Service” dans le cadre de cet Accord, y compris pour les Conditions d'utilisation de ZeniMax.  Tout droit ne vous ayant pas été octroyé dans cet Accord est réservé à ZeniMax. 
Vous avez précédemment reconnu que ZeniMax pouvait traiter vos informations personnelles selon la Politique de confidentialité de ZeniMax, disponible sur https://bethesda.net/fr/document/privacy-policy et vous avez accepté le Code de conduite de ZeniMax, disponible sur https://bethesda.net/fr/document/code-of-conduct.  Par cette référence, le Code de conduite est incorporé à ce Contrat de Licence d'Utilisateur Final et forme partie intégrante de ce Contrat de Licence d'Utilisateur Final de la même façon que s'il était entièrement énoncé dans ce Contrat de Licence d'Utilisateur Final.  Toute information personnelle collectée et traitée par ZeniMax en lien avec ce Contrat de Licence d'Utilisateur Final sera collectée et traitée conformément à la Politique de confidentialité de ZeniMax. 
NOUS VOUS INVITONS À IMPRIMER UN EXEMPLAIRE DE CE CONTRAT DE LICENCE D'UTILISATEUR FINAL, DES CONDITIONS D'UTILISATION, DE LA POLITIQUE DE CONFIDENTIALITÉ ET DU CODE DE CONDUITE POUR VOS ARCHIVES ET RÉFÉRENCES FUTURES.
Tous les programmes informatiques et tous les fichiers qui vous sont fournis ou rendus disponibles par ZeniMax, directement ou indirectement au travers d'un revendeur ou distributeur autorisé par ZeniMax (via un accès, une transmission, un téléchargement en ligne ou autre), y compris tout programme de “modification” ou “d'installation”, ainsi que toute mise à jour ou modification de ces programmes et toute copie ou œuvre dérivée de ces programmes (collectivement, avec le Client de jeu (défini ci-après), le “Jeu”) sont la propriété sous copyright de ZeniMax et de ses affiliés.  LE JEU VOUS EST OCTROYÉ SOUS LICENCE, NON VENDU.  
1.	LICENCE LIMITÉE ; RESTRICTIONS ET PROPRIÉTÉ
Si vous acceptez cet Accord, vous pouvez télécharger et installer le logiciel (ci-après dénommé “Client de jeu”) sur votre ordinateur ou console dans l'unique but de jouer au Jeu en vous enregistrant et en vous connectant à un compte avec le Service (le “Compte”).  Les termes supplémentaires concernant votre Compte sont énoncés dans les Conditions d'utilisation de ZeniMax.  Sous réserve de votre acceptation de tous les termes et conditions de cet Accord, ZeniMax garantit par la présente, et vous acceptez par la présente, une licence limitée, non transférable et non exclusive pour (a) télécharger, installer ou utiliser le Client de jeu sur un ou plusieurs ordinateurs ou consoles dont vous avez la possession ou le contrôle légitime, et (b) utiliser le Client de jeu seulement dans le cadre du Service et uniquement à des fins de divertissements non commerciaux.  
Les Conditions d'utilisation de ZeniMax incluent des termes et conditions applicables à la Monnaie virtuelle (tel que le terme est défini dans les Conditions d'utilisation de ZeniMax), y compris des termes vous octroyant une licence limitée et non exclusive à la Monnaie virtuelle.  Ces termes et conditions s'appliquent à la Monnaie virtuelle (s'il y en a) dont la licence vous est donnée pour utiliser le Jeu.  La monnaie en jeu associée à ce Jeu représente de la “Monnaie virtuelle” et est soumise aux mêmes termes et conditions.
Sous réserve des Obligations légales (telles que définies dans la section 1 des Conditions d'utilisation), cet Accord ne vous donne aucun droit d'obtenir une réédition ou un remplacement du Jeu et ZeniMax n'est en aucun cas tenu de fournir des mises à jour de logiciel, améliorations ou extensions du Jeu, ni même d'assurer le fonctionnement ou la compatibilité du Jeu sur une période indéfinie.  
Selon les Conditions d'utilisation de ZeniMax, et sous réserve des Obligations légales (telles que définies dans la section 1 des Conditions d'utilisation de ZeniMax), ZeniMax peut changer, modifier, suspendre ou arrêter à tout moment tout aspect du Jeu, et ZeniMax peut également imposer des limites à certaines fonctionnalités ou restreindre votre accès à tout ou partie du Jeu sans notification préalable ni obligation.
Dans tous les cas, les licences qui vous ont été octroyées par cet Accord prendront fin dès la résiliation de cet Accord ou la résiliation de votre compte par ZeniMax, si vous en avez un.  
Les Conditions d'utilisation de ZeniMax incluent les termes et conditions applicables au Contenu généré par l'Utilisateur, au Contenu téléchargeable et à d'autres Contenus, et vous acceptez de respecter ces termes et conditions. 
2.	MISES À JOUR DE LOGICIEL ET OUTILS DE SÉCURITÉ ET ANTI-TRICHE.  ZeniMax peut déployer ou fournir des correctifs, mises à jour, améliorations, mises à niveau et modifications au Jeu (“Mises à jour”) que vous devez installer de la manière décrite par ZeniMax à sa discrétion avant que vous puissiez continuer à jouer au Jeu.  Ces Mises à jour font partie du Jeu dans le cadre de cet Accord, des licences qui vous sont octroyées et des Limitations de licence énoncées dans cet Accord.  Les termes de cet Accord régissent toutes les Mises à jour fournies par ZeniMax qui remplacent et/ou complètent le Jeu originel, à moins que ces Mises à jour soient accompagnées d'un accord de licence propre, dans ce cas, ces Mises à jour seront régies par les termes de cet accord de licence.  ZENIMAX A IMPLÉMENTÉ DES OUTILS ET LOGICIELS (“OUTILS ANTI-TRICHE”) CONÇUS POUR DÉTECTER ET EMPÊCHER LA TRICHE ET LA FRAUDE. CES TECHNOLOGIES PEUVENT SCANNER TOUT ORDINATEUR OU APPAREIL DEPUIS LEQUEL VOUS TÉLÉCHARGEZ OU JOUEZ AU JEU AFIN DE DÉTECTER OU D'IDENTIFIER TOUT PROGRAMME OU PROCÉDÉ CONÇUS POUR “TRICHER”, GAGNER UN AVANTAGE INJUSTE OU, DE MANIÈRE GÉNÉRALE, CONTOURNER TOUT PROCESSUS DE SÉCURITÉ, ANTI-TRICHE OU DE DÉTECTION DE FRAUDE OU TOUT OUTIL QUE NOUS AVONS IMPLÉMENTÉ (“PROGRAMMES DE TRICHE”).  EN UTILISANT OU TÉLÉCHARGEANT LE JEU OU EN ACCEPTANT CET ACCORD, VOUS RECONNAISSEZ ET AUTORISEZ EXPRESSÉMENT L'ACCÈS À VOTRE ORDINATEUR OU VOTRE APPAREIL PAR CES OUTILS ANTI-TRICHE AFIN D'IDENTIFIER OU DE DÉTECTER DES PROGRAMMES DE TRICHE.
3.	LIMITATIONS ET RESTRICTIONS.
Le Jeu et/ou certaines fonctionnalités sont un Service fourni par ZeniMax et peuvent n'être accessibles qu'en jouant en ligne.  Si tel est le cas, une connexion Internet constante (non fournie par ZeniMax) est nécessaire pour jouer au Jeu. Le Client du jeu seul sans connexion Internet constante ne vous autorise ni ne vous permet de jouer au Jeu.  Vous êtes responsable de tous les coûts et dépenses associés à l'acquisition de matériels, logiciels (par exemple, un navigateur Internet) ou tout autre produit ou service nécessaire pour jouer au Jeu ou accéder à ces fonctionnalités.  
En plus de ces restrictions, des conditions et limitations énoncées dans les Conditions d'utilisation de ZeniMax et le Code de conduite de ZeniMax, la licence qui vous est octroyée dans ce Contrat de Licence d'Utilisateur Final est soumise aux conditions, restrictions et limitations énoncées dans la section 1 et cette section 3 de ce Contrat de Licence d'Utilisateur Final (collectivement, les “Limitations de licence”). Toute utilisation du Jeu qui ne respecterait pas les Limitations de licence sera considérée comme une violation des droits de ZeniMax sur ce Jeu et entraînera une rupture de cet Accord.  Vous acceptez que, sous aucune circonstance, vous ne tentiez ou n'aidiez une autre personne à :
A.	en totalité ou en partie, distribuer, faire une performance ou démonstration publique, vendre, transmettre, éditer, reproduire, donner une sous-licence, louer, prêter ou transférer de quelque manière que ce soit le Jeu ou son Contenu, y compris et sans limitation ses clés d'accès ;
B.	en totalité ou en partie, modifier, adapter, traduire, faire de la rétro-ingénierie, essayer de dériver son code source, modifier, désassembler, décompiler, ou créer des œuvres dérivées basées sur le Jeu ; sous réserve cependant que vous fassiez une (1) copie du Client de jeu et des manuels qui l'accompagnent aux seules fins d'archivage et que vous installiez le Client de jeu approprié sur un ou plusieurs ordinateurs dont vous avez la possession ou le contrôle légitime, tel que précédemment décrit dans la section 1 ; 
C.	supprimer toute notification ou marque de propriété du Jeu ; ou essayer d'une quelconque manière de contourner les mesures de sécurité conçues pour contrôler l'accès au Jeu ou à l'une de ses parties ;  
D.	utiliser la triche, des logiciels d'automatisation (bots), le piratage, des mods ou tout autre logiciel tiers non autorisé conçu pour modifier le Jeu ou affecter négativement le Jeu d'une autre personne ou son expérience de jeu ; 
E.	tirer profit d'une faille du Jeu ou de l'une de ses parties, y compris et sans limitation le Client de jeu, à des fins commerciales (y compris et sans limitation, la location ou l'octroi de la licence du Jeu à d'autres), y compris et sans limitation (a) pour récupérer de la Monnaie virtuelle (telle que définie dans les Conditions d'utilisation de ZeniMax), des objets ou des ressources à vendre hors du Jeu ; ou (b) effectuer des services en jeu en échange de paiements hors du Jeu, par exemple l'amélioration de niveau ; 
F.	utiliser tout logiciel tiers non autorisé qui intercepte, “mine” ou récupère d'une quelconque façon des informations depuis ou au travers du Jeu ou du Service, y compris et sans limitation, tout logiciel pouvant lire les zones de RAM utilisées par le Jeu pour stocker des informations sur un personnage ou l'environnement du Jeu ; sous réserve cependant que ZeniMax puisse à son entière et unique discrétion autoriser l'utilisation de certaines interfaces utilisateurs tierces et d'autres logiciels tiers ; 
G.	modifier ou entraîner la modification de fichiers faisant partie du Client de jeu d'une façon n'ayant pas été explicitement autorisée par ZeniMax ; 
H.	accueillir, fournir ou développer des services de matchmaking pour le Jeu ou intercepter, émuler ou rediriger d'une quelconque façon les protocoles de communication utilisés par ZeniMax dans n'importe quel but, y compris et sans limitation le jeu non autorisé sur Internet, le jeu en ligne ou dans le cadre de réseaux d'agrégation de contenus ;   
I.	faciliter, créer ou maintenir toute connexion non autorisée au Jeu ou au Service, y compris et sans limitation (a) toute connexion à un serveur non autorisé qui émule ou tente d'émuler le Service ; et (b) toute connexion utilisant des programmes ou outils non expressément approuvés par ZeniMax ; 
J.	prendre part ou mettre en ligne, publier, transmettre, promouvoir ou distribuer tout contenu illégal ; 
K.	prendre part ou mettre en ligne, publier, transmettre, promouvoir ou distribuer tout contenu qui enfreint ou viole les droits de tiers ; 
L.	prendre part, effectuer une action associée à, ou participer à tout type de racolage envers des enfants, prédation sexuelle, pédophilie ou comportement prédateur sous n'importe quelle forme ;  
M.	harceler, tourmenter, menacer, embarrasser, spammer ou toute autre action non désirée envers un autre utilisateur du Jeu, tel que l'envoi répété de messages indésirables, les attaques personnelles ou les déclarations sur la race, l'orientation sexuelle, la religion, l'héritage, etc. ; 
N.	prendre part ou mettre en ligne, publier, transmettre, distribuer ou communiquer vos informations personnelles réelles ou celles d'une autre personne ; 
O.	se faire passer pour une personne ou entité, y compris et sans limitation, ZeniMax, les employés des filiales ou partenaires de ZeniMax, ou déclarer faussement ou de façon dénaturée vos liens avec une personne ou entité ; 
P.	prendre part, organiser, transmettre du contenu, effectuer ou participer à une activité, une guilde ou un groupe nocif, tortueux, violent, haineux (y compris avec des “incitations à la haine”), insultant sur le plan racial, ethnique, religieux ou autre, obscène, menaçant, intimidant, vulgaire, sexuellement explicite, diffamatoire, calomnieux, enfreignant les règles, intrusif envers la vie privée des autres ou les droits publics, encourageant des comportements qui enfreignent une loi, ou qui semblent, d'un point de vue raisonnable, répréhensibles et/ou, selon la seule discrétion de ZeniMax, inappropriés ;  
Q.	promouvoir, charger, transmettre, encourager ou prendre part à toute activité impliquant le piratage, le téléchargement illégal, l'hameçonnage, l'exploitation de failles ou de triches et/ou la distribution de logiciels et/ou Monnaie virtuelle ou objets virtuels contrefaits.  Afin de continuer à améliorer le Jeu, nous demandons à vous et aux autres utilisateurs/joueurs découvrant des failles, triches, bugs ou autres incohérences de les signaler à ZeniMax ; ou 
R.	prendre part ou mettre en ligne, publier, transmettre, promouvoir ou distribuer tout contenu pouvant contenir un Cheval de Troie, un virus, un vers, un logiciel-espion, une bombe temporelle, un cancelbot, des données corrompues ou tout autre programme informatique dont vous n'avez pas la propriété ou la permission de distribuer et pouvant endommager, interférer, intercepter, s'approprier ou gêner le Jeu.
Toute tentative de faire l'un des points mentionnés ci-dessus est considérée comme une violation de l'Accord et peut devenir une violation des droits de propriété intellectuelle pour le Jeu.  Si vous violez ces restrictions, vous pouvez encourir des poursuites judiciaires entraînant des dommages et intérêts.  
Le Jeu vous est octroyé sous licence en tant que produit unique. Ses parties ne peuvent être séparées pour être utilisées sur plus d'un ordinateur.  Le Jeu est octroyé sous licence, non vendu.  Votre licence ne vous donne aucun droit ni aucune propriété dans le Jeu ou dans ses copies.  
4.	PROPRIÉTÉ DU JEU.  
ZeniMax et ses concédants sont et resteront les propriétaires de tout droit, titre et intérêt dans et sur le Jeu et le Service, y compris et sans limitation, tout droit de propriété intellectuelle et droit moral dans et sur le Jeu et toutes ses copies (y compris et sans limitation, tout titre, programme logiciel et code, thème lié au Jeu, personnage, nom de personnage, apparence de personnage, histoire, dialogue, slogan, lieu, concept, illustration, inventaire de personnage, design structurel, environnemental et autre en Jeu, animation, bruitage, composition musicale et enregistrement, effet audiovisuel, scénario, mode de fonctionnement et toute autre documentation liée).  Vous ne pourrez intenter aucune action en contradiction avec un tel titre ou propriété.  Le Jeu est protégé par les lois sur les droits d'auteur des États-Unis, des traités et conventions internationaux et d'autres lois.  Le Jeu peut contenir du matériel sous licence tierce, et les concédants de ce matériel peuvent faire valoir leurs droits dans l'éventualité d'une violation de cet Accord.  Vous reconnaissez et acceptez que vous n'avez aucun intérêt, financier ou autre, dans une fonctionnalité ou du Contenu inclus dans le Jeu.  Ce paragraphe restera valable après la résiliation de cet Accord.  
5.	RÉCUPÉRATION ET TRAITEMENT DES DONNÉES PERSONNELLES
ZeniMax traitera vos données personnelles conformément à la Politique de confidentialité de ZeniMax [https://bethesda.net/fr/document/privacy-policy] et utilisera également des cookies, des balises web et d'autres technologies d'analyse (collectivement dénommés ci-après “Cookies”) et des mécanismes similaires, y compris ceux fournis par des tiers, pour récupérer, stocker et transmettre des informations liées à votre utilisation du Service afin de piloter, améliorer et optimiser le Service et ses autres produits, d'analyser l'utilisation, de personnaliser vos expériences avec le Service, et dans d'autres buts conformes à la Politique de confidentialité de ZeniMax.  Vous reconnaissez expressément avoir lu et compris : 
•	La Politique de confidentialité de ZeniMax [https://bethesda.net/fr/document/privacy-policy] qui explique comment ZeniMax peut récupérer, utiliser, divulguer et traiter des données vous concernant (y compris des informations personnelles) ;
•	La Politique sur les cookies de ZeniMax [https://bethesda.net/fr/document/cookie-policy], qui énonce notre utilisation des cookies et vos options les concernant. 
ZeniMax se réserve le droit de divulguer toute information que ZeniMax estime nécessaire pour (i) assurer votre conformité à cet Accord ; (ii) satisfaire tous les processus légaux, lois ou régulations ; et (iii) protéger les droits, propriétés et intérêts de ZeniMax, de ses employés, des autres utilisateurs du Jeu ou du public.  
6.	SURVEILLANCE ET MISES A JOUR.	
Si vous nécessitez une assistance technique de la part de ZeniMax, sous réserve de votre accord, ZeniMax peut accéder à distance et examiner l'ordinateur sur lequel vous avez chargé le Client de jeu dans le but de fournir une assistance technique et de corriger des problèmes.  Comme décrit plus en détail dans les Conditions d'utilisation de ZeniMax, ZeniMax peut mettre à jour le Jeu à distance, y compris et sans limitation, le Client de jeu installé sur votre ordinateur, et vous donnez par la présente votre accord à ZeniMax de déployer et d'appliquer de telles Mises à jour.  
Vous comprenez et acceptez que (a) toute donnée de personnage liée au Jeu soit stockée et installée sur les ordinateurs et serveurs de ZeniMax et que (b) toute communication que vous effectuez à l'intérieur du Jeu (y compris et sans limitation, les messages destinés uniquement à un autre joueur ou à un groupe de joueurs) transite par les ordinateurs et serveurs de ZeniMax et peut être surveillée ou non par ZeniMax ou des agents de ZeniMax.  Vous acceptez expressément une telle surveillance de ces communications que vous envoyez et recevez.  Les Conditions d'utilisation de ZeniMax et la Politique de confidentialité de ZeniMax comprennent d'autres termes et conditions applicables concernant l'accès, la surveillance et l'enregistrement d'activités et communications sur et liées au Service, y compris et sans limitation lorsque ZeniMax doit rapporter des incidents aux forces de l'ordre ou à d'autres autorités. Toutes les informations personnelles récupérées et traitées par ZeniMax dans le cadre des activités énoncées dans cette clause 6 seront récupérées et traitées conformément à la Politique de confidentialité de ZeniMax [https://bethesda.net/fr/document/privacy-policy] et aux termes de cet Accord.   
7.	RÉSILIATION.  
Ce Contrat de Licence d'Utilisateur Final prend effet au moment où vous l'acceptez et restera en vigueur jusqu'à sa résiliation.  Vous pouvez mettre fin à ce Contrat de Licence d'Utilisateur Final à tout moment en (i) détruisant irrémédiablement toutes les copies du Jeu en votre possession ou sous votre contrôle et (ii) en supprimant le Client de jeu de votre disque dur.  Sous réserve des Obligations légales (telles que définies dans la section 1 des Conditions d'utilisation de ZeniMax), ZeniMax peut mettre fin à ce Contrat de Licence d'Utilisateur Final à tout moment pour n'importe quelle raison ou sans raison (y compris au moment où ZeniMax choisit de cesser de proposer le Jeu).  Si ZeniMax met fin au CLUF pour une quelconque raison, toutes les licences octroyées dans cet Accord (y compris dans les Conditions d'utilisation de ZeniMax) dans le cadre du Jeu qui est le sujet du Contrat de Licence d'Utilisateur Final seront immédiatement résiliées et vous devrez immédiatement procéder aux étapes (i) et (ii) ci-dessus.  La résiliation du CLUF sans raison vous sera communiquée par ZeniMax.  
8.	RESTRICTIONS CONCERNANT L'EXPORTATION.  
Le Jeu ne peut être exporté, réexporté, téléchargé ou transféré d'une quelconque manière (collectivement, une “Exportation”) (i) vers ou dans un pays nécessitant une licence d'Exportation ou vers lequel le gouvernement des États-Unis interdit les Exportations, y compris les pays soumis à des sanctions économiques, ou (ii) à une personne ou entité qui n'a pas le droit de recevoir des biens ou services venant des États-Unis.  Vous affirmez et garantissez que vous n'êtes pas situé dans, sous le contrôle de, ou un citoyen ou habitant d'un tel pays ou sur une telle liste.  Cette section 8 restera valable après la résiliation de cet Accord.
9.	GARANTIE.  
Si vous, l'acheteur originel, avez acheté le Jeu sur un média physique (comme un disque), votre utilisation du Jeu est soumise à la garantie limitée incluse avec le manuel ou tout autre matériel de conditionnement venant avec votre achat.
LES CONDITIONS D'UTILISATION DE ZENIMAX COMPRENNENT DES CLAUSES CONCERNANT LES LIMITATIONS DE RESPONSABILITÉ DES REPRÉSENTATIONS, GARANTIES ET CAUTIONNEMENT (SOUS RÉSERVE DES OBLIGATIONS LÉGALES TELLES QUE DÉFINIES DANS LA SECTION 1 DES CONDITIONS D'UTILISATION DE ZENIMAX) ET PAR CETTE RÉFÉRENCE, CES CLAUSES SONT INCORPORÉES À ET FORMENT PARTIE INTÉGRANTE DE CE CONTRAT DE LICENCE D'UTILISATEUR FINAL DE LA MÊME FAÇON QUE SI ELLES ÉTAIENT ENTIÈREMENT ÉNONCÉES DANS CE CONTRAT DE LICENCE D'UTILISATEUR FINAL.  CETTE SECTION 9 RESTERA VALABLE APRÈS LA RÉSILIATION DE CET ACCORD.
En ce qui concerne le logiciel activé pour l'utilisation d'Internet, vous reconnaissez que ZeniMax n'est pas responsable d'Internet ou de sa continuité sous sa présente forme, ou de potentiels contrôles, régulations ou dissolution d'Internet par un gouvernement ou une agence gouvernementale, étrangère ou locale.  L'utilisation d'Internet se fait à vos seuls risques et périls.
10.	LIMITATION DE RESPONSABILITÉ, REMBOURSEMENT.
Dans la limite maximale permise par les lois applicables et sous réserve des Obligations légales (telles que définies dans la section 1 des Conditions d'utilisation), EN AUCUN CAS ZENIMAX OU L'UN DE SES CONCÉDANTS NE PEUT ÊTRE TENU RESPONSABLE POUR (I) TOUT DÉGÂT SPÉCIAL, ACCESSOIRE, CONSÉCUTIF, PUNITIF, EXEMPLAIRE OU INDIRECT, (II) TOUTE DÉCLARATION DE TIERS, OU (III) TOUTE PERTE OU TOUT DÉGÂT SUR DES SYSTÈMES, MATÉRIELS OU LOGICIELS, ENREGISTREMENTS OU DONNÉES, MÊME SI CONSEILLÉ OU INFORMÉ DE LA POSSIBILITÉ DE TELS DÉGÂTS ET MÊME SI UN RECOURS LIMITÉ DANS CET ACCORD PERD SON OBJECTIF PRINCIPAL.  
CERTAINES JURIDICTIONS N'AUTORISENT PAS LES LIMITATIONS OU EXCLUSIONS DE RESPONSABILITÉ.  DE CE FAIT, CERTAINES PROPOSITIONS CI-DESSUS PEUVENT NE PAS S'APPLIQUER À VOTRE CAS.
LES CONDITIONS D'UTILISATION DE ZENIMAX COMPRENNENT D'AUTRES CLAUSES CONCERNANT LES LIMITATIONS DE RESPONSABILITÉ ET RECOURS (SOUS RÉSERVE DES OBLIGATIONS LÉGALES TELLES QUE DÉFINIES DANS LA SECTION 1 DES CONDITIONS D'UTILISATION DE ZENIMAX) ET PAR CETTE RÉFÉRENCE, CES CLAUSES SONT INCORPORÉES À ET FORMENT PARTIE INTÉGRANTE DE CE CONTRAT DE LICENCE D'UTILISATEUR FINAL DE LA MÊME FAÇON QUE SI ELLES ÉTAIENT ENTIÈREMENT ÉNONCÉES DANS CE CONTRAT DE LICENCE D'UTILISATEUR FINAL.  
Si (i) vous utilisez de façon abusive le Service de jeu ou violez cet Accord, ou (ii) certaines de vos contributions, actions ou omissions en lien avec votre utilisation du Service de jeu entraînent la possibilité que ZeniMax s'expose à des responsabilités, dégâts, pertes, coûts et dépenses (y compris et sans limitation, des frais d'avocat et de tribunal), alors vous acceptez de rembourser ZeniMax et ses filiales ainsi que les autres participants au Service de ces responsabilités, dégâts, pertes, coûts et dépenses.  Si une tierce partie poursuit en justice ZeniMax pour l'une ou les deux raisons (i) et (ii) ci-dessus, ZeniMax se réserve le droit de contrôler la défense et la décision d'un tel procès avec un tiers et vous acceptez de rembourser ZeniMax des coûts de défense, y compris et sans limitation, les frais raisonnables et documentés d'avocat. 
Cette section 10 restera valable après la résiliation de cet Accord.  
11.	MODIFICATIONS DE L'ACCORD.  ZeniMax peut remplacer ce Contrat de Licence d'Utilisateur Final par de nouvelles versions (chacune un “Nouveau CLUF”) afin de suivre l'évolution du Jeu et des lois.  Ce Contrat de Licence d'Utilisateur Final sera immédiatement résilié à l'introduction d'un Nouveau CLUF et vous aurez la possibilité de consulter le Nouveau CLUF conformément aux clauses de modifications énoncées dans les Conditions d'utilisation de ZeniMax.  Les Nouveaux CLUF ne peuvent pas s'appliquer rétroactivement.  Votre utilisation continue du Logiciel et du Jeu après modification du CLUF sera considérée comme votre acceptation de tous les termes modifiés.
12.	DROITS RESTREINTS DU GOUVERNEMENT DES ÉTATS-UNIS.  Le Jeu est un Objet commercial développé exclusivement grâce à des dépenses privées et composé de “logiciel informatique commercial” et de “documentation logicielle informatique commerciale”, tels que ces termes sont définis dans les règles d'acquisition applicables, y compris et sans limitation dans le Federal Acquisition Regulation (“FAR”), sous 48 C.F.R. 2.101.  Le Jeu est octroyé sous licence aux Utilisateurs finaux du gouvernement des États-Unis sous réserve des termes de cet Accord, tel que spécifié sous 48 C.F.R. 12.212 (Logiciel informatique) et 12.211 (Données techniques) (pour les agences civiles), et tel que spécifié sous 48 C.F.R. 227.7202-3 et 48 C.F.R. 227.7202-4, en cohérence avec 48 C.F.R. 227.7202 (pour les entités du Département de la Défense).  Uniquement dans le cadre des droits du gouvernement des États-Unis dans le jeu, cette clause de droits de licence du gouvernement des États-Unis annule et remplace tout autre FAR, DFARS, ou toute autre clause ou disposition du contrat sous lequel ce Jeu est obtenu.  Le Fabricant est ZeniMax.  
13.	LOI APPLICABLE.
Pour les résidents d'Amérique du Nord, cet Accord et tous les Litiges (tels que définis dans la Clause concernant les litiges) sont soumis aux lois de l'État du Maryland, États-Unis, excluant le conflit de règles et principes entraînés par l'application de lois d'un autre État ou pays à cet Accord ou à tout Litige, et excluant la Convention des Nations Unies sur les contrats de vente internationale de marchandises, le Uniform Computer Information Transactions Act (“UCITA”), et toute autre loi basée sur l'UCITA.  Pour plus de clarté, les termes de ce paragraphe doivent prévaloir sur tout terme entrant en conflit avec eux dans les Conditions d'utilisation de ZeniMax, y compris et sans limitation, tout terme entraînant l'application de lois d'un autre État ou pays à cet Accord ou à tout Litige.
Si vous n'êtes pas résident d'Amérique du Nord, cet Accord et tous les Litiges sont soumis aux lois de l'Angleterre, excluant le conflit de règles et principes entraîné par l'application de lois d'un autre État ou pays à cet Accord ou à tout Litige, et excluant la Convention des Nations Unies sur les contrats de vente internationale de marchandises.  Des dispositions locales obligatoires peuvent s'appliquer.
Nonobstant la Clause concernant les litiges, vous acceptez que ZeniMax soit en droit de faire appel à des mesures injonctives, performances spécifiques et recours équitables dans le cadre d'une violation des sections 1 ou 3 de cet Accord, en plus d'autres recours auxquels ZeniMax pourrait faire appel selon les lois applicables.  
Cette section 13 restera valable après la résiliation de cet Accord.
14.	DIVERS.  Ce Contrat de Licence d'Utilisateur Final ainsi que les Conditions d'utilisation de ZeniMax et le Code de conduite de ZeniMax constituent et contiennent la totalité de l'accord entre vous et ZeniMax dans le cadre du sujet présent et remplacent tout accord oral ou verbal précédent. Ce Contrat de Licence d'Utilisateur Final coexiste et ne remplace pas les Conditions d'utilisation de ZeniMax ou la Politique de confidentialité de ZeniMax.  Dans la mesure où les clauses de ce Contrat de Licence d'Utilisateur Final entrent en conflit avec les clauses des Conditions d'utilisation de ZeniMax, et sauf indication contraire explicite dans cet Accord, les clauses conflictuelles de ce Contrat de Licence d'Utilisateur Final prévaudront.  Sauf indication spécifique fournie dans la Clause concernant les litiges, si une partie de cet Accord est jugé invalide ou inapplicable, cette partie devrait être interprétée de manière conforme aux lois applicables afin de refléter autant que possible les intentions originelles de cette partie, et les parties restantes de cet Accord conserveront pleine force et effet.  Le manquement de ZeniMax à exercer ou faire appliquer tout droit ou clause de cet Accord ne constitue pas une dispense de ces droits ou clauses.  Toute dispense de clause de cet Accord ne peut être effective que sous réserve d'un écrit signé par ZeniMax.  Vous acceptez que cet Accord et l'application par ZeniMax de cet Accord ne soient pas conçus pour accorder et n'accordent pas de droits ou recours à une autre personne que vous et ZeniMax.  Cette section 14 restera valable après la résiliation de cet Accord, quelle qu'en soit la raison.  
Je reconnais par la présente avoir lu et compris tous les termes et conditions de cet Accord.  EN CLIQUANT SUR J'ACCEPTE, je reconnais et accepte d'être lié aux termes et conditions de cet Accord, ce qui comprend mon consentement explicite à l'utilisation par ZeniMax d'Outils anti-triche tels que décrits par la présente.
