 “Nioh: Complete Edition” License Agreement

 Contrato de licença do “Nioh: Complete Edition”

1. Software License
(1) All copyright and related intellectual property rights in and to this software program, its update programs and this software program updated by the update programs (collectively the “Product”) are owned by Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) or its licensors.
(2) The Product is licensed, not sold, for your use. All rights not specifically granted are reserved by Koei Tecmo or its licensors. 
(3) Subject to your consent to this Agreement, Koei Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install the Product on only one (1) computer and use the Product solely for your personal use.
(4) With respect to the Product you have installed on the computer pursuant to section (3) above, you may install the same Product on another computer as long as you completely delete the Product from the first computer.
(5) Except when you install the Product on the computer under section (3) and (4) above, you may not copy the Product.

1. Licença de software
(1) Todos os direitos autorais e direitos de propriedade intelectual relacionados neste ou a este programa de software, seus programas de atualização e este programa de software atualizado pelos programas de atualização (coletivamente, o “Produto”) são de propriedade da Koei Tecmo Games Co., Ltd. (“Koei Tecmo”) ou seus licenciantes.
(2) O Produto é licenciado, não vendido, para o seu uso. Todos os direitos não especificamente concedidos são reservados pela Koei Tecmo ou seus licenciantes. 
(3) Sujeito ao consentimento deste Contrato, a Koei Tecmo concede a você um direito não exclusivo, não transferível e não sublicenciável de instalar o Produto em apenas 1 (um) computador e usar o Produto somente para seu uso pessoal.
(4) Com respeito ao Produto que você instalou no computador de acordo com a seção (3) acima, você pode instalar o mesmo Produto em outro computador, desde que exclua completamente o Produto de seu primeiro computador.
(5) Exceto quando você instalar o Produto no seu computador de acordo com a seção (3) e (4) acima, você não pode copiar o Produto.

2. Prohibited Actions
When using the Product hereunder, you may not:
・	except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;
・	combine the Product with any other software;
・	rent, lease or otherwise exploit the Product commercially;
・	transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval; 
・	reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;
・	breach any terms and conditions hereof;
・	interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 4 below;
・	cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;
・	act against public order and good morals;
・	commit a crime or an illegal act or otherwise violate any laws or regulations;
・	infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;
・	repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;
・	conduct any other acts that Koei Tecmo deems to be inappropriate;
・	directly or indirectly, evoke or facilitate any of acts listed in the preceding items;
・	conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;

2. Ações proibidas
Ao usar o Produto objeto deste contrato, você não pode:
・	exceto se de outra forma disposto expressamente aqui, copiar, modificar, alterar ou transferir o Produto;
・	combinar o Produto com qualquer outro software;
・	alugar, arrendar ou explorar comercialmente o Produto;
・	transmitir ou preparar para ser transmitido ao público, no todo ou em parte, pela internet ou qualquer outro meio sem a aprovação expressa por escrito da Koei Tecmo; 
・	fazer engenharia reversa, derivar o código-fonte, modificar, descompilar, desmontar ou analisar o Produto;
・	violar quaisquer termos e condições deste documento;
・	interromper a operação padrão da Koei Tecmo quando você usa o Produto e entrar em contato com o atendimento ao cliente da Koei Tecmo definido no Artigo 4 a seguir;
・	causar desvantagem, danos ou sentimentos desconfortáveis a outros compradores do Produto ou qualquer outro terceiro;
・	agir contra a ordem pública e a boa moral;
・	cometer um crime ou um ato ilegal ou violar quaisquer leis ou normas;
・	infringir a reputação da Koei Tecmo, seus direitos de propriedade intelectual ou outros direitos ou lucro;
・	repetidamente fazer os mesmos questionamentos semelhantes etc. à Koei Tecmo sobre o Produto;
・	realizar quaisquer outros atos que a Koei Tecmo julgue inadequados;
・	direta ou indiretamente, acionar ou facilitar qualquer ato listado nos itens anteriores;
・	realizar qualquer ato que a Koei Tecmo determine razoavelmente que se enquadra ou possa se enquadre em qualquer um dos itens anteriores;

3. Scope of Warranty and Liability
(1) If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.
(2) Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the computer on which the Product is installed.  
(3) Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:
・	Use of the Product breaching any terms and conditions hereof;
・	your modification or alteration of the Product or combination of the Product and any other product;
・	your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or
・	any defect or malfunction of the computer on which the Product is installed or other hardware connected to the computer, or non-conformance of the computer to system requirements or communication environment required for the Product.
(4) THE PRODUCT IS PROVIDED "AS IS".  KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF THE PRODUCT, INCLUDING, BUT, NOT LIMITED TO, FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE AND FREEDOM FROM ANY BUGS AND ANY OTHER DEFECTS.
(5) Koei Tecmo may at any time modify a part of the Product (including distribution of update programs) without giving prior notice to you. UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY DAMAGES OR LOSS OF PROFIT INCURRED BY YOU ARISING OUT OF SUCH MODIFICATION OF THE PRODUCT. 
(6) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, EXCEPT AS OTHERWISE EXPRESSLY PROVIDED HEREIN, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR FUTURE DAMAGES OR LOSS ETC. INCURRED BY YOU ARISING OUT OF USE, UNAVAILABILITY OR DISCONTINUANCE OF THE PRODUCT, EVEN IF KOEI TECMO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR LOSS OR SUCH DAMAGES OR LOSS COULD HAVE BEEN REASONABLY FORESEEN. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAWS, UNDER NO CIRCUMSTANCES SHALL KOEI TECMO’S LIABILITY TO YOU HEREUNDER EXCEED THE ACTUAL PRICE PAID BY YOU FOR THE PRODUCT UNLESS IT’S DUE TO OUR WILLFUL MISCONDUCT OR NEGLIGENCE. 

3. Escopo de garantia e responsabilidade
(1) Se o Produto não funcionar como informado no manual fornecido pela Koei Tecmo e você não puder usar o Produto substancialmente devido à causa atribuível à Koei Tecmo, a Koei Tecmo, a seu critério, deve permitir que você baixe novamente o Produto, corrija o Produto (incluindo a distribuição de programas de atualização) ou reembolse o valor do Produto a você, por 60 (sessenta) dias depois da compra em relação ao Produto vendido para o Japão, ou por 90 (noventa) dias depois de sua compra no que se refere ao Produto vendido para territórios diferentes do Japão, de acordo com o caso.
(2) A seção (1) acima deve ser aplicada apenas se a Koei Tecmo puder confirmar o registro de sua compra do Produto. Se a Koei Tecmo reembolsar você de acordo com a seção (1) acima, você deve excluir completamente o Produto do computador onde ele está instalado.  
(3) A seção (1) acima não se aplicará se o problema ou o defeito do Produto for devido aos seguintes motivos:
・	uso do Produto em violação de quaisquer termos e condições aqui descritas;
・	sua modificação ou alteração do Produto ou combinação do Produto e qualquer outro produto;
・	seu mal uso intencional ou negligente do Produto ou outros usos de acordo com uma condição anormal do Produto; ou
・	qualquer defeito ou problema do computador no qual o Produto está instalado ou outro hardware conectado ao computador, ou não conformidade do computador aos requisitos de sistema ou ambiente de comunicação exigido para o Produto.
(4) O PRODUTO É FORNECIDO “NO ESTADO EM QUE SE ENCONTRA”.  A KOEI TECMO NÃO FAZ GARANTIA DE QUALQUER TIPO, EXPRESSA, IMPLÍCITA OU OUTRA, COM RELAÇÃO À COMPLETUDE, PRECISÃO, UTILIDADE, DESEMPENHO OU ADEQUABILIDADE DO PRODUTO, INCLUINDO, ENTRE OUTROS, ADEQUAÇÃO OU CONFORMIDADE A UMA FINALIDADE ESPECÍFICA E AUSÊNCIA DE BUGS E QUALQUER OUTRO DEFEITO.
(5) A Koei Tecmo pode, a qualquer momento, modificar uma parte do Produto (incluindo a distribuição dos programas de atualização) sem apresentar qualquer aviso prévio a você. SOB NENHUMA CIRCUNSTÂNCIA A KOEI TECMO DEVERÁ SER RESPONSABILIZADA POR QUALQUER DANO OU LUCROS CESSANTES INCORRIDOS A VOCÊ A PARTIR DESTA MODIFICAÇÃO DO PRODUTO. 
(6) ATÉ A EXTENSÃO MÁXIMA PERMITIDA PELAS LEIS APLICÁVEIS, EXCETO CONFORME EXPRESSAMENTE APRESENTADO AQUI, SOB NENHUMA CIRCUNSTÂNCIA A KOEI TECMO DEVERÁ SER RESPONSABILIZADA POR QUALQUER PERDA OU DANO INCIDENTAL, INDIRETO, ESPECIAL, CONSEQUENTE OU FUTURO ETC. INCORRIDO A VOCÊ A PARTIR DO USO, INDISPONIBILIDADE OU DESCONTINUIDADE DO PRODUTO, MESMO QUE A KOEI TECMO TENHA SIDO AVISADA DA POSSIBILIDADE DESSES DANOS OU PERDAS OU ESSES DANOS OU PERDAS PUDESSEM TER SIDO RAZOAVELMENTE PREVISTOS. ATÉ A EXTENSÃO MÁXIMA PERMITIDA PELAS LEIS APLICÁVEIS, SOB NENHUMA CIRCUNSTÂNCIA A RESPONSABILIDADE DA KOEI TECMO A VOCÊ DE ACORDO COM ESTE CONTRATO DEVE EXCEDER O VALOR REAL PAGO POR VOCÊ PELO PRODUTO, A MENOS QUE SEJA PROVOCADO POR NOSSA MÁ CONDUTA INTENCIONAL OU NEGLIGÊNCIA. 

4. Customer Support
You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:
・	Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date; 
・	Any inquiries with respect to the Product from you to our customer support division shall be made by a phone call or filling out a web form specified by Koei Tecmo;
・	Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;
・	Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;
・	We might not answer depending on your inquiry; and
・	KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF KOEI TECMO’S ANSWER TO YOUR INQUIRY.

4. Atendimento ao cliente
Você concorda e reconhece que a Koei Tecmo deve fornecer a você um atendimento ao cliente para o Produto sujeito aos seguintes termos e condições:
・	A Koei Tecmo deve fornecer a você um atendimento ao cliente para o Produto somente pelo período de 3 (três) anos a partir de sua data de lançamento comercial; 
・	Quaisquer dúvidas que você tiver em relação ao Produto para a divisão de atendimento ao cliente deve ser feita por telefone ou pelo preenchimento de um formulário virtual especificado pela Koei Tecmo;
・	Consulte o contado do atendimento ao cliente da Koei Tecmo no manual do usuário do Produto;
・	A Koei Tecmo deve, a seu critério, determinar se responderá ou não e o que responderá da sua dúvida;
・	Podemos não responder, dependendo de sua dúvida; e
・	A KOEI TECMO NÃO FAZ GARANTIA DE QUALQUER TIPO, EXPRESSA, IMPLÍCITA OU OUTRA, COM RELAÇÃO À COMPLETUDE, PRECISÃO, UTILIDADE, DESEMPENHO OU ADEQUAÇÃO DA RESPOSTA DA KOEI TECMO À SUA DÚVIDA.

5. Registration for use of the Product
(1) In order to use the Product, you need to install the Steam client software and complete the Steam registration (including creating a Steam account). 
(2) If you haven’t installed the Steam client software, you need to install the Steam client software in order to use the Product.
(3) If you haven’t completed the Steam registration (including creating a Steam account), you need to complete the Steam registration (including creating a Steam account) accepting STEAM SUBSCRIBER AGREEMENT in order to use the Product.

5. Registro de uso do Produto
(1) Para usar o Produto, você precisa instalar o software cliente Steam e realizar o registro no Steam (incluindo a criação de uma conta Steam). 
(2) Se você não tiver instalado, você precisa instalar o software cliente Steam para usar o Produto.
(3) Se não tiver realizado o registro no Steam (incluindo a criação de uma conta Steam), você precisa realizar o registro no Steam (incluindo a criação de uma conta do Steam) aceitando o ACORDO DE ASSINATURA DO STEAM para usar o Produto.

6. The Internet connection for use of the Product
(1) When you install the Steam client software and complete the Steam registration set forth in Article 5 above, you shall prepare all necessary hardware/service and bear and pay all necessary charge for internet service provider, communication expense, etc.
(2) You agree that certain information on your computer will be sent and Koei Tecmo may collect and use such information if you install the Steam client software and complete the Steam registration set forth in Article 5 above.

6. Conexão com a internet para uso do Produto
(1) Quando você instalar o software cliente Steam e realizar o registro no Steam definido no Artigo 5 acima, você deve preparar o hardware e serviços necessários, e assumir e pagar todas as cobranças necessárias pelo provedor de serviço de internet, despesa de comunicação, etc.
(2) Você concorda que determinadas informações em seu computador serão enviadas e a Koei Tecmo pode coletar e usar essas informações se você instalar o software cliente Steam e realizar o registro no Steam definido no Artigo 5 acima.

7. Termination of this Agreement
Koei Tecmo may immediately terminate the license hereunder in case of your breach hereof. In this case, you shall, according to Koei Tecmo’s instructions, delete the Product (including all components and copies thereof) from the computer (including a hard drive or other storage device) on which the Product is installed. 

7. Rescisão deste contrato
A Koei Tecmo pode rescindir imediatamente a licença deste em caso de violação do contrato. Neste caso, você deve, de acordo com as instruções da Koei Tecmo, excluir o Produto (incluindo todos os componentes e cópias dele) do seu computador (incluindo um disco rígido ou outro dispositivo de armazenamento) no qual o Produto está instalado. 

8. Export Control
You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.

8. Controle de exportação
Você não deve exportar, direta ou indiretamente, o Produto, no todo ou em parte, em qualquer forma, para qualquer país, sem primeiro obter a licença de exportação necessária ou outra aprovação do governo japonês ou governo do país relevante.

9. General Provisions
(1) If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.
(2) This Agreement shall be governed by the laws of Japan.
(3) In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.
(4) Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.

9. Provisões gerais
(1) Se qualquer provisão deste Contrato ou parte dele for considerada inválida ou inaplicável sob quaisquer leis ou normas, as provisões restantes deste devem permanecer totalmente aplicáveis e em vigor.
(2) Este Contrato deve ser regido pelas leis do Japão.
(3) No caso de qualquer litígio, a versão em inglês do Contrato deve prevalecer sobre a versão em qualquer outro idioma.
(4) Todo e qualquer litígio advindo de ou em conexão com este Contrato deve ser submetido à jurisdição exclusiva da Corte do Distrito de Tóquio em primeira instância.
