Contratto di licenza per prodotti MAGIX (EULA)

1. Definizioni

Nel quadro di questo accordo di licenza valgono le definizioni seguenti:

1.1 "Prodotto MAGIX" designa il prodotto provvisto di licenza come specificato da questo contratto, costituito dal software ed eventuali contenuti ulteriori.
1.2 "Software" designa il programma per computer provvisto di licenza come specificato in questo contratto e contenuto in un prodotto MAGIX sotto forma di codice oggetto, fatta inclusione di tutti gli update e upgrade, e con eccezione dei contenuti forniti in dotazione.
1.3 Con "Contenuti" si definiscono in questo contratto tali contenuti in aggiunta ad un software in un prodotto MAGIX come, ad es., file di musica, video e foto, altri suoni e modelli, contenenti file simili.
1.4 "Computer" indica ogni dispositivo fisico e virtuale in grado di elaborare dati tramite un processo di calcolo programmabile (ad es. PC, laptop, postazione di lavoro, istanza di una macchina virtuale etc.), in relazione con una CPU ovvero un processore multicore. Per le reti vale: se diversi computer connessi alla rete hanno accesso ad un server sul quale è installato un prodotto MAGIX, ciascuna di queste unità di rete (stazione di lavoro) vale come computer ai sensi di questo contratto di licenza, ossia è eventualmente necessaria una licenza separata per ogni computer collegato alla rete.
1.5 "Upgrade" ai sensi di questo contratto sono considerate le versioni complementari di un prodotto MAGIX.
1.6 "Postazione licenza" indica la licenza attribuita ad un determinato computer del cliente dopo l'attivazione del prodotto MAGIX.
1.7 "Scopo commerciale" nel contesto di questo contratto è intesa ogni destinazione commerciale e ogni utilizzo del software o dei suoi contenuti, attraverso il quale sono perseguiti vantaggi economici diretti o indiretti (ad es. tramite la vendita o la concessione di licenza, attivazione di pubblicità per la pubblicazione in Internet e simili).

2. Oggetto del contratto

2.1 MAGIX ti garantisce (a te "cliente"), nel quadro delle condizioni citate in questo contratto e per la durata del contratto, il diritto non esclusivo e non cedibile di utilizzare il prodotto MAGIX in questione su un numero di computer come indicato dal numero di serie. I diritti di proprietà intellettuale o altri diritti di protezione del software sono di proprietà di MAGIX. Il cliente riconosce la proprietà intellettuale di MAGIX su software e contenuti, copie di sicurezza e documentazione. L'acquirente del programma è responsabile dell'uso conforme al contratto del prodotto MAGIX.

2.2 In relazione agli upgrade vale quanto segue: questi sono destinati solamente a chi già possiede la versione base del relativo prodotto. Per l'applicazione degli upgrade è quindi necessario essere proprietario e utente dei prodotti base. È pertanto proibito l'uso di questi aggiornamenti da parte di terzi.

2.3 In relazione ad aggiornamenti e a funzioni forniti nel quadro della garanzia di aggiornamento MAGIX, vale quanto segue: la licenza, che fornisce aggiornamenti e nuove funzioni per 12 mesi, è limitata alla/e installazione/i che è/sono eseguite nell'arco dei 12 mesi dal momento della prima registrazione del prodotto Magix. Se la garanzia di aggiornamento viene prolungata oltre i 12 mesi, questa limitazione viene meno.

4. Registrazione e protezione dei dati

Per poter utilizzare un prodotto MAGIX è necessario registrarsi presso MAGIX Software GmbH. In tal modo siamo certi che si tratti del software originale e che la licenza venga utilizzata entro i termini della licenza. Inoltre, la registrazione è necessaria a fini di fatturazione presso i nostri licenziatari. Pertanto, dopo l'installazione è richiesta la registrazione del prodotto nelle finestre di dialogo del programma che appaiono automaticamente, indicando l'indirizzo e-mail, il numero di serie ed effettuando la creazione di un account utente. Se hai già un account utente per MAGIX Software GmbH, puoi utilizzarlo a tale fine. 5. Utilizzo commerciale del software e dei contenuti

5.1 Software
In linea di massima è possibile utilizzare il software anche a fini commerciali. Ne fa eccezione il prodotto "Web Designer" (non "Web Designer Premium"), il quale può essere usato solo a scopi non commerciali.

5.2 Contenuti
a) In linea di massima è consentito utilizzare i contenuti solo per scopi non commerciali, fatta eccezione per i Live Set. Ciò si applica inoltre a tali file musicali, video o foto, nonché ai relativi modelli, acquistati tramite un prodotto MAGIX.

b) I contenuti annessi ai prodotti "Web Designer Premium" e "Photo & Graphic Designer" possono essere utilizzati anche a fini commerciali se usati nel contesto di un sito web personale o durante la creazione/elaborazione di foto e grafiche personali. È proibita la cessione a terzi per scopi commerciali, ad es. nell'ambito di lavori commissionati.

c) È pertanto proibito l'uso di contenuti come tali, ossia indipendentemente da risultati di lavoro creati personalmente tramite il software. In particolare, le foto contenute nei modelli non possono essere estratte ed utilizzate separatamente. Ciò vale sia per scopi commerciali che non commerciali.

6. Divieto di riproduzione e noleggio; divieto di modifica

6.1 Non è consentito riprodurre, interamente o in parte, il programma MAGIX e la sua documentazione scritta. È consentita eccezionalmente la creazione di una copia del software a scopo di sicurezza.

6.2 In nessun caso è consentito noleggiare a scopo di lucro il prodotto MAGIX e la documentazione scritta o metterli a disposizione di terzi in qualsiasi altra forma in cambio di una retribuzione economica. Tale divieto si applica altresì in caso di noleggio del prodotto preinstallato su un computer, che venga messo a disposizione di terzi a scopo di lucro in cambio di una retribuzione economica.

6.3 Secondo l'articolo §§ 69 d, e della LDA (Legge tedesca sul diritto d'autore) non è consentito eseguire o fare eseguire da terzi alcuna modifica sul software. Parimenti, non è consentito dividere il software nei suoi moduli, trasformarlo in codice oggetto, decompilarlo, copiarlo o utilizzarlo in maniera diversa da quella prevista dal contratto.

8. Garanzia e responsabilità

8.1 Il cliente è a conoscenza del fatto che, allo stato della tecnica, non è esclusa la presenza di errori nei programmi software e nella relativa documentazione e che non è possibile sviluppare programmi di elaborazione dati in maniera tale che siano perfetti, per quanto riguarda tutte le condizioni d'impiego e tutti i requisiti del cliente, nonché privi di errori nell'uso con tutti i programmi ed hardware di terzi. MAGIX non fornisce garanzia circa determinate proprietà o idoneità per l'uso pianificato individualmente dal cliente.

8.2 In caso di prodotti e prestazioni a titolo oneroso, MAGIX è responsabile per i danni dovuti a lieve negligenza causati da essa o da suoi agenti (anche fuori contratto) solo in caso di violazione di un obbligo il cui compimento è di particolare importanza ai fini contrattuali (obbligo cardinale) e in caso di lesioni alla vita, l'incolumità fisica o la salute.

8.3 In caso di violazione di un obbligo cardinale la responsabilità è limitata a danni che solitamente devono essere messi in conto nell'ambito del presente accordo, purché non vi sia premeditazione, colpa grave o sussista una responsabilità obbligatoria a causa di lesioni alla vita, all'incolumità fisica o alla salute.

8.4 MAGIX non è responsabile dei danni controllabili o dei danni che la parte contraente avrebbe potuto evitare adoperando delle misure ragionevoli. Per quanto riguarda la perdita di dati, MAGIX garantisce solo per le spese di ricostruzione necessarie per il recupero di copie di backup.

8.5 Nonostante le disposizioni precedenti, la responsabilità di MAGIX è limitata in ogni caso al quadruplo dei diritti di licenza o del prezzo di acquisto, a seconda del tipo di danno. Tale esenzione non ha validità per danni causati da intenzionalità o grave negligenza da parte di MAGIX.

8.6 In caso di prodotti e prestazioni gratuiti, la garanzia per i difetti materiali e di fabbricazione relativa alla cessione gratuita è limitata ai casi di occultamento intenzionale dei difetti da parte di MAGIX. Diversamente, la responsabilità di MAGIX riguardo alla cessione gratuita è limitata ai casi di premeditazione e di grave negligenza.

8.7 Resta esclusa la responsabilità ai sensi della legge sulla responsabilità per il prodotto.

8.8 La modifica dell'onere della prova a svantaggio del cliente non è legata alle presenti disposizioni.

8.9 Fintantoché i prodotti MAGIX contengono funzioni che si svolgono tramite un server online, MAGIX si riserva il diritto di revocare l'offerta in qualsiasi momento. Non ne viene garantita una disponibilità.

9. Condizioni di licenza di altri produttori:

Se il prodotto MAGIX include software o contenuti di un altro fabbricante o link a terzi, è necessario fare riferimento alle condizioni di licenza dei rispettivi terzi offerenti. Se il prodotto MAGIX include software o contenuti che sottostanno a una licenza Open Source, per questi componenti fondamentali valgono le stesse condizioni di licenza della relativa Open Source, ad esempio, per quanto riguarda l'elaborazione e la diffusione di questi componenti. Puoi prendere visione delle rispettive condizioni di licenza nel file fornito insieme al software.

10. Assistenza tecnica

MAGIX offre agli utenti registrati assistenza tecnica tramite il supporto online durante il periodo di garanzia. L'assistenza comprende il chiarimento di domande riguardanti l'installazione o la soluzione di problemi d'installazione tramite Internet o e-mail. È esclusiva discrezionalità di MAGIX decidere di fornire assistenza tecnica e ciò non è vincolato da alcuna garanzia.

11. Altro

11.1 Il presente contratto rappresenta l'intero accordo delle parti in relazione all'oggetto del contratto. Non esistono accordi accessori. Nessuna dichiarazione orale rilasciata da MAGIX o da un dipendente di MAGIX può modificare o mettere in dubbio l'efficacia delle presenti condizioni di licenza.

11.2 La non validità di una o più disposizioni del presente contratto non comporta la nullità dell'intero contratto. A sostituire la disposizione non valida, si introdurrà una norma sostitutiva che si avvicini il più possibile allo scopo prefissato. Il contratto è soggetto al diritto della Repubblica Federale Tedesca.
