Lizenzvereinbarung für MAGIX-Produkte (EULA)

1. Definitionen:

Im Rahmen dieser Lizenzvereinbarung gelten die folgenden Definitionen:

1.1 „MAGIX-Produkt“ bezeichnet das unter dieser Vereinbarung lizenzierte Produkt, bestehend aus Software und gegebenenfalls weiteren Inhalten.
1.2 „Software“ bezeichnet das in einem MAGIX-Produkt enthaltene und unter dieser Vereinbarung lizenzierte Computerprogramm im Objektcodeformat, einschließlich aller Updates und Upgrades, mit Ausnahme der mitgelieferten Inhalte.
1.3 Als „Inhalte“ werden in dieser Vereinbarung solche Inhalte bezeichnet, die zusätzlich zur Software in einem MAGIX-Produkt enthalten sind, wie beispielsweise Musik-, Video- und Foto-Dateien, sonstige Sounds und Vorlagen, die entsprechende Dateien enthalten.
1.4 „Rechner“ bezeichnet jedes physische oder virtuelle Gerät, das Daten mit Hilfe einer programmierbaren Rechenvorschrift verarbeiten kann (z.B. PC, Laptop, Workstation, Instanz einer virtuellen Maschine etc.), in Verbindung mit einer CPU bzw. einem Multikernprozessor. Für Netzwerke gilt: Erhalten verschiedene Netzwerkrechner Zugriff auf einen Server, auf dem das MAGIX-Produkt installiert ist, gilt jeder einzelne dieser Netzwerkrechner (Workstations) als Rechner im Sinne dieser Lizenzvereinbarung, d.h. es ist ggf. für jeden Netzwerkrechner eine gesonderte Lizenz erforderlich.
1.5 „Upgrades“ im Sinne dieser Vereinbarung sind Ergänzungsversionen eines MAGIX-Produkts.
1.6 „Lizenzplatz“ bezeichnet die einem bestimmten Rechner des Kunden nach Freischaltung des MAGIX-Produkts zugewiesene Lizenz.
1.7 „Kommerzieller Zweck“ im Sinne dieser Vereinbarung ist jede gewerbliche Nutzung und jede Nutzung der Software oder der Inhalte, durch die mittelbar oder unmittelbar geldwerte Vorteile angestrebt werden (z.B. durch Verkauf oder Lizenzierung, Vorschalten von Werbung bei Veröffentlichung im Internet o. ä.).

2. Vertragsgegenstand:

2.1 MAGIX gewährt Ihnen („Kunde“) unter den in dieser Vereinbarung genannten Bedingungen für die Laufzeit des Vertrages das nicht ausschließliche und nicht unterlizenzierbare Recht, das betreffende MAGIX-Produkt auf der in der Seriennummer hinterlegten Anzahl von Rechnern zu nutzen. Das geistige Eigentum sowie sonstige Schutzrechte an der Software verbleiben bei MAGIX. Sie erkennen das geistige Eigentum von MAGIX an Software und Inhalten, Sicherungskopien und Dokumentation an. Die Verantwortung für die vertragsgemäße Nutzung des MAGIX-Produkts liegt beim Käufer der Software.

2.2 Im Hinblick auf Upgrades gilt Folgendes: Nur Inhaber eines Grundprodukts sind hinsichtlich des jeweiligen Upgrades bezugsberechtigt. Die Nutzung von Upgrades ist davon abhängig, dass Sie Inhaber und Nutzer des Grundprodukts sind. Eine isolierte Weitergabe eines Upgrades an Dritte ist daher nicht zulässig.

2.3 Für Updates und Features, die im Rahmen der MAGIX-Aktualitätsgarantie geliefert werden, gilt Folgendes: Die Lizenz für die innerhalb von 12 Monaten nach erstmaliger Registrierung des MAGIX-Produkts gelieferten Updates und Features ist auf die Installation(en), die zum Zeitpunkt des Ablaufs des 12-Monats-Zeitraums eingerichtet ist/sind, beschränkt. Wird die Aktualitätsgarantie über den 12-Monats-Zeitraum hinaus verlängert, entfällt diese Einschränkung.

Zur Nutzung des MAGIX-Produkts ist eine Registrierung bei der MAGIX Software GmbH notwendig. Wir stellen damit sicher, dass es sich um Originalsoftware handelt und Ihre Lizenz im Rahmen der Lizenzbedingungen genutzt wird. Außerdem benötigen wir die Registrierung zu Abrechnungszwecken gegenüber unseren Lizenzgebern. Daher müssen Sie im Anschluss an die Installation in den automatisch folgenden Programmdialogen unter Verwendung Ihrer E-Mail Adresse und ihrer Seriennummer eine Produktregistrierung vornehmen und dabei ein Benutzerkonto erstellen. Sollten Sie bereits ein Benutzerkonto bei der MAGIX Software GmbH besitzen, können Sie dieses dafür nutzen. 5. Gewerbliche Nutzung der Software und der Inhalte

5.1 Software
Die Software darf grundsätzlich auch kommerziell genutzt werden. Einzige Ausnahme ist das Produkt “Web Designer“ (nicht „Web Designer Premium“), welches nur für nicht kommerzielle Zwecke verwendet werden darf.

5.2 Inhalte
a) Die Inhalte dürfen – mit Ausnahme der Live-Sets – grundsätzlich nur für nicht-kommerzielle Zwecke verwendet werden. Das gilt auch für solche Musik-, Video- oder Foto-Dateien sowie entsprechende Vorlagen, die durch oder über das MAGIX-Produkt erworben werden.

b) Die den Produkten “Web Designer Premium“ und “Foto & Grafik Designer“ beigefügten Inhalte dürfen im Rahmen einer eigenen Website oder einer Erstellung/Bearbeitung eigener Fotos und Grafiken auch für kommerzielle Zwecke genutzt werden. Eine Weitergabe an Dritte zu kommerziellen Zwecken, z.B. im Rahmen von Auftragsarbeiten, ist nicht zulässig.

c) Eine Verwertung der Inhalte als solche, d.h. unabhängig von mittels der Software geschaffenen Arbeitsergebnissen, ist in jedem Falle unzulässig. Insbesondere dürfen in Vorlagen enthaltene Fotos nicht aus den Vorlagen extrahiert werden, um diese gesondert zu verwenden. Dies gilt sowohl für kommerzielle, als auch für nicht kommerzielle Zwecke.

6. Kopier- und Vermietungsverbot; Änderungsverbot

6.1 Das MAGIX-Produkt sowie die schriftliche Dokumentation darf von Ihnen weder ganz noch auszugsweise kopiert werden. Eine Ausnahme gilt für die Herstellung einer Kopie zu Sicherungszwecken.

6.2 Das MAGIX-Produkt sowie die schriftliche Dokumentation darf von Ihnen in keinem Falle zu Erwerbszwecken vermietet oder in sonstiger Form zu Erwerbszwecken Dritten gegen Entgelt auf Zeit zur Verfügung gestellt werden. Dies gilt auch für eine Vermietung in vorinstallierter Form auf einem Computer, der zu Erwerbszwecken Dritten gegen Entgelt zur Verfügung gestellt wird.

6.3 Nach Maßgabe der §§ 69 d, e UrhG dürfen Sie an der Software keine Änderungen vornehmen oder durch Dritte vornehmen lassen. Gleichermaßen dürfen Sie die Software nicht in ihre Bausteine auflösen, nicht in Objektcode verwandeln, entschlüsseln, nachahmen oder in anderer Weise als im Vertrag vorgesehen nutzen.

8. Gewährleistung und Haftung:

8.1 Ihnen ist bekannt, dass nach dem Stand der Technik Fehler in Softwareprogrammen und in der dazugehörigen Dokumentation nicht ausgeschlossen werden können und dass es nicht möglich ist, Datenverarbeitungsprogramme so zu entwickeln, dass sie für alle Anwendungsbedingungen und alle Anforderungen des Kunden fehlerfrei sind bzw. fehlerfrei mit allen Programmen und Hardware Dritter zusammenarbeiten. Zusicherungen von bestimmten Eigenschaften oder über die Gebrauchstauglichkeit für die individuell vom Kunden geplante Anwendung, werden von MAGIX nicht abgegeben.

8.2 Im Falle entgeltlicher Produkte und Leistungen haftet MAGIX für die von ihr oder ihren einfachen Erfüllungsgehilfen verursachten Schäden für leichte Fahrlässigkeit - auch außervertraglich - nur dann, sofern eine Pflicht verletzt wird, deren Einhaltung für die Erreichung des Vertragszweckes von besonderer Bedeutung ist (Kardinalpflicht) sowie in Fällen der Verletzung des Lebens, des Körpers oder der Gesundheit.

8.3 Bei Verletzung einer Kardinalpflicht ist die Haftung auf solche Schäden beschränkt, mit deren Entstehung im Rahmen der vorliegenden Vereinbarung typischerweise gerechnet werden muss, soweit nicht Vorsatz oder grobe Fahrlässigkeit gegeben sind oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit zwingend gehaftet wird.

8.4 MAGIX haftet nicht für vom Kunden beherrschbare Schäden bzw. Schäden, die der Kunde durch ihm zumutbare Maßnahmen hätte verhindern können. Bei Datenverlust haftet MAGIX nur in Höhe des bei Vorhandensein von Sicherungskopien erforderlichen Rekonstruktionsaufwandes.

8.5 Ungeachtet vorstehender Regelungen ist die Haftung von MAGIX in jedem Falle auf das Vierfache der Lizenzgebühr, bzw. des Kaufpreises je Schadensfall beschränkt. Dieser Ausschluss gilt nicht für Schäden, die durch Vorsatz oder grobe Fahrlässigkeit von MAGIX verursacht wurden.

8.6 Bei unentgeltlichen Produkten und Leistungen ist die Gewährleistung für Sach- und Rechtsmängel im Hinblick auf die unentgeltliche Überlassung auf den Fall des arglistigen Verschweigens von Mängeln durch MAGIX beschränkt. Die sonstige Haftung von MAGIX beschränkt sich im Hinblick auf die unentgeltliche Überlassung auf die Fälle von Vorsatz und grober Fahrlässigkeit.

8.7 Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.

8.8 Eine Änderung der Beweislast zum Nachteil des Kunden ist mit den vorstehenden Regelungen nicht verbunden.

8.9 Soweit MAGIX-Produkte Funktionen enthalten, die über einen Online-Server ablaufen, behält sich MAGIX vor, das Angebot jederzeit einzustellen. Eine Verfügbarkeit wird nicht gewährleistet.

9. Lizenzbestimmungen anderer Hersteller:

Sofern das MAGIX-Produkt Software oder Inhalte eines anderen Herstellers oder Links zu Drittanbietern enthält, sind außerdem die Lizenzbedingungen des jeweiligen Drittanbieters zu beachten. Enthält das MAGIX-Produkt Software oder Inhalte, die unter einer Open Source Lizenz stehen, so gelten für diese Bestandteile die jeweiligen Open Source Lizenzbedingungen, beispielsweise für das Bearbeiten und Verbreiten dieser Bestandteile. Die jeweiligen Lizenzbedingungen können Sie in der mitgelieferten Datei einsehen.

10. Support:

MAGIX bietet registrierten Anwendern elektronischen Internet-Support während der Gewährleistungsfrist an. Dies umfasst die Klärung von Installationsfragen oder die Beseitigung von Installationsproblemen per Internet oder E-Mail. Die Erbringung von technischem Support liegt im alleinigen Ermessen von MAGIX und ist mit keinerlei Garantie oder Gewährleistung verbunden.

11. Sonstiges:

11.1 Die vorliegende Vereinbarung stellt die gesamte Vereinbarung der Parteien betreffend den Vertragsgegenstand dar. Nebenabreden bestehen nicht. Keine von MAGIX oder einem MAGIX-Mitarbeiter abgegebene mündliche Erklärung kann die Wirksamkeit dieser Lizenzbedingungen abändern oder in Frage stellen.

11.2 Sollten einzelne oder mehrere der Bestimmungen dieser Vereinbarung unwirksam sein oder werden, wird dadurch die Wirksamkeit dieser Vereinbarung im Übrigen nicht berührt. Anstelle der unwirksamen Bestimmung tritt eine Ersatzregelung, die dem beabsichtigten Zweck möglichst nahe kommt. Es gilt das Recht der Bundesrepublik Deutschland.
