Contrat de licence des produits MAGIX (EULA)

1. Définitions :

Les définitions suivantes s'appliquent aux termes du présent contrat :

1.1 Le « produit MAGIX » désigne le produit dont l'utilisation est soumise aux conditions de cette licence, constitué d'un logiciel et éventuellement d'autres contenus.
1.2 Le « logiciel » désigne le programme informatique soumis à ce contrat de licence et contenu dans un programme MAGIX sous format de code d'objet, y compris toutes les mises à jour et mises à niveau, et à l'exception des contenus fournis.
1.3 Les « contenus » désignent les contenus supplémentaires compris dans le logiciel d'un produit MAGIX, tels que les fichiers de musique, les vidéos ou les photos, ainsi que d'autres sons et modèles comprenant des fichiers correspondants.
1.4 L'« ordinateur » désigne tout dispositif physique ou virtuel capable de traiter des données à l'aide d'une règle de calcul programmable (par ex. PC, ordinateur portable, station de travail, instance de machine virtuelle, etc.), en lien avec un processeur, éventuellement multicœur. En ce qui concerne les réseaux : si différents ordinateurs d'un réseau obtiennent l'accès à un serveur sur lequel est installé le produit MAGIX, chacun de ces ordinateurs (stations de travail) est considéré comme ordinateur dans le sens du présent contrat de licence, c'est-à-dire chaque ordinateur requiert éventuellement une licence distincte.
1.5 Les « mises à niveau » désignent les versions complémentaires d'un produit MAGIX.
1.6 Le « poste de licence » désigne la licence attribuée à un ordinateur précis du client suite à l'activation du produit MAGIX.
1.7 L'« usage commercial » désigne dans le présent contrat toute utilisation professionnelle et toute utilisation du logiciel ou de ses contenus visant des avantages pécuniaires directs ou indirects (par vente ou concession, inclusion de publicité dans des publications sur Internet, etc.)

2. Objet du contrat :

2.1 MAGIX accorde à vous en tant que « client » le droit non exclusif et non cessible d'utiliser le produit MAGIX concerné sur le nombre d'ordinateurs défini par le numéro de série selon les conditions spécifiées par le présent contrat et pour la durée de ce contrat. La propriété intellectuelle et tout autre droit de protection du logiciel restent la propriété de MAGIX. Le client renonce à tout droit de propriété sur le logiciel, sur les copies de sécurité ainsi que sur la documentation. La responsabilité de l'utilisation du programme sous licence selon les termes stipulés dans le contrat incombe à l'acheteur du programme.

2.2 Seuls les propriétaires d'un produit de base sont en droit de bénéficier des mises à niveau correspondantes. L'utilisation de mises à niveau est réservée aux personnes propriétaires et utilisatrices du produit de base. En conséquence, il est interdit de transmettre isolément une mise à niveau à des tiers.

2.3 Concernant les mises à jour et les fonctions qui ont été fournies dans le cadre de la garantie de mise à jour de MAGIX, la règle suivante s'applique : la licence correspondant aux mises à jour et aux fonctions qui ont été fournies dans les 12 mois suivant l'enregistrement du produit MAGIX est limitée aux installations qui ont été effectuées durant la période de 12 mois. Si la garantie de mise à jour est prolongée au-delà de la période de 12 mois, cette limitation n'est plus valable.

4. Enregistrement et protection des données

L'utilisation du produit MAGIX requiert un enregistrement auprès de MAGIX Software GmbH. Cela permet d'assurer qu'il s'agit du logiciel original et que votre licence est utilisée conformément aux conditions de licence. De plus, nous avons besoin de l'enregistrement à des fins de facturation vis-à-vis de nos concédants de licence. C'est pourquoi vous devez enregistrer votre produit et créer un compte d'utilisateur en entrant votre adresse e-mail et votre numéro de série dans les boîtes de dialogue apparaissant automatiquement après l'installation. Si vous disposez déjà d'un compte d'utilisateur auprès de MAGIX Software GmbH, vous pouvez l'utiliser pour ce processus. 5. Usage commercial du logiciel et des contenus :

5.1 Logiciel
Le logiciel peut en général être utilisé à des fins commerciales. La seule exception est le produit « Web Designer » (et non « Web Designer Premium ») qui ne peut être utilisé qu'à des fins non commerciales.

5.2 Contenus
a) Les contenus – à l'exception des Live Sets – ne peuvent être généralement utilisés qu'à des fins non commerciales. Ceci s'applique également aux fichiers audio, vidéo et photo ainsi qu'aux modèles correspondants, ayant été acquis par le biais d'un produit MAGIX.

b) Exception : les fichiers audio, vidéo, photos et modèles fournis avec les produits « Web Designer Premium » et « Photo & Graphic Designer » peuvent être utilisés dans le cadre d'un site commercial personnel ou de la création/modification de photos et graphiques personnels. Toute transmission à des tiers à des fins commerciales, comme par exemple dans le cadre d'une commande, est interdite.

c) Une exploitation des contenus en tant que tels, c'est-à-dire indépendamment des travaux réalisés à l'aide du logiciel, est dans tous les cas interdite. En particulier les photos contenues dans les modèles ne peuvent pas en être extraites pour être utilisées à part. Cela s'applique aux usages commerciaux et non commerciaux.

6. Interdiction de copie ou location ; interdiction de modification :

6.1 La reproduction entière ou partielle du produit MAGIX sous licence ainsi que de la documentation qui l'accompagne est strictement interdite. La création d'une copie de sauvegarde du logiciel est exclue de cette interdiction.

6.2 Le client n'est en aucun cas autorisé à exploiter le produit MAGIX sous licence ainsi que sa documentation écrite à des fins lucratives ou de les mettre à la disposition de tiers sous n'importe quelle autre forme contre une rétribution financière. Cela est valable dans le cas d'un programme installé sur un ordinateur mis à la disposition de tiers à des fins lucratives contre rémunération.

6.3 Conformément aux alinéas d et e du paragraphe 69 de la loi sur les droits d'auteur allemande (UrhG), vous n'avez pas le droit d'effectuer vous même ou par le biais de tiers des modifications sur le logiciel. De même, le client n'est pas autorisé à segmenter le logiciel en composantes distinctes, à le transformer en code objet, le décoder, l'imiter ou l'utiliser autrement que prévu dans le contrat.

8. Garantie et responsabilité :

8.1 Le client a connaissance du fait qu'en fonction des avancées technologiques, la présence d'erreurs dans les logiciels et dans la documentation correspondante ne peut pas être exclue et qu'il n'est pas possible de concevoir des programmes de traitement des données de telle sorte qu'aucune erreur ne se produise dans toutes les conditions d'application et selon toutes les exigences du client, ou de telle sorte qu'ils puissent travailler sans heurt en combinaison avec tous les programmes et le matériel informatique de tiers. MAGIX ne fournit aucune garantie quant à des propriétés spécifiques ni quant à l'utilité du logiciel vis-à-vis de l'utilisation particulière souhaitée par le client.

8.2 La société MAGIX ne répond des dommages dus à une négligence légère de sa part ou de la part de ses auxiliaires d'exécution – même en dehors du contrat – qu'en cas de violation d'une obligation dont le respect est particulièrement important pour remplir l'objectif du contrat (obligation cardinale), ainsi que dans les cas de blessure corporelle ou d'atteinte à la vie et à la santé.

8.3 En cas de violation d'une obligation contractuelle majeure, la responsabilité se limite aux dommages typiques dans le cadre du présent contrat, dans la mesure où il n'y a ni faute volontaire ni négligence grossière, ou lorsque la responsabilité est obligatoirement engagée du fait de l'atteinte à la vie, à la santé ou à l'intégrité corporelle.

8.4 La société MAGIX ne se porte pas garante des dommages pouvant être maîtrisés par le client, ou des dommages que le client aurait pu empêcher en prenant des mesures qui peuvent être raisonnablement exigées de sa part. En cas de perte de données, MAGIX ne répond qu'à concurrence des frais correspondant à une reconstitution lorsqu'il existe des copies de sauvegarde.

8.5 Nonobstant les dispositions ci-dessus, la responsabilité de MAGIX se limite en tous les cas à un montant équivalent, selon le dommage subi, à quatre fois les frais de licence versés par le client, ou au prix d'achat. Cette exclusion ne vaut pas pour des dommages que MAGIX aurait causés par intention délictueuse ou par négligence grossière.

8.6 Si MAGIX met gratuitement à la disposition du client des programmes et des prestations, MAGIX limite la garantie au cas de la dissimulation dolosive de défauts pour les défauts matériels ou insuffisances juridiques concernant la cession gratuite. Toute autre responsabilité de MAGIX se limite, au regard de la cession gratuite, aux cas d'intention délictueuse et de négligence grossière.

8.7 La responsabilité selon la loi allemande relative à la responsabilité du fait des produits (Produkthaftungsgesetz) demeure inchangée.

8.8 Les dispositions précédentes ne prévoient pas de modification de la charge de la preuve qui incombe au client.

8.9 Dans la mesure où les produits MAGIX contiennent des fonctions disponibles à partir d'un serveur en ligne, MAGIX se réserve le droit d'interrompre l'offre à tout moment. La disponibilité ne peut en aucun cas être garantie.

9. Conditions de licence d'autres fabricants :

Dans la mesure où le produit MAGIX contient un logiciel ou des contenus d'un autre fabricant ou des liens redirigeant vers des fournisseurs tiers, les conditions de licence du fournisseur tiers respectif doivent être respectées. Si le produit MAGIX contient un logiciel ou des contenus soumis à une licence open source, les conditions de licence open source s'appliquent à ces composants, notamment en ce qui concerne leur édition ou leur diffusion. Les conditions de licence respectives peuvent être consultées dans le fichier fourni.

10. Assistance technique :

MAGIX met une assistance technique en ligne à la disposition des utilisateurs enregistrés pendant la durée de validité de la garantie. Elle comprend une aide concernant l'installation du logiciel ou la résolution de problèmes d'installation sur Internet ou par e-mail. Le service d'assistance technique revient à la seule appréciation de MAGIX et n'est pas garanti ou lié à une garantie.

11. Divers :

11.1 Le présent contrat constitue l'intégralité de l'accord entre les parties intéressées et remplace toutes les conventions antérieures. Il ne comprend aucune clause annexe. Aucune déclaration orale de MAGIX ou d'un employé de MAGIX ne peut modifier ou mettre en doute la validité de ces conditions de licence.

11.2 Si l'une ou plusieurs des conditions du présent contrat devenaient caduques, la validité du reste du contrat n'en est pas affectée. Les conditions devenues caduques sont remplacées par des dispositions les plus proches possible. Le présent contrat est soumis au droit de la République Fédérale d'Allemagne.
