Licentieovereenkomst voor MAGIX-producten (EULA)

1. Definities:

In het kader van deze licentieovereenkomst gelden de volgende definities:

1.1 'MAGIX-product' staat voor het product dat onder deze overeenkomst een licentie krijgt, bestaand uit software en eventuele overige inhoud.
1.2 'Software' staat voor het computerprogramma in objectcodeformaat dat in een MAGIX-product is inbegrepen en onder deze overeenkomst een licentie krijgt, inclusief alle updates en upgrades met uitzondering van de in de levering inbegrepen elementen.
1.3 Als 'Inhoud' wordt in deze overeenkomst inhoud bedoelt die naast de software in een MAGIX-product inbegrepen is, zoals muziek-, video- en fotobestanden, overige geluiden en sjablonen, die betreffende bestanden bevatten.
1.4 'Computer' staat voor elk fysiek of virtueel apparaat dat gegevens met behulp van een programmeerbare specificatie voor berekeningen kan verwerken (bv. computer, laptop, workstation, instantie van een virtuele machine etc.), samen met een CPU of een multikernprocessor. Voor netwerken geldt: hebben verschillende netwerkcomputers toegang tot een server, waarop het MAGIX-product geïnstalleerd is, dan geldt elke afzonderlijke netwerkcomputer (workstation) als computer onder de voorwaarden van deze licentieovereenkomst. Dat betekent er is voor elke netwerkcomputer een afzonderlijke licentie vereist.
1.5 'Upgrades' onder de voorwaarden van deze overeenkomst zijn aanvullende versies van een MAGIX-product.
1.6 'Licentieplek' staat voor de licentie die aan een bepaalde computer van de klant na het activeren van het MAGIX-product is toegewezen.
1.7 'Commercieel doeleinde' onder de voorwaarden van deze overeenkomst is elk zakelijk gebruik en elk gebruik van de software of de inhoud waardoor directe of indirecte voordelen in geld uitgekeerd worden, nagestreefd (bv. door verkoop of het verschaffen van licenties, inschakelen van reclame bij het publiceren op internet en dergelijke).

2. Onderwerp van de overeenkomst:

2.1 MAGIX verleent u ('klant') onder de in deze overeenkomst genoemde voorwaarden voor de looptijd van de overeenkomst het niet-uitsluitende recht en het niet als sublicentie te verlenen recht het betreffende MAGIX-product op het in het serienummer vastgelegde aantal computers te gebruiken. Het intellectuele eigendomsrecht evenals andere octrooirechten van de software blijven bij MAGIX. U erkent dat het intellectuele eigendom van en alle auteursrechten op de software, inhoud, veiligheidskopieën en documentatie bij MAGIX berust. De verantwoordelijkheid voor het gebruik van het MAGIX-product volgens de overeenkomst ligt bij de koper van het programma.

2.2 Voor upgrades geldt het volgende: alleen bezitters van een basisproduct kunnen de betreffende upgrades rechtmatig gebruiken. Dat u bezitter of gebruiker van het basisproduct bent, is dus een voorwaarde voor het gebruik van upgrades. Het geïsoleerd doorgeven van upgrades aan derden is daarom niet toegestaan.

2.3 Voor updates en functies die in het kader van de MAGIX-updategarantie worden geleverd, geldt het volgende: de licentie voor de updates en functies die binnen 12 maanden na de eerste registratie van het MAGIX-product worden geleverd, is beperkt tot de installatie(s) die op het moment van afloop van de 12 maanden is/zijn geïnstalleerd. Wanneer de updategarantie na de periode van 12 maanden verlengd wordt, komt deze beperking te vervallen.

4. Registratie en gegevensbescherming

Om het MAGIX-product te gebruiken, is registratie bij MAGIX Software GmbH noodzakelijk. Hiermee controleren wij dat het om originele software gaat en dat uw licentie binnen de licentievoorwaarden gebruikt wordt. We vereisen ook registratie voor factureringsdoeleinden met onze licentiegevers. Daarom moet u na installatie uw product registreren in de automatisch volgende toepassingsdialoogvensters met uw e-mailadres en serienummer en daarbij een gebruikersaccount aanmaken. Als u al een account bij MAGIX Software GmbH hebt, kunt u dit hiervoor gebruiken. 5. Zakelijk gebruik van de software en de inhoud

5.1 Software
De software mag in principe ook commercieel worden gebruikt. Uitzondering vormt het product 'Web Designer' (niet 'Web Designer Premium'), dat alleen voor niet-commerciële doeleinden mag worden gebruikt.

5.2 Inhoud
a) De inhoud mag – met uitzondering van de live-sets – principieel alleen voor niet-commerciële doeleinden worden gebruikt. Dat geldt ook voor muziek-, video- of fotobestanden evenals betreffende sjablonen, die door of via het MAGIX-product worden verkregen.

b) De bij de producten 'Web Designer Premium' en 'Photo & Graphic Designer' meegeleverde inhoud mogen in het kader van een eigen website of voor het maken/bewerken van eigen foto's en afbeeldingen ook voor commerciële doeleinden gebruikt worden. Het doorgeven aan derden voor commerciële doeleinden, bv. in het kader van opdrachten is niet toegestaan.

c) Het te gelde maken van inhoud op zich, dat wil zeggen, onafhankelijk van de met de software gemaakte werken, is in geen enkel geval toegestaan. Met name in sjablonen inbegrepen foto's mogen niet uit de sjablonen worden geëxtraheerd om deze afzonderlijk te gebruiken. Dit geldt voor zowel commerciële als niet-commerciële doeleinden.

6. Kopieer- en verhuurverbod; wijzigingsverbod

6.1 Het MAGIX-product en de schriftelijke documentatie mogen noch geheel noch gedeeltelijk gekopieerd worden. Uitzondering hierop vormt een kopie voor veiligheidsdoeleinden (back-up).

6.2 Het MAGIX-product en de schriftelijke documentatie mogen door u in geen enkel geval met een winstoogmerk worden verhuurd of in een andere vorm met een winstoogmerk tegen vergoeding aan derden ter beschikking worden gesteld. Dit geldt ook voor de verhuur in vooraf geïnstalleerde vorm op een computer, die met een winstoogmerk aan derden ter beschikking wordt gesteld.

6.3 U mag, in navolging van §§ 69 d en e van het Duitse auteursrecht, geen wijzigingen aan de in licentie gegeven software maken of door derden laten maken. U mag de software niet in modules verdelen, niet in objectcode omzetten, decoderen, namaken of op een andere manier dan in de overeenkomst bedoeld, gebruiken.

8. Garantie en aansprakelijkheid:

8.1 Het is u bekend, dat conform de stand van de techniek fouten in programma's en in de bijbehorende documentatie niet kunnen worden uitgesloten en dat het onmogelijk is om dataverwerkingsprogramma's zo te ontwikkelen dat ze onder alle omstandigheden storingsvrij werken en aan alle eisen van de klant voldoen resp. geen storingen in combinatie met programma's en hardware van derden geven. Beloften over bepaalde eigenschappen of over de gebruiksmogelijkheden voor individueel door de klant geplande toepassingen, worden door MAGIX niet gedaan.

8.2 In het geval van producten en diensten tegen betaling is MAGIX alleen dan aansprakelijk voor door haar of haar plaatsvervangers veroorzaakte schade door lichte nalatigheid – ook buiten de overeenkomst – voor zover een verplichting wordt geschonden waarvan de nakoming voor het bereiken van het doel van de overeenkomst essentieel is (hoofdverplichting) alsook in gevallen van dood, lichamelijk letsel en aantasting van de gezondheid.

8.3 Bij schending van een hoofdverplichting blijft de aansprakelijkheid beperkt tot zulke schade waarvan met het ontstaan in het kader van de voorliggende overeenkomst op een typische wijze gerekend kan worden, voor zover niet opzet of grove nalatigheid gegeven zijn of wegens dood, lichamelijk letsel of aantasting van de gezondheid dwingende aansprakelijkheid bestaat.

8.4 MAGIX is niet aansprakelijk voor door de klant beheersbare schade resp. schade die de klant door het nemen van in redelijkheid van hem te verwachten maatregelen had kunnen voorkomen. Bij verlies van gegevens is MAGIX alleen aansprakelijk tot een bedrag van bij beschikbaarheid van veiligheidskopieën vereiste reconstructiekosten.

8.5 Ongeacht de bestaande regelingen is de aansprakelijkheid van MAGIX beperkt tot vier maal de hoogte van de door de klant betaalde licentievergoeding resp. de aankoopprijs per schadegeval. Deze uitsluiting geldt niet voor schade die door opzet of grove nalatigheid van MAGIX wordt veroorzaakt.

8.6 Bij kosteloze producten en diensten is de garantie op materiële en overige gebreken met het oog op de gratis beschikbaarstelling slechts beperkt tot die gebreken die MAGIX opzettelijk heeft verzwegen. De overige garantie van MAGIX beperkt zich met het oog op de gratis beschikbaarstelling tot die gevallen waarin sprake is van opzet en grove nalatigheid.

8.7 De aansprakelijkheid volgens de wet op aansprakelijkheid voor producten blijft onverlet.

8.8 Omkering van de bewijslast ten nadele van de klant is met de voorgaande bepalingen niet verbonden.

8.9 In zover MAGIX-producten functies bevatten die via een online-server aflopen, heeft MAGIX het recht het aanbod te allen tijde te beëindigen. De beschikbaarheid wordt niet gewaarborgd.

9. Licentiebepalingen van andere fabrikanten:

Als het MAGIX-product software of inhoud bevat van een andere fabrikant of links naar derden, moeten ook de licentievoorwaarden van de respectievelijke leveranciers van derden in acht worden genomen. Als het MAGIX-product software of inhoud bevat die onderworpen zijn aan een open source-licentie, dan gelden hiervoor de betreffende open source-licentievoorwaarden, bijvoorbeeld voor de verwerking en distributie van deze componenten. De betreffende licentievoorwaarden kunt u in het meegeleverde bestand bekijken.

10. Support:

MAGIX biedt geregistreerde gebruikers tijdens de garantieperiode elektronische internetsupport. Deze heeft betrekking op uitleg bij installatievragen of het verhelpen van installatieproblemen via internet of e-mail. De verantwoordelijkheid van het voldoen aan de technische support ligt alleen bij MAGIX en biedt geen garantie.

11. Overig

11.1 Deze overeenkomst geeft de totale overeenkomst weer van de partijen betreffende het onderwerp van de overeenkomst. Nevenafspraken zijn er niet. Geen door MAGIX of een MAGIX-medewerker afgegeven mondelinge of schriftelijke verklaring kan de voorwaarden in deze licentieovereenkomst wijzigen of teniet doen.

11.2 Wanneer een of meerdere bepalingen in deze overeenkomst niet effectief zijn of ineffectief worden, wordt daardoor de effectiviteit van de overeenkomst voor de rest niet aangetast. In plaats van de ineffectieve bepaling treedt een vervangingsregeling in werking, die de oorspronkelijke doelstelling zo dicht mogelijk benadert. Het recht van de Bondsrepubliek Duitsland is van toepassing.
