Thank you for purchasing Archaeological ruin exploration action-adventure game LA-MULANA 2.
To run the Software, ASTERIZM requires that you review and agree to the following terms and conditions of this End User License Agreement.

遺跡探検考古学アクションアドベンチャーゲーム La-Mulana 2(ラ・ムラーナ2) をお買い上げいただき、ありがとうございます。
本ゲームをプレイされるには、以下の契約条件をお読みになり、その内容に同意していただく必要があります。

This End User License Agreement ("EULA") is a binding legal agreement between ASTERIZM CO., LTD. ("ASTERIZM") and you and, if applicable, the company or other legal entity you represent (collectively, "you" and "your") regarding the Software that you are installing, including any accompanying manual or other related material provided by ASTERIZM as part of, or in connection, therewith (collectively, the "software").

このユーザーライセンス契約（以下：契約）はインストールする本ソフトウェア（付属するテキスト等一切を含む）に関して 株式会社アスタリズム（以下：当社）とユーザーあるいはユーザーが代表となる法人間（以下：お客様）での法的拘束力のある合意となります。

THROUGH LAUNCHING, COPYING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA.

本製品を起動、コピー、または使用することにより、本契約の契約条件を承諾したものと見なされます。本契約の契約条件を承諾されない場合は、ソフトウェアの使用を中断し、本ソフトウェアの使用を行わないでください。

If you do not agree, you cancel to install, download, copy, access or use the Software.

1. ライセンス条件

1. LICENSE GRANT AND RESTRICTIONS.

1.1 ライセンス
当社はコンピュータまたはゲーム用プラットフォームで個人利用と非商用利用のために本ソフトウェアおよび付属文書を利用できるという限定的、非独占的かつ取消可能なライセンスをお客様に付与いたします。

1.1 LICENSE GRANT.
As between you and ASTERIZM, ASTERIZM is the sole and exclusive owner of the Software and Game Content (as defined below). The Software and all Game Content are protected by law governing copyrights, trademarks and other proprietary rights. ASTERIZM reserves all rights not expressly granted herein.
You may install, use, access, display, run, or otherwise interact with one copy of the Software for a single computer or Game platform per a license. And, you may make one back-up copy of the Software.

お客様は、本ソフトウェアを、1つのライセンスつき1台のコンピュータまたはゲーム用プラットフォームにインストールし利用することができます。また、バックアップまたは保管用として、お客様は本ソフトウェアの複製を1部作成することができます。

1.2 SPECIFIC RESTRICTIONS.
Any and all rights not expressly granted by ASTERIZM herein are reserved, and no license, permission or right of access or use not granted expressly herein shall be implied. You may not copy (except as set forth above), distribute, rent, lease, loan, modify or create derivative works of, adapt, translate, perform, display, sublicense or transfer the Software or any documentation accompanying the Software.
You may not reverse engineer, disassemble or decompile, or attempt to reverse engineer or derive source code from, all or any portion of the Software (except to the extent that this restriction is expressly prohibited by law).
You may not use the Software to infringe the copyrights or other intellectual property rights of others in any way.
You may not modify or delete the copyright and other proprietary rights notices on or in the Software.

1.2 明確な制限
本条で当社が明示的に付与していないあらゆる権利は全て留保されています。本条で明示的に付与されない利用のためのライセンス、許可、権利は含まれません。
お客様は、本ソフトウェアもしくは本ソフトウェアの付属文書について、その複製（ただし、上記で定められている場合を除きます）、頒布、貸借、貸与、改造 もしくは派生品の創造、脚色、翻訳、実演、展示、サブライセンスおよび譲渡を行うことはできません。
お客様は本ソフトウェアの改造、抽出、リバースエンジニアリング、あるいは本ソフトウェアからの派生物の開発および公開はできません（そのような制限が法律によって明示的に禁止されている地域は除く）。
著作権またはその他の知的財産権を侵害するために本ソフトウェアを使用することはできません。本ソフトウェアの著作権その他の所有権の変更または削除はできません。

1.3 GAME SPECIFIC TERMS AND CONDITIONS.
For additional terms and conditions that may apply to the Software, such as third-party copyright notices and license information, please review the Readme file included with the Game. The ReadMe file for the Game is hereby incorporated into this EULA by this reference.

1.3 本ソフトウェア特有の規約
本ソフトウェアに関する他の条件や規則、第三者の著作権やライセンス情報に関しては、本ソフトウェアファイルに同梱されているReadMeをお読みください。

2.TERMINATION.
This EULA is effective until terminated. You may terminate this EULA at any time by uninstalling the Software and destroying all copies of the Software in your possession or control. ASTERIZM may terminate this EULA immediately upon notice to you if you breach any of its terms or conditions. Upon termination of this EULA, you agree to immediately uninstall the Software and destroy all copies of the Software.

2. 解約
この契約は解約するまで有効となります。この契約を解約するには本ソフトウェアをアンインストールし、所有するすべてのコピーを処分してください。この契約の違反が確認された場合、当社より一方的に解約します。解約の際は、ただちに本ソフトウェアをアンインストールし、他のコピーすべてを処分しなければなりません。

3. PROPRIETARY RIGHTS.
The Software is the copyrighted proprietary material of ASTERIZM and/or its third-party licensors and is subject to copyright protection under Japan. 
Copyright law and international copyright treaties, as well as other intellectual property laws and treaties. ASTERIZM and/or its third-party licensors retain all right, title, and interest in the Software (and any copies thereof) and specifically reserve all rights not expressly granted under this EULA.

3. 所有権
本ソフトウェアは、当社と販売権所有者の著作権で保護された独自の作品であり、日本国著作権法及び国際著作権条約の下で著作権保護され、ならびにその他の知的財産権に関する法律および条約の対象となります。当社と販売権所有者は本ソフトウェア（そのコピーを含む）のすべての権利、権限、権原を保持し、特に明示的に本契約の下で許諾されていないものも含めてすべての権利を保有します。

4. NO WARRANTIES.
The Software are provided "AS IS," with all faults, and without warranty of any kind. You assume all risk of use and all risk associated with running the Software.
ASTERIZM disclaims all warranties, whether express or implied, including without limitation the warranties of merchantability, fitness for particular purpose and non-infringement. There is no warranty against interference with your enjoyment of the Software. ASTERIZM does not warrant that the Software will be compatible with your hardware and software.

4. 無保証
本ソフトウェアの内容は、あらゆる欠陥を含めていかなる保証もなく、「現状のまま」提供されるものとします。お客様は、使用上のすべてのリスクを引き受けます。
当社は、明示であると黙示であるとを問わず、市場性、特定用途への適合性、および非侵害性の保証を含むあらゆる保証をいたしません。本ソフトウェアの快適なプレイの障害に対しても保証はありません。当社は、本ソフトウェアがお客様のハードウェアおよびソフトウェアと互換性があることを保証いたしません。

5. LIMITATION OF LIABILITY.
No provisions of this EULA shall apply to limit liability arising from death or personal injury caused by negligence or for fraud.
ASTERIZM's maximum liability for any and all claims arising out of or in connection with the Software.
If any disclaimers or limitations of liability in article 5 and 6 are declared to be void or unenforceable, then ASTERIZM's liability shall be limited to 
the maximum extent permissible under applicable law. The remedies set forth herein are exclusive and in lieu of all other remedies, oral or written, 
express or implied.

5. 責任の制限
不注意または不正行為による死亡を含むすべての人身被害の責任については、本契約のいかなる規定にも適用しないものとします。
本ソフトウェアの内容から生じるまたはそれに関係するあらゆる請求に対して当社が負う責任は、本ソフトウェアを購入した金額を超えないものとします。
第5条、第6条に定める免責もしくは責任制限のいずれかが無効となり、または法的強制力を失ったときは、当社の責任は、適用ある法に基づいて最大限に許される範囲にまで減じられるものとします。本条に定める救済は唯一のものであり、口頭であると書面であるとを、明示であると黙示であるとを問わず、他のすべての救済に代わるものとします。

6. DISCLAIMER OF DAMAGES.
You agree to indemnify, defend and hold harmless the ASTERIZM Parties, including their respective employees, officers, directors and personnel, licenser and supplier from any claims, losses, damages, liabilities, including attorneys' fees, arising out of your violation of this EULA and/or your use or misuse of the Software.

6. 損害賠償の免責
お客様による本ソフトウェアの使用または誤用により生じる、妥当な弁護士費用を含むあらゆる請求、損失、損害および要求から 当社、当社の関連会社、ライセンサーおよびサプライヤーならびにそれぞれの従業員、請負人、役員および取締役を守り、免責し、損害を与えないものとします。

7. EXPORT CONTROL.
The Software originates in the Japan and is subject to Japan export laws and regulations. You may not export or re-export, in whole or in part, the Software to certain countries, persons or entities prohibited from receiving exports from the Japan. Additionally, the Software may be subject to the import and export laws of other countries, and you agree that you will comply with any such foreign import and export laws, as applicable.

7. 輸出規制
本ソフトウェアは、日本国に由来し、日本国の輸出法及び輸出規制の対象となります。本ソフトウェアの全部あるいは一部を日本国からの輸出受信が禁止されている特定の国、個人または団体へ輸出あるいは再輸出することはできません。さらに、本ソフトウェアは他の国の輸出入に関する法律の対象となる可能性があり、該当した場合には該当する国における輸出入関連の法律を遵守することに同意します。

9. MISCELLANEOUS.
You agree to comply with all Japan and foreign laws related to your use of the Software. This is the entire agreement between you and ASTERIZM relating to the subject matter herein and replaces any and all previous representations, agreements, understandings or communications, whether written or oral. This EULA may not be modified except in writing, signed by both parties. 
The Japanese language version of this EULA will control its interpretation.

9. その他
お客様は本ソフトウェアの使用に関連するすべての日本国と外国の法令の順守に同意する必要があります。これは、お客様と当社との間の権利に関連する完全な契約であり、上記すべての表明、合意、理解やコミュニケーションを、書面または口頭の契約かを問わず、置き換えることにします。本契約は、両当事者が署名した書面以外は変更することはできません。
本契約の法的拘束力を持つものは同梱のEULA_JP.txtとなります。(日本語)

10. GOVERNING LAW AND EXCLUSIVE FORUM.
The EULA, and the rights and obligations of the parties hereto, shall be governed and construed by and in accordance with the laws of Japan. The EULA shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
The sole and exclusive forum for resolving any controversy, dispute or claim arising out of or relating to the EULA, or otherwise relating to any rights in, use of the Software, Game Content, and/or the rights and obligations of the parties hereto, shall be the District Court of Tokyo, Japan.
You hereby expressly waive and agree not to raise any and all objections based on personal jurisdiction, venue and/or inconvenience of such forum and agree 
to the jurisdiction of the District Court of Tokyo, Japan.

10. 準拠法と管轄裁判所
本契約ならびに本契約の両当事者の権利および義務は、日本国の法律によって規定され、解釈されるものとします。国連国際動産売買条約は本契約に適用されません。
本契約から発生、もしくは本契約に関連する本ソフトウェア、本ゲームコンテンツの使用に対する本契約の両当事者の権利または義務に関する争訟、紛争または請求を解決する専属的な裁判所は、日本国にある東京都の地方裁判所とします。お客様は、本契約により明示的に、対人管轄権、裁判の地、または裁判所の不便性に基づく異議を放棄し、異議を唱えず、日本国にある東京地方裁判所の管轄権に同意します。
