Where a CD key, activation key or registration code (collectively, “CD Key”) is required to install this Software Product and/or to access any on-line or multiplayer game play, this CD Key cannot be reproduced or replaced. It is the responsibility of the original purchaser to keep this CD Key secure. Lost, stolen or damaged CD Keys cannot be replaced and no refunds or replacement copies of the Software Product will be provided in the event of a lost CD Key. If you wish to transfer the Software Product in accordance with paragraphs 2(b) or 2(c), you may not be able to use the Software Product on a new hard drive without re-registration of the Software Product which will require the original CD Key.

This EULA is a legal agreement between you and Square Enix, which governs your use of the Software Product. For the purposes of this EULA, references to the Software Product includes computer software owned by Square Enix or its third party suppliers/licensors and associated media; any printed materials; manuals; any on-line or other documentation; and to the extent it is not distributed under a separate license agreement, any updates or patches to the original game software which are provided to you or which you may download from any Square Enix web site or other source authorized by Square Enix expressly for such purpose) including such software required in order to access and/or use any on-line features and functionality which may be associated with such computer game software (subject to any additional terms of use applicable to such on-line mode). The terms and conditions of this EULA are without prejudice to any terms and conditions governing your use of any third party proprietary software product including without limitation any STEAM™ software. Such third party proprietary software may be embodied on the media containing this Software Product or otherwise downloaded within the software package containing the Software Product and may be required in order to use certain features of this Software Product, which use may be subject to and conditional upon your acceptance and observance of additional third party end user license agreements.
Copyright and other intellectual property laws and treaties protect this Software Product. The Software Product is licensed, not sold.
2. Grant of Limited Non-Exclusive License +

As long as you are in compliance with the provisions of this EULA, Square Enix grants you the non-exclusive right and limited license to:
(a) install one (1) copy of the Software Product into, and use it on, a single hard drive which is under your custody and control and which meets the specifications referred to in the manual for your own private and domestic use only;
(b) transfer the Software Product from one hard drive to another PROVIDED it is used on only one (1) hard drive at any one time and any hard drive on which it is used is under your custody and control at the time of use;
(c) transfer the Software Product (complete with all components and documentation) and the benefit of this EULA to another person PROVIDED such person has agreed to accept the terms of this EULA and you contemporaneously transfer any permitted copies of the Software Product you may have made to that person or destroy all copies of the Software Product not transferred. If any transferee does not accept such terms then this EULA shall automatically terminate. Upon such transfer, you undertake to delete this Software Product from your hard drive and the license granted to you under this EULA shall automatically and immediately terminate.
All rights not expressly granted hereunder are, to the maximum extent permitted by law, reserved to Square Enix and its licensors. Your rights to use the Software Product under this EULA are strictly conditional upon your observance of the terms and conditions contained in this EULA at all times.
In some cases, your rights to use the Software Product may be subject to a limitation on the number of activations or registrations of the Software Product as advised at the time of sale or on the packaging for the Software Product. In such a case, your ability to transfer the Software Product in the manner permitted in paragraphs 2.1(b) and (c) above may not be possible where the maximum number of activations of the Software Product as are permitted has been reached.

((b) transferir el Producto de Software de un disco duro a otro SIEMPRE Y CUANDO solamente se utilice en un (1) disco duro a la misma vez y cualquier disco duro en el que se utilice esté bajo su custodia y control mientras se está utilizando;
(c) transferir el Producto de Software (completo con todos los componentes y documentos) y el beneficio de este EULA a otra persona SIEMPRE Y CUANDO dicha persona haya acordado aceptar las condiciones de este EULA y usted transfiera contemporáneamente todas las copias permitidas del Producto de Software que haya hecho a esa persona o destruya las copias del Producto de Software no transferidas. (a) make any commercial use or exploit the Software Product in any manner whatsoever;
(b) install or use the Software Product on a network server, multi-user arrangement or remote access arrangement for the purposes of distribution to one (1) or more other computer(s) on that network or to effect such distribution or otherwise make a copy of the Software Product available in any manner or via any media where it could be used by multiple users;
(c) without a separate license from Square Enix, use the Software Product or permit the use of the Software Product, on more than one personal CPU, game console, handheld device, “smart phone” or PDA at the same time;
(d) to rent, lease, sub-license, loan, exploit for profit or gain, copy, modify, adapt, merge, translate, use, reproduce, distribute, broadcast, publicly perform, store in a retrieval system or otherwise deal in the Software Product or any part thereof in any way, except as expressly permitted by this EULA and/or to the extent expressly permitted under applicable law,;
(e) to reverse engineer, derive source code, modify, decompile, disassemble, or create derivative works based on the whole or any part of the Software Product, in whole or in part, except as the applicable law expressly permits. Where applicable law expressly permits any such acts, any lawful modifications, adaptations and improvements and all copyrights therein shall be deemed assigned to and shall belong to, vest in and be the exclusive property of Square Enix and/or its licensors on creation to the maximum extent permitted by law and you hereby waive all or any moral rights in such creations;
(f) remove, disable or circumvent any security protections or any technical measures that control access to the Software Product and/or are designed to prevent or inhibit the infringement of any copyright or other intellectual property right in the Software Product;
(g) remove, modify, deface or circumvent any proprietary notices or labels contained on or within the Software Product;
(h) export or re-export the Software Product or any copy or adaptation in violation of any applicable laws or regulations; or
(i) create data or executable programs that mimic data or functionality in the Software Product.
Furthermore, you agree that you shall abide by any of the safety information, maintenance instructions or other relevant notices contained in the manual that is included with the Software Product.

This Software Product may allow services operated by Square Enix and/or its affiliates and/or third parties authorized on their behalf to provide users of the Software Product access to certain on-line or multiplayer features and functionality associated with the Software Product (“Online Features”). These services and Online Features may, however, require the payment of additional fees. In addition, the access and use of such services/Online Features and other goods or information may be subject to a registration process and acceptance of additional terms and conditions, including but not limited to, privacy policies governing the use and processing of personally identifiable information. Importantly, not all purchasers of this Software Product will be able to register or benefit from such services (including Online Features associated with the Software Product). These services and Online Features may not be available in your location, and are not guaranteed to be available for any period of time (and may be subject to suspension or withdrawal at any time). Furthermore, such services/Online Features may be subject to further restrictions (e.g., age requirements). An internet connection will be required to access Online Features.
Where you use Online Features we and our affiliates may also collect, store, process, distribute and publicly display certain data concerning your gameplay. This data may include your user name, gamertag, scores, rankings, results, achievements, profile image and any other personal profile information which you may choose to make available for other players to see. Without prejudice to any consents which you may give us under any other agreement between you and us with respect to such data, any data which personally identifies you will be collected, stored, used, processed and distributed in accordance to Square Enix's Privacy Policy referred to in Paragraph 5 below.
5. Your Consent to the Use by Us of Certain Data +

6. Termination
Without prejudice to any other rights, Square Enix may terminate this EULA immediately without notice if you fail to comply with the terms and conditions of this EULA. In the event of termination, you must destroy all copies of the Software Product and all of its component parts including any Software Product stored on the hard disk of any computing device. You may also terminate the EULA at any time by destroying the Software Product and uninstalling it from your hard drive or other applicable hardware. All provisions of this EULA relating to disclaimers or warranties, limitations of liability, remedies, damages, Square Enix’s proprietary rights, choice of law and jurisdiction, indemnity and miscellaneous shall survive termination.+

7. Ownership
You only own the physical media on which the Software Product is recorded. Square Enix and/or its licensors shall at all times retain ownership of the Software Product as recorded on the media and all subsequent copies regardless of form.
8. Limited Warranty and Exclusions
8.1 LIMITED WARRANTY +

Where the Software Product is recorded on a physical medium supplied by Square Enix, Square Enix warrants to the original consumer purchaser of this Software Product that the physical medium on which the Software Product is recorded will under normal use and conditions be free from material defects in materials and workmanship for a period of ninety (90) days from the date of purchase. The entire liability of Square Enix under this limited warranty will be, at Square Enix's sole option, either (a) to return the purchase price paid for the Software Product or (b) to repair or, at Square Enix’s option, replace free of charge the Software Product that does not meet this limited warranty provided the following procedures and conditions are observed. All claims under this limited warranty must be made by returning the original physical medium in its original condition and packaging to the point of purchase, together with a copy of the original sales receipt or other dated proof of purchase, a statement describing the defects and a return address (the "Required Material"). Where this is not possible for any reason (and provided it is within the refund period from the date of purchase) the defective medium should be returned to Square Enix at the address specified in the manual accompanying this Software Product together with the Required Material and address of the location where the Software Product was purchased.
8.2 The limited warranty in paragraph 8.1 above is void and shall not apply to media which has been subject to misuse, accident, damage or excessive wear. Any replacement of the Software Product will be warranted for the remainder of the original warranty period or thirty (30) days, whichever is longer.
8.3 THE LIMITED WARRANTY IN PARAGRAPH 8.1 DOES NOT APPLY TO THE SOFTWARE PROGRAMS THEMSELVES WHICH ARE PROVIDED "AS IS" AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SQUARE ENIX AND ITS LICENSORS DISCLAIM ALL OTHER REPRESENTATIONS, WARRANTIES, CONDITIONS OR OTHER TERMS, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, SATISFACTORY QUALITY, NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS AND FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE SOFTWARE PRODUCT AND EACH AND EVERY PART THEREOF. WITHOUT PREJUDICE TO THE GENERALITY OF THE FOREGOING, SQUARE ENIX DOES NOT WARRANT THAT THE SOFTWARE PRODUCT IS ERROR-FREE OR THAT IT WILL OPERATE WITHOUT INTERRUPTION, NOR THAT SQUARE ENIX WILL REPAIR ANY ERRORS IN THE SOFTWARE PRODUCT. SQUARE ENIX FURTHER DOES NOT WARRANT THAT THE SOFTWARE PRODUCT WILL OPERATE ON ALL TYPES OF COMPUTING DEVICES. REFER TO THE MANUAL FOR MINIMUM TECHNICAL SPECIFICATIONS.
8.4 IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(A) IN NO EVENT SHALL SQUARE ENIX OR ITS LICENSORS BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE PRODUCT, EVEN IF SQUARE ENIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE ENTIRE RISK OF USE (INCLUDING WITHOUT LIMITATION, (A) ANY DAMAGE TO YOUR COMPUTING DEVICE HARDWARE, DATA OR SOFTWARE OR (B) AS A RESULT OF THE FAILURE TO ADHERE TO ANY PRECAUTIONS FOR USE SET OUT IN THE MANUAL) RESIDES WITH YOU.
(B) IN ANY CASE, THE MAXIMUM AGGREGATE LIABILITY OF SQUARE ENIX AND ITS LICENSORS UNDER OR IN RELATION TO THIS EULA OR THE USE OR ATTEMPTED USE OF THIS SOFTWARE PRODUCT SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT.+

Nothing in this paragraph 8 shall affect your statutory rights as a consumer which under the applicable law are not capable of exclusion or limitation. These statutory rights may vary from state/jurisdiction to state/jurisdiction.
8.7 You understand that the Software Product may be updated or patched at any time and in doing so no obligation to provide such updates or patches to you pursuant to this EULA or otherwise shall arise.

Each party irrevocably submits for all purposes in connection with the EULA or the Software Product (including any such dispute or claim) to the exclusive jurisdiction of the English courts, except that nothing in this EULA shall limit Square Enix’s right to bring any action against any party in any other court of competent jurisdiction, nor shall the bringing of such action in one or more jurisdictions preclude the bringing of any other such actions in any other jurisdiction (whether concurrently or not) to the extent permitted by the law of such jurisdictions.
9.2 If you acquired this Software Product in the American region, any claim or dispute of whatever nature arising out of or relating to this EULA or the Software Product shall be governed by, and construed in accordance with, the laws of the State of California, USA without regard to its conflict of laws principles and subject to the exclusive jurisdiction of the state and federal courts situated in Los Angeles, California, USA except that nothing in this EULA shall limit Square Enix’s right to bring any action against any party in any other court of competent jurisdiction, nor shall the bringing of such action in one or more jurisdictions preclude the bringing of any other such actions in any other jurisdiction (whether concurrently or not) to the extent permitted by the law of such jurisdictions
9.3 If you acquired this Software Product in the Asian region, any claim or dispute of whatever nature arising out of or relating to this EULA or the Software Product shall be governed by, and construed in accordance with, the laws of Japan and subject to the exclusive jurisdiction of the court of Tokyo District Court of Japan.+

Because Square Enix would be irreparably damaged if the terms of this EULA were not specifically enforced, you agree that we shall be entitled, without bond or other security or proof of damages, to take action as may be required, including without limitation, the right to seek an injunction and other equitable remedies, in addition to any other remedies available to us under applicable law.
11. Indemnity -
You agree to indemnify, defend and hold harmless Square Enix, its partners, affiliates, contractors, licensors, officers, directors, employee and agents from all claims, damages, costs and expenses (including reasonable legal fees) arising directly or indirectly from your acts of omissions in connection with using the Software Product or any breach by you of the terms of this EULA.
12. Miscellaneous -
12.1 If you acquired this Software Product in the United States of America, you will not export or re-export it except as authorized and permitted by the laws and regulations of the United States of America. -
12.2 Without prejudice to paragraph 8.6, this EULA together with any other agreement, policy or other document expressly referred to in this EULA constitutes the entire agreement between Square Enix and you with respect to the license and use of the Software Product and supersedes all prior or contemporaneous understandings. Without prejudice to paragraphs 12.4 and 12.5, no amendment or modification of this EULA will be binding unless made in writing and signed by a duly authorized representative of Square Enix.-
12.3 You agree and acknowledge that all title, ownership rights, and intellectual property rights connected with the Software Product and any and all copies thereof (including but not limited to any derivative works, titles, computer code, themes, objects, characters, character names, stories, dialogs, catch phrases, locations, concepts, artwork, graphics, animation, sounds, musical compositions, audio-visual effects, text, screen displays, methods of operation, moral rights, “applets” incorporated into the Software Product, and any related documentation) are owned by Square Enix or its licensors.-
12.4 Square Enix reserves the right to amend this EULA at any time, at its sole discretion, but will post such changes on the Square Enix website and/or will communicate such changes to you via and digital rights management system used to protect the content of the Software Product such as, where applicable, the STEAM™ service where STEAM™ software is used for such purpose. If any such future changes to this EULA are unacceptable to you or cause you to no longer be in compliance with this EULA you may terminate this EULA in accordance with the above Termination provisions. Your installation and/or continued use of any updates or modifications to the Software Product or your continued use of the Product Software following notice of changes to this EULA will constitute your acceptance of any and all such changes to the terms of this EULA.-
12.5 If any court or competent authority finds that any provision of this EULA (or part of any provision) is invalid, illegal or unenforceable under the applicable law, that provision or part-provision shall, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of this EULA shall not be affected.-

6. Rescisión
Sin perjuicio para cualesquiera otros derechos, Square Enix puede rescindir este EULA inmediatamente sin previo aviso si el usuario incumple los plazos y las condiciones de este EULA. En caso de rescisión del acuerdo, t el usuario debe destruir todas las copias del Producto de Software y todas las partes que lo componen incluyendo cualesquiera Productos de Software almacenados en el disco duro de cualquier dispositivo informático. El usuario también puede rescindir el EULA en cualquier momento destruyendo el Producto de Software y desinstalándolo del disco duro del usuario u otro hardware aplicable. Cuando el Producto de Software esté grabado en un medio físico suministrado por Square Enix, Square Enix garantiza al comprador original de este Producto de Software que el medio físico sobre el que se ha grabado el Producto de Software bajo condiciones y uso normales, estará libre de defectos materiales y de mano de obra durante un periodo de noventa (90) días a partir de la fecha de compra. La responsabilidad total de Square Enix al amparo de esta garantía limitada será, a opción exclusiva de Square Enix, bien (a) la devolución del precio de compra íntegro pagado por el Producto de Software; o (b) la reparación o, a opción de Square Enix, la sustitución gratis del Producto de Software que no satisfaga esta garantía limitada, siempre y cuando se observen los procedimientos y las condiciones que se describen seguidamente. Cuando por la razón que fuere no sea posible hacer esto (y siempre que el producto se encuentre dentro del periodo de devolución de la fecha de compra) el medio defectuoso debe devolverse a Square Enix a la dirección especificada en el manual que se incluye con este Producto de Software junto con el Material Requerido y la dirección del comercio en el que se adquirió el Producto de Software. +
8.2 La garantía limitada en el párrafo 8.1 arriba es nula y no se aplicará a los medios que hayan sido sometidos a un uso indebido, accidente, daño o desgaste excesivo. Todos los Productos de Software remplazados estarán garantizados durante el resto del periodo de la garantía original o treinta (30) días, cualquiera que sea mayor.+
8.3 LA GARANTÍA LIMITADA EN EL PÁRRAFO 8.1 NO ES APLICABLE A LOS PROGRAMAS DE SOFTWARE PROPIAMENTE DICHOS QUE SE OFRECEN "TAL CUAL" Y SIN GARANTÍA DE NINGUNA CLASE. HASTA EL MÁXIMO PUNTO PERMITIDO POR LA LEY APLICABLE, SQUARE ENIX Y SUS LICENCIANTES DECLINAN TODA REPRESENTACIÓN, GARANTÍA, CONDICIONES O PLAZOS, TANTO EXPRESOS COMO IMPLÍCITOS, INCLUYENDO PERO SIN ESTAR LIMITADOS A LAS GARANTÍAS IMPLÍCITAS Y/O CONDICIONES DE COMERCIABILIDAD, CALIDAD SATISFACTORIA, NO VULNERABILIDAD DE LOS DERECHOS DE PROPIEDAD INTELECTUAL E IDONEIDAD PARA UN FIN CONCRETO, CON RESPECTO AL PRODUCTO DE SOFTWARE Y CADA Y TODAS LAS PARTES DEL MISMO. SIN PERJUICIO PARA LA GENERALIDAD DE LO ANTERIOR, SQUARE ENIX NO GARANTIZA QUE EL PRODUCTO DE SOFTWARE ESTÉ LIBRE DE ERRORES O QUE FUNCIONARÁ SIN INTERRUPCIONES, TAMPOCO GARANTIZA QUE SQUARE ENIX REPARARÁ CUALESQUIERA ERRORES EN EL PRODUCTO DE SOFTWARE. ASÍ MISMO SQUARE ENIX NO GARANTIZA QUE EL PRODUCTO DE SOFTWARE FUNCIONARÁ EN TODOS LOS DISPOSITIVOS INFORMÁTICOS. PARA MÁS INFORMACIÓN SOBRE LAS ESPECIFICACIONES MÍNIMAS NECESARIAS CONSULTE EL EMBALAJE, LA PÁGINA WEB O EL MANUAL DEL PRODUCTO DE SOFTWARE.+
8.4 ADICIONALMENTE Y HASTA EL MÁXIMO PUNTO PERMITIDO POR LA LEY APLICABLE:
(A) EN NINGÚN CASO SQUARE ENIX O SUS LICENCIANTES SERÁN RESPONSABLES POR CUALESQUIERA DAÑOS (INCLUYENDO PERO SIN ESTAR LIMITADOS A DAÑOS DIRECTOS, INDIRECTOS, INCIDENTALES O DAÑOS “CONSECUENCIALES” PÉRDIDA DE GANANCIAS, INTERRUPCIÓN COMERCIAL, PÉRDIDA DE INFORMACIÓN O CUALQUIER PERDIDA PECUNIARIA A RESULTAS DEL USO DE O DE LA INCAPACIDAD DE USO DE ESTE PRODUCTO DE SOFTWARE, INCLUSO SI SQUARE ENIX HA SIDO ASESORADO SOBRE LA POSIBILIDAD DE DICHOS DAÑOS. . TODOS LOS RIESGOS ASOCIADOS CON EL USO, (INCLUYENDO PERO SIN ESTAR LIMITADO A (A) CUALQUIER DAÑO OCASIONADO AL DISPOSITIVO INFORMÁTICO DEL USUARIO HARDWARE, DATOS O SOFTWARE O (B) COMO RESULTADO DE LA FALTA DE CUMPLIMIENTO DE CUALQUIER PRECAUCIÓN DE USO ESPECIFICADA EN EL MANUAL RESIDE CON EL USUARIO. +
(B) EN CUALQUIER CASO, LA MÁXIMA RESPONSABILIDAD GLOBAL DE SQUARE ENIX Y SUS LICENCIANTES AL AMPARO O CON RELACIÓN A ESTE EULA O EL USO O INTENTO DE USO DE ESTE PRODUCTO DE SOFTWARE ESTARÁ LIMITADO AL MONTO ACTUALMENTE PAGADO POR EL USUARIO POR EL PRODUCTO DE SOFTWARE.+
8.5 Nada de lo contenido en este EULA limitará o excluirá la responsabilidad de Square Enix ante el usuario en caso de negligencia por muerte o lesión personal , hasta el punto de que dicha exclusión o limitación sea ilegal, inexigible o nula al amparo de la ley aplicable.+
8.6 Algunas jurisdicciones no permiten las declinaciones ni limitaciones de responsabilidad de la garantía expresas en el párrafo 8. Nada de lo contenido en este párrafo 8 afectará los derechos legales del usuario que al amparo de la ley aplicable no puedan ser excluidos o limitados. Estos derechos legales sin embargo pueden variar de un estado/jurisdicción a otro.+
8.7 El usuario entiende que el Producto de Software puede actualizarse o mejorarse en cualquier momento y al hacer esto no existe obligación alguna de ofrecer dichas actualizaciones al usuario de conformidad con este EULA o de cualquier otra forma en la que pueda surgir.+
9. Ley vigente y resolución de disputas+

9.1 Si el usuario adquiere este Producto de Software en la región de EMEA cualquier reclamación o disputa de la naturaleza que fueren (incluyendo todas las disputas no contractuales) que surjan de o estén asociadas con este EULA o el Producto de Software se regirán por, y se interpretarán conforme a las leyes de Inglaterra. Cada una de las partes se somete irrevocablemente en todos los sentidos en conexión con este EULA o el Producto de Software (incluyendo cualquier disputa o reclamación de esta índole) a la jurisdicción exclusiva de los tribunales ingleses, excepto que nada en este EULA limitará el derecho de Square Enix a entablar cualquier procedimiento legal contra cualquier parte en cualquier otro tribunal de una jurisdicción competente, tampoco el entablar dicho procedimiento legal en una o en más jurisdicciones impedirá que se entable un procedimiento judicial en cualquier otra jurisdicción (ya sea al mismo tiempo o no) hasta el punto permitido por la ley de dichas jurisdicciones.+
9.2 Si el usuario adquiere este Producto de Software en la Región de América cualquier reclamación o disputa de la naturaleza que fueren que puedan surgir o estén relacionadas con este EULA o el Producto de Software se regirán por, y se interpretarán de conformidad con las leyes del Estado de California (EE.UU.) sin perjuicio de lo dispuesto en materia de conflicto de leyes y estarán sujetas a la jurisdicción exclusiva de los tribunales estatales y federales de Los Ángeles, California (EE.UU.), excepto que nada en este EULA limitará el derecho de Square Enix a entablar cualquier procedimiento legal contra cualquier parte en cualquier otro tribunal de una jurisdicción competente, tampoco el entablar dicho procedimiento legal en una o en más jurisdicciones impedirá que se entable un procedimiento judicial en cualquier otra jurisdicción (ya sea al mismo tiempo o no) hasta el punto permitido por la ley de dichas jurisdicciones.+
9.3 Si el usuario adquiere este Producto de Software en la Región de Asia cualquier reclamación o disputa de la naturaleza que fueren que puedan surgir o estén relacionadas con este EULA o el Producto de Software se regirán por, y se interpretarán de conformidad con las leyes de Japón y estarán sujetas a la jurisdicción exclusiva del tribunal de distrito de Tokio de Japón.+
9.4 La Convención de las Naciones Unidas sobre Contratos para la Venta Internacional de Mercancías no se aplicará a este EULA, con independencia del territorio o jurisdicción en el que se interponga la reclamación.+
10. Acción interdictal
Puesto que Square Enix sufriría daños irreparables si los plazos y las condiciones de este EULA no se hiciesen cumplir específicamente, usted conviene en que Square Enix tendrá derecho, sin prestar fianza, otra garantía ni prueba de los daños, a las medidas cautelares pertinentes, que pueden incluir sin limitaciones acciones interdictales y otros remedios semejantes, además de otras medidas que Square Enix pueda tener a su disposición en virtud de las leyes aplicables. +
11. Desagravio
Usted acepta indemnizar, defender y considerar libre de todo cargo a Square Enix, sus socios, afiliados, contratistas, licenciantes, ejecutivos, directores, empleados y agentes contra todas las reclamaciones, daños, costes y gastos (incluyendo costes legales razonables) que puedan surgir directa o indirectamente de sus actos u omisiones en conexión con el uso del Producto de Software o cualquier violación de las condiciones de este EULA+
12. Varios
12.1 Si el usuario adquiere este Producto de Software en los Estados Unidos de América, no podrá exportar o reexportarlo, excepto como lo autoricen y permitan las leyes y los reglamentos de los Estados Unidos de América.
12.2 Sin perjuicio al párrafo 8.6 anterior, este EULA junto con cualquier otro acuerdo, política u otro documento a los que se hace referencia expresa en este EULA constituyen la totalidad del acuerdo entre Square Enix y el usuario con respecto a la licencia y uso del Producto de Software y sustituye a todos los acuerdos anteriores o contemporáneos. Sin perjuicio a los párrafos 12.4 y 12.5, ninguna enmienda o modificación de este EULA será vinculante a menos que la misma se efectúe por escrito y lleve la firma de un representante de Square Enix debidamente autorizado.
12.3 Usted conviene y reconoce que todos los derechos de título y propiedad, y cualquier otro derecho de propiedad intelectual asociados con el Producto de Software, así como en cualquier y todas las copias del mismo (incluyendo pero sin estar limitado a cualquier obra derivada, títulos, código informático, temas, objetos, personajes, nombres de personajes, tramas, diálogos, estribillo, ubicaciones, conceptos, material gráfico, gráficos, animación, sonidos, composiciones musicales, efectos audiovisuales, texto, muestras en pantalla, modos de funcionamiento, derechos morales, “programillas” incorporados en el Producto de Software, así como todos los documentos relacionados) son propiedad de Square Enix o sus licenciantes.
12.4 Square Enix se reserva el derecho de modificar este EULA en cualquier momento, a su entera discreción, sin embargo publicará dichos cambios en la página web de Square Enix y/o comunicará dichos cambios al usuario a través de cualquier sistema de gestión de derechos digitales utilizado para proteger el contenido del Producto de Software, por ejemplo, cuando corresponda, el servicio STEAM™, cuando el software STEAM™ se utilice para este propósito. Si cualquiera de estos cambios futuros al EULA no fueran aceptables para usted o hacen que usted deje de cumplir las condiciones de este EULA el usuario podrá rescindir este EULA conforme a las disposiciones de rescisión anteriores. La instalación y/o uso continuado por su parte de cualquier actualización o modificación del Producto de Software o su uso continuado del Producto de Software después de cualquier aviso de cambio a este EULA significará que usted acepta cualquiera y todos los cambios efectuados a las condiciones de este EULA.
12.5 Si cualquier tribunal o autoridad con jurisdicción competente determina que cualquiera de las disposiciones de este EULA (o cualquier parte de cualquier disposición) es inválida, ilegal o inexigible al amparo de la ley aplicable, dicha provisión o parte de la misma, en la medida de lo requerido, se considerará que ha sido borrada y la validez y exigibilidad del resto de las provisiones de este EULA no se verán afectadas.
