                <br><br>1. 
                Software License<br>
                Licencia de software<br>1) Todos los derechos de autor y de propiedad intelectual asociados a este programa de software o relacionados con él, sus programas de actualización y este programa de software actualizado por los programas de actualización (de forma colectiva, el «Producto») son propiedad de Koei Tecmo Games Co., Ltd. («Koei Tecmo») o sus licenciantes.<br>2) El producto se ofrece bajo licencia, no se vende, para su uso. Todos los derechos que no se concedan de forma específica quedan reservados para Koei Tecmo o para sus licenciantes. <br>3) En virtud de su consentimiento sobre el presente Acuerdo, Koei Tecmo le concede el derecho no exclusivo, intransferible y no sublicenciable para instalar el Producto en un

                único equipo informático y para utilizar el Producto de forma exclusiva para su uso personal.<br>4) Respecto al Producto que usted instale en su equipo informático de acuerdo con lo establecido en el apartado 3) anterior, podrá instalar el mismo Producto en otro equipo en la medida en que elimine el Producto por completo de su primer equipo.<br>5) Salvo que usted instale el Producto en el equipo según se establece en los apartados 3) y 4) anteriores, usted no podrá copiar el Producto.<br><br>2. Acciones prohibidas<br>Cuando utilice el Producto según se establece en este Acuerdo, usted no podrá:<br>・  salvo que se disponga expresamente lo contrario en este Acuerdo, copiar, modificar, alterar o transferir el Producto;<br>・  combinar el Producto con otro software;<br>・  arrendar, alquilar o explotar de otra forma el Producto con fines comerciales;<br>・  transmitir o preparar para transmitir al público el Producto, en su totalidad o en parte, por internet o por cualquier otro método sin el consentimiento expreso por escrito de Koei Tecmo; <br>・  utilizar técnicas de ingeniería inversa, extraer el código fuente, modificar, descompilar, desensamblar o analizar de cualquier otra forma el Producto;<br>・  incumplir ninguna condición del presente Acuerdo;<br>・  interrumpir la operativa dinámica de Koei Tecmo cuando usted utilice el Producto, por lo que su contacto con el soporte al cliente deberá regirse por las estipulaciones de la cláusula 4 a continuación;<br>・  perjudicar, dañar o causar otros efectos desagradables en demás compradores del Producto o terceros;<br>・  actuar contra el orden público o las buenas costumbres;<br>・  cometer un delito o un acto ilícito o incumplir de otra forma cualquier ley o normativa;<br>・  atentar contra la reputación de Koei Tecmo o infringir los derechos de propiedad intelectual u otros derechos o beneficios;<br>・  formular a Koei Tecmo de forma repetida las mismas o similares consultas, etc. sobre el Producto;<br>・  llevar a cabo cualquier otro acto o acción que Koei Tecmo pueda considerar inadecuado;<br>・  provocar o facilitar, directa o indirectamente, cualquier acto o acción que se haya estipulado en los apartados precedentes;<br>・  llevar a cabo cualquier acto o acción que Koei Tecmo pueda determinar de forma razonable que esté estipulada, o que pueda estipularse, en cualquiera de los apartados precedentes.<br><br>3. Alcance de la garantía y la responsabilidad<br>1) Si el Producto no funcionara con arreglo a lo establecido en el manual facilitado por Koei Tecmo y usted no pudiera aprovechar al máximo su uso del Producto debido a una causa atribuible a Koei Tecmo, Koei Tecmo, a su propia discreción, le ofrecerá volver a descargarse el Producto, arreglarlo o corregirlo (incluida la distribución de programas de actualización) o devolverle el importe de compra del Producto durante un periodo de sesenta (60) días después de su compra en caso de haberlo adquirido en Japón o durante un periodo de noventa (90) días después de su compra en caso de haberlo adquirido en otros territorios distintos a Japón.<br>2) El apartado 1) anterior solo será aplicable si Koei Tecmo puede comprobar el registro de su compra del Producto. En caso de que Koei Tecmo le devolviera el importe de la compra según se contempla en el apartado 1) anterior, usted deberá eliminar por completo el Producto del equipo en el que lo haya instalado.  <br>3) El apartado 1) anterior no será aplicable en caso de que el funcionamiento erróneo o defecto del Producto estuviera causado por alguno de los siguientes motivos:<br>・  que su uso del Producto incumpla alguna de las condiciones aquí estipuladas;<br>・  que usted haya modificado o alterado el Producto o lo haya combinado con otro producto;<br>・  que usted haya utilizado erróneamente el Producto de forma intencionada, negligente o de otra forma en condiciones anómalas para el Producto; o<br>・  que el equipo en el que usted haya instalado el Producto u otro componente físico conectado con él contengan algún defecto o no funcionen correctamente, o que el equipo no cumpla con los requisitos del sistema o con el entorno de comunicación exigidos para el Producto.<br>4) El Producto se suministra en el estado en que se encuentra.  Koei Tecmo no ofrece ninguna garantía, ya sea expresa, implícita u otra, en relación con la exhaustividad, exactitud, utilidad, satisfacción o adecuación del Producto, incluida, a título ilustrativo pero no restrictivo, la idoneidad o adecuación para un determinado fin y la ausencia de posibles errores u otros defectos.<br>(5) Koei Tecmo podrá modificar en cualquier momento una parte del producto (entre otras la distribución o los programas de actualización) sin dar previo aviso. En el caso de que KOEI TECMO sea responsable de CUALQUIER DAÑO O PÉRDIDA DE BENEFICIOS que usted haya sufrido como resultado de dicha modificación, la responsabilidad total que KOEI TECMO tiene frente a usted NO EXCEDERÁ una cantidad equivalente al importe que usted haya pagado por el Producto, EXCEPTO en el caso de dolo o negligencia grave por parte de KOEI TECMO (incluidos sus representantes y empleados). <br>(6) En el caso de que KOEI TECMO sea responsable de cualquier daño incidental, indirecto, especial, consecuente o futuro, o de cualquier pérdida, etc. que usted haya sufrido como resultado del uso, la indisponibilidad o la interrupción del Producto, la responsabilidad total de KOEI TECMO frente a usted en virtud del presente contrato NO EXCEDERÁ una cantidad equivalente al importe que usted haya pagado por el Producto, EXCEPTO en el caso de dolo o negligencia grave por parte de KOEI TECMO (incluidos sus representantes y empleados). <br><br>4. Asistencia al cliente<br>Usted acuerda y reconoce que Koei Tecmo le proporcionará asistencia para el Producto con arreglo a las siguientes condiciones:<br>・  Koei Tecmo le proporcionará asistencia al cliente para el Producto únicamente por un periodo de tres (3) años desde su fecha de lanzamiento comercial. <br>・  Cualquier consulta en relación con el Producto que usted dirija al servicio de asistencia al cliente deberá hacerse por cumplimentando un formulario web facilitado por Koei Tecmo.<br>・  Para contactar con el servicio de asistencia al cliente de Koei Tecmo deberá consultar el manual de usuario del Producto.<br>・  Koei Tecmo, a su propia discreción, decidirá si contestará a su consulta y qué contestará.<br>・  En función del tipo de consulta que usted formule, es posible que Koei Tecmo no le conteste.<br>・  Koei Tecmo no ofrece ninguna garantía, ya sea expresa, implícita u otra, en relación con la exhaustividad, exactitud, utilidad, satisfacción o adecuación de la respuesta que Koei Tecmo ofrezca sobre su consulta.<br><br>5. Registro para el uso del Producto<br>1) Para utilizar el Producto, debe instalar el

                Tecmo grants you the non-exclusive, non-transferable and non-sublicensable right to install the Product on only one (1) computer and use the Product solely for your personal use.<br>(4) With respect to the Product you have installed on the computer pursuant to section (3) above, you may install the same Product on another computer as long as you completely delete the Product from the first computer.<br>(5) Except when you install the Product on the computer under section (3) and (4) above, you may not copy the Product.<br><br>2. Prohibited Actions<br>When using the Product hereunder, you may not:<br>・	except as otherwise expressly provided herein, copy, modify, alter or transfer the Product;<br>・	combine the Product with any other software;<br>・	rent, lease or otherwise exploit the Product commercially;<br>・	transmit or make ready to be transmitted to the public the Product in whole or in part via the internet or any other method without Koei Tecmo’s express written approval; <br>・	reverse engineer, derive source code, modify, decompile, disassemble or otherwise analyze the Product;<br>・	breach any terms and conditions hereof;<br>・	interrupt Koei Tecmo’s smooth operation when you use the Product and contact Koei Tecmo’s customer support set forth in Article 4 below;<br>・	cause disadvantage, damage or uncomfortable feelings to other purchasers of the Product or any other third party;<br>・	act against public order and good morals;<br>・	commit

                crime or an illegal act or otherwise violate any laws or regulations;<br>・	infringe Koei Tecmo’s reputation, intellectual property rights or other rights or profit;<br>・	repeatedly make the same, similar inquiries etc. to Koei Tecmo about the Product;<br>・	conduct any other acts that Koei Tecmo deems to be inappropriate;<br>・	directly or indirectly, evoke or facilitate any of acts listed in the preceding items;<br>・	conduct any act that Koei Tecmo reasonably determines falls under or possibly falls under any of the preceding items;<br><br>3. Scope of Warranty and Liability<br>(1) If the Product doesn’t work as prescribed in the manual provided by Koei Tecmo and you can’t substantially use the Product due to the cause contributable to Koei Tecmo, Koei Tecmo, at its own discretion, shall allow you to re-download the Product, fix the Product (including distribution of update programs) or refund the price of the Product to you, for sixty (60) days after your purchase with respect to the Product sold for Japan or for ninety (90) days after your purchase with respect to the Product sold for territories other than Japan, as the case may be.<br>(2) Section (1) above shall apply only if Koei Tecmo could confirm the record of your purchase of the Product. If Koei Tecmo refunds to you under section (1) above, you shall completely delete the Product from the computer on which the Product is installed.  <br>(3) Section (1) above shall not apply if the malfunction or the defect of the Product is due to any of followings:<br>・	Use of the Product breaching any terms and conditions hereof;<br>・	your modification or alteration of the Product or combination of the Product and any other product;<br>・	your willful or negligent misuse of the Product or other uses under an abnormal condition of the Product; or<br>・	any defect or malfunction of the computer on which the Product is installed or other hardware connected to the computer, or non-conformance of the computer to system requirements or communication environment required for the Product.<br>(4) THE PRODUCT IS PROVIDED "AS IS".  KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF THE PRODUCT, INCLUDING, BUT, NOT LIMITED TO, FITNESS OR SUITABILITY FOR A PARTICULAR PURPOSE AND FREEDOM FROM ANY BUGS AND ANY OTHER DEFECTS.<br>(5) Koei Tecmo may at any time modify

IN THE EVENT THAT KOEI TECMO IS LIABLE FOR ANY DAMAGES OR LOSS OF PROFIT INCURRED BY YOU ARISING OUT OF SUCH MODIFICATION, KOEI TECMO’S TOTAL LIABILITY TO YOU SHALL NOT EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE PAID FOR THE PRODUCT, EXCEPT IN THE EVENT OF WILLFUL ACT OR GROSS NEGLIGENCE ON THE PART OF KOEI TECMO (INCLUDING KOEI TECMO’S REPRESENTATIVE AND EMPLOYEES). <br>(6) IN THE EVENT KOEI TECMO IS LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR FUTURE DAMAGES OR LOSS ETC. INCURRED BY YOU ARISING OUT OF USE, UNAVAILABILITY OR DISCONTINUANCE OF THE PRODUCT, KOEI TECMO’S TOTAL LIABILITY TO YOU HEREUNDER SHALL NOT EXCEED AN AMOUNT EQUAL TO THE AMOUNT YOU HAVE PAID FOR THE PRODUCT, EXCEPT IN THE EVENT OF WILLFUL ACT OR GROSS NEGLIGENCE ON THE PART OF KOEI TECMO (INCLUDING KOEI TECMO’S REPRESENTATIVE AND EMPLOYEES). <br><br>4. Customer Support<br>You agree and acknowledge that Koei Tecmo shall provide you with customer support for the Product subject to the following terms and conditions:<br>・	Koei Tecmo shall provide you with customer support for the Product only for the period of three (3) years from its commercial launch date; <br>・	Any inquiries with respect to the Product from you to our customer support division shall be made by filling out a web form specified by Koei Tecmo;<br>・	Please see the Product’s user manual for the contact of Koei Tecmo’s customer support;<br>・	Koei Tecmo shall, at its own discretion, determine whether to answer and what to answer to your inquiry;<br>・	We might not answer depending on your inquiry; and<br>・	KOEI TECMO MAKES NO WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR OTHERWISE, REGARDING THE COMPLETENESS, ACCURACY, USEFULNESS, PERFORMANCE, OR APPROPRIATENESS OF KOEI TECMO’S ANSWER TO YOUR INQUIRY.<br><br>5. Registration for use of the Product<br>(1) In order to use the Product, you need to install the Steam client software and complete the Steam registration (including creating a Steam account). <br>(2) If you haven’t installed the Steam client software, you need to install the Steam client software in order to use the Product.<br>(3) If you haven’t completed the Steam registration (including creating a Steam account), you need to complete the Steam registration (including creating a Steam account) accepting STEAM SUBSCRIBER AGREEMENT in order to use the Product.<br><br>6. The Internet connection for use of the Product<br>(1) When you install the Steam client software and complete the Steam registration set forth in Article 5 above, you shall prepare all necessary hardware/service and bear and pay all necessary charge for internet service provider, communication expense, etc.<br>(2) You agree that certain information on your computer will be sent and Koei Tecmo may collect and use such information if you install the Steam client software and complete the Steam registration set forth in Article 5 above.<br><br>7. Termination of this Agreement<br>Koei Tecmo may immediately terminate the license hereunder in case of your breach hereof. In this case, you shall, according to Koei Tecmo’s instructions, delete the Product (including all components and copies thereof) from the computer (including a hard drive or other storage device) on which the Product is installed. <br><br>8. Export Control<br>You shall not export, directly or indirectly, the Product in whole or in part in any form, to any country without first obtaining necessary export license or other governmental approval of Japanese government or the relevant country’s government.<br><br>9. General Provisions<br>(1) If any provision of this Agreement or part thereof is held to be invalid or unenforceable under any laws or regulations, the remaining provisions hereof shall remain in full force and effect.<br>(2) This Agreement shall be governed by the laws of Japan.<br>(3) In the event of any dispute, this English version of this Agreement shall prevail over any other language versions.<br>(4) Any and all disputes arising out of or in connection with this Agreement shall be submitted to the exclusive jurisdiction of the Tokyo District Court in the first instance.
